APPROVING PROJECT PLAN [CRANBROOK EDUCATIONAL COMMUNITY PROJECT) - CITY OF
BLOOMFIELD HILLS
To Oakland County Board of Commissioners
Chairperson, Lades and Gentlemen:
WHEREAS The Economic Development Corporation of the County of Oakland
(the "EDC") has recommended that the Board of Commissioners approve the
Project Plan required by the Economic Development Corporations Act (the "Act")
for the captioned Project, a copy of which has been presented to this meeting
(the "Project Plan'); and
WHEREAS the EDC's recommendations to the Board of Commissioners were
based upon its determinations that the Project is reasonable and necessary to
effectuate the purposes of the Act, that the Project Plan satisfies all of the
requirements of the Act regarding project plans and that a letter of credit
issued by a financial institution acceptable to the EDC will be available to
pay debt service; and
WHEREAS the governing body of the City of Bloomfield Hills, Oakland
County, Michigan, has also approved the Project Plan and given its consent to
the exercise of jurisdiction over the Project by the EDC: and
WHEREAS the Board of Commissioners has held a public hearing to consider
whether the Project Plan constitutes a public purpose as contemplated by the
Act; and
WHEREAS the Board of Commissioners, following such public hearing and
its review of the Project Plan, hereby certifies, approves and concurs in the
determinations of the HOC with respect thereto.
NOW THEREFORE BE IT RESOLVED that the Oakland County Board of
Commissioners hereby determines that the Project Plarl constitutes a public
purpose as contemplated by the Act.
BE IT FURTHER RESOLVED that the Oakland County Board of Commissioners
hereby certifies and approves the Project Plan.
BE IT FURTHER RESOLVED that the EDO is hereby authorized to take such
steps as are necessary to implement the Project and the financing thereof by
the issuance of its limited obligation revenue bonds as contemplated by the
Project Plan.
BE IT FURTHER RESOLVED that the County Clerk is hereby directed to
provide four certified copies of this resolution to the Assistant Secretary of
the Board of the SOC.
Chairperson, on behalf of the Planning and Building Committee, I move
the adoption of the foregoing resolution.

NATURE OF PROJECT:
The Project encompasses four separate components:
1. Cranbrook Art Museum: The project encompasses the installation of climate control
systems and the construction of a 24,000 square foot addition to house Cranbrook's
collection, a new research facility and the mechanical room.
2. Girls' Middle School: Construction of a 47,000 square foot free standing Girls' Middle
School facility, highlighted by relational/connected spaces, a sense of security, and
coziness.
3. Restoration of the Cranbrook Quad: The project will restore the stonework in the Quad,
which has been has been in a state of severe deterioration and is undergoing a major
restoration, including the installation of a snow melting system which will eliminate the
need to use harsh chemicals for snow removal, thereby preserving the Quad.
4. Life Safety and Security Improvements: The Keppel Gymnasium, Music Room and Ice
Arena all have outdated fire alarm systems, which will be removed and replaced with
updated systems. Infrastructure (conduits, etc) for the existing systems will remain in
place and be capped. Emergency power will be provided by an existing generator
installed in the lower level of Hoey Hall and sized to serve life safety needs of the Boys'
Campus. Additional security devices and equipment will also be installed in conjunction
with the project.
EMPLOYMENT CREATED OR RETAINED:
No new permanent jobs will be created by the completion of this project. All current existing
permanent jobs will be retained.
It is not known how many people will be employed by contractors during the construction
period.

CRANBROOK EDUCATIONAL COMMUNITY PROJECT
I. THE LOCATION AND EXTENT OF EXISTING STREETS AND OTHER
PUBLIC FACILITIES WITHIN THE PROJECT DISTRICT AREA; THE LOCATION,

Cranbrook Art Museum Project Description
Accreditation reviews by the American Association of Museums have raised concerns that
without significant climate control (temperature and humidity) improvements, especially in
collections storage, the Museum's accreditation may be in jeopardy. The lack of adequate
climate control also prevents the Museum from exhibiting many special collections that would
otherwise be available for special loaned art exhibits. The approved project includes the
following for the Art Museum and Library:
• Roof replacement, new flashings and trim
• Exterior wall brick and stone masonry mortar joint repainting and cleaning
• Repair of miscellaneous cracked and displaced stone and brick
• Repairs to the loading dock. miscellaneous doors and exterior soffits
• Window replacements
• Reconstruction of the Chinese Dog Stair, the Europa Plaza and Peristyle Steps, with new
waterproofing, repairs to the existing structure and installation of a snow melting system
• Replacement of the boiler that serves the entire Academy
• Upgrades to air handling units and code corrections
• Fire protection, electrical and lighting upgrades
• deSalle Auditorium HVAC upgrades (6,320 square feet)
• Air conditioning of the Library and parts of the 2001 studios building that were designed to
be air-conditioned.
• Museum-quality temperature and humidity control for the Museum and Wainger Gallery
(requires modifications to the interior walls, windows and roof),
• Construction of a 24,000 square foot collection storage and research addition, which will also
accommodate the mechanical room.
• Installation of a generator to support life safety and mechanical systems to ensure that
museum environments remain within acceptable limits.
Construction commenced in January 2009 and is expected to complete by December 2011.
Girls' Middle School Project Description
Cranbrook is committed to gender specific education for its middle school students. Small,
single-sex classes on separate campuses acknowledge the developmental differences and
educational implications between boys and girls during early adolescence. For various reasons,
the existing Girls' Middle School facility does not meet programmatic goals.
The project is designed with the objective of providing improved facilities for the Girls' Middle
School in a new. freestanding 47.500 square foot building not connected to Kingswood. The
building's location is the former Kingswood Tennis Courts with an entrance off Tamarack Way.
The existing adjacent field will be maintained. The scope outlined below provides for all
programmatic requirements.

Construction commenced in May 2009 and is expected to complete by June 2011.
Cranbrook Quad & Thompson Oval Project Description
The Quad is the architectural centerpiece and primary gathering space for students on the
Cranbrook Schools campus. The Quad was partially restored in 1982. The Quad has been in a
state of severe deterioration and is undergoing a major restoration. Project aspects include:
• Replace all paved areas (about 50,000 square feet) with brick pavers and blue stone; restore
the original patterns.
• Install a heated pavement system to melt snow and ice without the use of harsh chemicals
which can be destructive to brick pavement. This system will also reduce maintenance, both
inside and outside the buildings (see description below).
• Improve drainage. Drainage issues will be addressed by relining 90% of the 9,100 linear feet
of drainage pipe and replacing the remaining 10% by other means,
• Increase handicap accessibility.
• Restore vertical elements (i.e., benches, fountains, pedestals for artwork).
• Restore landscaping of the original installation, designed by C. Deforest Platt in 1929, but
with accommodations for current programmatic use and maintenance considerations,
• Improve lighting to increase security and safety.
• Replace the Observatory Tower's copper dome.
• Replace the Cranbrook Library roof facing the Quad.
The project also includes the courtyard east of the Performing Arts Center, both levels of the
Alumni Courtyard, the walkway south to Lone Pine and the walkway north to the bus drop-off.
Heated Pavement.
• A heated pavement system involves the following components: heat source, controls,
insulated copper piping, manifolds and tubing. The tubing is connected to supply and return
piping with copper, brass, stainless or plastic barbed manifold pairs. The tubing is embedded
in concrete. The manifold location dictates where the tubing starts and stops, therefore the
manifold is located adjacent to the heating "zone" to minimize the amount of tubing required

for the project. A water-glycol mixture is pumped through the tubes. The mixture is
typically at a temperature between 110 and 140 degrees Fahrenheit. Temperature and
humidity sensor controls are used to automatically regulate the system. The system is less
expensive to operate than the cost of labor and chemicals used to maintain clear pathways
Construction in the Quad is phased and began in June 2007, estimated to complete in June 2012
Life Safety and Security Improvements at Cranbrook Schools Project Description
Keppel Gymnasium, Wallace Ice Arena and Brookside School
Keppel Gymnasium was constructed in the early 1930s as a one-story masonry structure of
approximately 9,600 square feet with an exposed metal truss and concrete plank roof system.
The gym has a 3,900 square foot mezzanine that includes a running track and a few small
offices. The building has a partial basement area featuring a boiler and air handling room, which
connect into the campus utility tunnel system. Providing emergency egress lighting for this Gym
will require installing supplemental emergency light fixtures and/or replacing a few of the
existing HID fixtures so that they can restart immediately in case of a power outage.
The locker room wing of Keppel Gymnasium was constructed at the same time as the main
gymnasium. It also is a one-story masonry building of approximately 4,000 square feet. The
locker room wing includes two boys' locker rooms, a shower room, a small laundry room and an
entrance lobby. Interior and exterior walls are masonry with a wood framed attic and roof
structure.
The Music Room (building) was constructed in the 1930s and is a two-story, approximately
10,000 square foot masonry structure with a concrete floor system and a flat roof. The Music
Room consists of music classrooms, practice rooms and faculty offices on the first floor. The
second floor is used for a large exercise and weight room and chorus room.
The Ice Arena is a one-story, approximately 24,000 square foot steel framed building consisting
of a single hockey sized ice surface and locker rooms.
The project includes the installation of emergency egress lighting, exit signage. power
distribution for those systems and coordination of the fire alarm system (designed by Siemens)
for the Keppel Gymnasium and locker rooms, Music Room and Ice Arena. Each of the three
buildings currently has an outdated fire alarm system that will be removed once the new system
is installed and operational. Infrastructure (conduits, etc) for the existing systems will remain in
place and be capped. Emergency power will be provided by an existing generator installed in the
lower level of Hoey Hall and sized to serve life safety needs of the Boys' Campus.
Included with these life safety improvements is the restoration of the Brookside Tunnel. The
work consists of repairs to the existing tunnel and the remediation of surrounding drainage
issues. The project will include the installation of various security devices and cameras at Keppel
Gymnasium, Music Room, Ice Arena and Brookside School.

V. A DESCRIPTION OF THE PARTS OF THE PROJECT AREA TO BE LEFT
AS OPEN SPACE AND THE USE CONTEMPLATED FOR THE SPACE:

• The Cranbrook Art Museum project will include construction of a new collections storage
building of approximately 24.000 square feet in the area on the northeast side of the current
Art Museum.

Dear Dominic:
Craribrook Educational Community (the "Borrower"), has requested that WMorgan Chase Bank,
N.A. purchase a "bank-qualified" tax exempt bond (the "Facility A" or "Bond") in the aggregate principal
amount of up to $30,000,000 to be issued by The Economic Development Corporation of the County of
Oakland (the "Issuer"). WMorgan Chase Bank, NA. (the "Lender" or the "Bank") is pleased to confirm its
willingness TO purchase the Bond for the benefit of the Borrower in the amount of up to $30,000,000 (the
"Commitment"), on the terms and conditions set forth herein and in the term sheet snitched hereto (the 'Terrn
Sheet"). Borrower has also requested an extension to its existing direct pay letter of credit (the "Facility B"
or "DPLOC") in the aggregate principal amount of $46,923,803.00, to provide credit enhancement and
liquidity support for the Borrower's Tax-Exempt Series 2007 Bonds. The Bank is pleased to confirm its
willingness to provide a live-year extension to the existing Chase DPLOC for the Borrower in the amount of
$46,923,803.00, on the terms and conditions set forth herein and in. the Term Sheet. In addition, the Lender
reserves the right to allocate its commitment among its affiliates and assign some or all of its rights to and
delegate some or all of its responsibilities hereunder to one of its affiliates.
The obligation of the Lender to provide credit to the Borrower is subject to the execution and
delivery of loan documentation that is satisfactory to the Bank and its legal counsel (the "Bond
Documents"). The Bond Documents shall contain such representations, warranties, covenants, events of
default, conditions precedent, indemnities, remedies and general provisions that Bank and its counsel
dean necessary and shall otherwise be satisfactory in form and substance to Bank and its counsel. The
terms, covenants, and conditions set forth in the Term Sheet merely outline some of the principal
provisions of the Bond Documents rather than a full and complete description or exclusive list of 311
terms, covenants and conditions, To the extent that any terms, covenants and conditions in the Bond
Doeuments are inconsistent with this Commitment, the terms, covenants and conditions in the Bond
Documents shall control. The Lender's obligation under this Commitment shall also be subject to (a) the
Lender's determination that there is no material adverse change in the business, condition (financial or
otherwise), operations, performance or properties of the Borrower from December 31, 2009, (b) the Lender's
completion of and satisfaction in all respects with a due diligence investigation of the Borrower, (e) the
Lender's not becoming aware after the date hereof of any information or olhei—mattaa affeeting the
Borrower or the transactions contemplated hereby which is inconsistent in a material and adverse manner
with any such information or other matter disclosed to us prior to the date hereof, (d) the Borrower's
compliance with the terms of this Commitment Letter and (e) the other conditions set forth Or referred to
herein and in the Term Sheet.

The Borrower hereby agrees to reimburse the Lender for all reasonable out-of-pocket expenses
(including the reasonable fees, time charges and expenses of attorneys for the Lender, which attorneys
may be employees of the Lender) incurred in connection with the preparation, negotiation, execution ; and
enforcement of this commitment letter, the Bond Documents and any other documentation contemplated
hereby or thereby. The Borrower hereby further agrees to indemnify and hold harmless the Lender and its
officers, employees, agents and directors (each an "Indemnified Party") against any and all losses, claims,
damages, costs, expenses (including the reasonable fees, time charges and expenses of attorneys for the
indemnified parties, which attorneys may be employees of the indemnified parties) or liabilities of every
kind whatsoever to which each of the indemnified parties may become subject in connection in any way
with the transaction which is the subject of this commitment letter, including, without limitation, expenses
incurred in connection with investigating or defending against any liability or action (whether or not such
indemnified party hereunder is a party thereto) other than any such costs, claims, damages, expenses, and
liabilities 'resulting from the gross negligence or willful misconduct of such Indemnified Party.
The Borrower's obligations under the immediately preceding paragraph shall continue and are and
shall remain absolute obligations of the Borrower, unless and until superseded by the indemnity provisions of
definitive Bond Documents, whether or not Bond Documents are executed or any lean is made by the Lender
or any conditions of lending are met.
The obligations of the Lender under this commitment letter are enforceable solely by the Borrower
and may not be relied upon by any other person. The Lender shall not be liable under this commitment lever
or any Loan Document or in respect of any act, omission Or event relating to the transaction contemplated
hereby or thereby, on any theory of liability, for any special, indirect, consequential or punitive damages. IF
THIS COMMITMENT LE'i l'ER, THE TERM SHEET OR ANY SUCH ACT, OMISSION OR EVENT
BECOMES THE SUBJECT OF A DISPUTE, THE BORROWER AND THE LENDER EACH HEREBY
WAIVE TRIAL BY JURY.
This commitment letter and the Term Sheet are for the Borrower's confidential use only and may
not be disclosed by it to any person other than its employees, attorneys and financial advisors (but not
commercial lenders), and then only in connection with the proposed transaction and on a. confidential
basis, except where (in the Borrower's reasonable judgment) disclosure is required by law or where the
Lender consents to the proposed disclosure, which consent shall not be unreasonably withheld. Officers,
directors, employees and agents of the Lender shall at all times have the right to share information
received from the Borrower with its affiliates and their respective officers, directors, employees and
agents, all on a confidential basis. This commitment letter and the Term Sheet supersede any and all prior
versions hereof or thereof. This commitment letter may only be amended by a writing signed by all
parties hereto. This commitment letter shall be governed by the internal laws of the State of Michigan.
The compensation, reimbursement, indemnification and confidentiality provisions contained
herein and in the Term Sheet shall continue and an and shall remain absolute obligations of the Borrower,
unless and until superseded by the indemnity provisions of definitive Bond Documents, whether or not Bond
Documents are executed or any loan is made by the Lender or any conditions of lending are met.
If the foregoing correctly sets forth our agreement, please indicate the Borrowers acceptance of
the terms hereof and of the Term Sheet by returning to the Lender an executed counterpart hereof,
together with the amounts agreed upon pursuant to the Term Sheet to be payable upon the acceptance
hereof, not later than 5:00 pm., New York City time, on June 18, 2010. The Lender's comminnent will
expire at such time in the event the Lender has not received such exPrnitrel cymnterpart and such amounts
in accordance with the immediately preeeding sentence. This Commitment Letter and Term Sheet
supersede any and all prior versions hereof and thereof. Notwithstanding timely acceptance of this

1. This Certificate is made and based upon the best of the Company's knowledge and
belief, only after thorough investigation and discussion with all owners of the Company and
others who might have knowledge regarding the subject matter.
2. The Company acknowledges that this Certificate will be employed by the EDC as
the sole basis for the EDC's certification to the Board of Commissioners of the County of
Oakland as to transfer of employment as required by Section 8(3) of the Economic Development
Corporations Act, Act No. 338 of the Michigan Public Acts of 1974, as amended (the "Act").
3. The Company understands that the EDC's Certification to the Board of
Commissioners of the County of Oakland is a statutory requirement which, if improperly made
or based upon any material misrepresentation or inaccuracy, might invalidate the proceedings
regarding the Cranbrook Educational Community Project (the "Project") pursuant to which the
EDC expects ultimately to issue its limited obligation economic development revenue bonds to
finance all or part of the Project.
4. As of the date hereof. the Project shall not have the effect of transferring
employment of more than 20 full-time persons from a municipality (as that term is defined in the
Act) of this State to the City of Bloomfield Hills, Michigan, the municipality in which the Project
will be located.
5. The Company understands that a covenant to effectuate the purposes of this
Certificate will be included in those covenants to be made by the Company when bonds are
issued by the EDC for the benefit of the Project,

The undersigned, Cranbrook Educational Community, a Michigan nonprofit corporation
(the "Company"), hereby certifies to The Economic Development Corporation of the County of
Oakland (the "EDC") as follows:
1. The Company understands that this Certificate is a statutory requirement under
the Economic Development Corporations Act, Act No. 338 of the Michigan Public Acts of 1974,
as amended (the "Act") which, if improperly made or based upon any material misrepresentation
or inaccuracy, might invalidate the proceedings regarding the Cranbrook Educational
