II 43 MISCELLANEOUS RESOLUTION #'.',:2v259 October 6, 2010 BY: Planning and Building Committee, John Scott, Chairperson IN RE: DEPARTMENT OF FACILITIES MANAGEMENT — REQUEST FOR APPROVAL OF LEASE AGREEMENT WITH KNOLLWOOD COUNTRY CLUB FOR PLACEMENT OF COMMUNICATION EQUIPMENT To the Oakland County Board of Commissioners Chairperson, Ladies and Gentlemen: WHEREAS, the Oakland County Board of Commissioners, pursuant to MR #98308, recognized that the County's current 800MHz radio system needed to be upgraded and expanded to encompass all public safety agencies and to create interoperatibility between public safety agencies; and WHEREAS, the Oakland County Board of Commissioners, pursuant to the Emergency 9-1-1 Service Enabling Act, Public Act 32 of 1986, as amended, and MR #10076, authorized the levy of a County 9-1-1 charge to pay for a new County-wide interoperable public safety radio system that will have the ability to encompass all public safety agencies and create interoperability between public safety agencies; and WHEREAS, to properly implement and operate the County-wide radio system, the County will need to build towers, lease land, and/or lease space on towers at sites throughout the County; and WHEREAS, it is the recommendation of the Departments of Facilities Management and Information Technology that the Oakland County Board of Commissioners accept and approve the terms and conditions of the attached Lease Agreement; and WHEREAS, under the terms and conditions of the attached Lease Agreement, the County will install communication equipment inclusive of an equipment cabinet and battery backup system on a water tower and land owned by Knollwood Country Club located at 5050 West Maple Road, West Bloomfield, Michigan; and WHEREAS, the County shall pay rent and fees to Knollwood Country Club as follows: Administrative fee 63,500. Rent for the Short Period term shall be $625.00 per month. Rent for the initial term (2/1/11 through 1/31/12) shall be $7,725 annually. Rent shall increase 3% per year thereafter; and WHEREAS, the County 9-1-1 Charge shall pay for the costs associated with this Lease Agreement; and WHEREAS, the Departments of Facilities Management, Information Technology, and Corporation Counsel have reviewed and/or prepared all necessary documents related to the attached lease agreement. NOW THEREFORE BE IT RESOLVED that the Oakland County Board of Commissioners hereby approves and authorizes the attached lease agreement between the County of Oakland and Knollwood Country Club. BE IT FURTHER RESOLVED that the Oakland County Board of Commissioners hereby directs its Chairperson or his designee to execute the attached lease agreement and all other related documents between the County of Oakland and Knollwood Country Club, which may be required. PLANNING & BUILDING COMMITTEE VOTE: Motion carried unanimously on a roll call vote with Jacobsen absent, Oakland County Department of Facilities Management 9/28/2010 Approval of Lease Agreement with Knollwood Country Club for Placement of Communication Equipment Pursuant to Oakland County Board of Commissioner's rules and procedures for purchase or lease of real property the Departments of Facilities Management and Information Technology are seeking Board of Commissioners approval of the attached Lease Agreement with Knollwood Country for placement of communication equipment inclusive of an equipment cabinet and battery backup system on land and a water tower owned by the Knowllwood Country Club at 5050 West Maple Road, West Bloomfield, Michigan. Pursuant to the Emergency 9-1-1 Service Enabling Act, Public Act 32 of 1986, as amended, and miscellaneous resolution no. 10the Oakland County Board of Commissioners authorized the levy of a County 9-1-1 Charge to fund a new county-wide interoperable, public safety radio system that will serve all public safety agencies within Oakland County. The attached Lease Agreement provides for the use of available space on a water tower and use of land for installation of communication equipment inclusive of battery backup system and equipment cabinet on property owned by the Knollwood Country Club. The agreement states that the County will install communication equipment, equipment cabinet and battery backup system at County expense on land provided by Knollwood Country Club. The County 9-1-1 Charge will pay for the costs associated with this Lease Agreement. Commencement date of Agreement: Upon the date of formal approval by the parties. Terms: Commencement date through January 31, 2014 and shall run for an additional 9 years of three renewable terms of three years each. Rent and fees: Administrative fee $3,500. Rent for the Short Period term shall be $625.00 per month. Rent for the initial term (2/1/11 through 1/31/12) shall be $7,725 annually. Rent shall increase 3% per year thereafter. Termination: 90 days notice by County. 180 days notice by Knollwood Country Club. Recommendation It is the recommendation of the Departments of Facilities Management and Information Technology that the Board of Commissioners approves and accepts the attached Lease Agreement between the County of Oakland and the Knollwood Country Club located at 5050 West Maple Road, West Bloomfield, Michigan. Mdh9/21/10 LEASE AGREEMENT This Lease Agreement, having an effective date of the (date), is entered into by and between KNOLLWOOD COUNTRY CLUB 5050 West Maple Road, West Bloomfield, Michigan 48033 (hereinafter called "Lessor") and the County of Oakland, a Michigan Constitutional Corporation, 1200 North Telegraph, Pontiac, MI 48341 (hereinafter called "Lessee"). RECITALS A. Lessor is the owner of a parcel of land commonly known as 5050 West Maple Road, West Bloomfield, Michigan 48033, and more particularly described on Exhibit A attached hereto, (hereinafter the "Owned Premises") and upon which is located a certain water tower (the "Tower"). B. Lessor desires to lease to Lessee and Lessee desires to lease from Lessor space on the Tower at the level and for the specific communications system described on Exhibit B attached hereto, incorporated by reference herein, and a portion of the Owned Premises legally described on Exhibit C attached hereto, incorporated by reference herein, (hereinafter "Leased Space") whereupon Lessee plans to install an equipment enclosure, together with ingress, egress and utility access on, over, under and through Lessor's premises (upon prior approval of construction, which approval shall not be unreasonably withheld) for use by Lessee, its guests, licensees, invitees, servants, employees and independent contractors to provide such access to the improvements Lessee desires to install as described herein. C. Lessor has examined all Exhibits and understands the nature of Lessee's desired improvements, and is willing to Lease the space above described to Lessee, for the purposes described in Paragraph 2 below. D. Lessor understands and acknowledges that equipment placed on the Tower and at the Leased Space supports the operation of the Oakland County Interoperable Public Safety Radio System used by most governmental entities and first responders in Oakland County. THEREFORE, for and in consideration of the mutual promises, covenants and understandings set forth herein, Lessor and Lessee hereby agree, contract and covenant as follows: 1. Description of the Leasehold Lessor hereby leases to Lessee and Lessee leases from Lessor: a. Vertical space on Lessor's tower (the Vertical Space) necessary to mount only the communications system identified at the identified level described in Exhibit B, together with access on the tower to the Vertical Space for all necessary transmission cables or lines, connectors and related hardware to the site (described below); and b. A portion of the Owned Premises (the "Site") legally described in Exhibit "C", upon which site Lessee will place its equipment. c. The vertical space and the site described on Exhibit B and Exhibit C, respectively, are collectively referred to hereinafter as the "Leased Space". 2. Permitted Uses. The Tower may be used only for the installation, maintenance and operation of the Lessee's Equipment in accordance with the Federal Communications Commission ("FCC') licenses if applicable held by Lessee, and as shown on Exhibit B and Exhibit C. Material modifications in, additions to, or departures from Exhibit B shall not be allowed without prior written approval from Lessor (which approval shall not be unreasonably withheld). Lessee agrees that in all matters wherein Lessor reasonably determines that any modification or departure poses a threat of interference with (a) Lessor's communication's equipment or (b) the communications equipment of other Lessees in use at the tower, or authorized for installation by the FCC and Lessor on the Tower, prior to Lessee's request to Lessor for such modification or departure, Lessor shall have the right to withhold its consent thereto. 3. Consents, Approvals, License, Permits and Compliance with Law Rules, Regulations and Standards. This Lease is conditioned upon Lessee obtaining, at its expense, all consents, approvals and permits required of any governmental subdivision of the State of Michigan or before beginning work on its improvements and to comply with all requirements or conditions imposed by such governmental subdivisions as a condition to the grant of consent, approval or permit and to provide Lessor with written evidence of possession of such consents, approvals and permits as is requested from time to time. a. If through no fault of Lessee, for any reason any governmental agency shall after the initial issuance of a license or permit fail or refuse to extend or renew a license or permit to either Lessor or Lessee, their assigns, transferees or successors in interest, to engage in their activities on the parties respective Premises, this Lease shall continue throughout the remainder of that term year only, and Lessor shall be entitled to keep any rent due or received for said year provided, however, that if such failure or refusal shall relate only to a portion of Lessee's equipment which can be changed or modified to ensure issuance, extension or renewal of a license or permit, then this Lease shall continue in effect in its entirety. b. Lessee agrees to conduct its communications system on the Owned Premises in a lawful mariner in accordance with the standards, rules and regulations imposed by the FCC and any other body with authority, if any, over transmissions and operations involved in the communications system business, now or during the term of this Lease, but this provision does not grant Lessee the right to maintain a permanent employee on the Leased Premises or any portion of Lessor's property. c. Lessee agrees that a material breach of this Section 3 shall be grounds for termination of this Lease at Lessor's option; provided that Lessor shall have first given Lessee written notice of such breach within 30 days of the effective date of such termination, and if such breach is incapable of cure within 30 days, Lessee shall have failed to take steps reasonably calculated to lead to the cure of such breach. 4. Disclaimer. Lessee acknowledges that Lessor has made no representations of any kind regarding the type of permission, consent, approval or permit that it possesses regarding its use of the Owned Premises and understands that same is a matter of public record on file at West 2 Bloomfield Township, and Lessee and will conduct its own investigation regarding same, and will formulate its own opinions as to whether Lessee can gain the required consents, permissions, approvals or permits. a. Lessee hereby assumes the risk of failure to obtain any required consent, permission, approval or permit and the failure to obtain same without adverse conditions and all costs associated with the failed attempt or adverse outcome. b. Lessor makes no representation regarding the condition or suitability of the Tower for Lessee's purposes. Lessee affirms that any damage done to the Tower by reason of Lessee's installation, maintenance or removal of its antennas shall be the responsibility of the Lessee. 5. Term. The initial term of this Lease shall commence on the date first written above and shall continue through January 31, 2014, This Lease shall automatically extend for three (3) additional three (3) year terms unless the Lessee gives at least 180 days written notice before the effective date of such notice of its intent to terminate the Lease. 6. Rent. a. Short Period Rent. (Date a permit is received from West Bloomfield Township through January 31, 2011) Short Period Rent shall be six hundred and twenty-five dollars ($625.00) per month. Lessee shall, simultaneously with the execution of this Lease, pay to Lessor $1,875.00 (3) month's estimated Short Period Rent), which shall be adjusted as of the date a permit is received. Within thirty (30) days of execution of this Lease, Lessee shall pay Lessor a non- refundable administration fee in the amount of three thousand five hundred dollars ($3,500.00). b. Initial Annual Rent. (February 1, 2011 through January 31, 2012) Lessee shall pay to Lessor as rent for the Leased Space, the annual rent of $7,725.00 in advance. For each succeeding year. Lessee shall pay to the Lessor in advance as Annual Rent for the Lease space an amount equal to one hundred and three percent (103%) of the previous years rent. c. All payments shall be made by check mailed or delivered to Lessor at the above address, or such other place as Lessor may from time to time notice Lessee and shall be received by Lessor prior to February V' of the year annual rent is due. 7. Lessor's and Lessee's Right to Terminate. a. Lessor shall have the right to terminate this Lease at any time during the rental period upon six (6) months prior written notice to Lessee in the event that Lessee breaches or is in default of this Lease. b. After the initial term of this Lease, Lessee shall have the right to terminate this Lease upon ninety (90) days written notice to Lessor if the Leased Space is not maintained in a manner that will allow optimal operation of Lessee's Radio System or it Lessee determines, in 3 its discretion, that based on (i) technology, (ii) interference with use of the Leased Space resulting from the acts of any third party, an act of God, or from other natural sources, or (iii) changes in the Lessee's Radio System design or usage, Lessee's use of the Leased Space is no longer consistent with the optimal operation of the Lessee's Radio System. Lessor shall however be entitled to keep any rent due or previously received thru the date such termination becomes effective. 8. Construction by Lessee. a. All improvements desired or required to be made by Lessee of any kind or nature on or to the Owned Premises, the Leased Space or for access of ingress or egress or utilities shall be at the sole and exclusive cost of Lessee. Before Lessee may begin regular operation of facilities from Owned Premises, Lessee shall have all utilities separately metered and provide for installation of telephone lines so that all charges for such services shall be billed directly to the Lessee, except that during construction Lessee may have access to such Lessor's services, at Lessee's expense, as may be necessary to facilitate construction. Should any governmental authority condition any consent, approval or permit issued to Lessee upon the making of any change in the Owned Premises or notices to Lessor to make a change (solely as a result of an improvement made by Lessee which the applicable governmental authority construes as a change in use which is the basis for its request) in order to maintain any existing consent, approval or permit, relating to Lessor's use of the Owned Premises, Lessee hereby agrees to make the change at its cost or reimburse Lessor net fifteen (15) days from date of invoice, any actual cost Lessor incurs as a result of compliance with any such condition or notice including increases in other operating costs of the Owned Premises. b. All construction will be in conformity with applicable government requirements, including zoning, Federal Aviation Administration (FAA") and FCC specification if any (and shall be appropriately modified to conform with any applicable amendments thereto or substitutions therefore), and so as to avoid any interference with the broadcasting/receiving or other operations of Lessor's Tower and facility operating at the time of such construction. 9. Structural Modifications, Interference Studies. No structural changes in Lessor's Tower will be made by Lessee except by consent of Lessor, and any structural changes made by Lessee shall not be removed by it at the expiration of this Lease unless agreed to by Lessor and Lessee in writing. Lessee may remove its antennas and any of its equipment and personal property used in and in any way attached to said Tower or Leased Space provided Lessee shall not then be in material default in the performance of the covenants hereof; and provided further, that the removal of any such property shall be effected as promptly as practicable after the expiration of said term, or any extension thereof and all damage caused to said Tower by such removal shall be repaired by Lessee as promptly as practicable after the expiration thereof, then Lessee shall pay to Lessor monthly rent at the rate then in effect pro rated for each day Lessee's equipment remains on the Tower. Lessee shall further be obligated to repair any damage caused as a result of the installation of its equipment or personal property to said tower and any damage caused by its fault or negligence as a result of its use or occupancy of said Tower, If Lessee fails to make said repairs within a reasonable period of time, not to exceed thirty (30) days (or if not repairable within thirty (30) days shall have failed to commence repair work and cause it thereafter to be diligently prosecuted to completion), Lessor may perform all repairs which may 4 be necessary and by special invoice submitted to Lessee add the amount of said cost to the rent due hereunder; and such cost of repairs shall be and constitute a part of the rent together with the rent above provided for herein and shall be payable to Lessor within fifteen (15) days of receipt of said notice. a. Should Lessor reasonably determine that any structural modifications or repairs need to be made to its Tower due solely to the presence of Lessee's equipment placement, upon notice to Lessee, Lessee shall make all such noticed modifications or repairs by certified personnel approved by Lessor, at Lessee's expense. Other than as set forth above, and subject to Paragraph 11, ordinary maintenance of the Tower shall be at Lessor's expense. 10. Damage to Lessor's Equipment. To the extent permitted by law, Lessee agrees to indemnify and hold Lessor harmless from the costs incurred by Lessor, including reasonable attorneys' fees as a result of any damage done to Lessor's equipment, whether on, above or below ground, that occur as a result of the construction, operation or maintenance of Lessee Facilities. 11. Structural Failure or Damage to Water Tower Indemnification. Lessee hereby assumes the risk of damage to its equipment and the inability to operate as a result of any structural failures of the tower or failure of Lessee or the Lessee's equipment or equipment for any reason whatsoever and agrees to the extent permitted by law to indemnify and hold Lessor harmless from all damages and costs incurred by Lessor in defending any claim or suit for damages of any kind including business interruption, including reasonable attorneys' fees, asserted against Lessor by reason of such failure of Lessee or the Lessee Facilities. a. Should the failure of any structure or equipment owned by Lessor interrupt the ability of Lessee to operate its business, Lessee's sole remedy shall be the abatement of the obligation to pay rent during the period of interruption. b. In the event Lessor decides to remove the Tower from its property subsequent to the second anniversary of this Lease (provided that Lessor gives Lessee one (1) year advance notice) or if the Tower subject to this Lease or any part thereof is damaged or destroyed by elements or any other cause, Lessor may elect, but has no obligation to, at its own cost and expense, repair, rebuild or restore said facility to the same condition it was in immediately prior thereto, provided that if by reason of such damage or destruction Lessor's Tower is totally destroyed or damaged to the extent that it cannot be restored within forty-five (45) days or Lessor elects not to repair, rebuild or restore, either Party hereto may cancel this Lease by giving written notice of such cancellation to the other within the twenty (20) days after such casualty. If this Lease is not cancelled, the payment required herein shall cease as of the date of damage or destruction until the Tower is restored to a suitable condition for Lessee's occupancy and operation. If this Lease is cancelled, the payments required herein shall terminate as of the date of the damage, destruction or removal of the Tower, and Lessor shall refund to Lessee the proportion of such payments, paid in advance, for the period subsequent to said date. c. Neither Lessor nor Lessee shall be responsible for any damage, injury, or death arising from any act or omission in connection with the other Party's operation, management, maintenance of any equipment or equipment on said Owned Premises, and each Party expressly agrees to defend, indemnify and hold the other harmless therefrom and from and 5 against any and all claims, demands, causes of action, suits or judgments (including reasonable attorneys' fees and costs and expenses incurred in connection therewith) for death or injuries to persons or for loss of or damage to property arising out of or in connection with the use and occupancy of the premises or from violation of any laws or ordinances by the other Party, its agents, servants, employees or invitees and not caused by the indemnified Party's sole negligence or willful misconduct. 12. Maintenance by Lessee and Lessor. Lessee, at its own expense, shall maintain its equipment, antennas, transmission lines and connecting devices, and all its improvements in accordance with good engineering standards to assure that at all times the same are in conformance with the requirements of local government bodies having jurisdiction. a. Further, Lessee shall at its own expense keep the Leased Space in good repair and condition and Lessee shall not perform any acts or carry on any practices which may injure any of Lessor's or other tenant's property or be a nuisance or menace to Lessor other tenants, shall keep its space under its control clean and free from rubbish, dirt and under penalty of forfeiture and damages, promptly comply with all laws, orders, regulations or ordinances of all municipal, county and state authorities affecting and pertaining to the cleanliness, safety, occupation and use of same. b. Lessee, along with other authorized users of the Tower, shall pay five (5%) percent (not to exceed $10,000.00 during the initial term or during each additional renewal terms) of all costs and expenses incident to and deemed necessary by Lessor for the repair and/or maintenance of the Tower in general. Such expenses shall include but not be limited to structural support modifications and repairs, scraping and painting. Although Lessee contributes a monetary amount toward maintenance of the Tower and Leased Space, Lessor shall use its best efforts to maintain the Tower and Leased Space subject to the provisions set forth in Section 11 above. 13. No Volatile Substances. Lessee agrees not to bring to or cause to be brought to the Leased Space any volatile substances. 14. Replacement, Alterations, Etc. Lessee agrees that any material replacements, alterations, relocations and/or additions to Lessee's equipment shall be conditional upon Lessee requesting and obtaining Lessor's prior written consent thereto in each instance, which consent shall not be unreasonably withheld, except that no such consent shall be required for the replacement in the ordinary course of business of used, broken or obsolete equipment with equipment of the same basic sort and size, same basic height, weight and length as those being replaced. 15. Access to Leased Space. Lessee shall have reasonable 24-hour access to the Leased Space for Lessee's personnel and contractors to install and maintain Lessee's equipment, together with utility access to the Leased Space. Lessor may. at Lessor's option and sole expense, post an observer to monitor Lessee's installation, maintenance or other activities. 16. Non-Interference. The installation and operation of Lessee's equipment shall not interfere electrically, or in any other manner whatsoever, with Lessor or with any other party currently authorized by the FCC. to operate and maintain, or currently operating and 6 maintaining, radio broadcasting equipment at the Owned Premises. Lessee shall operate Lessee's equipment in strict compliance with all present and future requirements and applicable regulations of the FCC. Notwithstanding anything in this Lease to the contrary, it is expressly understood and agreed that if the installation or operation of Lessee's equipment shall interfere with such other currently authorized or operating broadcast operations, Lessee will upon request (verbal or otherwise) promptly suspend its operations until said interference shall have been eliminated or remedied. In the event Lessee fails to immediately suspend operations as provided in this paragraph, Lessor may do whatever Lessor deems necessary to eliminate or remedy such interference, and Lessor may charge the cost thereof to Lessee. In the event that permanent removal of Lessee's equipment becomes necessary to cure the interference, this Lease shall thereupon terminate subject to the provisions of Paragraph 19, infra. 17. Taxes and Assessments. Lessee understands and acknowledges that the construction of its building structure and the existence of Lessee's equipment, at the Owned Premises, may result in an increase in the assessed value applicable to the Owned Premises. Lessee agrees to defray or reimburse to Lessor on a current basis [net fifteen (15) days] the full amount of any increases in the taxes payable by Lessor in consequence of such increased assessed value throughout the term of this Lease or any assessment levied against the Owned Premises as a result of Lessee's building structure, and/or equipment, placed upon the Owned Premises. Lessor agrees to request that all taxing authorities separately assess all improvements and send subsequent bills to Lessee, if possible. a. Lessee agrees to pay all separately assessed tax bills if applicable prior to any penalty date. b. Lessee agrees that should Lessor receive notice from the I.R.S. that places Lessor's tax-exempt status in jeopardy due to this Lease that it may terminate the Lease. 18. Indemnification and Insurance. To the extent permitted by law Lessee agrees to indemnify and save Lessor harmless from and against any and all costs (including reasonable attorneys' fees), in connection with claims resulting from bodily injury or death of any person or property damage to any property sustained by any person, including Lessee, arising from or predicated upon Lessee's operations at the Owned Premises including, but not limited to. Lessee's installation, construction, maintenance, and removal of its equipment, and other improvements. Lessor acknowledges that Lessee is a governmental agency and is self-insured. Nothing in this Lease or Exhibits shall constitute a waiver of Lessee's rights and immunities as provided by law. 19. Removal Upon Termination. Subject to the provisions of Paragraph 9, Structural Modification and 8, Construction by Lessee above, which provisions control over this Paragraph 18. a. Upon the expiration or other termination of the Lease, Lessee agrees to remove or cause to be removed from the Leased Space within sixty (60) days following such expiration or termination all site improvements. Such removal shall be done in a workmanlike and careful manner and without interference or damage to any other equipment, structures or operations in the Leased Space and without interference to the operation, use and enjoyment of the remainder of Lessor's Owned Premises by Lessor, its members or other tenants and invitees. 7 21. Notices. If, however, Lessee requests permission not to remove any of the improvements, and Lessor consents thereto, title to the affected structure or improvements shall thereupon transfer to Lessor, and the same thereafter shall be the sole and entire property of Lessor, and Lessee shall be relieved of its duty to otherwise remove same. b. Upon removal of any building structure or improvement (or portion thereof) as provided above, Lessee shall restore the affected areas of the Owned Premises to the condition they were in prior to the installation of such improvements, ordinary wear and tear excepted; provided, however, that any utility lines or equipment connected to the Leased Space for the purpose of providing utility service thereto shall remain upon the Owned Premises if Lessor shall request, with thirty (30) days notice to Lessee, otherwise such line equipment shall be removed. c. All costs and expenses for the removal and restoration to be performed by Lessee pursuant to subparagraphs a and b above shall be borne by Lessee, and Lessee shall indemnify and hold Lessor harmless from any cost thereof. 20. Eminent Domain. If the area of the Owned Premises upon which the tower and the Lessee's improvements are situated, is acquired or condemned by any public authority under the power of eminent domain, the Lease shall terminate as of the date of such taking. Lessor shall be entitled to the entire amount of any condemnation award except any portion thereof attributable to any of Lessee's equipment, portable equipment enclosure and relocation costs. All notices, requests, demands and other communications required under this Agreement shall be in writing and shall be deemed given if personally delivered or mailed, certified mail, return receipt requested, to the parties at their respective addresses set forth below, or to such other address as either party may later designate by written notice to the other. Right to Cure. Lessee shall have the right to cure any noticed alleged economic default by making payment thereof within twenty (20) days following said notice and thirty (30) days for any such noticed alleged non-economic default. As used herein and in other provisions of this Lease with respect to payments or actions by Lessee, "days" shall not included Saturdays, Sundays or legal holidays. 23. Governing Law, This Lease shall be governed by and construed under the laws of the State of Michigan. 24. Conformance to Law; Non-Waiver. This Lease is made subject to all federal, state and municipal laws and regulations now or hereafter in force, and shall not be modified, extended or terminated except by an instrument duly signed by Lessor and Lessee. Waiver of a breach of any provision hereof under any circumstances will not constitute a waiver of any subsequent breach of such provision, or of any breach of any other provision of this Lease. 25. Invalidity Severable. If any provision of this Lease shall to any extent be finally found by the FCC a court of competent jurisdiction to be invalid or unenforceable, the validity and enforceability of the remainder of this Lease and each of the other provisions hereof shall not be affected or impaired unless a failure of consideration would result thereby. 26. Beneficiaries. This Lease shall be binding upon and inure to the benefit of the Parties hereto and their respective successors and assigns, subject to any provisions of this Lease to the contrary. 27. Quiet Enjoyment. So long as Lessee shall timely pay the rent and perform and comply with its covenants and conditions herein set forth, Lessee shall have peaceful possession and quiet enjoyment of the Leased Space for the term of the Lease without hindrance on the part of Lessor, and Lessor shall warrant and defend Lessee in such peaceful and quiet use and possession against the claims of all persons claiming by, through or under Lessor. 28. Entire Agreement. This instrument recites the entire agreement between the Parties with respect to the subject matter hereof, and supersedes all other written or oral discussions, understandings, representations and/or commitments relative thereto. 29. Acts of Other Lessees. Lessor shall not be responsible or liable to Lessee for any loss or damage that may be occasioned by or through the acts or omissions of persons occupying adjoining premises or any part of the premises adjacent to or connected with the premises hereby leased. 30. Bankruptcy and Insolvency. Lessee agrees that if the estate created hereby shall be taken in execution, or by other process of law, or if any Petition in Bankruptcy or for the Appointment of a Receiver be filed concerning Lessee and same is not dismissed within sixty (60) days thereafter, or should Lessee be declared bankrupt or insolvent according to law, or should any Receiver be appointed for the business or property of Lessee or if any assignments shall be made of Lessee's property for the benefit of creditors, except assignment of the Lessee Facilities to the Financing Entity, then and in such event this Lease may be terminated at the option of the Lessor. 9 31. Right to Mortgage. Lessor reserves the right to subject and subordinate this Lease at all times to the lien of any mortgage now or hereafter placed upon Lessor's interest in the said premises and on the land and buildings of which the said premises are a part or upon any buildings hereafter erected on the land. Lessee covenants and agrees to execute and deliver upon demand such further instrument or instruments subordinating this Lease to the lien of any such mortgage or mortgages as shall be desired by Lessor and by any mortgagees or proposed mortgagees. 32. Assignment. Lessee may not assign, or otherwise transfer, all or any part of its interest in this Agreement or in the Premises without the prior written consent of Lessor; provided, however, that Lessee may assign its interest to another governmental entity which would take over operation of the public safety radio system. Lessor may assign this Agreement upon written notice to Lessee, subject to the assignee assuming all of Lessor's obligations herein. 33. Subletting. Lessee shall not sub-lease or sublet any of the Leased Space except upon written permission from Lessor which may be arbitrarily denied. 34. Outside Storage. Except as set forth in this lease and its Exhibits, there shall be no outside storage of any kind whatsoever without the prior express written consent of Lessor. 35. Condition of Premises. Lessee further acknowledges that it has examined the Leased Space and Owned Premises prior to the making of this Lease, and knows the condition thereof, and that no representations as to the condition or state of repairs thereof have been made by Lessor, or its agent, which are not herein expressed, and Lessee hereby accepts the Leased Space in their present condition at the date of the execution of this Lease. 36. Remedies Not Exclusive. It is agreed that each and every of the rights, remedies and benefits provided by this Lease shall be cumulative, and shall not be exclusive of any said rights, remedies and benefits, or any other rights, remedies and benefits allowed by law. 37. Waiver. One or more waiver of any covenant or condition by either Party shall not be construed as a waiver of a further breach of the same covenant or condition. 38. Security Deposit. None 39. Recording. The Department of Facilities Management and Information Technology is seeking the approval and acceptance of the lease agreement between County of Oakland and Knollwood Country Club for placement of communication equipment. 2. Under the terms of the lease agreement, the County will install communication equipment inclusive of an equipment cabinet and battery backup system on a water tower on land owned by Knollwood Country Club located at 5050 West Maple Road, West Bloomfield, Michigan. 3. The County shall pay rent and fees to Knollwood Country Club as follows: administrative fee $3,500, rent for the short period term shall be $625.00 monthly. Rent for the initial term, February 1, 2011 through January 31, 2012 shall be $7,725 annually. Rent shall increase 3% per year thereafter. 4. The County 9-1-1 Surcharge shall pay for the costs associated with this Lease. 5. Funding has been included in Radio Communications Adopted Budget FY 2011 — FY 2013. 6.
