SERVICE AGENCY CONTRACT FOR SERVICES TO THE PEARL WRIGHT
SENIOR CITIZEN CENTER
TO THE OAKLAND COUNTY BOARD OF COMMISSIONERS
Mr. Chairperson, Ladies and Gentlemen:
WHEREAS, Miscellaneous Resolution #85072 (February 28, 1985) approved by
the Board of Commissioners recognized the need to provide funds for services to the
senior citizens of the Charter Township of Royal Oak; and
WHEREAS, the funds will be used to continue the operation of the Pearl
Wright Senior Citizen Center located in Royal Oak Township to provide transportation,
nutritional service and staff support for senior citizens, especially the low-income and
minorities located in Royal Oak Township; and
WHEREAS, the Oakland County Community Development Advisory Council
recommends approval of the Oakland Livingston Human Service Agency Contract; and
WHEREAS, the Community Development Division will directly administer $4,500
of the Charter Township of Royal Oak's community development funds for services pro-
vided to the Pearl Wright Senior Citizen Center,
NOW THEREFORE BE IT RESOLVED that the Oakland County Board of
Commissioners authorize the Chairperson of the Board of Commissioners to execute
the attached agreement with the Oakland Livingston Human Service Agency for imple-
mentation.
Mr. Chairperson, on behalf of the Public Services Committee, I move the
adoption of the foregoing resolution.

CONTRACT BETWEEN
OAKLAND LIVINGSTON HUMAN SERVICE AGENCY
AND
COUNTY OF OAKLAND
SECTION I. CONTRACT
This Contract is made this 1st day of June 1936, between the
Oakland Livingston Human - Service Agency, hereinafter designated as
the -Agency," having its principal 'office at 196 Oakland Avenue,City
of Pontiac, State of Michigan, 48056, and the County of Oakland,
Office of Community Development, hereinafter designated as the
-County," having its principal office at 1200 North Telegraph Road,
City of Pontiac, State of Michigan, 48053.
SECTION II. DATES
The Contract shall be effective as of the 1st day of June 1986, and
shall be in place during the period commencing on the effective date
and ending the 31st day of May 1987, and during such additional
periods as may be agreed upon.
SECTION III. PURPOSE
The purpose of this Contract between the Agency and the County shall
be to provide funds towards the continued operation of the Pearl
Wright Senior Citizen Center located in Royal Oak Township through
provision of staff and supplies. These services will be provided to
the senior citizens, especially the low-income and minorities
located in the Royal Oak Township. (See attachment A - Work
Statement.) The Primary goals are:
I. Provide drivers to transport senior citizens to and from
the center for needed nutritional and other services.
Provide part-time administrative and programmatic services
for the continued operation of the Center.
In consideration of mutual promises and covenants contained herein,
the Agency and the County agree as follows:
SECTION 1V, THE AGENCY'S RESPONSIBILITIES
As the officially designated human service agency by the Oakland
County Board of Commissioners, and responsible for planning,
coorrij:17ating and operating programs for the elderly, Agency
agrees to do the following:
A. Provide all fiscal responsibility and accountability for
the Community Development Block Grant monies as relating
to the Pearl Wright Senior Center, Royal Oak Township.
B. Will submit reimbursement request, (time sheet payroll -
Attachment B) financial reports and direct benefit
performance report.
C. Will continue upon the Agency payroll, as of June 1, 1986,
the salaries, plus and appropriate fringes, of a part-time
driver and one part-time Center Manager.

SECTION V. THE COUNTY'S RESPONSIBILIT 7ES
A. The County shall, in consideration.for services rendered
by the Agency, pay the Agency a total sum not to exceed
four thousand, five hundred dollars ($4,500) from Royal
Oak Township's CDBG funds.
B. The County shall reimburse the Agency upon the receipt of
a reimbursement request from the Agency.
C. The County will provide and nass all pertinent information
and correspondence -relating to the funding directly
through to the Agency's Accounting Department.
SECTION VI. COMPLIANCE
The Agency shall comply with all applicable laws, ordinances, codes
and regulations of the Federal, State and local governments.
SECTION VII DISCRIMINATION PROHIBITED
The parties shall not discriminate Against any employee or applicant
for employment with respect to hire, tenure, terms, conditions, or
privileges of employment, or a matter directly or indirectly related
to employment, because of race, color, religion, national origin,
age, sex, height, weight, or marital status pursuant to 1976 P.A.
453, Section 209. The parties shall also comply with the Provisions
of the Michigan Handicappers Civil Rights Act, 1976 P.A. 220 and
Federal Rehabilitation Act of 1973, P.A. 93-112,87 Stat,394, which
states that no employee or client or otherwise qualified handicapped
individual shall solely by reason of his handicap, be excluded from
participation, be denied the benefits of, 'or be subjected to
discrimination under any program or activity receiving Federal
financial assistance. The parties shall comply with all other
Federal, State or local laws, regulations and standards and any
amendments thereto, as they apply to the performance of this
Contract.
No person shall, on the grounds of race, creed, color, sex, age,
national origin, height, weight, handicap, or marital status, be
excluded from participation in, be denied the proceeds of, or be
subject to discrimination in the performance of this contract. The
County shall comply with all applicable regulations promulgated
pursuant to the Civil Rights Act of 1964.
SECTION VIII. POLITICAL ACTIVITY PROHIBITED
None of the funds, materials, property or services contributed by
the Agency and/or the County under this Contract shall be used in
the performance of this Contract for any partisan political
activity, or to further the election or defeat of any candidate for
public office.
SECTION IX. RELIGIOUS ACTIVITY PROHIBITED
There shall be no religious worship, instruction, or proselytization
as part of, or in connection with the performance of this Contract.
SECTION X. GENERAL PROVISIONS
A. Merger or Integiation
This Contract constitutes the entire Contract between the
Agency and the County with respect to the subject matter
hereof and there are no other or further written or oral
understandings or agreements with respect hereto.
B. Modification
No variation or modification of this Contract, and no
waiver of its provisions shall be valid unless in writing
and signed by the duly authorized officers of the Agency
and the County. -2-

No assignment or delegation of this Contract may be made,
in whole or in part without the written consent of the
County being first obtained.
Terms of the Contract
This Contract shall be effective as of June 1, 1936, and
shall be in force during the period commencing of the
effective date and ending May 31, 1987, and during such
additional period or periods as the Agency and County may
agree upon.
E. Termination
Either party may at any time during the life of this
Contract or any extension thereof terminate this Contract
by giving thirty (30) days notice in writing to the other
party of its intention to do so. All notices to the
Agency shall be addressed to it at 196 Oakland Avenue.
City of Pontiac, State of Michigan, Zip Code 48053, and
all notices to the County shall be addressed to it c/o the
Office of Community Development at 1200 North Telegraph
Road, City of Pontiac, State of Michigan, Zip Code 48053.
F. Indemnification
The Agency agrees that during the term of this Contract,
it shall defend, indemnify, and save harmless the County
from any and all, liability and any and all claims, suits,
actions, damages, consisting of every name and description
resulting from any act, omission, or negligence of, or
chargeable to the Agency or any employee thereof arising
under and pursuant to this Contract, and such
indemnification shall not be limited by reason of any
insurance coverage.
G. The parties hereto shall maintain at their expense during
the term of this Agreement on behalf of all of their
employees performing any of the activities hereunder the
following insurance where applicable:
1. Worker's Compensation insurance for Employees which
meets Michigan's statutory requirements and
Employer's Liability insurance with minimum limits of
$100,000 each accident.
2. Shall maintain a Comprehensive General Liability
Policy in the minimum amount of $500,000 per
occurrence combined single limit. This policy shall
Provide coverage for, premises, operations, products
and completed operations, contractual, independent
contractors, broad form propety damage and personal
injury.
3. Auto Fleet Liability, coverage in the amount of
$250. person, $500,000 each accident and
$100,000 for property damage.
4. The County of Oakland shall be named as an Additional
Named Insured to the Comprehensive General Liability
and Auto Fleet Policies.
5. All of the above requirements will be evidenced by a
Certificate of Insurance granting no less than 30
days notice of cancellation.
H. Contingency Fees
The Agency warrants that no person or selling agency or
other organization has been employed or retained to
solicit or secure this Contract upon an understanding for
a commission, percentage, brokerage, or contingency fee,

j. Di spii
The Agency shall notify the County in writing ot= its
intent to pursue a claim against the County for breach of
any terms of this Contract. No suit may be commenced by
the Agency for breach of this Contract prior to the
expiration of ninety (90) days from the date of such
notification.
Within this ninety (90) day period, the Agency, at the
request of the County, must meet with an appointed
representative of the County for the purpose of attempting
to resolve the dispute,

part of this Contract,

C. Budget Information.

WORK
The increasing number of frail elderly in the Royal Oak Township
area creates a strong demand for access into those ,services which
can help maintain their independence.
The Pearl Wright Senior Center serves as the hub for the service
delivery system. Center staff funded through CD -C47, and other
funding provide or facilitate the delivery of program units in
the following areas:
Counseling - ongoing including the use of peer counselors under
the direction of the Center Manager.
Health Related Pr2grams Two or Three Days a Week - including the
development of linkages with Providence, Sinai Hospitals, etc.,
to attain and maintain a favorable health condition.
Nutrition Daily - on site and home delivered meals both for
seniors who are able to come into the center and for those who
are homebound.
Education/Training Daily - programs provided through the
mobilization of local resources and through center staff to
provide practical education and training to improve living
conditions.
Intake and Referral - ongoing assessment of seniors problems,
through staff intake and when the appropriate resolution
strategies have been developed, providing direct service or
linkages to other service providers, including essential follow -
up services.
Transportation Daily - transportation is essential to maintaining
the independence of the elderly. The center drivers are and will
continue to provide daily transportation through the two SEMTA
vans to doctors, hospitals, senior center, and essential
shopping.
Project Warmth - Ongoing - center staff coordinate with
CLESA Weatherization and Fuel Assistance programs to -ri--Ticle
seniors with better living conditions and financial assistance to
pay fuel bills.

those activities that help seniors maintain their personal well-
being by interaction with staff and other seniors.

and clerical, volunteers will be given ommortunities to eKpand
the service delivery system that staff are unable to provide.
Volunteer opmortunites w i ll be avail ab l e in the areas of direct

The above and other services will continue to be provided by:
The Center Manager - This is a- full time position
funded under Title XX, Revenue Sharing and CDEG. CDEG
will provide a portion of 15 hours per week to
supervise and assure these programs will be carried
out (hourly rate portion $3.98).
2 . Driver - This part-time position is funded under
revenue sharing and CDEG. CDEG will provide ten hours
per week for 16 weeks (hourly rate $5.00).
The above will be provided at a total cost of $4,500 as provided
by the contract. Billing will be submitted on a monthly basis.
