Lanni, Chairperson IN RE: ANIMAL CONTROL DIVISION - VETERINARIAN CONTRACT RENEWAL AND REVISION TO THE OAKLAND COUNTY BOARD OF COMMISSIONERS Mr. Chairperson, Ladies and Gentlemen: WHEREAS the Oakland County Board of Commissioners by Miscellaneous Resolution V8581 authorized the management reorganization for the Animal Control Division; and WHEREAS the management reorganization includes, in part, engaging a licensed Veterinarian to carry out County responsibilities under various Michigan laws; and WHEREAS Susan J. Alexander, D.V.M. was engaged by the County for the period ending February 28, 1985; and WHEREAS it is in the interest of the County to renew the contract with Susan J. Alexander, D.V.M.: and WHEREAS the Animal Control Division and Department of Management and Budget have researched the services performed by the Veterinarian and have found that additional services could be performed with cost savings to the County; and WHEREAS the Veterinarian and Animal Control Division concur on these services. NOW THEREFORE BE IT RESOLVED that the Oakland County Board of Commissioners authorized the renewal and revision of the attached contract with Susan J. Alexander, D.V.M.; and BE IT FURTHER RESOLVED that the County Executive and Chairperson of the Board are herewith authorized to sign the contract on behalf of the County. IN RE: ANIMAL CONTROL DIVISION - VETERINARIAN CONTRACT RENEWAL & REVISION, MISCELLANEOUS RESOLUTION #85024 TO THE OAKLAND COUNTY BOARD OF COMMISSIONERS Mr. Chairperson, Ladies and Gentlemen: The Personnel Committee, having reviewed Miscellaneous Resolution #85024, reports with the recommendation that this resolution be adopted with the following amendment: To add an additional paragraph to state "BE IT FURTHER RESOLVED to delete one (1) vacant Animal Shelter Attendant position (#00465) in the Kennel unit." MURPHY—OAKLAND COUNTY EXEC VE DEPARTMENT OF MANAGEMENT AND BUDGET Purchasing Division Requisition Number 84-3 Contract Number PSC #470 PROFESSIONAL SERVICES CONTRACT THIS AGREEMENT, made this 1st day of March, 1985, between the COUNTY OF OAKLAND, a Michigan Constitutional Corporation, hereinafter called "County," and Susan 3, Alexander, DVM, 1097 Oakwood Road, Ortonville, MI 48462, hereinafter called "Contractor." WIT NESSET H: For and in consideration of the mutual covenants and agreements herein contained, it is agreed by and between the parties hereto that the County shall retain Contractor as an Independent contractor, with the parties agreeing to the following terms and conditions: The duties of the Contractor shall be: 1. Consulting veterinarian on call for Oakland County Animal Care Center for emergency calls involving injured animals and cruelty cases. Work at the Animal Care Center a minimum of 5 hours per day 5 days a week, Monday through Friday during regularly scheduled county working hours and other such hours as may be mutually agreed upon, to give necessary shots as required, to observe and evaluate all quarantined animals as required by law, and perform euthanasia. 2. The veterinarian must perform euthanasia of sheltered animals employing only the most humane euthanasia agents according to the present state of the art. Examples of the same being sodium pentobarbital. Some animals will be given an anesthetic, as required for humane reasons, prior to actual euthanasia by the veterinarian. Animals considered for euthanasia will be determined by Oakland County Animal Control based upon the laws of the State of Michigan (P.A. 339) and the policies of the Oakland County Animal Control Center. In the case of injured animals the determination concerning euthanasia will be made by mutual agreement of the veterinarian and the Manager of the Oakland County Animal Control Center. The county shall provide all supplies and drugs necessary for euthanasia and injections. 1 3. In the event of vacation, sickness or any other cause for absence, the ,[ veterinarian shall be solely responsible for the continued performance of ;1 euthanasia as identified in Paragraph 2 of the above. This includes but is , !! not limited to a Sub-contract. Any method chosen for the continued performance of euthanasia services in the veterinarian's absence must be with the prior knowledge and approval of the Manager of Animal Control. 4. Additional duties of Contractor shall be inclusive of but not limited to: Coordinate rabies vaccination clinics involving requisitioning supplies for same. Requisition of supplies and drugs as needed for the Animal Care Center. 5. The Contractor shall not engage in any activity or enterprise or assume any employment or accept any position which may conflict with his/her duties as outlined in this contract. 6. The Contractor agrees to conduct himself/herself at all times with decorum and propriety commensurate with the dignity of his/her undertaking. 7. The Contractor shall report to the Manager of the Oakland County Animal Control Division. NON-DISCRIMINATION In connection with the performance of work under this Contract, the Contractor agrees not to discriminate against any employee or applicant for employment because of sex, race, religion, color, national origin, or handicap. The aforesaid provision shall include, but not to be limited to the following: recruitment or recruitment advertising; employment, upgrading, demotion or transfer; layoff. and selection for training, including apprenticeship, in accordance with rules and regulations I , ' I 11 WITNESS: Oakland County - -2- (Date) ! I ! 1 i promulgated by the Federal (Compliance Responsibility for Equal Employment Opportunity - Chapter 60, 60-1, 4, No. 1-7) and State (Standards and Procedures for Executive Directive 1975-6, Section II-C, IV-C, and V-A&B) agencies and related Federal and State Laws and regulations. The County agrees that it will: Pay to the Contractor a sum not to exceed $24,750 per year to be paid in equal monthly installments over a period of 12 months; the monthly installment to be payable upon performance of the duties as set forth above and receipt by the County of a monthly log of hours of work documenting fulfillment of the minimum number of work hours for that month as required by Paragraph 1 above. 2. The County reserves the right to terminate this Contract, when in its opinion the Contractor has breached any of the terms and conditions herein, and/or has become so incapacitated, in the County's judgment, as to render performance of necessary contractual services ineffective, upon thirty (30) days written notice to the Contractor. The Contractor shall have the right to terminate this Contract and all rights, duties and obligations herein created upon sixty (60) days written notice to the County. IT IS MUTUALLY AGREED AND UNDERSTOOD: 1. That the relationship of Contractor to the County is and shall continue to be that of an independent contractor; and no liability or benefits such as, but not limited to, Worker's Compensation benefits, retirement and pension benefits, or insurance benefits, or such other rights or liabilities arising out of a contract of hire or employer-employee relationship shall arise or accrue to either party as a result of this agreement. 2. The Contractor, as an independent contractor, shall save and hold the County of Oakland harmless in any actions related TO his/her professional work practice. The Contractor, as an Independent Contractor, will further provide the County of Oakland with a certified copy of medical malpractice insurance. This Contract shall become effective on the day and date first above written, and shall terminate on the 28th day of February, 1986. WILLIAM CADDELL, CHAIRMAN IN RE: MISCELLANEOUS RESOLUTION #85024 - ANIMAL CONTROL DIVISION- VETERINARIAN CONTRACT RENEWAL AND REVISION TO THE OAKLAND COUNTY BOARD OF COMMISSIONERS Mr. Chairman, Ladies and Gentlemen: Pursuant to Rule XI-C of this Board, the Finance Committee has re- viewed Miscellaneous Resolution #85024 and finds: 1) The proposed Veterinarian Professional Services contract covers the period March 1, 1985 through February 28, 1986, 2) The Animal Control Division requests to increase the Veterinarian Professional Services contract by an amount of $9,650 to include performance of euthanasia services, 3) In exchange, the Division requests to delete one (1) Animal Shelter Attendant position (00465) currently vacant in the kennel unit, and to decrease salary and fringe benefits by an amount of $18,098, 4) The proposal results in a net annual savings of $8,448, 5) The Animal Control Division's 1985 Budget be amended as follows: 4-22100-178-05-00-1001 Salaries 4-22100-1 78-05-00-207 5 2076 -2077 -2078 -2079 -2080 -2081 -2082 Workers Comp.
