SERVICE AGENCY CONTRACT FOR SERVICES TO THE PEARL WRIGHT
SENIOR CITIZEN CENTER
TO THE OAKLAND COUNTY BOARD OF COMMISSIONERS
Mr. Chairperson, Ladies and Gentlemen:
WHEREAS, Miscellaneous Resolution #83170 (June 23, 1983) approved by the Board of
Commissioners recognized the need to provide funds for services to the senior citizens of
the Charter Township of Royal Oak; and
WHEREAS, the funds will be used to continue the operation of the Pearl Wright Senior
Citizen Center located in Royal Oak Township to provide transportation, nutritional service
and staff support for senior citizens, especially the low-income and minorities located in
Royal Oak Township; and
WHEREAS, the Oakland County Community Development Advisory Council
unanimously recommends the approval of the contract; and _
WHEREAS, the Community Development Division will directly administer $13,124.00
of the Charter Township of Royal Oak's community development funds for services provided
to the Pearl Wright Senior Citizen Center.
NOW THEREFORE BE IT RESOLVED that the Oakland County Board of
Commissioners authorize the Chairperson of the Board of Commissioners to execute the
attached agreement with the Oakland Livingston Human Service Agency for
implementation.

CONTRACT BETWEEN
OAKLAND LIVINGSTON HUMAN SERVICE AGENCY
AND
COUNTY OF OAKLAND
SECTION I. CONTRACT
This Contract is made this 1st day of March 1985, between the Oakland Livingston Human Service
Agency, hereinafter designated as the "Agency," having its principal office at 196 Oakland Avenue, City
of Pontiac, State of Michigan, 48058, and the County of Oakland, Office of Community Development,
hereinafter designated as the "County," having its principal office at 1200 North Telegraph Road, City of
Pontiac, State of Michigan, 48053.
SECTION 11 DATES
The Contract shall be effective as of the 1st day of March 1985, and shall be in place during the period
commencing on the effective date and ending the 28th day of February 1986, and during such additional
periods as may be agreed upon.
SECTION III. PURPOSE
The purpose of this Contract between the Agency and the County shall be to provide funds towards the
continued operation of the Pearl Wright Senior Citizen Center located in Royal Oak Township through
provision of staff and supplies. These services will be provided to the senior citizens, especially the low-
income and minorities located in Royal Oak Township. (See attachment A - Work Statement.) The
primary goals are:
1. Provide drivers to transport senior citizens to and from the center for needed nutritional and
other services.
2. Provide part-time managerial services and one full time clerical persons service for the
continued operation of the Center.
In consideration of mutual promises and covenants contained herein, the Agency and the County agree as
follows:
SECTION IV. THE AGENCY'S RESPONSIBILITIES
As the officially designated human service agency by the Oakland County Board of Commissioners, and
responsible for planning, coordinating and operating programs for the elderly, the Agency agrees to do the
following:
A. Provide all fiscal responsibility and accountability for the Community Development Block
Grant monies as relating to the Pearl Wright Senior Center, Royal Oak Township.
B. Will submit reimbursement request, (time sheet payroll - Attachment B) financial reports and
direct benefit performance report.
C. Will continue upon the Agency payroll, as of March 1, 1985, the salaries, plus and appropriate
fringes, of two part-time drivers, one full-time clerk and one part-time Center Manager.
SECTION V. THE COUNTY'S RESPONSIBILITIES
A. The County shall, in consideration for services rendered by the Agency, pay the Agency a total
sum not to exceed thirteen thousand, one hundred twenty-four dollars ($13,124) from Royal
Oak Townships CDBG funds.
B. The County shall reimburse the Agency upon the receipt of a reimbursement request from the
Agency.
C. The County will provide and pass all pertinent information and correspondence relating to the
funding directly through to the Agency's Accounting Department.
SECTION VI. COMPLIANCE
The Agency shall comply with all applicable laws, ordinances, codes and regulations of the Federal, State
and local governments.

SECTION VII. DISCRIMINATION PROHIBITED
The parties shall not discriminate against any ‘71 -rp:.-.....,ee or applicant for employment with respens to hire,
tenure, terms, conditions, or privileges of elnplc.yr:-ent, or a matter directly or indirectly cd to
employment, because of race, color, religion, natinnal origin, age, sex, height, weight, or 7171" ssatus
pursuant to 1976 P.A. 453, Section 209. The parties shall also comply with the provisions of the Michigan
Handicappers Civil Rights Act, 1976 P.A. 220 and the Federal Rehabilitation Act of 1973, P.A. 93-112, 87
Stat. 394, which states that no employee or client or otherwise qualified handicapped individual shall,
solely by reason of his handicap, be excluded from participation, be denied the benefits of, or be su'ojected
to discrimination under any program or activity receiving Federal financial assistance. The parties shall
comply with all other Federal, State or local laws, regulations and standards and any amendments thereto,
as they apply to the performance of this Contract.
No person shall, on the grounds of race, creed, color, sex, age, national origin, height, weight, handicap, or
marital status, be excluded from participation in, be denied the proceeds of, or be subject to
discrimination in the performance of this Contract. The County shall comply with all applicable
regulations promulgated pursuant to the Civil Rights Act of 1964.
SECTION VIII. POLITICAL ACTIVITY PROHIBITED
None of the funds, materials, property or services contributed by the Agency and/or the County under this
Contract shall be used in the performance of this Contract for any partisan political activity, or to
further the election or defeat of any candidate for public office.
SECTION IX. RELIGIOUS ACTIVITY PROHIBITED
There shall be no religious worship, instruction, or proselytization as part of, or in connection with the
performance of this Contract.
SECTION X. GENERAL PROVISIONS
A. Merger or Integration
This Contract constitutes the entire Contract between the Agency and the County with
respect to the subject matter hereof and there are no other or further written or oral
understandings or agreements with respect hereto.
B. Modification
No variation or modification of this Contract, and no waiver of its provisions shall be valid
unless in writing and signed by the duly authorized officers of the Agency and the County.
C. Assignment or Delegation
No assignment or delegation of this Contract may be made, in whole or in part, without the
written consent of the County being first obtained.
D. Term of Contract
This Contract shall be effective as of March 1, 1985 and shall be in force during the period
commencing of the effective date and ending February 23, 1986 and during such additional
period or periods as the Agency and County may agree upon.
E. Termination
Either party may at any time during the life of this Contract or any extension thereof
terminate this Contract by giving thirty (30) days notice in writing to the other party of its
intention to do so. All notices to the Agency shall be addressed to it at 196 Oakland Avenue,
City of Pontiac, State of Michigan, zip code 48053, and all notices to the County shall be
addressed to it c/o the Office of Community Development at 1200 ".nrth Telegraph Road, City
of Pontiac, State of Michigan, zip code 43053.
F. Indemnification
The Agency agrees that during the term of this Contract, it shall defend, indemnify, and save
harmless the County from any and all liability and any and all claims, suits, actions, damages,
consisting of every name and description resulting from any act, omission, or negligence of, or
chargeable to the Agency or any employee thereof arising under and pursuant to this Contract,
and such indemnification shall not be limited by reason of any insurance coverage.
G. Insurance
The parties hereto shall maintain at their expense during the term of this Agreement on behalf
of all of their employees performing any of the activities hereunder the following insurance
where applicable:
1. Worker's Compensation insurance for Employees which meets Michigan's statutory
requirements and Employer's Liability insurance with minimum limits of $100,000
each accident;

3. Auto Fleet Liability coverage in the amount of 1,000,000 per occurreenee,
single limit coverage, including all owned vehicles, both private --e—er and
other than private passenger, hired autos and non-owned autos.
4. The County of Oakland shall be named as an Additional Named7.7-:?rfeel.: to the
Comprehensive General Liability and Auto Fleet Policies.
5. All of the above requirements will be evidenced by a Certificate of insurance
granting no less than 30 days notice of cancellation.
H. Contingency Fees
The Agency warrants that no person or selling agency or other organization has been employed
or retained to solicit or secure this Contract upon an understanding for a commission,
percentage, brokerage, or contingency fee.
Independent County Provision
The relationship of the Agency to County shall be that of an independent contractor. No
partnership, association, or joint enterprise shall arise between the parties hereto as a result
of any provision of this Contract, nor shall any provision herein be construed as making an
employee of this Agency an agent or employee of the County.
J. Disputes
The Agency shall notify the County in writing of its intent to pursue a claim against the
County for breach of any terms of this Contract. No suit may be commenced by the Agency
for breach of this Contract prior to the expiration of ninety (90) days from the date of such
notification.
Within this ninety (90) day period, the Agency, at the request of the County, must meet with
an appointed representative of the County for the purpose of attempting to resolve the
dispute.
SECTION XI. ATTACHMENTS
The following attachment is incorporated by reference and becomes a part of this Contract.
A. Project Budget - Pages 1 and 2.
B. Time Card.
C. Direct Benefit Report.

Budget Period March 1, 1985 - February 28, 1986
WORK STATEMENT/PROGRAM DESIGN
The increasing number of frail elderly in the Royal Oak Township area creates
a strong demand for access into those services which can help maintain their
independence.

The Pearl Wright Senior Center serves as the hub for the service delivery
system. Center staff funded through CCBG and other funding provide or
facilitate the delivery of program units in the following areas:
Counseling - ongoing including the use of peer counselors under the direction
of the Center Manager.
Health Related Programs Two -or -Three Days a Week - including the development
of linkages with Providance, Sinai hospitals, etc. to attain and maintain a
favorable health condition.
Nutrition Daily - on site and home delivered meals both for seniors who are
able to come into the center and for those who are homebound.
Education/Training Daily - programs provided through the mobilization of
local resources and through center staff to provide practical educatian
and training to improve living conditions.
Intake and Referral - ongoing assessment of seniors problems, through
staff intake and when the appropriate resolution strategies have Len
developed, providing direct service or linkages to other service •roviders,
:including essential follow-up services.
Transportation Daily - transportation is essential to maintaining the inde-
pendence of the elderly. The center drivers are and will continue to provide
daily transportation through the two SEMTA vans to doctors, hospitals, senior
center, and essential shopping.
Project Warmth - Ongoing - center staff coordinate withiDLHSA -Weatherization
and Fuel Assistance programs to provide seniors with better living conditions
and financial assistance to pay fuel bills.
Socialization Services Daily - Center staff do and will provide those activities
that help seniors maintain their personal well-being by interaction with staff
and other seniors.
Volunteer Opportunities - Ongoing - Through the Center Manager and clerical,
volunteers will be given opportunities to expand the service delivery system
that staff are unable to provide. Volunteer opportunities will be available
in the areas of direct service administration, and adcocacy.

The above and other services will continue to be provided by:
1. The Center Manager - This is a full-time positio6 funded under Title
XX, Revenue Sharing and CMG. CDBG will provide 4% hours per week to
supervise and assure these programs will be carried out. (hourly
rate $6.93)
2. Drivers - These two part-time positions funded under revenue sharing
and CDBG. COBG will provide 9% hours per week for each of the drivers.
(hourly rate $4.71)
3. Clerical - This is a full-time position funded under revenue sharing
and CD3G. CMG will pay for 13% hours per week to type reports,
answer inquiries, coordinate transportation, and schedule programs,
appointments, etc. (hourly rate $5.02)
Supplies associated with these services would be paper, xeroxing of infor-
mational leaflets or health, TFA and other essential services.
All of the above will be provided at a total cost of $13,124 during the
twelve month period of the contract. Billing will be submitted on a monthly
basis.
