Lanni, Chairperson, Public Services Committee In re : Cultural Council - Amendments to Rules of Procedure To the Oakland County Board of Commissioners Mr. Chairperson, Ladies and Gentlemen: WHEREAS the Oakland County Board of Commissioners established the Oakland County Cultural Council by Miscellaneous Resolution #7003, dated April 9, 1975, and approved its Rules of Procedure per Miscellaneous Resolution #8999, dated June 7, 1979; and WHEREAS through budget action the Board of Commissioners did transfer the function of the Cultural Council to the office of the County Executive in the 1980 Oakland County Budget ; and WHEREAS pursuant to the Oakland County Cultural Council Rules of Procedure, Article XI , the Oakland County Cultural Council has voted to amend its Rules of Procedure in accordance with the attached; and WHEREAS the Oakland County Executive has reviewed and recommends these amendments NOW THEREFORE BE IT RESOLVED that the Oakland County Board of Commissioners does hereby appprove the amended Rules of Procedure as attached hereto. Mr . Chairperson, on behalf of the Public Services Committee, I move the adoption of the foregoing resolution. PUBLIC SERVICES COMMITTEE OAKLAND COUNTY CULTURAL COUNCIL RULES OF PROCEDURE ARTICLE I The name of the organization shall be the Oakland County Cultural Council. ARTICLE II Purpose It is the purpose of the Oakland County Cultural Council to sponsor and encourage cultural and educational activites in Oakland County in cooperation with the Office of Cultural Affairs. The Council shall promote and encourage cooperative planning, research, fund raising and public education programs, administer objects of art and other cultural artifacts, recommend fee schedules and undertake such other services and programs deemed to encourage participation and appreciation of arts by all citizens of the County and shall undertake such other cultural related purposes as may be appropriate. The Council shall cooperate with other cultural and educational organizations in the County and shall encourage the formation of new groups in the arts within the County; thus develop- ing talent and appreciation of the arts. ARTICLE III Membership The membership of the Council shall be appointed by the Oakland County Executive with the advice and concurrence of the Board of Commissioners. The number of members and terms of office of the Council members shall be as from time to time determined by the Board of Commissioners. A member of the Council who misses three consecutive meetings without prior excuse shall be deemed to have resigned his/her membership on the Council • causing a vacancy to be created, which shall be filled as described above. ARTICLE IV Powers All of the powers of the Council shall be vested in the Council as a body which shall determine all policies and conduct the business of the Council, and approve all expenditures except those under $50 which may be approved by the Oakland County Executive, or his designee, provided that such expenditures are reported to the next meeting of the Council. All expenditures must be in accordance with Oakland County budgeting and accounting procedures. ARTICLE V Meetings Regular meetings shall be held once in each calendar quarter. Time, place and date shall be established by the Chairperson of the Oakland County Cultural Council. Special meetings may be called by the Chairperson or by petition of 20% of the members in writing. All members will be notified of each meeting at least five days prior to the meetings There shall be an annual meeting held on the third Wednesday of January of each year for the purpose of electing the officers, other than the Chairperson , and the Executive Board. At such a meeting a general report of the activities of the Council for the year preceding shall be given. Minutes of each meeting shall be taken by the secretary and dustributed to the members prior to the next meeting. Each member shall be entitled to vote on issues arising at each meeting A majority of the active membership shall constitute a quorum and the Rules for the Oakland County Board of Commissioners shall govern the procedures at all meetings except as otherwise herein stated. ARTICLE VI Officers 6 The officers of the Council shall be a Chairperson , Vice-Chairperson, Treasurer and Secretary. The Chairperson of the Council shall be appointed by the Oakland County Executive, with the advice and concurrence of the Board of Commissioners. The terms of office for all officers except the Secretary shall be for one year ending at 12 o'clock midnight on December 31 of each year. Vacancies in the position of the Vice- Chairperson and Treasurer, and Secretary shall be filled by a majority vote of the members of the Council. ARTICLE VII Duties of Officers The Chairperson shall preside at all meetings, and shall make an annual report of the Council activities at the annual meeting, and shall perform all functions usually performed by the Chairperson of an organization. The Secretary shall cause to be maintained an accurate record of all official proceedings, including a summary copy of the Chairperson's and Treasurer's reports. The Treasurer shall maintain records or cause to be maintained records of all Council finances, and shall make such monthly reports as may be required by the Chairperson, and shall make an annual report at the annual meeting. The Vice-Chairperson shall preside at all meetings in the absence of the Chairperson and be ex-officio member of all committees. ARTICLE VIII Sub-Committees Sub-committees of the Council shall be appointed by the Chairperson for special projects of the Council. Committee appointments will be for a specific time but in no case longer than until the expiration of the term of the Chairperson. Each Committee shall be given a written outline of its duties and authority. There shall be an executive committee which shall consist of seven members, including the Chairperson, Vice-Chairperson and Treasurer and four members to be elected by the Council. The Executive Committee shall meet at least once in each month. The date, time and place of the meeting shall be established by the Chairperson. The Executive Committee shall act for the -3- CA3 -4- Council and shall carry out the duties of the Council provided that any action taken by the Executive Committee shall be reported to the membership at the next meeting. ARTICLE IX Coordinator The Cultural Affairs Coordinator shall be appointed by the County Executive and shall be responsible for carrying out the directives of the County Executive k Board of Commissioners. ARTICLE X Fiscal Year The fiscal year of the Council shall be the same as that of the County of Oakland. ARTICLE XI Amendments These Rules of Procedure may be altered or amended by a 2/3 vote of the total members of the Council at any meeting. Notive of any proposed amendment shall be submitted in writing to the Council members and to the Board of Commissioners 30 days prior to the meeting at which that amendment is voted upon. All amendments must be approved by the Board of Commissioners. ARTICLE XII Actions in Conflict These Rules shafl not permit the Council to take any action in conflict with any policy or resolution adopted by the Board of Commissioners. - , . . Page 2, Article VI, Officers, delete the word "Treasurer," in paragraph 1 and 2. Page 3, Article VII, Duties of Officers delete the words "and Treasurer's" in paragraph 2. Delete the words "the Treasurer" in paragraph 3 and insert --- The County Treasurer--; delete the words "records or cause to be maintained"; same paragraph, third line, delete the word "make" and insert "provide" and delete the word "at" and insert the word -- for --. Page 3, Article VIII, Sub-Committees, delete the word "seven" and insert -- six --; same paragraph, delete the word "and Treasurer" A sufficient majority having voted therefor, the amendments carried.
