CHAIRMAN TO: THE OAKLAND COUNTY BOARD OF COMMISSIONERS Mr. Chairman, Ladies and Gentlemen: WHEREAS, The Economic Development Corporation of the County of Oakland (the "EDC") has recommended that this Board of Commissioners approve the Project Plan required by the Economic Development Corporations Act. Act No. 338 of the Michigan Public Acts of 1974, as amended (the "Act") for the West End Welding Project, a copy of which Project Plan is attached hereto as Exhibit A (the "Project Plan"); and WHEREAS, the EDC's recommendation to this Board of Commissioners was based upon its determinations that the Project is reasonable and necessary to effectuate the purposes of the Act, that the Project Plan prepared in connection with the Project satisfies all of the requirements. of Section 8 of the Act regarding project plans, that the persons who will be active in the management of the project for at least one (1) year after the projected date of the County Board of Commissioner's approval of the Project Plan will have sufficient ability and experience to manage the Plan properly, and that the proposed method of financing the Project is feasible and a bond purchaser's commitment has been obtained; and WHEREAS, on September 18 , 1985, the governing body of the Charter Township of Milford. Oakland County, Michigan, also approved the Project Plan; and WHEREAS, on September 26 • 1985, this Board of Commissioners held a public hearing to consider whether the Project Plan constitutes a public purpose as contemplated by the Act; and I HE13E9Y APPROVE THE 1."'1,-)Ri:---GOiNG RF('-OLUTiON / Vata - RESOLUTION DECLARED ADOPTED: 7—Men County Clerk Members: one o) WHEREAS, this Board of Commissioners, following such public hearing and its review of the Project Plan, concurs in the determinations of the EDC with respect thereto; NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COMMISSIONERS OF THE COUNTY OF OAKLAND, as follows: 1. The Project Plan, in the form attached hereto as Exhibit A, be and is hereby determined to constitute a public purpose as contemplated by the Act. 2, The Project Plan be and is hereby approved. 3. The EDC be and is hereby authorized to take such steps as are necessary to implement the Project and the financing thereof by the issuance of revenue bonds or notes. 4. The County Clerk be and is hereby directed to provide four certified copies of this resolution to the Assistant Secretary of the Board of the EDC. The Public Services Committee, by James Edward Lanni, Chairman, moves for adoption of the foregoing resolution. This Project Plan was prepared in accordance with the Economic Development Corporations Act, Public Act No. 338 of the Michigan Public Acts of 1974, as amended. At- tached is the requisite information based on Section 8(4) of the Act. (A) THE LOCATION AND EXTENT OF EXISTING STREETS AND OTHER PUBLIC FACILITIES WITHIN THE PROJECT DISTRICT AREA AND SHALL DESIGNATE THE LOCATION, CHARACTER, AND EXTENT OF THE CATEGORIES OF PUBLIC AND PRIVATE LAND USES THEN EXISTING AND PROPOSED FOR THE PROJECT AREA, INCLUDING RESIDENTIAL, RECREATIONAL, COMMERCIAL, INDUSTRIAL, EDUCATIONAL, AND OTHER USES, AND SHALL INCLUDE A LEGAL DESCRIPTION OF THE PROJECT AREA. There are no existing streets or other public facilities within the project district area. The project district area is bounded by the Wabash R.R. tracks on the north, private property on the east and west and Pontiac Trail on the south. There are no existing public or private land uses within the project area. The project area is currently vacant land owned by the Applicant. The Applicant's proposed project involves the acquisition of the 12.25 acre project site on Pontiac Trail in Milford Township and the construction of an office and manufacturing facility of approximately 34,000 sq. ft, (4,000 sq. ft. of office and 30,000 sq. ft. of manufacturing). All of the space in the new facility will be leased by the Applicant to West End Welding i& Fabricating Co, a Michigan corporation specializing in the fabrication, welding and stamping of equipment for the manufacture of automobiles, tractors, farm implements, appliances and other steel products. The legal description of the project area is attached as Exhibit C. (B) A DESCRIPTION OF EXISTING IMPROVEMENTS IN THE PROJECT AREA TO BE DEMOLISHED, REPAIRED OR ALTERED, A DE- SCRIPTION OF REPAIRS AND ALTERATIONS, AND AN ESTIMATE OF THE TIME REQUIRED FOR COMPLETION. Not Applicable -3- (C)- THE LOCATION, EXTENT, CHARACTER, AND ESTI- MATED COST OF THE IMPROVEMENTS, INCLUDING REHABILITATION CONTEMPLATED FOR THE PROJECT AREA AND AN ESTIMATE OF THE TIME REQUIRED FOR COMPLETION. The Applicant's proposed project involves the acquisition of 12.25 acres of property on Pontiac Trail in Milford Township and the construction of a 34,000 sq. ft, office and manufacturing facility for lease to West End Welding & Fabricating Co. The property for the project was acquired in mid-1982. Construction of the facility is expected to commence on August 1, 1985 and to be completed by April 1, 1986. Construction of the project will proceed in one continuous construction phase commencing on August 1, 1985 and being completed by April 1, 1986. (E) A DESCRIPTION OF THE PARTS OF THE PROJECT AREA TO BE LEFT AS OPEN SPACE. AND THE USE CONTEMPLATED FOR THE SPACE. The building, landscaping and paved parking for the project will cover approximately 4 acres of the project site. The balance of the project site (approx. 8.25 acres) will be left as open, unimproved land available for future expansion. (F) A DESCRIPTION OF PORTIONS OF THE PROJECT AREA WHICH THE CORPORATION DESIRES TO SELL, DONATE, EXCHANGE OR LEASE TO OR FROM THE MUNICIPALITY AND THE PROPOSED TERMS. None (G) A DESCRIPTION OF DESIRED ZONING CHANGES AND CHANGES IN STREETS, STREET LEVELS, INTERSECTIONS AND UTILI- TIES. There are no zoning changes or changes in streets, street levels or intersections required as a result of the project. Construction of the project will require the movement and relocation of at least one Detroit Edison electrical pole. (H) A STATEMENT OF THE PROPOSED METHOD OF FINANC- ING THE PROJECT INCLUDING A STATEMENT BY A PERSON DESCRIBED IN SUBPARAGRAPH (J) INDICATING THE PAYMENT TO ALL PERSONS PERFORMING WORK ON THE CONSTRUCTION PROJECT OF THE PREVAIL- ING WAGE AND FRINGE BENEFIT RATES FOR THE SAME OR SIMILAR WORK IN THE LOCALITY IN WHICH THE WORK IS TO BE PERFORMED. AND A STATEMENT OF THE ABILITY OF THE CORPORATION TO ARRANGE THE FINANCING. THE PREVAILING WAGE AND FRINGE BENEFIT RATES SHALL BE DETERMINED PURSUANT TO ACT NO. 166 OF THE PUBLIC ACTS OF 1965, AS AMENDED, BEING SECTIONS 408.551 to 408.558 OF THE MICHIGAN COMPILED LAWS. i) Comerica Bank - Detroit has issued its commitment to purchase $925,000 of Oakland County E.D.C. bonds to assist in the financing of the project. The bonds will be issued for a 15 yr. term and have a 15 year amortization and will bear interest at 78% of Comerica Bank's prime rate (floating). Security for the project will include ,a first mortgage on the land and building, a first priority security interest in machinery and equipment purchased with bond proceeds and the guaranty of West End Welding & Fabricating Co. ii) A Prevailing Wage Certificate is attached as Exhibit B. -9- (I) A LIST OF PERSONS WHO WILL MANAGE OR BE ASSOCIATED WITH THE MANAGEMENT OF THE PROJECT FOR A PERIOD OF NOT LESS THAN 1 (ONE) YEAR FROM THE DATE OF APPROVAL OF THE PROJECT PLAN.
