IN RE: COMMUNITY NATIONAL BANK - LEASE RENEWAT4 AGREEMENT (PROPERTY MANAGEMENT
TO THE OAKLAND COUNTY BOARD OP COMMISSIONERS
Mr. Chairperson, Ladies and Gentlemen:
WHEREAS by Miscellaneous Resolution 8961 adopted May 3, 1979, the County
of Oakland leased to the Community National Bank, ,a National Banking Corporation
of Pontiac, 700 square feet of office space in the Oakland County Courthouse for
five (5) years with the right to renew or extend the lease term for an additional
term of five (5) years; and
WHEREAS Community National Bank on February 21, 1984, exercised its option
to lease the premises; and
WHEREAS the Planning and Building Committee has reviewed the terms of the
lease renewal agreement and recommends that the County enter into the lease with
the Community National Bank, a copy of which is attached hereto.
NOW THEREFORE BE IT RESOLVED that the Chairperson of the Oakland County
Board of Commissioners is hereby authorized to execute the lease renewal agreement;
said lease to be for a term of five (5) years for 700 square feet of space on the
ground floor of the Courthouse at a base square foot rate as determined in the
"Cost Allocation to Buildings." Costs in excess of the base rate (Cost Allocation
to Buildings) for the previous twelve (12) month period will be billed to
Community National Bank no later than the 2nd day of May of each year during the
term of the lease. Base rate will reflect annual approved "Cost Allocation to
Buildings" throughout the five (5) year perio0.
Mr. Chairperson, on behalf of the flanging and Building Committee, I move
the adoption of the foregoing resolution.

LEASE RENEWAL AGREEMENT
TAIS LEASE RENEWAL AGREEMENT, entered into this 2nd day of May, A.D. 1984,
between the COUNTY OF OAKLAND, a Michigan Constitutional Corporation, 1200 North
Telegraph Road, Pontiac, Michigan 48053, hereinafter referred to as LESSOR, and the
COMMUNITY NATIONAL BANK, a National Banking Association, of Pontiac, Michigan, herein-after referred to as LESSEE:
WITNESSETH:
LESSOR, for and in consideration of the agreements of Lessee hereinafter
mentioned, hereby leases to Lessee and Lessee hereby leases from Lessor, the premises
located in the Court Tower of the Oakland County Service Center, City of Pontiac,
County of Oakland, State of Michigan;
Seven Hundred (700) Square Feet
for a term of five (5) years commencing on the day and date first above written, unless
sooner terminated as hereinafter provided.
LESSEE, in consideration of said leasing agrees:
1. To pay as rent for the premises an annual base rate equal to that approved
by the Oakland County Board of Commissioners in the "Annual Budget Cost Allocation to
Buildings." For the year May 2, 1984 through May 1, 1985, a base rate equalling the sum
of SIX THOUSAND SEVEN HUNDRED THIRTEEN DOLLARS ($6,713.00), payable in twelve (12) equal
installments at the rate of FIVE HUNDRED FIFTY-NINE DOLLARS AND FORTY-TWO CENTS ($559.42)
per month, on the first day of each month beginning May 2, 1984 through May 1, 1985. At
the close of the twelve (12) month period, the Lessor will bill the Lessee for actual
costs in excess of the previous twelve (12) month base rate. The Lessee will submit the
adjusted rental costs within thirty (30) days of billing. The annual base rate will be-
adjusted each May 2 for the five (5) year period to be consistent with the Board of
Commissioners approved base 'rate identified in the "Annual Budget Cost Allocation to
Buildings."
2. To pay all reasonable costs, attorney fees and expenses that shall be
made and incurred by the Lessor in enforcing the agreements of this Lease.
3. To use and occupy the premises for the purpose of operating a Branch Bank
only, and for no other object or purpose without written consent of the Lessor.
4. Not to assign this Lease nor sublet the premises or any portion thereof
without the consent of the Lessor.
5. At the expiration of this Lease, to give peaceable possession of premises
to the Lessor in as good condition as they now are, the usual wear expected.
6. This Lease may be terminated by the Lessor in the event of the breach of
any of the agreements of Lessee herein contained, in which case the Lessor may re-
enter on the premises thereon, and this Lease shall thereupon terminate.
7. Lessor shall, at its own expense, maintain insurance to insure the demised
premises against damages occasioned by 'Acts of God,' fires, or other similar causes

7. (continuing) which are beyond the control of the Lessee and shall
designate 'Community National Bank,' Lessee, as its interest may appear, as additional
party insured under the policy and provide Lessee with a Certificate of Insurance
evidencing these coverages;
Lessee shall, at its own expense, maintain insurance to insure all of its
personal property and trade fixtures against damages occasioned by 'Acts of God,' fires,
or other similar causes which are beyond the control of the Lessor and shall designate
County of Oakland, Lessor, as its interest may appear, as additional party insured under
the policy and provide Lessor with a Certificate of Insurance evidencing these coverages;
Lessor and Lessee agree to cover their respective interest with One Million
Dollars ($1,000,000.00) combined single limit per occurrence comprehensive General
Liability. Each party shall designate the other party as its interest may appear, as
an additional party insured under its policy and provide each other with a Certificate
of Insurance evidencing these coverages;
Notwithstanding anything contained herein to the contrary, in the event of
loss or damage to the building, the premises and/or any contents, each party shall
look first to any insurance in its favor before making any claim against the other
party; and, to the extent possible, without additional cost, each party shall obtain
for each policy of such insurance, provisions permitting waiver of any claim against the
other party for loss or damage within the scope of the insurance. Each party hereto, to
such extent permitted, for itself and its insurers, waive all such insured claims
against the other party.
8. Lessee agrees to provide telephone service at its own expense.
9. Lessee shall have the right to renew or extend this Lease for one (1)
additional term of five (5) years after the Lease term at a rental rate to be agreed
upon or determined on the basis of then current rates, provided Lessee gives written
notice to Lessor of intention to exercise such right at least sixty (60) days before
the end of a Lease term provided for herein.
LESSOR, in consideration of the agreements set forth above, agrees as -
follows:
1. Lessee shall have the full and complete use and occupancy of the premises.
2. All fixtures and appurtenances erected on or attached to the premises may
be removed by Lessee at the termination of this Lease.
s. 1 Lessor agrees to provide heat, lighting and custodial standards in effect
in the Courthouse Tower.
Each party hereby waives any right of action that it may acquire against the
other for loss or damage to its property or to property in which it may have an
interest where such loss is caused by fire or any of the extended coverage hazards and
