HomeMy WebLinkAboutResolutions - 1983.06.23 - 11582Miscellaneous Resolution 83170 June 23, 1983 BY: PUBLIC SERVICES COMMITTEE RE: CONTRACT OAKLAND LIVINGSTON HUMAN SERVICE AGENCY TO THE OAKLAND COUNTY BOARD OF COMMISSIONERS Mr. Chairperson, Ladies and Gentlemen: WHEREAS the Charter Township of Royal Oak and the County of Oakland entered into an agreement on November 12, 1981 in which the County, on behalf of the Township, will execute essential application plans, programs and projects for implementation of the Community Development Block Grant Program; and WHEREAS the Township, County and Department of Housing and Urban Development have approved the allocation of funds to a Public Service activity which provide funds to senior citizens of the Township; and WHEREAS the Township will be utilizing funds for hot meals at the center, meals to be delivered to disabled in their homes, transportation to area hospitals for treatment and the transporting of food and furniture to local residents and home chore services; and WHEREAS the Township previously contracted with OLHSA for payments of adminis- trative services for the implementation of these activities; and WHEREAS the Community Development Division has visited the center and evaluated the activities in a positive manner; and WHEREAS the Community Development Division would like to maintain the consistent working relationship between the senior center and OLHSA. NOW THEREFORE BE IT RESOLVED that the Oakland County Board of Commissioners authorize the Chairperson of the Board of Commissioners to execute the necessary agreement with the Oakland Livingston Human Service Agency for the implementation of the senior citizen activities in Royal Oak Township in the amount of $41,000.00 for a twelve (12) month period. Mr. Chairperson, on behalf of the Public Services Committee, I hereby move the adoption of the foregoing resolution. CONTRACT NO: SCD 83-007 EFFECTIVE DATES: 5/15/83 - 5/14/84 PROGRAM YEAR: 5/1Y33 - 5/14/84 TYPE OF PROGRAM: Senior Citizen MONITOR: Marion Coker CONTRACT BETWEEN THE OAKLAND LIVINGSTON HUMAN SERVICE AGENCY AND THE COUNTY OF OAKLAND SECTION I. CONTRACT ThiS Contract is made this 15th day of May, 1983, between the Oakland Livingston Human Service Agency, hereinafter designated as the "Agency", having its principal office at 196 Oakland Avenue, City of Pontiac, State of Michigan, 48058,, and the County of Oakland, Office of Community Development, hereinafter designated as the "County", having its principal office at4200 North Telegraph Road, City of Pontiac, State of Michigan, 48053.. SECTION II. DATES The Contract shall be effective as of the 15th day of May, 1983, and shall be in place during the period cohOmencing on the effective date and ending the 14th day of May, 1984, and during such additional periods as may be agreed upon. SECTION III. PURPOSE The purpose of this Contract between the Agency and the County shall be to provide partial funds towards the continued operation of the Pearl Wright Senior Citizen Center, through provision of staff, ahome chore program and administrative costs. The specific area for continuance of services to the senior citizens, especially the low-income and minorities shall be located in Royal Oak Township, Oakland County. The broad goals are; .1. Continued employment of drivers needed to transport seniors to and from the Center, for needed nutritional and other services. 2. Restoration of Title XX and Title III-C funding cuts, which had resulted in a decrease in the Center Manager's hours, and the resultant inavailability of services at the Pearl Wright Center. 3. Coordination of Community Development Block Grant funds with the existing Title XX and Title III-C funds to maintain and increase needed services in the area to the low-income and elderly. 4. To operate a home chore program in Royal Oak Township through the provision of materials only. In consideration of mutual promises and covenants contained herein, the Agency and the County agree as follows: SECTION IV. THE AGENCY'S RESPONSIBILITIES As the officially designated human service agency by the Oakland County Board of Commissioners, and responsible for planning, coordinating and operating programs for the elderly, the Agency agrees to do the following: A. Provide all fiscal responsibility and accountability for the Community Develop- ment Block Grant monies as relating to the Pearl Wright Senior Center, Royal Oak Township. (See Attachment A) B. Will submit reimbursement requests and financial reports to the County by the 15th of each month to coincide with the Agency's regular monthly Accounting procedures. C. Will continue upon the Agency payroll, as of May 15, 1983, the salaries, plus any appropriate fringes, of two part-time drivers, on- full-time clerk and one part-time Center Manager. SECTION V. THE COUNTY'S RESPONSIBILITIES A. The County shall, in consideration for services rendered by the Agency, pay the Agency a total sum not to exceed forty-one thousand dollars ($41,000). B. The County shall reimburse the Agency upon the receipt of a reimbursement request from the Agency. C. The County will provide and pass all pertinent information and correspondence relating to the funding directly through to the Agency's Accounting Department. SECTION VI. COMPLIANCE The Agency shall comply with all applicable laws,. ordinances, codes and regulations of the Federal, State and local governments. SECTION VII. DISCRIMINATION PROHIBITED The parties shall not discriminate against any employee or applicant for employment with respect to hire, tenure, terms, conditions, or privileges of employment, or a matter directly or indirectly related tO employment, because of race, color, religion, national, origin, age, sex, height, weight, or marital status pursuant to 1976 P.A. 453, Section 209. The parties shall also comply with the provisions of the Michigan Handicappers Civil Rights Act, 1976 P.A. 220 and the Federal Rehabilitation Act of 1973, P.A. 93-112, 87 Stat. 394, which states that no employee or client or otherwise qualified handicapped individual shall, solely by reason of his handicap, be excluded from: participation, be denied the benefits of, or be subjected to discrimination under any program or activity receiving Federal financial assistance. The parties w shall comply with all other Federal, State or local laws, regulations and standards and any amendments thereto, as they apply to the performance of this Contract. No person shall, on the grounds of race, creed, color, sex, age, national origin, height, weight, handicap, or marital status, be excluded from participation in, be denied the proceeds of, or be subject to discrimination in the performance of this Contract. The County shall comply with all applicable regulations promulgated pursuant to the Civil Rights Act of 1964. SECTION VIII, POLITICAL ACTIVITY PROHIBITED None of the funds, materials, property or services contributed by the Agency and/or the County under this Contract shall be used in the performance of this Contract for any partisan political activity, or to further the election or defeat of any candidate for public office. SECTION IX. RELIGIOUS ACTIVITY PROHIBITED There shall be no religious worship, instruction, or proselytization as part of, or in connection with the performance of this Contract. SECTION X. GENERAL PROVISIONS A. Merger or Integration This Contract constitutes the entire Contract between the Agency and the County with respect to the subject matter hereof and there are no other or further written or oral understandings or agreements with respect hereto. B. Modification No variation or modification of this Contract, and no waiver of its provisions shall be valid unless in writing and signed by the duly authorized officers of the Agency and the County. C. Assignment or Delegation No assignment or delegation of this Contract may be made, in whole or in part, without the written consent of the County being first obtained. D. Term of Contract This Contract shall be effective as of May 15, 1,c'T and shall he in force during the period commencing of the effective date and ending May 14, 1984 and during such additional period or periods as the Agency and County may agree upon. Termination Either party may at any time during the life of this Contract or any extension thereof terminate this Contract by giving thirty (30) days notice in writing to the other party of its intention to do so. All notices to the Agency shall be addressed to it at 196 Oakland Avenue, City of Pontiac, State of Michigan, zip code 48058, and all notices to the County shall be addressed to it c/o the Office of Community Development at 1200 North Telegraph Road, City of Pontiac, State of Michigan, zip code 48053. F. Indemnification The Agency agrees that during the term of this Contract, it shall defend, indemnify, and save harmless the County from any and all liability and any and all claims, suits, actions, damages, consisting of every name and description resulting from any act, omission, or negligence of, or chargeable to the Agency or any employee thereof arising under and pursuant to this Contract, and such indemnification shall not be limited by reason of any insurance coverage. G. Contingency Fees The Agency warrants that no person or selling agency or other organization has been employed or retained to solicit or secure this Contract upon an understanding for a commission, percentage, brokerage, or contingency fee. H. Independent County Provision The relationship of the Agency to County shall be that of an independent contractor -. No partnership, association, or joint enterprise shall arise between the parties hereto as a• result of any provision of this Contract, nor shall any provision herein be construed as making an employee of this Agency an agent or employee of the County. I. Disputes The Agency shall notify the County in writing of its intent to pursue a claim against the County for breach of any terms of this Contract.- No suit may be commenced by the Agency for breach of this Contract prior to the expiration of ninety (90) days from the date of such notification. Within this ninety (90) day period, the Agency, at the request of the County, must meet with an appointed representative of the County for the purpose of attempting to resolve the dispute. SECTION XI. ATTACHMENTS The following attachment- is incorporated by reference and becomes a part of this Contract. A.
