RE: MICHIGAN YOUTH PROGRAM - OLHSA
TO THE OAKLAND COUNTY BOARD OF COMMISSIONERS
Mr. Chairperson, Ladies and Gentlemen:
WHEREAS, the Oakland County Board of Commissioners by
Miscellaneous Resolutions No. 6546 and No. 8883 applied for and was
granted the designation as Prime Sponsor by the U.S. Department of
Labor to administer the provisions of the Comprehensive Employment
and Training Act of 1973 and the Comprehensive Employment and
Training Act Amendments of 1978; and
WHEREAS, the Michigan Department of Labor (MDOL) has granted
Oakland Livingston Human Service Agency (OLHSA) total funding of
$150,000 to administer the FY80 Michigan Youth Program (MYP); and
WHEREAS, the Michigan Department of Labor requires that fiscal
management of an MYP grant, that is, the disbursement of all funds,
must be handled through the respective Prime Sponsor; and
WHEREAS, the Prime Sponsor, acting solely in the role of fiscal
agent to the agreement between the Michigan Department of Labor and
OLHSA, would disburse funds to OLHSA only after proper authorization
by the MDOL.
WHEREAS, the formats suggested for these contracts have been
derived from the State of Michigan and must be further reviewed by
Civil Counsel for agreement within County contracting procedures.
NOW THEREFORE BE IT RESOLVED that the Oakland County Board of
Commissioners approve the contract between Michigan Department of
Labor and Oakland County, to provide the services of the Prime
Sponsor as fiscal agent only, for OLHSA's Michigan Youth Program.
BE IT FURTHER RESOLVED that the Chairperson of the Board of
Commissioners be and is hereby authorized to execute said contracts.
The Public Services Committee by Henry William Hoot, Chairman,
moves the adoption of the foregoing resolution.

AGREEMENT
THIS AGREEMENT, made and entered into this 1st day of January 1980, by and
between the MICHIGAN DEPARTMENT OF LABOR, BUREAU OF EMPLOYMENT AND TRAINING
(hereinafter referred to as the MDOL) and the County of Oakland, (hereinafter
referred to as "Oakland County");
WITNESSETH:
WHEREAS, the MDOL objective is to provide employment and training . services to
Michigan Youth Program (MYP)-cligible individuals and to assure that training
and other services lead to maximum employment opportunities and enhance self-
sufficiency; and
WHEREAS, Oakland County is qualified to provide said services and desires to
perform the same;
NOW THEREFORE, for and in consideration of the mutual convenants hereinafter
contained, IT IS HEREBY AGREED as follows:
FIRST: It is expressly understood and agreed that the purpose of this agreement
is for Oakland County to solely provide the services of fiscal agent for the
IDOL to its Agreement with the Oakland Livingston Human Service Agency (OLHSA)
for on-the-job training. Oakland County shall perform the functions and services
as stated in the Statement of Work attached hereto and labeled Exhibit "A", which
is hereby incorporated by reference into this Agreement and made a part hereof.
It is specifically agreed that Oakland County shall not lpe_Tesponsible for per-
forming any functions or services not stated in the Statement of Work.
SECOND: It is expressly understood and agreed that in no event will the total
compensation under this agreement exceed the sum of one hundred fifty thousand
and no/I00 dollars ($150,000).
THIRD: Oakland County shall commence performance of its duties as fiscal agent
as stated in Exhibit "A", on the / -CI' day of_lf.1-4 1980,. and shall complete

• said services no later than the 30th day of Se'ptember 1930, time being of the
essence.
FOURTH: Oakland .County shall disburse funds to the Oakland Livingston Human
Service Agency (OLHSA) for on-the-job training solely upon the written authori-
zation from the MDOL. The MDOL shall notify Oakland County at least five (5) days
prior to the date on which the authorization is to be effective.
FIFTH: Oakland County shall submit expenditure reports, to the MDOL, no later
than the fifteenth (15th) day after the close of each calendar month.
SIXTH: Oakland County's accounting procedures and internal controls shall
conform to generally accepted accounting practices in order that the costs
allowed by this Agreement can he readily ascertained and expenditures verUle
therefrom.
SEVENTH: Within sixty (60) days after the telmination of this Agreement, Oakland
County shall provide the MDOL with a contract closeout report to include a final
accounting of all expenditures made in the performance of this Agreement.
EIGHTH: Oakland County shall adhere to all State, Federal, and local discrimi-
nation laws and regulations in regard to services provided under this Agreement.
NINTH: It is expressly understood and agreed...that Oakland County is an independ-
ent contractor. The personnel employed by Oakland County shall not hold themselves
out as employees of the MDOL. Furthei7 , the personnel ofthe OLHSA and persons . .
enrolled in on-the-job training shall not be deemed to be employees of Oakland
County and shall not be entitled to any Oakland County employee benefits in-
cluding, but not limited to, wages, vacation benefits, hearth and accident insur-
ance, life insurance, unemployment compensation, and worker's compensation insurance.
TENTH: The MDOL shall, at its own expanse, protect and defend Oakland County, and
agrees to indemnify and save harmless Oakland County from all claims, damages,
lawsuits and expenses that Oakland County may incur that may arise out of actions
of MDOL.
ELEVENTH: All modifications, amendments, or waivers of any provision of this
Agreement may be made only by the written mutual consent of the parties hereto.
TWELFTH: If any provision of this Agreement is held invalid, the remainder of
this Agreement shall not be affected thereby.
THIRTEENTH: the person(s) signing on behalf of Oakland County and the MDOL certify
by said signatures that they are duly authorized to sign this Areement on behalf
of the respective parties hereto and this Agreement has been authorized by said
parties.

STATFVENT OF WORK
Oakland County shall perform the functions set forth in this definitive
Statement of Work.. Oakland County shall provide to the.MDOL its services as
fiscal agent to the Agreement between the MDOL and the Oakland Livingston
Human Service Agency (OLHSA) for On-the-Job Training (MDOL Contract #420-124A),
I. Tasks to be Performed by the MDOL
A. Develop an Agreement with the OLHSA for OJT Program for 70 participants
- identifying Oakland County as the fiscal agent (Intermediary) for the
Agreement.
• B. Provide Oakland County with five (5) days advance notice, with a voucher .
- signed by a properly authorized representative of the IDOL directing
Oakland County to disburse funds to OLHS.4.
• I. The submission of such voucher by MDOL explicitly informs Oakland
County that all costs to be paid are appropriate. .
2. The MDOL will submit to Oakland County, with the voucher, a copy
of the payment request from OLHSA to the MDOL.
II. Tasks to be Performed by Oakland County
A. Disburse funds to OLHSA upon receipt of the authorizing voucher from
. 'MDOL. -
B. Submit monthly disbursement/expenditure reports to IDOL.
III. Method of payment shall be 100% cash advance to the fiscal agent.
