IN RE: APPROVAL OF BYLAWS FOR THE OAKLAND COUNTY COUNCIL
EMERGENCY MEDICAL SERVICES
TO THE OAKLAND COUNTY BOARD OF COMMISSIONERS
Mr, Chairperson, Ladies and Gentlemen:
The Public Services Committee, by Henry William Hoot, Chairman, having
reviewed the bylaws For the Oakland County Council for Emergency Medical Services,
as approved by the General Government, reports with the recommendation that the
resolution be adopted with the following amendment:
Article lH- Section 2 - Length of Service (To Readas Follows)
Council members shall be appointed annually by the Chairperson of the
Oakland County Board of Commissioners with the approval of the
Board of Commissioners. Such appointments shall be for the calendar year.
Upon the recommendation of the Council, names will be submitted prior to
the last board meeting of the calendar year,

IN RE: APPROVAL OF BY-LAWS FOR THE OAKLAND COUNTY COUNCIL FOR EMERGENCY
MEDICAL SERVICES
TO THE OAKLAND COUNTY BOARD OF COMMISSIONERS:
Mr. Chairperson, Ladies and Gentlemen:
WHEREAS the Oakland County Board of Commissioners established
the Oakland County Council for Emergency Medical Services (per Miscellan-
eous Resolution #6490); and
WHEREAS the Oakland County Council for Emergency Medical Ser-
vices serves in an advisory capacity to the Board of Commissioners; and
WHEREAS the Oakland County Council for Emergency Medical Ser-
vices has recommended changes in that body's By-Laws; and
WHEREAS the recommended changes will make the Oakland County
Council for Emergency Medical Services more efficient and more represen-
tative of agencies and organizations concerned with the provision of emer-
gency medical care;
NOW, THEREFORE, BY IT RESOLVED that the Oakland County Board of
Commissioners approve the By-Laws of the Oakland County Council for Emer-
gency Medical Services as recommended and dated 12-14-78.
The General Government Committee, by Robert W. Page, Chairperson,
moves the adoption of the foregoing resolution.

ARTICLE I
NAME
The Council shall be known as the Oakland County Council
for Emergency Medical Services (OAKEMS").
ARTICLE IT
PURPOSE
Section 1

ACTIVITIES
The Council will act in an advisory capacity to the Oakland
County Board of Commissioners and the County Executive,
addressing those areas related to an Emergency Medical Ser-
vices System of Oakland County. An emergency medical ser-
vices system is one which provides for the effective delivery
of health care services under emergency conditions.
• PARTICIPATION
The planning effort will be carried out in a way which per-
mits board participation by the many political jurisdictions,
organizations and individuals that have a concern with the
delivery of Emergency Medical Services,
Section 3 COORDINATION
The Council and staff will coordinate planning efforts within
and between agencies in Oakland County concerned with estab-
lishment and expansion of Emergency Medical Services Systems,
Section 4 RESEARCH ACTIVITIES
The Council will conduct research activities and administer
research activities by outside consultants in the field of
Emergency Medical Services as deemed appropriate by the Oak-
land County Board of Commissioners.
Section 5 REPORTS
The otincil will work with the staff to prepare and develop
reports and data needed for successful regional and state
comprehensive plan input, and as may be required to inform
and advise the Oakland County Board of Commissioners and the.
CountyExecutive.
Section 6 OTHER RESPONSIBILITIES '
Other responsibilities of the Council shall include but not
be limited to: .
A) Plan, promote and encourage initiation of EMS activity
in the County by advising the County Executive, Oakland
County Board of Commissioners and all other interested
parties.
Monitor all potential funding sources for EMS program
planning and operations.
Assist Oakland County Board of Commissioners to obtain
EMS grants by assisting in the preparation and applica-
tion of grants and project proposals to the proper fund-
ing agencies in conformance with County policies.
Review and comment upon grants or proposals as may be
assigned by Regional, State or Federal agencies, or such
others as the Council may deem in the best interests of
emergency medical services in Oakland County.
F) Disseminate EMS technical information to County EMS
. resources through a communications system.
F) Maintain a complete, up-to-date inventory of local EMS
resources.
G) Advise County government officials on EMS equipment pro-
curement and facilities construction.
Advise and assist in the design of a County Management
Information System for EMS operations.
Assist in the development of all EMS operational guide-
lines, standards and minimum equipment/personnel require-
ments.
J) Facilitate the delivery of training programs throughout
the County.
K) Promote EMS as a system with emphasis on first responder,
pre-hospital care.
L) Serve as the EMS Advisory Body to the Oakland County sub-
area Advisory Council of CHPC-SEM.
ARTICLE III
COUNCIL MEMBERSHIP
Section 1 COMPOSITION
The members of the Council shall be appointed by the Chairper-
son of the Board of Commissioners with the approval of the
Board of Commissioners. The Council shall be composed of not

more than 27 members who shall be representative of the
following categories:
A) HOSPITAL REPRESENTATION - a representative from each

or greater within Oakland County (9).
B) FIRE DEPARTMENT REPRESENTATION representation from
VOlunteer and paid departMents (1 each) to be recommended
by Oakland County Fire Chiefs Association (2),
C) POLICE DEPARTMENT REPRESENTATION - I repentative from
TEter Lakes PoliCe Chiof -Association, 1 representative
• from South Oakland Police Chiefs' Association - to be
recommended to the Council (2),

TERMINATION

OFFICERS
A) Chairperson - The Chairperson of the Council shall be a
physician member, to be appointed by the Chairperson of
the Board of Commissioners for a term of one year Or
until a successor is appointed.
1) Duties - The Chairperson shall preside at all meeting
of the Council, and perform such other duties as pre-
scribed by the By-Laws and from time to time as
assigned to him/her by the Council membership under
the Parliamentary authority adopted by the Council.
He/She shall appoint members of the Council to repre-
sent the organization on the Regional EMS Task Force.
Such appointments are subject to the approval of the
Council.
B) Vice-Chairperson - The Council shall have a Vice-Chair-
person who is appointed by the Chairperson of the Oakland
County Board of Commissioners. He/She shall serve a term
concurrent with the Chairperson or until his/her success°
is appointed.
1) Duties - The Vice-Chairperson shall act instead of th
Chairperson at any time when the Chairperson is absen
or unable to perform his/her duties. He/She shall
perform other duties assigned to him/her from time to
time by the Chairperson.
ALTERNATIVES
Each moniber may appoint an alternate to appear and vote at
a meeting of the Council when that member's attendance is
impossible. The alternate shall have the same voting power
as the regular member. Alternates shall be from the same
category as the regular member and may be required to present
written documentation that he/she is authorized to vote on
behalf of the absent member.

MEETINGS

COUNCIL
The Council shall hold monthly meetings in the third week
of each month. Additional Council meetings may be called
at the discretion of the Chairperson or by written request
from at least five (5) Council members.
NOTICES
Notices of all regular and special meetings of the Council
and/or all Committees shall be given in writing preceding
the date of the proposed meeting.
Section 3 QUORUM
A quorum for a Council meeting shall be a majority Of the
members appointed.

COMMITTEES
Committees shall be established in each of the following
functional areas:
A) Communications
B) Medical Control
C) Public Education
D) Transportation
The Committees shall meet as frequently as necessary to
conduct business.
COMMITTEE MEMBERSHIP
Committees shall be composed of members as designated by
the Chairperson of the Council, subject to the approval of the
Council. The number of Council members sitting on a Com-
mittee shall not be less than three (3).
VOTING PRIVILEGES
All Committee members shall have voting privileges at Com-
mittee meetings.
ALTERNATES
Councir—Fe-Mbers may appoint alternates consistent with
Article III, Section 6 of these By -Laws.
COMMITTEE OFFICERS
T e hairperson and Vice-Chairperson of each Committee shall bE
appointed by the Chairperson of the Council with the ratifica-
tion of the Council. The Chairperson must be a member of the
Council.
SPECIAL COMMITTEES
AT Special committees of the Council may be appointed by
the Council Chairperson with the ratification of the
Council.
B) Duties and responsibilities of all special committees of
the Council shall be stipulated by the Council Chairperson
with the approval of the Council.
Section 7 QUORUM
A quorum for a committee meeting shall be a majority of the members appointed.

MAJORITY
An affirmative vete of a majority of members or alternates
present and voting shall control any issue except amendments
to the By-Laws which shall require an affirmative vote by
two-thirds (2/3) of all of the members appointed.
PARLIAMENTARY AUTHORITY
Rules contained in the League of Women Voters of the United
States - Simplified Parliamentary Procedure, shall govern
the Council and all Committees.
CONFLICT OF INTEREST
A conflict of interest is considered to exist if the outcome
of the vote could benefit the voting member or the employer
of the voting member. That member may vote on any other issue
but shall refrain from voting on an issue affecting himself/
herself or his/her employer. Any potential conflicts shall bE
identified and shall be ruled upon by the Chairperson at the
time of the vote. An appeal of a decision of the Chair shall
be consistent with those rules established by the Oakland
County Board of Commissioners.
ARTICLE VII
AMENDMENTS
Section 1 Proposed amendments to the By-Laws may be made by any twenty
(20%) percent of the current members of the Council or by
any special committee appointed by the Chairperson of the
Council.
Section 2 Proposed amendments must be presented in written form to the
Council at least twenty (20) days in advance of the meeting
in which the amendments are to be voted upon. Amendments
must be approved by a two-thirds (2/3) vote of those members
of the Council present and voting.
Section 3 Proposed amendments shall become effective upon ratification
by the Board of Commissioners.

report was accepted.
Moved by Page supported by Patterson the amendments to the By-Laws as
reported to the General Government Committee be accepted.
Moved by Simson supported by Gorsline the report be amended in Article
111, Section 2 to read: YCouncil members shall be appointed annually by the
Chairperson of the Oakland County Board of Commissioners with the approval
of the Board of Commissioners".
A sufficient majority having voted therefor, the motion carried.
