HomeMy WebLinkAboutResolutions - 1982.03.31 - 13753Miscellaneous Resolution 32074 March 18, 1982 BY: PLANNING AND BUILDING COMMITTEE IN RE: OFFICE SPACE FOR OAKLAND COUNTY BAR ASSOCIATION TO: THE OAKLAND COUNTY BOARD OF COMMISSIONERS Mr. Chairperson, Ladies and Gentleman: WHEREAS, the Oakland County Bar Association has expressed a need for office space at the Oakland County Courthouse, and WHEREAS, the Oakland County Bar Association provides necessary public services for those people who are not able to contact a lawyer or do not know a lawyer and need to consult with a lawyer for legal services, co-sponsors a Tel-Law program, sponsors free legal seminars on Law Day, swearing in ceremonies for judges, etc., and WHEREAS, such service would be a convenience to the citizens of Oakland County, and WHEREAS, your Committee recommends that the County of Oakland and the Oakland County Bar Association enter in a lease. NOW THEREFORE BE IT RESOLVED that the County of Oakland agrees to lease approximately 938 square feet of office space on the 5th floor of the Oakland County Courthouse, for a term of five (5) years at a monthly rate of seven hundred eighty one dollars and 67/100 ($781.67). BE IT FURTHER RESOLVED that the Chairperson of the Oakland County Board of Commissioners be and is authorized to execute a lease in the form attached hereto on behalf of the County of Oakland. The Planning and Building Committee moves the adoption of the foregoing resolution. LEASE AGREEMENT THIS LEASE AGREEMENT, entered into this day of 1982 between the COUNTY OF OAKLAND, a Michigan Constitutional Corporation, 1200 North Telegraph Road, Pontiac, Michigan, 48053, hereinafter referred to as LESSOR, and the OAKLAND COUNTY BAR ASSOCIATION of Pontiac, Michigan, hereinafter referred to as LESSEE: WITNESSETH: LESSOR, for and in consideration of the agreements of LESSEE hereinafter men- tioned, hereby leases to LESSEE and LESSEE hereby leases from LESSOR, the premises located in the Court Tower in the Oakland County Service Center, City of Pontiac, County of Oakland, State of Michigan, being: SUITE 533 (Consisting of 938 square feet) for a telm of five (5) years commencing on unless sooner terminated as hereinafter provided. LESSEE, in consideration of said leasing, agrees: 1. To pay in rent for the premises the sum of Nine Thousand Three Hundred Eighty and 04/100 Dollars per year, payable in twelve (12) equal installments at the rate of Seven Hundred Eighty-One and 67/100 Dollars per month on the first day of each and every month during the term of this Lease, at 1200 North Telegraph Road, Pontiac, Michigan. 2. To pay all reasonable costs, attorney fees and expenses that shall be made and incurred by the LESSOR in enforcing the agreements of this lease. 3. To use and occupy the premises for the purpose of operating the OAKLAND COUNTY BAR ASSOCIATION, and for no other object or purpose without written consent of the LESSOR. 4. Not to assign this Lease nor sublet the premises or any portion thereof without consent of the LESSOR. 5. At the expiration of this Lease, to restore the leased premises in as good condition as they now are. 6. LESSEE agrees to carry such insurance and in such amounts as will, in the opinion of the LESSOR, be adequate to indemnify Oakland County, its departments, officers and Pmployees against liability of every name or nature arising by or through the acs or omissions of the LESS77, its officers, agooto or e- 7. This Lease may be terminated by the LESSOR in the event of the breach of any of the agreements of LESSEE herein contained, in which case the LESSOR may re-enter on the premises thereon, and this Lease Shall thereupon be terminated. 8. LESSEE agrees that all improvements to the property will be made at its own expense and any improvements or modifications to the property will be removed without cost or expense to the LESSOR upon termination of the Lease, unless other- wise agreed upon in writing. 9. LESSEE agrees to provide telephone service at its own expense, 10. LESSEE shall have the right to renew or extend this Lease for one (1) additional term of five (5) years after the original Lease term at a rental rate detelmined on the basis of then current rates, provided LESSEE gives written notice to LESSOR of intention to exercise such right at least sixty (60) days before the end of a Lease term provided for herein. 11. This Lease may be terminated by either party by giving a six (6) month written notice to the other party. LESSOR, in consideration of the agreement set forth above, agrees as follows: 1. LESSEE shall have the full and complete use and occupancy of the leased premises. 2. To prepare the leased premises with partitions per the plan attached hereto at no cost to the LESSOR. 3. All fixtures and appurtenances erected on or attached to the premises may be removed by LESSEE at the termination of this Lease. 4. LESSOR agrees to provide heating, cooling, lighting and custodial standards in effect in the Court House Tower. Each party hereby waives any right of action that it may acquire against the other for loss or damage to its property or to property in which it may have an interest, whether such loss is caused by fire or any of the extended coverage hazards or from the negligence of the parties hereto, their employees, agents or representatives, and arises out of or is connected with the leasing of premises located in the Court House Tower in the Oakland County Service Center, Pontiac, Michigan. -2- IN WITNESS WHEREOF, the parties hereto have set their hands and seals the day and year first above written. WILLIAM CADDELL, CHAIRPERSON IN RE: MISCELLANEOUS RESOLUTION #82-074 - OFFICE SPACE FOR OAKLAND COUNTY BAR ASSOCIATION TO THE OAKLAND COUNTY BOARD OF COMMISSIONERS Mr. Chairperson, Ladies and Gentlemen: Pursuant to Rule XI-C of this Board, the Finance Committee has re- viewed Miscellaneous Resolution #82-074 and finds no adjustments are necessary for said proposed lease agreement and that the period of said lease shall be for five (5) years upon completion of renovation of said office Area. Further, that the annual $9,380 revenue derived from said lease shall be part of the Facilities Operations Space Rental-Non-County Agency revenue.
