IN RE; COMPUTER SERVICES AGREEMENT BETWEEN OAKLAND COUNTY AND WASHTENAW COUNTY
TO THE OAKLAND COUNTY BOARD OF COMMISSIONERS
Mr. Chairperson, Ladies and Gentlemen:
WHEREAS the Oakland County Computer Services Department currently provides
services to many local government agencies; and
WHEREAS Washtenaw County, Michigan has requested contracting with Oakland
County to provide data processing services as outlined in the attached agree-
ment; and
WHEREAS the Oakland County Computer Services Department is capable of
providing said services and wishes to enter a contractual agreement through
December 31, 1984; and
WHEREAS this proposal has been reviewed and recommended by the Computer
User Advisor Committee (CUAC).
NOW THEREFORE BE IT RESOLVED that the Oakland County Board of Commissioners
authorizes it's Chairperson to execute, on behalf of the County, the attached
agreement between Oakland County and Washtenaw County.
BE IT FURTHER RESOLVED that the revenues and expenses attributed to said
agreement are contained within the Computer Services Operations and requires no
County funds_
BE IT FURTHER RESOLVED that said agreement and operations be regularly re-
viewed by the Computer User Advisory Committee (CUAC) and that said Committee
will make recommendations as to the continuation of said agreement beyond
December 31, 1984 at the time of agreement renewal.

OAKLAND COUNTY, MICHIGAN
and
WASHTENAW COUNTY, MICHIGAN,
hereafter referred to as WASHTENAW,
This agreement will become effective upon the completion of all signatures, regardless of the
order in which they are placed, and shall be valid until cancelled as provided in paragraph 4.
. _ 1. PURPOSE
To support WASHTENAW with a quality data processing .service including access
to selected application systems, operations of 'these systems, and operation of a
data communication network used for software development/maintenance, data
entry, and inquiry.
2. RESPONSIBILITIES OF Oakland County Computer Services Department (OCCSD)
OCCSD agrees to provide the following services:
• Access to application systems software and documentation in accordance with
implementation schedule provided in Attachment A;
• Support of a data communication network at WASHTENAW as provided in
Attachment B;
• Provide operations services for the aforementioned systems in accordance
with a mutually developed production schedule. These services include
computer operations, data control, quality assurance, and technical support
provided in a manner consistent with the OCCSD operations standards in use
These services do not include user services personnel to adapt OCCSD
application software to Washtenaw County requirements.
• Provide access to designated operations and technical support personnel for
communication and liaison of operations and production issues and for trouble-
shooting problems which may arise;
Solely and exclusively shall select the equipment for, provide, maintain,
operate, and manage the data processing system at OCCSD in order to provide
the services specified in this Agreement;
• Advise and approve any terminal devices and communication lines provided by
WASH.TENAW; and
• Provide security, back-ups, and contingency provisions for WASHTENAVs
data files and application software consistent with the OCCSD standards.
• 3. RESPONSIBILITIES OF WASHTENAW
WASHTENAW, and its authorized agents, agree to the following:
• Operate its terminal stations at its location including data entry, inquiry, and
job set-up and operation with personnel authorized and trained for its
operation;
• Ensure that all terminal operational and site personnel comply with
appropriate OCCSD, CLEMIS, LEIN, and NCIC security regulations' in forte;
• Shall limit access of information to its employees or authorized agents as
required to carry out their official duties;
• Responsible for maintenance, enhancement and implementation of application
software as required to operate in WASHTE.NAW;
• All costs for terminal and associated equipment, personnel, equipment power
and supplies, will be borne by WASHTT.--.,NAW.•;•
• Costs for tapes and cabinets required for .back-up and storage services will be
borne by WASHTENAW;
• Operate within the published standards, policies, and procedures of OCCSD
currently in force;
Execute appropriate CLEMIS and LEIN agreements required for access to
criminal justice network; and
• Washtenaw County or its agents through any of their actions shall not impact
on any functional application software maintained on OCCSD computer for
Oakland County users.
4. TERM
The term of this Agreement is for three years ending December 31, 1984. Either
county can end the Agreement with six months notice. If either county ends the
Agreement prior to December 31, 1984, a transition plan acceptable and
beneficial to both parties will be developed. This plan will identify specific dates
and systems to be transitioned. :Costs during the transition period will be based on
actual resources used so that neither party is unduly penalized during the
transition period. By June 30, 1984, a decision will be made as to the continuance
of the Agreement.
5. COST
AS per the following. schedule, WASHTENAW shall reimburse Oakland County to
operate the required service outlined in Attachment A & B. Reimbursment for
any additional services shall be negotiated separately.

• 580,000 in 1582
• $120,000 in 1983
• $200,000 in 1984
In addition to the above schedule of •cost reimbursment, NXIashtena ,.v shall be
charged for tax bill]ng at the prevailing rate which is $0.39 per parcel for 1982.
The first Two years are at a fixed level of cost. The costs in 1984 will be based on
history and will reflect a "standard transaction" charge. (These costs assume only
those systems and functionalities listed in Attachment A and B. Additional
systems or functions will be negotiated separately.)
6. SOFTWARE OWNERSHIP/LICENSE.
OCCSD licenses the use of its application software by WASHTENAW and its local
units as part of this Agreement. In the case of termination of this Agreement,
OCCSD will provide WASHTENAW with their latest .version of application
software and supporting documentation including systems which were scheduled to
be implemented by the end of 1984. WASHTENAW agrees that OCCSD retains
rights of ownership and that it cannot sell, transfer, or give away the software
without the written approval of OCCSD.• All outside agents operat ing the
software shall also execute an "Ownership" Agreement. Proprietary software
used by OCCSD is outside the purview of this Agreement.
7. SOFTWARE WARRANTY
OCCSD warrants the application software to operate as is in the current Oakland
environment. Any changes made to the application software by WASHTENA\V is
beyond the responsibility of OCCSD.
S. APPLICABILITY
The benefits of this Agreement will accrue to WASHTENAW, its departments.
agencies, and local units within the county. All such benefits must be through the
network agreed upon.
9. AVAILABILITY/CHANGES TO OPERATING ENVIRONMENT
Operations services and access to the hardware and software resources will be
based upon a mutually agreed upon production schedule.
In cases of deviation from schedule, due to down-time resulting from equipment
failure or unscheduled maintenance, WASHTENAW would be notified in a manner
similar to current users of OC.CSD. Also, WASHTENAW users would receive
priority and access consistent with counterpart Oakland County agencies.

During the term of the Agreement, changes made to the application software, by
either party, are available to the other.
Changes made by OCCSD to the operating environment will be commun i cated to
WASHTENAW in accordance with current operating procedures.
10. LIABILITY
WASHTENAW agree to indemnify and save harmless OCCSD and its official
agencies, officials, and employees from and against any and all claims, demands,
actions, suits, and proceedings by others, against all liability including but not
limited to any liability for damages by reason of or arising out of any cause of
action whatsoever, or against any loss, cost, expense, and damage, resulting
therefrom, as a result of the exercise and enjoyment of this agreement.
I 1. COMMUNICATION
All formal communication with regard to this Agreement shall be between the
OCCSD Director and . The OCCSD Director
will meet on a designated regular basis with a WASHTENAW Data Processing
Committee to establish priorities, review progress, and resolve problems with
regard to the WASHTENAW service levels.
All other communication with OCCSD representatives will be with designated
individuals required to provide the above mentioned personnel services.
The individuals signing on behalf of the parties certifies by his signature that he is authorized
to sign the Agreement on behalf of the agencies, and that all terms of the Agreement will be
properly adhered to.
