GOSLING, CHAIRPERSON IN RE APPROVAL OF OAKLAND COUNTY MEDICAL CARE FACILITY ADVISORY COUNCIL BY-LAWS TO THE OAKLAND COUNTY BOARD OF COMMISSIONERS Mr. Chairperson, Ladies and Gentlemen: WHEREAS the Oakland County Board of Commissioners established the Oakland County Medical Care Facility Advisory Council by Miscellaneous Resolution #81129, dated December 3, 1981; and WHEREAS the purpose of the Advisory Council is to assure communications be- tween the community, the Oakland County Medical Care Facility and the Board of Commissioners; and WHEREAS the Health and Human Resources Committee reviewed and recommended the approval of these By-Laws at its meeting of July 28, 1982. NOW THEREFORE BE IT RESOLVED that the Oakland County Board of Commissioners approves the adoption of the Oakland County Medical Core Facility Advisory Council By-Laws in accordance with Attachment A, Mr. Chairperson, on behalf of the Health and Human Resources Committee, I move the adoption of the foregoing resolution. BYLAWS Article I ESTMBLISID= OF ADVISORY CDUNCIL The OCMCF Advisory Council as established by the Oakland County Board of Commissioners December 3, 1981 under Miscellaneous Resolution #81129, to wit to assure continuation of a forum for cormunity input, the Medical Care Facility Advisory Council five-person reridership will be apointed by the Chairperson of the Oakland County Board of Cculcissioners, with Board confirmation, and will include a minim= of one commissioner form the Health and Human Besonrces Committee. The Advisory Council shall 11.t with the facility administrator on a regnies basis and advise the Board of Commissioners as necessary." PaLicle II PURPOSE OF THE ADVISORY COUNCIL The purpose of the Advisory Council shall be to assure ca=unications between the conlivunity, the Oakland county Medical Care Facility and the Board of CormissioneL. Article III FUNCTION OF THE AMISORY COUNCIL Section A. The function of the Advisory Council shall be to act in an advisory capacity to the Health and Human Resources Committee, the Liaison committee to the Board of Comrissioners. In this capacity, the Advisory Council shall concern itself with, but shall not be limited to, the following areas; 1. Quality of patient care. 2. Needs of patients. 3. Acting as a fcran for comnnity input. 4. Public awareness of the facility. 5. Programs for patient care.- . 6. Development of fund raising activities. 7. Assistance in recruitment of volunteers. 8.. The financial condition of the facility. 9. Th na;t.affing needs of the facility. 10. The need for capital irprov,elaan4,of the facility. 11. The physical condition of the facility 12. Interdepartmental relationships. Section B. The Advisory Council shall reetwith the Administrator of the Oakland County Medical Care Facility and the Director of Institutional and Human Services on a regular basis. Section C. The Advisory Council shall meet with such other stff of the Oakland County Medical Care Facility as may be necessary to obtain information for the purpose of advising and reccmcending to the Health and Human Resources. -1- Article TV OFFICERS OF THE,ADVISORY .COUNCIL Section 1. Officers of the Advisory Council shall be Chairperson, Vice Chairperson, .and such other officers as the Advisory Council ray authorize from its awn rembershin. Section 2. Officers shall hold office for a period of one year from tire of election or until succeeding officers shall have been duly elected and qualified. Section 3, Duties: Chairperson shall conduct meetings and call special reetings. Vice Chairperson shall substitute for Chairperson when necessary. Article V I=ULAR P2\-D SPECIAL MEETINGS The OCMCF Advisory Council 'shall reet not less than 6 tines per year. A ouorum for reetings shall. consist of three (3) rerbers, one of whom shall be an officer. Scecial reetings shall be called by the Chairperson if required. Written notice of special meetings shall be railed to each renber of the council at least three days before the date of such special meeting. This notice shall state the brciness for the transaction of which the special meeting has been called, Section 4. Minutes- of both regular and special reetings will be 2r-ken to reflect pertinent business conducted and will be sent to rerbers of the council before the.neXt,rrseting, Copies ,pf .the ,minutes should also be forwarded to the members of the Oakland -CoUniy Board of Commoners Health and Human Resources Committee. ARTICLE VII TERM OF OFFICE The members of the Council shall be residents of the County. The Council shall be composed of five (5) renters. The term of office of the OCMCF Advisory Council nerbers shall be two years. Of the renters first appointed, three shall be appointed for a term of two years and two shall be appointed for a tau.11 of 1 yr. ARTICLE VIII REPORTS TO TIE HEALTH AND HT.NANPESCURCES c=amE The OCMCF Advisory Council shall submit a quarterly report to the Health and Hunan Resources Committee of the Oakland County Board of Corrissioners. FILLING A VACANCY In the event a vacancy occurs on the Advisory Council a new rerber shall be appointed by the Board of Courissioners to fill the unexpired vacancy. • If a rernber of the OCMCF Advisory Council shall be absent from 3 oonsecutiva such rember Tray be requested to resign and the Chairperson shall request the Board of Cournissioners to fill such vacancy. Moved by Gosling supported by Moffitt the resolution be amended by deleting Article X and adding a new Article X to read: "Amendments. These By-laws may be altered or amended by a 2/3 vote of the total members of the Council at any meeting. Notice of any proposed amend- ment shall be submitted in writing to the Council members and to the Board of Commissioners 30 days prior to the meeting at which that amendment is voted upon. All amendments must be approved by the Board of Commissioners." Also add another paragraph to read: ARTICLE XI "Actions in Conflict. These rules shall not permit the Council to take any action in conflict with any policy or resolution adopted by the Board of Commissioners." A sufficient majority having voted therefor, the amendments carried. Moved by Hobart supported by Gosling that Article IX, Section I be amended to read "In the event a vacancy occurs on the Advisory Council, a new member shall be appointed by the Chairman of the Board of Commissioners with the concurrence of the members of the Board of Commissioners to fill the unexpired vacancy." A sufficient majority having voted therefor, the amendment carried. Vote on resolution as amended: AYES: Montante, Moore, Olsen, Page, Perinoff, Pernick, Peterson, Price, Whitlock, Wilcox, Caddell, Cagney, Calandro, DiGiovanni, Doyon, Gosling, Hobart, Jackson, Lanni, McDonald, Moffitt.
