Mr. Chairperson, Ladies and Gentlemen:
WHEREAS, the Oakland County Community Development Program has as an objective
the provision of decent housing, a suitable living environment and expanded oppor-
tunities principally for persons of low and moderate income; and
WHEREAS, Oakland Livingston Human Service Agency has carried out over the
past several years an energy conservation program of weatherizing homes and
energy conservation workshops; and
WHEREAS, a successful program has been carried out cooperatively between the
two agencies since 1978; and
WHEREAS, the cooperative program makes it possible to assist low income,
elderly and handicapped persons in meeting energy needs through conservation
methods utilized in the existing Weatherization Program and through energy conser-
vation workshops; and
WHEREAS, the Oakland County Community Development Advisory Council unanimously
recommends approval of the agreement,
NOW THEREFORE BE IT RESOLVED that the Oakland County Board of Commissioners
authorize the Chairperson of the Board of Commissioners to execute the necessary
agreement with the Oakland Livingston Human Service Agency for the implementation
of: 1) Weatherization Program at a sum of $15,000 and 2) Energy Conservation
workshops at a sum of $15,000, not to exceed a total budget of $30,000.

Contract Between
Oakland Livingston Human Service Agency
and
The County of Oakland
Section I. Contract
This Contract is made this 1st day of July, 1982, between the Oakland Livingston
Human Service Agency, hereinafter designated as the "Agency', having its
principle office at 196 Oakland Avenue, City of Pontiac, State of Michigan, 48058,
and the County of Oakland, Office of Community Development, hereinafter designated
as the "County", having its principle office at 1200 North Telegraph Road, City
of Pontiac, State of 48053.
Section II, Purpose
The purpose of this Contract between the Agency and the County shall be to establish
a joint demonstration project initiated for the purpose of energy conservation and
home maintenance repair on the homes of low income homeowners within specific areas
of Oakland County. The specific areas of Oakland County eligible for services under
the Contract will be the same areas that are currently within the service area of
the existing Oakland County Community Development Block Grant program. (See
attachment A - "Eligible Project Areas"). The broad goals are:
1. Reduction of substandard housing occupied by low income homeowners in Oakland
County.
2. Training and employment of underskilled and underemployed persons as Weatherizers.
3. Coordinating of Community Development Block Grant funds with the existing Project
Warmth weatherization program, which will reduce duplication of services within
the County and provide needed services in a more expeditious manner.
In consideration of mutual promises and covenants contained herein, the Agency and
the County agree as follows:
Section III.
A. The Agency shall conduct energy conservation and home maintenance repair on homes
of the low income residents in Oakland County who meet Department of Energy (DOE)
and the Bureau of Community Services (BCS) weatherization eligibility guidelines.
The total number of homes is subject to fluctuation due to the cost of materials,
as well as the extent of need for maintenance repairs. Home maintenance repairs

and energy conservation materials, for the purpose of this Contract will
include, but not.be• limited to, the activities and items on the enclosed
checklist: (See attachment B - Program Checklist). The need and extent
of materials and services, up to $700, to be provided to each home will
be determined by the Inspector and Project Managers for the Agency.
B. The Agency shall submit reimbursement requests, work progress reports, and
financial reports to the County on a monthly basis to coincide with the .
Agency's regular weatherization production schedule.
C. The Agency shall purchase, and account for, all materials necessary for
the maintenance and energy conservation activities.
D. The Agency shall provide workshops on low cost/no cost conservation,
available energy and housing programs, and hands-on workshops on window
curtains and window covers.
E. The Agency shall be financially responsible for providing up to Sixteen
• Hundred Dollars ($1,600) of its Federal weatherization grant per home
for the cost of weatherization materials.. Weatherization materials are
defined as those materials which are acceptable for weatherization activities
under existing grants to the Agency from the Bureau of Community Services
and the U.S. Department of Energy.
Section IV. The County's Responsibilities
A. The County shall, in consideration for services, rendered by the Agency, pay
the Agency a total sum not to eXCeed'r y.Thousand Dollars (30,QQ 0 ) 7'
B. The County shall reimburse the Agency upon the receipt of a reimbursement
request from the Agency.
C. The County, through the reimbursement of funds to the Agency, will cover all
items in cost categories listed in attachment C.
Section V. Compliance •
The Agency shall comply with all applicable laws, ordinances, codes, and regulations
of the Federal, State, and local governments.
. Section VI. Discrimination Prohibited
The parties shall not discriminate against any employee or applicant for employment
with respect to hire, tenure, terms, conditions, or privileges of employment, or
a matter directly or indirectly related to employment, because of race, color,
religion, national origin, age, sex, height, weight, or marital status pursuant
to 1976 P.A. 453, Section 209. The parties shall also comply with the provisions of
the Michigan Handicappers Civil Rights Act, 1976 P.A. 220 and the Federal Renabili-
tation Act of 1973, PA.. 93-112, 87 Stat. 394, which states that no employee or
client or otherwise qualified handicapped individual shall, solely by reason of
his handicap, be excluded from participation, be denied the benefits of, or te
subjected to discrimination under any program or activity receiving Federal financial
assistance. The parties shall comply with all other Federal, State, or local laws,
regulations and standards, and any amendments thereto, as they may apply to the
performance of this Contract.
Section VI. Discrimination Prohibited (continued) .
No person shall, on the grounds of race, creed, color, sex, age, national
origin, height, weight, handiq..ap, or marital status, be excluded from parti-
cipation in, be denied the proceeds of, or be subject to discrimination in
the performance of this Contract. The County shall comply with all applicable
regulations promulgated pursuant to the Civil Rights Act of 1964.
Section VII. Political Activity Prohibited
None of the funds, materials, property or services contributed by the Agency
- and/or the County under this Contract shall be used in the performance of
this Contract for any partisan political activity, or to further the election
or defeat of any candidate for public office.
Section VIII. Religious Activity Prohibited
There shall be no religious worship, instruction, or proselytization as part of,
or in connection with the performance of this Contract.
Section IX. General Provisions
A,rInteration
This Contract constitutes the entire Contract between the Agency and the
County with respect to the subject matter hereof and there are not other
or further written or oral understandings or agreements with respect hereto.
B. Modification
No variation or modification of this Contract, and no waiver of its provisions
shall be valid unless in writing and signed by the duly authorized officers
of the Agency and the County.
C. Assignment or Delegation
No assignment or delegation of this Contract may be made, in whole or in part,
without the written consent of the County being first obtained.
D. Term of Contract
This Contract shall be effective as of July 1, 1982, and shall be in force
during the period commencing of the effective date and ending June 30, 1983,
and during such additional period or periods as the Agency and County may
agree upon.
E. Termination
Either party may at any time during the life of this Contract or any extension
thereof terminate this Contract by giving thirty (30) days notice in writing
to the other party of its intention to do so. All notices to the Agency shall
be addressed to it at 196 Oakland Avenue, City of Pontiac. State of Michigan,
Zip Code 48053, and all notices to the County shall be addressed to it c/o
the Office of Community Development at 1200 North Telegraph Road, City of
Pontiac, State of Michigan, Zip Code 48053.
. F. Indemnification
The -Agency agrees that during the term of this Contract, it shall defend,
indemnify, and save harmless the County from any and all liability and any
and all claims, suits, actions, damages, consisting of every name and
description resulting from any act, omission, or negligence of, or chargeable
to the Agency or any employee thereof arising under and pursuant to this
Contract, and such indemnification shall not be limited by reason of any
insurance coverage.
Contigency Fees
The Agency warrants that no person or selling agency or other organization
has been employed or retained to solicit or secure this Contract upon an
understanding for a commission, percentage, brokerage, or contigency fee.
H. Independent County Prp'yision
The relationship of the Agency to County shall be that of an independent
contractor. No partnership, association, or joint enterprise shall arise
between the parties hereto as a result of any provision of this Contract, nor
shall any provision herein be construed as making an employee of this Agency
as agent or employee of the County.
I. Disputes
The Agency shall notify the County in writing of its intent to pursue a
claim against the County for breach of any terms of this Contract. No
suit may be commenced by the Agency for breach of this contract prior to
-- the expiration of -nTnety (90) days from the date of such notification.
Within this ninety (90) day period,. the Agency, at the request of the County,
must meet with an appointed representative of the County for the purpose of
attempting to resolve the dispute.

lump sum compensation for injury, food .stamps, assistance payments
based on need) supplied by States, political subdivisions and
Indian tribes, resources from grants, Scholarships, fellowships
and educational. loans, work expenses of the blind, handicapped
income recuired for an approved prograM of self-support, and
black lung disability payments.
