IN RE: AWARDING OF CONTRACT FOR HEALTH DEPARTMENT
OPERATIONS APPRAISAL
TO THE OAKLAND COUNTY BOARD OF COMMISSIONERS
Mr. Chairman, Ladies and Gentlemen:
WHEREAS, pursuant to Miscellaneous Resolution #6256, authorization was given
to seek proposals for an Operations Appraisal of the County Health Department; and
WHEREAS several consultants and firms offering such services have been interviewed
jointly by the Finance and Health Committees;
NOW THEREFORE BE IT RESOLVED that the contract for an Operations Appraisal
for the County Health Department be awarded to Touche Ross & Company of Bloomfield Hills
in an amount not to exceed $20,500.00.
BE IT FURTHER RESOLVED that the Chairman of the Board and the County Clerk
be and they are hereby authorized to execute said contract on behalf of the County of
Oakland.
The Finance Committee, by Fred D. Houghten, Chairman, and the Health Committee,
by Joseph R. Montante, Chairman, move the adoption of the foregoing resolution.

sum of $20,500.00 available, such funds to be derived from the Contingent Fund.

THIS AGREEMENT made and entered into this 13th day of

June 1973, by and between TOUCHE ROSS & CO.,
hereinafter called the "Contractor", and the COUNTY OF OAKLAND, a
Michigan Constitutional Corporation, hereinafter called the "County";
WITNESSETH:
For and in consideration of the covenants herein, the parties
hereto agree as follows:
The Contractor agrees to furnish all qualified personnel,
materials and other services to perform the assignments as set forth
herein.
The Contractor shall commence performance of this Contract no
later than June 18, 1973 and shall complete performance no later than
September 15, 1973.
The following activities and tasks will be performed by the
Contractor:
1. Analyze county, state and federal statutes, regulations
and policy.
2. Prepare summary of Department of Health programs and
functions from above.
3. Review personnel policies and procedures.
4. Review applicable Board of Auditors policies and pro-
cedures.
5. Review applicable Finance and Health Committee policies
and procedures.
6. Review relationship of Department of Health to other
county and state departments and agencies.
7. Review existing management reports for Department of
Health programs, functions and fiscal operations.
8. Project management and supervision.
9. Preliminary Study - Prepare Detail Work Plan for this
activity; design the data gathering study; define exhaustive list
of data; design forms, checklists, and schedules to support and
facilitate the data gathering function; identify individuals to be
interviewed and prepare an interview schedule; perform the data
gathering study; and analyze results.
10. Detail Study - Conduct additional interviews and data
gathering as required. Review findings and recommendations with
Health Department personnel. Hold frequent project status meetings
and project management and supervision.
11. Report Preparation - Prepare revised organization chart
and supporting materials; prepare program and function analysis;
Prepare list of operation improvement projects; prepare other recom-
mendations, findings and supporting materials; prepare action plan
to develop and implement recommendations; prepare report draft;
submit draft for Finance and Health Committee approval; modify
draft as required and submit final report; and project management
and supervision.
The County agrees to pay the Contractor for the services des-
cribed herein for time and out-of-pocket expenses dedicated to the
project. The total consultant service for the project shall not
exceed the sum of Twenty Thousand Five Hundred ($20,500.00) Dollars.
Payments by the County shall be for services performed, based upon
monthly billings by the Contractor for work to date. The monthly
billings by the Contractor shall be documented by time and cost data.
It is understood that the County shall retain 10% of billings rendered
until project completion.

In connection with the performance of services under this
Agreement, the Contractor agrees to comply with the county, state
and federal provisions regarding civil rights and equal employment
Opportunity.
The Guidelines for Operations Appraisal of the Oakland County
Health Department, a copy of which is attached hereto and marked
Exhibit 1 is hereby made a part of this Contract as if it was herein
set forth in length.
Further, the proposal to perform an operations appraisal of
the Oakland County Health Department, dated May 18, 1973, submitted
by the Contractor to the County, a copy of which is attached hereto,
and marked Exhibit 2, is hereby made a part of this Contract as if
it was herein set forth in length.
IN WITNESS WHEREOF, the parties hereto have set their hands
the day and date first above written.
