Hobart, Chairperson IN RE: DEPARTMENT OF PUBLIC WORKS - SOLID WASTE - MALCOLM PIRNIE, INC. ENGINEERING CONTRACT FOR THE IMPLEMENTATION OF A MATERIAL RECOVERY FACILITY, COMPOSTING FACILITY, HOUSEHOLD HAZARDOUS WASTE DISPOSAL PROGRAM AND INFECTIOUS WASTE SURVEY TO THE OAKLAND COUNTY BOARD OF COMMISSIONERS Mr. Chairperson, Ladies and Gentlemen: WHEREAS Oakland County is in the process of implementing a countywide solid waste management program consisting of waste-to-energy facilities, recycling centers, composting and landfills; and WHEREAS the Oakland County Solid Waste Task Force has prepared the Oakland County Solid Waste Management System Status Report I, which recommends the implementation of a 400 ton per day Material Recovery Facility (MRF), a 300 ton per day composting facility, household hazardous waste disposal program, the performance of a survey of infectious waste disposal practices in the county and the development of a battery collection and disposal program; and WHEREAS Malcolm Pirnie, Inc. is a national recognized environmental engineering firm with extensive experience in the proper disposal of waste; and WHEREAS the engineering firm of Hubbell, Roth & Cl-rk, Ina. will be a sub-consultant to Malcolm Pirnie, Inc. as the local Oakland County firm to assist in the development of these Programs; and WHEREAS this contract costs not to exceed $302,000 in 1989 and $515,000 in total is consistent with Miscellaneous Resolution #89126 - Solid Waste 1989 Professional Services Amendment, NOW THEREFORE BE IT RESOLVED the Oakland County Board of Commissioners hereby authorizes the Chairperson of the Board of Commissioners and the Oakland County Executive to execute a contract with Malcolm Pirnie, Inc. for the purpose of implementing a 400 ton per day material recovery facility, furnish technical support for the development of a composting facility, develop a household hazardous waste program, performance of a survey of infectious waste disposal practices in Oakland County and develop a program for the collection and disposal of batteries as per the attached contract. ENGINEERING CONTRACT FOR IMPLEMENTATION OF A MATERIAL RECOVERY FACILITY, COMPOSTING FACILITY, HOUSEHOLD HAZARDOUS WASTE DISPOSAL PROGRAM AND INFECTIOUS WASTE SURVEY TO THE OAKLAND COUNTY BOARD OF COMMISSIONERS Mr. Chairperson, Ladies and Gentlemen: Pursuant to Rule XI-G of this Board, the Finance Committee has reviewed Miscellaneous Resolution # and finds: 1) The county is actively pursuing the _implementation of a 400 ton per day Material Recovery Facility (MRF) and a 300 ton per day composting facility, a household hazardous waste disposal program, a survey of infectious waste disposal, and the development of a battery disposal program, 2) The county has negotiated a contract from Malcolm Pirnie Inc. Engineers, (a nationally recognized environmental engineering firm from White Plains, New York) for engineering service as described in Attachment A, 3) The costs for these services are estimated not to exceed $302,000 for 1989 and $515,000 for the entire contract, 4) The 1989 work scope is consistent with Miscellaneous Resolution #89126 - Solid Waste 1989 Professional Services Amendment which authorized the current funding level (as detailed on Attachment A), 5) This contract has been approved as to form by Corporation Counsel, 6) Funding for this contract is available in the Solid Waste unit Professional Services line item (4-10100-141-15-00-3128) in the amount of $302,000 and it is recommended that the contract be awarded in an amount not to exceed $302,000 for 1989, 7) Funding. for 1990, in excess of $302,000, will be contingent upon issuance of bonds. ALLEN, County Clerk Register of Deeds 1442-01-10q5 -1- AGREEMENT between OAKLAND COUNTY, MICHIGAN and MALCOLM PIRNIE ENGINEERS THIS AGREEMENT, made this day of , 2989 by and between Oakland County, Michigan (OWNER) and Malcolm Pirnie Engineers, 2 Corpo- rate Park Drive, White Plains, New York 10602, (ENGINEER). WHEREAS, the OWNER desires to employ, the ENGINEER to render certain professional engineering services related to recycling. WHEREAS, the ENGINEER is willing to provide these services for the consideration and upon the terms hereinafter stated; NOW THEREFORE, in consideration of these premises and of the mutual convenants herein set, forth, the parties hereto agree as follows: • SECTION 1. BASIC SERVICES OF THE ENGINEER 1.1 It is agreed that the ENGINEER'S obligations under this Agreement run to and are for the benefit of only the OWNER. 1.2 The scope and details of the services to be performed under this Agreement are more fully described in Exhibit 1, Scope of Basic Services attached hereto and made a part hereof. 1.3 An estimate of the hours and the cost for each task and for the total contract is detailed on Exhibit 4. The accumulative fees and reimbursable expenses will not exceed $515,000 without the prior written approval of the OWNER. OPTIONAL SERVICES BY ENGINEER 2.1 One or more additional services may be required in carrying out the work, because it is not possible to determine in advance the need for such services they are included as separate from the basic services, as Exhibit 2. :These optional services will be undertaken only upon written authorization by the OWNER. SECTION 3. SERVICES BY OWNER 3.1 It is agreed that certain services shall be performed or furnished by the OWNER. These servicesjnclude: 3.1.1 Assisting and cooperating with the ENGINEER in complet- ing the work in a timely and effective manner; 3.1.2 Designating a representative who ., shall have authority to transmit instructions, receive notices and information and enunciate OWNER'S policies and decisions; the OWNER'S representative shall be Mr. Milton W. Handorf, P.E., or his designee and/or H. Lawrence Fox of Bishop, Cook, Purcell & Reynolds, 1400 L Street, N.W., Washington D.C. 20005-3502. 3.1.3 Arranging for and holding promptly any required meet- ings, including the provision of meeting facilities and the serving of all required public and private notices; 3.1.4 Providing access to and obtaining permission for the ENGINEER to enter upon public and/or private lands as required for ENGINEER to perform surveys, observations or other necessary functions; 3.1.5 Furnishing required approvals, permits or consent from governmental or regulatory- bodies or others, necessary for the com- pletion of the work; 3.1.6 Making available to the ENGINEER all of its existing information which may in any way be pertinent to the work herein de- scribed; 3.1.7 Responding within a reasonable time to the ENGINEER'S requests for written decisions or determinations, pertaining to the work, so as not to delay the services of the ENGINEER. 3.1.8 Giving prompt written notice to the ENGINEER whenever the OWNER becomes aware of any event, occurrence, condition or circumstance which may substantially affect the ENGINEER'S performance of services under this Agreement; 3.1.9 Taking all municipal, corporate or other action neces- sary to authorize, finance and carry out this Agreement and to ensure that this Agreement constitutes a valid and binding Agreement of OWNER. SECTION 4. TIME SCHEDULE 4.1 The ENGINEER shall commence the performance of the Basic Services upon written authorization by OWNER which shall constitute • Authorization to Proceed. 4.2 The ENGINEER recognizes that the Basic Services under this Agreement are to be performed as expeditiously as is practical. Every reasonable effort will be made to substantially complete the Basic Services within a six month period after Authorization to Proceed. 4.3 Performance of any of the Optional Services described in Section 2 will commence only upon separate written authorization by the OWNER and shall be completed in accordance with a schedule set forth in such authorization. SECTION 5. AMOUNT AND METHOD OF PAYMENT 5.1 For services provided under Section 1, Basic Services, and Section 2, Optional Services, payment shall be made in accordance with Exhibit 3, Method of Payment. SECTION 6: CHANGES 6.1 The OWNER may, at any time, by written order, make changes in the specific tasks or work to be performed within the general scope of this Agreement. 6.2 If such changes cause an increase or decrease in the ENGI- NEER'S cost of, or time required for, performance of any specific tasks under this Agreement, an equitable adjustment shall be made and this Agreement shall be modified in writing accordingly. 1442-01-1095 -3- 6.3 At no time shall any of these changes increase the accumula- tive fees- and reimbursable expenses limit of $515,000, without the prior written approval of OWNER: SECTION 7. SUSPENSION OF WORK 7.1 The OWNER may order the ENGINEER in writing to suspend, delay, or interrupt all or any part of the ENGINEER'S services for such period of time as the OWNER may determine to be appropriate. 7.2 If such suspension delay or interruption is longer than 30 days and causes an increase or decrease in the ENGINEER'S cost of, or time required for, performance of any specific tasks under this Agree- ment, an equitable adjustment shall be Made and this Agreement shall be modified in writing accordingly. SECTION 8. TERMINATION OF AGREEMENT r, 1•••It••is . expressly -understood ard agrccd that the ,rM 7 R me,y terminate this Agreement at any time by giving the ENGINEER 10 days written notice either personally at one of the offices of the ENGINEER or by certified mail, return receipt requested, to the principal office of the ENGINEER_ The ENGINEER may terminate this Agreement upon 10 days written notice if the OWNER substantially fails to, fulfill its obliga- tions under this Agreement. 8.2 In the event that this Agreement is terminated by either the OWNER or the ENGINEER, the ENGINEER shall be compensated for all ser- vices performed to the date of termination including reimbursable expenses then due. Such compensation shall be based on the arrangement set forth in Exhibit 3, unless otherwise agreed. For those portions of services rendered to which this arrangement cannot be applied, payments shall be based upon reasonable rates for the ENGINEER'S actual time spent on the work. 1442-01-1095 -4- SECTION 9. INSURANCE 9.1 The ENGINEER represents and agrees that it is acting and shall continue to be an independent contractor and that no liability or benefits such as,. but not limited to, Workmen's Compensation benefits, retirement and pension benefits, or insurance benefits, or such other rights or liabilities arising out Of a contract of hire or employer - employee relationship shall arise or accrue to either party as a result of this agreement. 9.2 The ENGINEER agrees to defend, indemnify and hold the OWNER, its officials, employees and agents harmless from any and all liability, loss or damage which results from any-.and all claims, demands, costs, judgements or causes of action, including reasonable attorneys fees, arising solely from the actions or omissions of the ENGINEER, its officers, directors, employees or agents under this agreement. Murphy Oakland County Executive By Roy Rewold, Chairperson Board of Commissioners Attest: MALCOLM PIPNIE ENGINEERS By Title Attest: EXHIBIT 1 SCOPE OF BASIC SERVICES Task 1 - Development of Request for Qualifications (RFQ) In order to initiate the procurement of a vendor for the Oakland County Materials Recovery Facility (MRF), the ENGINEER shall partici- pate in the issuance of the RFQ. Qualified firms identified through the RFQ process would include only those with the clear ability to participate in the MRF project. The ENGINEER shall modify and expand the draft RFQ (dated January 13, 1989) prepared by others. .Based on a preliminary review of the draft RFQ, the following schedules and appropriate data will be required of prospective vendors: 1) The historical experience of vendors. 2) Description of any current or proposed joint ventures with other recycling industries/companies. 3)• • SpetificatIons (quality) of processed material. 4) Description of methods for phasing/expanding processing capacity of the MRF. 5) Description of process-line and equipment types. 6) Description of mechanical processing versus hand sorting.. 7) Vendor recommendation on incorporating plastics into the initial process design. Task 2 - Review and Shortlisting of RFQ Submittals The ENGINEER shall participate in the development of a recommended shortlist with respect to technical and environmental issues. Task 3 - Construction and Service Agreement The ENGINEER shall review the draft Materials Recovery Facility Construction and Service Agreement (dated May 26, 1989) prepared by others and modify and expand the technical and environmental sections as necessary. The following items will be developed, among others: PR9-0425-739 7-1 1) Comments and modifications to draft technical specifications governing equipment selection and design, including conveyors, balers, crushers, mobile equipment, containers, magnetic separators, etc. 2) Technical review of architectural specifications governing interior and exterior building design, appearance and.materials selection. 3) Review and provide recommendations on operations and mainten- ance requirements with respect to processed materials specifi- cations, operating schedule, equipment repair and maintenance, environmental impact (noise, odor, wastewater discharge, water use, etc.), residue generation and handling, materials storage, etc. 4) Review and comment upon acceptance test requirements. 5) Review and comment upon construction requirements, including scheduling, construction techniques, use of subcontractors, as-built drawings, etc. 6) Provide input on specifications pertaining to the marketing of recovered materials, including the quality of processed - • material, leQitidLe markets for -materiei, efforts to obtain favorable pricing, and revenue sharing. 7) Provide recommendations on recordkeeping and reporting requirements. Task 4 - Evaluation and Negotiation of Construction and Service Agreement The ENGINEER shall participate, as part of the County-formed negotiating team, in simultaneous negotiations with qualified vendors. This will most likely include: 1) Review and evaluation of technical and environmental vendor comments and requested modifications to the County's draft Construction and Service Agreement. Participation in meetings with qualified vendors inorder to negotiate agreements that can be compared with those of other qualified vendors. 3) Calculation of cost and revenue estimates associated with vendor modifications to the Construction and Service Agreement for economic comparison. 4) Compilation of results of negotiations and a recommendation as to the vendor proposal representing the lowest cost to the OWNER. PR9-0425-739 1-2 Task 5 - Composting Technical Support Under this task, the ENGINEER shall provide technical support for the development of the County Composting System. Essentially, this task is in the nature of assisting the county staff and reviewing materials prepared by the staff. This may include: 1) Review of existing and proposed State and Federal regulations and guidelines with respect to compost systems. 2) Assist in development of siting criteria and candidate site(s) analyses. 3) Assist in the analysis of the potential to process and produce a quality compost product from lake weeds or provide alternative disosal or usage options. 4) Develop and recommend options for recycling other vegetative wastes such as brush, grass, and tree-trimmings. 5) Provide technical input for the 'evaluation of composting options, including technologies, size. (regional versus local), materials handling equipment, volumes, etc. 5) Provide technical recommendations for producing quality compost. 7) Assist in determining an overview of local material markets. 8) Technical support to enable County staff to develop compost facility design including site layout, equipment requirements, drainage requirements and backup calculations. 9) Recommendations on operational scenarios. 10) Estimated capital, operation and maintenance costs for compost facility. Task 6 - Household Hazardous Waste - Assist in Preparation of Program and Vendor Bidding Documents Under this task, the ENGINEER shall: 1) Develop an estimate of the amounts of Household Hazardous Waste (HFW) generated within the County and the number of Clean-up Days that may be required per year. Research potential funding sources. PR9-0425-739 1-3 3 2 Develop a list of companies providing HHW hauling and disposal services. Develop bid specifications for procuring vendor; conduct background search on history of vendor operations. 5) Provide siting criteria for an ongoing HHW Disposal Program. 6) Assist in final vendor selection in order to verify vendor capabilities and experience. 7) Develop and provide elementary media plan for informing residents of the services to be provided. Task 7 - Infectious Waste - Determination of Critical Issues Under this task, the ENGINEER shall: 1) Analyze and report on existing or anticipated State & Federal regulations pertaining to infectious waste transport and disposal. Develop and distribute infectious waste survey, receive and compile information, and develop a) data base on estimated quantities of infectious waste generated within the County. b) data base on existing hospital incinerators and current methods of handling and disposal. 3) Identify and compile currently available disposal capacities. 4) Prepare report on the results obtained from the above sub-tasks, and on transport and disposal alternatives for future consideration. Task 8 - Battery Recycling Essentially, this task involves development of a .program for collection of batteries and preparation of cost estimates and payment systems. 1) Analyze and present overview of the positive effects on Resource Recovery emissions and residue quality through the removal and recycling of various types of batteries. 2) Review and track pending State regulations governing battery disposal; examine responsibilities of County in meeting State Regulations. PR9-0425-739 1-4 R9-0425-739 1-5- 3) Identify recyclability of specialty batteries (e.g., lead/cadmium, lighium). 4) Identify optional disposal methods and costs of alternate disposal practices for non-recyclable batteries. Task 9 - General Engineering ENGINEER shall provide the OWNER with additional services necessary to implement Materials Processing Facility, Composting Systems, Household Hazardous Waste Program, Infectious Waste Program and Battery Recycling Program on an as required basis, if authorized in writing by the OWNER. Additional services may include, but not be limited to feasibility studies, surveys, plotting, expert testimony, public information programs, project financing assistance, environmental assessments, etc. 1442-01-1095 2-1 , EXHIBIT 2 SCOPE OF OPTIONAL SERVICES If authorized in writing by the OWNER, the ENGINEER shall furnish or obtain from others Optional Services of the following types which are not included in the basic services to be provided; these will be paid for by the OWNER as indicated in Exhibit 3. . Preparation and submittal of local and/or state permits, as neces- sary. 2. Field work required to perform Basic Services, including but not limited to investigations of: - soils/bedrock - wetlands - hydrogeology - property boundary lines - location of utilities 3. Performance of design or construction monitoring services for the compost, infectious waste, or materials recovery facilities. 4. Preparation and presentation of materials for public meetings and hearings. 5. Other recycling planning and implementation services as may be requested, such as those related to yard waste composting, infec- tious waste collection and disposal, tire recycling, procurement of goods made with recycled material, design of drop-off sites/ transfer stations, etc. EXHIBIT 3 PAYMENT FOR SERVICES PAYMENTS TO ENGINEER Method of Payment for Services and Expenses of ENGINEER 1.1 For basic services rendered under Section 1, OWNER shall pay ENGINEER at ENGINEER'S hourly rates. 1.2 In addition to payments provided in paragraph 1.1, OWNER shall pay ENGINEER the amounts of reimbursable expenses as defined - in 3.2. 1.3 The terms "hourly rates" and "reimbursable expenses" will have . the meanings assigned to them in Section 3.2 and 3.2. 1.4 The named principal individuals assigned to this contract are listed in Exhibit 5. 2. Times of Payments 2.1 ENGINEER shall submit monthly invoices for services rendered and for reimbursable expenses incurred. OWNER shall make payments within 45 days after receipt of ENGINEER'S invoices. 3. Definitions 3.1 The hourly rates for the services provided under this contract are for 1989. On January 1, 1990, these rates may be subject to a negotiated adjustment subject to an increase cap of 10 percent. For each following year, these rates may be subject to negotiated adjustment in accordance with the ENGINEER'S standard hourly rates. The OWNER'S representative for such negotiations is Mr. Milton W. It is understood that travel time beyond the standard eight-hour work day is non-reimbursable. 3.2 Reimbursable Exnenses - These expenses shall include_ the following reasonable actual costs when incurred in connection with the services rendered by the ENGINEER 3.2.1 Travel costs including transportation, lodging, sub- sistence and incidental expenses incurred by person- nel or consultants while in a travel status in connection with the performance of services re- quired. Air travel shall not exceed coach rates and local overnight travel shall be at the the Holiday Inn, unless unavailable, as negotiated by the OWNER.- All other travel costs shall not exceed amounts -approved by the OWNER. :Automobile transportation shall be reimbursed at $0.24 per mile. (1) Long distance telephone, telegraph, fax, and cable expenses to be incurred in connection with performance of services required in connection with this agreement. 1442-01-1095 3-3 (2) Reproduction costs including blueprints, black and white prints, solid prints, photographs, photostats, negatives, and express charges. (3) Commercial printing, binding, art work, and models. (4) Special equipment. 3.2.3 Services and expenses of special consultants pro- vided under subcontract to the ENGINEER in the amount billed to the ENGINEER plus 7.5 percent of such billed amount. All subcontractors must have the prior approval of the OWNER. 3.2.4 Premiums for special insurance coverage obtained for the services provided, if applicable. 3.2.5 Laboratory use charges, if applicable. 3.2.6 Computer use charges, including CADD programs use, if applicable. 3.2.7 No other costs will be charged unless approved by the OWNER.
