IN RE: DEPARTMENT OF PUBLIC WORKS - SOLID WASTE - CONTRACT WITH ELECTRONETICS
CORPORATION FOR DEVELOPMENT OF A MUNICIPAL VEHICLE LOCATOR
TO THE OAKLAND COUNTY BOARD OF COMMISSIONERS
Mr. Chairperson, Ladies and Gentlemen:
WHEREAS the county is in the proces of implementing a solid waste
disposal system; and
WHEREAS flow control of solid waste will be an important element of
that system; and
WHEREAS the county will be responsible for monitoring and enforcing
flow control; and
WHEREAS the county is seeking a method to determine where rubbish
collection vehicles have collected the solid waste they are bringing to the county
system disposal facilities; and
WHEREAS Electronetics Corporation has developed the concept of a
municipal vehicle locator that could monitor the route and location of rubbish
collection vehicles thereby ensuring that vehicles pick up and deliver to the
county disposal system the rubbish from an approved route; and
WHEREAS Electronetics Corporation has submitted a proposal to
demonstrate a simplified pilot program including a mobile unit that can identify
and log a limited route and a PC based contract unit that would take in and
display the route; and °
WHEREAS Oakland County Computer Services Department can find no other
provider of this technology.
NOW THEREFORE BE IT RESOLVED that the Oakland County Board of
Commissioners hereby authorizes the Chairperson of the Oakland County Board of
Commissioners and the County Executive to execute an agreement with Electronetics
Corporation for the purpose of demonstrating the municipal vehicle locator system
consistent with Electronetics Corporation proposal in an amount not to exceed
$30,000.
Mr. Chairperson, on behalf of the Planning and Building Committee,
move the adoption of the foregoing resolution.

CONTRACT
Electronetics Corporation
AGREEMENT is made this day of , 1989, by the
COUNTY OF OAKLAND, a municipal corporation, with offices located in the
Executive Office Building, 1200 North Telegraph Road, Pontiac, Michigan
("County") and ELECTRONETICS CORPORATION located at 555 Commerce Drive,
Amherst, New York 14150 ("Contractor")-.
In consideration of the promises below, the parties mutually agree as
follows:
ARTICLE I - SCOPE OF SERVICES
The Contractor will perform a study and proof of principle
demonstration to show the feasibility of developing a locator system which
can track municipal vehicles throughout normal daily operation in Oakland
County, as described in the proposed scope of work heretofore presented to
the County and which is recognized as being subject to the terms of
Article VII herein as they relate to Confidentiality.
ARTICLE II - COMPENSATION
The County will pay the Contractor an amount not to exceed $30,000.00
to be paid as follows:
A. $20,000.00 within two (2) weeks of the execution of this Contract.
B. $5,000.00 sixty (60) days after the first payment.
C. $5,000.00 at completion of this Contract.
ARTICLE III - RESPONSIBILITY AND REPORTING OF CONTRACTOR
Section 1 - The Contractor is responsible to the Deputy Director of the
Department of Public Works and will cooperate and confer with him as
necessary to insure satisfactory work progress.
Section 2 - All reports, estimates, memoranda and documents submitted
the Contractor must be dated and bear the Contractor's name.
Section 3 - All reports made in connection with these services are subject
to review and final approval by the County Executive or designated agent.
Section 4 - the County may review and inspect the Contractor's activities
during the term of this Contract.
ARTICLE IV - TERM
This Contract begins upon the execution of the Contract and shall run
for a period of four (4) months.
ARTICLE V - PERSONNEL
Section 1 - The Contractor will provide the required services personally
and will not subcontract or assign the services without written approval
from the County.
Section 2 - The Contractor will not engage the services of any person
4.moloyed by the County for any of the required services without written
approval from the County.
3 - The parties aaree that this Contract is for the purposes
stated only and that the Contractor is neither an employee nor an agent of
the County for any purpose.
ARTICLE VI - INDEMNIFICATION AGREEMENT
The Contractor will protect, defend and indemnify Oakland County, its
agents, servants, volunteers and employees from any and all
liabilities, claims, liens, demands and costs, of whatsoever kind and
nature which may result in injury or death to any Persons, and for loss or
damage to any property, including property owned or in the care, custody
or control of Oakland County in connection with or in any way incident to
or arising out of the occupancy, use, service, operations, Performance or
non-performance of work in connection with this Agreement resulting in
whole or in part from negligent acts or omissions of contractor, any
sub-contractor, or any employee, agent or representative of the contractor
or any sub-contractor.
The Contractor represents and agrees that it is acting and shall
continue to be an independent contractor and that no liability or benefits
such as, but not limited to, Workmen's Compensation benefits, retirement
and pension benefits, or insurance benefits, or such other rights or
liabilities arising out of a contract of hire or employer-employee
relationshin shall arise or accrue to either party as a result of this
Aorement.
The C ontractor will maintain at its own expense during the term of
this Contract, the -Follow 4 ng insurance ;
1) Workers' Compensation Insurance with Michigan statutory limits and
Employers Liability insurance with a minimum limit of $300,000 each
accident for any employees.
2) Comprehensive General Liability Insurance with a combined single
limit of $1,000,000 each occurrence for 'bodily injury and property damage.
Insurance policies must be issued by companies licensed to do business
in Michigan or approved to do business in Michigan and such companies must
be well rated and acceptable to the County Risk Manager or designated
agent.
Contractor shall furnish certificates of insurance issued to the
County Executive's Office, 1200 North Telegraph Road, Pontiac, MI 480543
evidencing such coverage and endorsements at least ten (10) working days
prior to commencement of services under this Contract.
If the required insurance coverage is not maintained at any time
during the term of this Contract, the Contract shall be subject to
cancellation immediately cr at any time thereafter, at the sole election
of the County. If the insurance coverage described in the required
certificate of insurance expires without evidence of renewed coverage
being submitted to the County Executive this Contract shall be subject to
cancellation immediately or at any time thereafter, at the sole e ,es .1-ion
of the County. If the County to exercise its option to cancel on
these grounds, the County shall so notify the Contractor, of its election.
ARTICLE VII - INTEREST OF CONTRACTOR AND COUNTY
The Contractor promises that it has no interest and will not acquire
any interest which would conflict with the performance of services
required by this Contract. The Contractor also promises that, in the
performance of this Contract, no person having a conflicting interest will
he employed. In addition, no officer, agent, employee of the County of
Oakland or member of its governing bodies may participate in any decision
relating to this Contract which affects his/her personal interest or the
interest of any corporation, partnership or association in which he/she is
directly or indirectly interested or has any Personal or pecuniary
interest. However, this paragraoh does not apply if therehas been
Compliance with the provisions of Section 3 of Act No. 317 of the Public
Acts of 1968 and/or Section 30 of Act No. 1 56 of the Public Acts of 1851,
as amended by Act No. 51 of the Public Acts of 1978, whichever is
applicable.
ARTICLE VIII C NFIDENTIALITY AND OWNERSHIP
The County acknowledges that Contractor owns Confidential Information.
(a) The County shall hold in strict confidence any Confidential
Information which it obtains from the Contractor and shall take all
reasonable precautions to prevent disclosure of Confidential information
to third parties. The County shall only use confidential information for
purposes of its rights and interest in the Contnect. The Contractor
recognizes and agrees, however, that disclosure of Confidential
Information may be permitted pursuant to disclosures to any governmental
agency necessary to obtain and maintain any permits, licenses, or other
approvals with respect to the construction and operation of the system
pursuant to federal, state or local regulatory requirements. The County
shall promptly notify the Contractor of any request for disclosure of
Confidential Information and limit the purpose of such request for such
disclosure of Confidential information and the purpose of such request,
and to the extent authorized by applicable provisions of states law
pertaining to public records, shall disclose such Confidential Information
only upon prior written authorization by the Contractor. Prior to the
disclosures required by the immediately preceding sentence, the Contractor
may participate with the County in discussions with such agency and may
comment on the scope and content of such requested Confidential
Information.
(b) The rights and obligations of the Parties set forth herein with
respect to Confidential Information are subject to applicable Provisions
of state law pertaining to public records. The County shall give the
Contractor notice immediately upon receipt of any reauest for Confidential
Information made pursuant to such provisions 'of state law. The County
shall consult with the Contractor Prior to any response to such reauest,
and within the time Provided by such provisions of state law Prior to
compliance with such request for disclosure, fully cooperate with the
Contractor in negotiations with the Person reauesting such information or
in any legal action by the Contr a ctor to =T-Icin the release of ==:7 4 a1
Confidential Information; n ,-ovided, however, that unless prohihltd by a
court of competent jurisdiction, disclosure by the County of such
Confidential Information pursuant to such provisions of state law
pertang to public records shall not violate the terms cf this Contr ,-.ct.
(c) The Contractor shall clearly identify as such Confidential
Information which the Contractor discloses to the County, its
representatives or consultants. Any document or Portion of a document
containing Confidential Information which is delivered by the Contractor
to the County, or its representative or consultant, shall be clearly
labeled with the words "Confidential Information." Any other form of
Confidential Information shall be clearly identified by the Contractor as
such prior to or promptly after disclosure to the County (provided that
the County's obl17,ation shall not accrue _until notice by the Contractor),
its ageits or reprentatves in such manne ,- as to reasonably put any
recipient of such information on notice of the confidential nature of such
communication. Upon no t ice County hac, been recur o disclose
Confid e nt i al Information pursuant to the P-ovision ,R of state law
pertaining to public records, the Contractor shell further separately
identify that information, if any, which, in the opinion of Contractor is
not included within the meaning of such Provisions of state law, and the
statutory :oasis therefore; trovided, however, that such opinion of the
Contractor shall in no way modify the County's obligation to disclose such
information in accordance with the provisions of such law and the
provisions of this Contract.

(e) All hardware provided by the Contractor tursuant to the terms of
this Contract shall remain the property of the County.
ARTICLE IX - CONTINGENT FEES
The Contractor promises that it has not employed or retained any
company or person, other than bona fide employees working solely for the
Contractor, to solicit or secure this Contract and that it has not Paid or
agreed to pay any company or person, other than bona fide employees
working solely for the Contractor, any fee, commission, Percentage,

Notwithstanding the above, this Contract is subject to cancellation at
the sole election of the County if the Contractor fails to maintain the
required insurance coverage at any time during the term of this Contract,

Indemnification.

ELECTRONETICS CORPORATION FOR DEVELOPMENT OF A MUNICIPAL VEHICLE

TO THE OAKLAND COUNTY BOARD OF COMMISSIONERS
Mr. Chairperson, Ladies and Gentlemen:
Pursuant to Rule XI-C of this Board, the Finance Committee has
reviewed Miscellaneous Resolution # and finds:
I) The County is seeking to determine location and routes of rubbish
collection vehicles as a part of establishing an approved solid
waste flow,
2) Electronetics Corporation has proposed a pilot demonstration of a
mobile vehicle locator which would enable the County to monitor
vehicle routes,
3) Planning and Building Committee has approved the proposed
contract in conjunction with the Solid Waste Plan,
4) Funding of $30,000 is available in the 1989 Solid Waste Unit
Professional Services line item,
5) The contract has been approved as to form by Corporation Counsel.
