SECTION - Assignment of Easements and Bill of Sale,
County of Oakland to City of Auburn Hills - Pontiac
Township Water Supply System.
TO THE OAKLAND COUNTY BOARD OF COMMISSIONERS:
Mr. Chairperson, Ladies and Gentlemen:
WHEREAS, the County of Oakland, by Board of Supervisors
Miscellaneous Resolution No. 4291, ad opted March 6, 1964,
approved the establishment of the Pontiac Township Water
Supply System; and
WHEREAS, the County of Oakland and the Township of
Pontiac, now known as the City of Auburn Hills, entered into a
contract on February 15, 1965, for a term not to exceed forty
(40) years; and
WHEREAS, this contract obligated the County of Oakland
to provide bond, financing, engineering, con struction and
maintenance of a water supply system for the Township (City of
Auburn Hills); and
WHEREAS, it was necessary for the County of Oakland to
obtain easements for the construction and maintenance of the
water supply system; and
W ERE A S, said water supply system was paid in full
effective April 1, 1989, by the City of Auburn Hills; and
WHEREAS, the City of Auburn Hills is requesting the
County of Oakland assign the easements which were acquired for
the construction and maintenance of said system; and
WHEREAS, James E. Porter, Manager, Water and Sewage
Operation s, Division of Department of Public Works, is
recommending that the County of Oak land transfer all easements
and appurtenances to the City of Auburn Bills to complete the
transfer and terminate the contract.
NOW THEREFORE BE IT RESOLVED that the Oakland County
Board of Commissioners approves the assignment. and conveyance
of easements and all appurtenances pertaining to the Pontiac
Township Water Supply system which was adopted and approved
March 6, 1964, to the City of Auburn Hills.
BE IT FURTHER RESOLVED that the Oakland County Board of
Commissioners directs it chairperson to execute the necessary
documents to effect the same.
Mr.. Chairperson, on behalf of the Planning and Building
Committee, I move the adoption of the foregoing resolution.

BETWEEN
OAKLAND COUNTY AND PONTIAC TOWNSHIP
,/-/4 THIS CONTRACT, made and entered into this J -- day of
1965, by and between the COUNTY OF OAKLAND,
a Michigan county corporation (hereinafter referred to as the
"County"), party of the first part, and the TOWNSHIP OF PONTIAC, a
Michigan township corporation located in said County (hereinafter
referred to as the "Township"), party of the second part;
WITNESSET H:
WHEREAS, there is now available to serve certain areas of
the Township a supply of water of improved quality and dependable
quantity from the City of Detroit, and in order to make use of such
supply and to provide an adequate and efficient water supply for the
more populous areas of the Township and thus to promote the health
and welfare of its present and future residents, it is essential
that pumping stations and transmission mains be installed to connect
to and to supply certain local systems now serving separate areas
and to provide additional lateral distribution facilities to serve the
growing requirements of the Township; and

Enclosed is a copy of a letter to the City of Auburn Hills dated March 23,
1989 indicating the Pontiac Township water supply system principle and
interest payments have been paid off effective April 1, 1989.
We have been requested by Mr, Bruce Pottoff, Director of Public Works for
the City of Auburn Hills, to proceed with transferring the Pontiac Township
water supply system to them for their operation and maintenance.
Therefore, I request that you proceed with the assignment and/or quit
claiming of county easements to the City of Auburn Hills and also to prepare
a bill of sale for the transfer of the water supply system from the county
to Auburn Hills. In my letter I indicate that all this can be accomplished
within three or four months and, therefore, I ask that we proceed as quickly
as possible.

Re: Pontiac Township Water Supply System
Dear Mr. Potthoff:
On April 1, 1989, the City will makes its final principal and interest payment for
the original Pontiac Township Water Supply System that was constructed by the County
in accordance with an Agreement dated February 15, 1965. The terms of the Agreement
under Paragraph 15 calls for termination when all obligations of the City are paid
and discharged in full.
Also, the Pontiac Township Water Supply No. 1 Lease Agreement dated April 1, 1966,
which provides for the operation and maintenance of the water system, terminates at
the time the original agreement terminates; therefore, it appears that on April 1,
1989, both of these agreements between the City of Auburn Hills and Oakland County
will terminate.
I have discussed the matter with our Corporation Counsel, Mr. Gordon Wyllie, and he
agrees we should proceed with the transfer of the County owned facilities to Auburn
Hills, and the transfer of the operation and maintenance functions of the County to
the City.
It is my understanding that the City wishes to take over the operation and
maintenance functions now being performed by Oakland County and to contract directly
with the City of Detroit for the purchase of their water supply. Therefore, be
advised that we will proceed to do the following:
1. Prepare and execute a Quit Claim Deed providing for the transfer of County owned
facilities related to the water supply system to the City of Auburn Hills.
2. We will contact the Detroit Water & Sewerage Department and proceed to terminate
our agreement with them dated February 15, 1965, and recommend to Detroit that
they simultaneously execute an agreement with the City of Auburn Hills to supply
them water directly.
I estimate that it will require three to four months to accomplish the execution of
Quit Claim Deeds and a new contract with Detroit. Therefore, I would propose that
we continue operating the water supply system under the current arrangements and
transfer the day-to-day functions after execution of the required documents.
