AGREEMENT WITH WELLER BROS. LAND COMPANY, INC. FOR PLACEMENT OF RADIO
COMMUNICATION EQUIPMENT 29828 West Eight Mile Road, City of Farmington, Michigan.
To the Oakland County Board of Commissioners
Chairperson, Ladies and Gentlemen:
WHEREAS, the Oakland County Board of Commissioners, pursuant to MR #98308, recognized
that the County's current 800MHz radio system needed to be upgraded and expanded to encompass all
public safety agencies and to create interoperatibility between public safety agencies; and
WHEREAS, the Oakland County Board of Commissioners, pursuant to the Emergency 9-1-1
Service Enabling Act, MCL 484.1101, et seq., and MR #10076, authorized a 23 cent County 9-1-1
Charge to pay for the County-wide public safety radio system which has the ability to encompass all
public safety agencies and create interoperability between public safety agencies in Oakland County; and
WHEREAS, to properly implement and operate the County-wide radio system, the County has
built towers, leased land, and/or leased space on towers at sites throughout the County; and
WHEREAS, additional sites are needed to enhance coverage of the County-wide public radio
system; and
WHEREAS, it is the recommendation of the Departments of Facilities Management and
Information Technology that the Oakland County Board of Commissioners accepts and approves the
terms and conditions of the attached License Agreement with Weller Bros.Land Company, Inc..
WHEREAS, under the terms and conditions of the attached License Agreement, the County will,
at County expense, install, repair, operate and maintain communication equipment on available land
located at 29828 West Eight Mile Road, City of Farmington, Michigan.
WHEREAS, the County shall pay an annual license fee of $5,000 to Weller Bros. Land Company,
Inc.
WHEREAS, the Departments of Facilities Management and Corporation Counsel have reviewed
and/or prepared all necessary documents related to the attached license agreement.
NOW THEREFORE BE IT RESOLVED that the Oakland County Board of Commissioners hereby
approves and authorizes the attached license agreement between the County of Oakland and Weller Bros.
Land Company, Inc.
BE IT FURTHER RESOLVED that the Oakland County Board of Commissioners hereby directs its
Chairperson or his designee to execute the attached license agreement and any other related documents
between the County of Oakland and Weller Bros. Land Company, Inc.

Approval of License Agreement with Weller Bros. Land Company, Inc.
For Placement of Radio Equipment
29828 West Eight Mile Road, City of Farmington, Michigan
Pursuant to Oakland County Board of Commissioner's rules and procedures for purchase or lease
of real property the Departments of Facilities Management and Information Technology are
seeking Board of Commissioners approval of the attached License Agreement with Weller Bros.
Land Company, Inc. for placement of radio communication equipment on land located at 29828
West Eight Mile Road, City of Farmington, Michigan.
Pursuant to MCL 484.1401 and miscellaneous resolution no. 99279 the Oakland County Board
of Commissioners authorized the levy of a four percent emergency telephone operational charge
to fund a new county-wide radio tower system that will serve all public safety agencies within
Oakland County.
The attached License Agreement provides for the use of available land at 29828 West Eight Mile
Road, City of Farmington, Michigan. The agreement states that the County will install, repair,
operate and maintain the communication equipment at County expense on said land.
Commencement date of Agreement: Upon execution by the parties.
Term: 15 Years.
Termination: Upon 30 days written notice.
License fee: $5,000 annually.
Utilities: Paid by Oakland County.
Recommendation
It is the recommendation of the Departments of Facilities Management and Information
Technology that the Board of Commissioners approves and accepts the attached License
Agreement between the County of Oakland and Weller Bros. Land Co., Inc. located at 29828
West Eight Mile Road, City of Farmington, Michigan.

LICENSE AGREEMENT
This AGREEMENT ("Agreement") entered into this day of , 2011, by the
County of Oakland, a municipal and constitutional corporation located at 1200 North Telegraph Road,
Pontiac, M1 48341, acting by and through its Department of Information Technology ("County") and
Weller Bros. Land Co., Inc., a Michigan corporation, 1500 Gezon Parkway SW, Grand Rapids, MI
49509 ("Weller").
BACKGROUND
A. Weller is the owner in fee simple of a parcel of land located at 29828 W. Eight Mile Road,
Farmington Hills, Michigan 48336 (the "Land").
B. The County has entered into a lease agreement with AT&T to place public safety radio equipment
on a tower owned by AT&T on or near the Land.
C. The County desires to place certain public safety radio equipment on the Land owned by Weller
as depicted in Exhibit A, which is not governed by the lease agreement with AT&T.
D. Placement of such equipment on the AT&T tower and the Land will enhance the use of the
County-wide interoperable public safety radio system by first responders.
E. In consideration of the mutual covenants contained in this Agreement, the Parties agree to the
following terms and conditions.
ARTICLE I — DEFINITIONS
1. "Agreement" shall mean this Agreement including and all exhibits attached to this Agreement.
2. "AT&T Site Lease" shall mean that certain Site Lease Agreement executed by Weller on
August 20, 1998 between Weller and AT&T Wireless PCS, Inc., d/b/a AT&T Wireless
Services, as such AT&T Site Lease may be amended from time to time.
3. "Commencement Date" shall mean the date that this Agreement is fully executed by the Parties.
4, "Day" shall mean calendar day, unless otherwise specified in this Agreement.
5. "Equipment" shall mean all County public safety radio equipment and related equipment set forth
and identified in Exhibit A.
6. "Exhibits" shall mean the following Exhibits that are or shall be attached when available and
approved as provided herein: (1) Exhibit A is the site plan and construction drawing and a list of
the County's Equipment to be placed on the Land. The Exhibits are incorporated into this
Agreement.
7. "Land" shall mean the real property located at 29828 W. Eight Mile Road, Farmington Hills,
Michigan 48336, which is described and illustrated in Exhibit A.
8. "Operating Company" shall mean Weller Auto Parts, Inc., a Michigan corporation, or Weller
Truck Parts, LLC, a Michigan limited liability company, whichever is the tenant of Weller at
the Land.

"Party" means County or Weller or any permitted assignee thereof who becomes a party to this
Agreement.
10. "Superior Interest" shall mean any lease agreement, site lease agreement, antenna agreement,
tower agreement, monopole agreement, ground lease, mortgage, lien, or encumbrance existing
prior to the Commencement Date, including, but not limited to, the AT&T Site Lease, the
leasehold interest of the Operating Company, or any financial institution which is a holder of a
mortgage recorded against the Land, whether said mortgage is recorded prior or after the
Commencement Date, together with any and all renewals, replacements, extensions or
amendments of same whether created before or after the Commencement Date.
ARTICLE II- CONSTRUCTION LICENSE
The County and its contractors, consultants, agents and employees shall have a license to
enter in and upon the portions of the Land (but not any buildings situated on the Land), as
necessary, to install the Equipment in the location and manner depicted and described in
Exhibit A.
2. Prior to installing the Equipment, the County shall submit all plans to Weller for approval,
which may not be unreasonably withheld. Such plans shall be consistent with Exhibit A.
Prior to installation of the Equipment, the County shall apply for and obtain all necessary
governmental approvals, permits and/or licenses.
3. The County shall provide written notice to Weller identifying the County's contractors,
consultants, agents and employees that will be on the Land pursuant to this Agreement.
4. Installation of the Equipment and any construction associated with the installation shall be at
the sole cost, expense and risk of the County.
5. All construction activities shall be conducted in a good, professional, workmanlike manner,
in compliance with all applicable laws, regulations, rules, and ordinances, and without
damage or injury to the Land, persons lawfully on the Land, property of Weller, or third
persons on the Land.
6. Immediately after the installation of the Equipment, all areas of the Land that were disrupted
or disturbed by the County shall be restored to a condition that was as good as what existed
prior to commencement of construction.
7. County shall be responsible for payment of all of its contractors and other persons
performing work or providing materials on the Land so that no liens are filed against it, and
shall immediately secure a full and unconditional discharge of any liens which are filed upon
receiving written notice of such a lien from Weller.
ARTICLE HI - LICENSE AGREEMENT
License. Weller shall allow the County to use the Land as illustrated in Exhibit A for the
installation, maintenance, and operation of the Equipment.
§2. Term. This Agreement shall commence on the date set forth in the first paragraph of this
Agreement ("Commencement Date") and end on the earlier of (a) the termination of any
Superior Interest. or (b) the fifteenth (15 th) anniversary of the Commencement Date.

§1 .
§3. License Fee. The County shall pay to Weller the sum of Five Thousand Dollars ($5,000.00)
am wally during the Term of this Agreement, as a license fee ("License Fee"). The first License
Re shall be due and payable upon the execution of this Agreement. Each subsequent License
Fee shall be due and payable on May 1 of each calendar year, commencing May 1, 2012.
§4. Use of Land.
4.1. The County shall use the Land solely for the operation of the Equipment, for the
placement of the Equipment as set forth in the Exhibit A, or as otherwise agreed to by the
Parties in writing, and for no other purpose.
4.2. The County's use of the Land shall be limited to the operation of a County-wide public
safety radio system and will comply with all applicable laws, regulations, rules, and
ordinances.
4.3. The County and Weller shall not install equipment or conduct operations on the Land in a
manner which will materially prevent, obstruct, or interfere with the other Party's
communication uses or other uses of the Land.
§5. Installation, Alterations, Repairs and Maintenance of Equipment.
5.1. The Equipment to be placed or installed at or on the Land is depicted and set forth in
Exhibit A.
5.2. The County may replace used, broken or obsolete Equipment with equipment that has
similar physical dimensions, characteristics and impact as the existing equipment,
provided notice is given to Weller before or within a reasonable time alter replacement.
The County shall not install equipment in a manner that may adversely affect the physical
and structural integrity of the Land or that causes damage to Weller's property.
5.3. Except as allowed in Section 5.2, the County shall not make any other alterations or
improvements to the Land without Weller's prior written consent, which shall not be
unreasonably withheld. Weller shall not be required to consider any request by County
under this Section unless it is accompanied by detailed plans and specifications, which if
approved, will amend the appropriate Exhibit to this Agreement.
5.4. Except as otherwise provided in this Agreement, the County shall be responsible for
obtaining and paying for all governmental approvals, permits and/or licenses necessary for
the installation, alteration, repair, and maintenance of the Equipment.
5.5. The installation, alteration, repair, and maintenance of the Equipment, shall be performed
in a workmanlike manner (consistent with good construction and engineering practices)
and shall be completed in compliance with all applicable laws, rules, ordinances, and
regulations.
5.6. The County shall be responsible for payment of all of its contractors and other persons
performing work or providing materials on the Land so that no liens are filed against it,
and shall immediately secure a full and unconditional discharge of any liens which are
filed upon receiving written notice of such a lien from Weller or otherwise.
§6. Assignment and Subletting. The County shall not assign this Agreement, in whole or in part, or
enter into any sublicense agreement, sublet all or any part of the Land without Weller's prior
written consent.

§7. Fees for Weller. Except as otherwise provided by this Agreement or agreed by the Parties in
writing, Weller shall not be required to make any expenditure or pay any fee in connection with
this Agreement.
§8. Maintenance of the Land. To ensure physical and structural integrity, Weller shall, at its own
expense, maintain the Land and structures on the Land in good working order, condition, and
repair, and in compliance with all applicable laws, regulations, rules, and ordinances. Weller and
the County shall keep the Land free of debris. The County shall reimburse Weller for damages
to the Land which are caused by the County, the County's contractors, or any other persons
performing work on the Land or providing materials to the Land by or through the County.
§9. Access to the Land. The County shall have the right to access the Land twenty-four (24) hours a
day, seven (7) days a week.
§10. Utilities. The County shall be responsible for obtaining and paying for all utilities needed to
operate the Equipment.
§11. Governmental Approvals. This Agreement is contingent upon the County obtaining and
maintaining all necessary governmental approvals, permits, and/or licenses that the County
deems necessary and are required by law. If such approvals, permits, and/or licenses are not
obtained or maintained, then the County may terminate this Agreement as set forth in Section
12.
§12. Termination.
12.1. Termination by Weller: Upon thirty (30) days written notice to the County, Weller may
terminate this Agreement if: (1) the AT&T Site Lease is terminated by AT&T, or
AT&T's successors and assigns, under said AT&T Site Lease for any reason, or (2) the
County fails to use the Land according to use set forth in Section 4, or (3) the County is in
breach of the Agreement and has failed to cure the breach within sixty (60) days of
receiving notice from Weller that County is in breach; provided, however, that the cure
period under (3) above shall be ten (10) days rather then sixty (60) days in event of a
breach by the County of its License Fee obligation or any other payment obligations
hereunder. The notice from Weller, setting forth the breach, shall sufficiently describe the
breach so as to give the County enough information to cure such breach.
12.2. Termination by County: Upon thirty (30) days written notice to Weller, the County may
terminate this Agreement if the County determines, in its sole discretion, that this
Agreement is no longer necessary for County purposes or for technological reasons.
12.3. Removal of Equipment. Within sixty (60) business days of termination, unless otherwise
agreed to by the Parties, the County shall remove all of its Equipment from the Land. If
the County fails to remove all of the Equipment from the Land within said period, Weller
may remove and dispose of the Equipment, and the County shall reimburse Weller for its
costs of doing so promptly upon Weller's written request.
§13. Condemnation. In the event the entire Land is taken by eminent domain, this Agreement shall
terminate as of the date title to the Land vests in the condemning authority. In the event a
portion of the Land is taken by eminent domain so as to materially hinder effective use of the
Land by the County, either Party shall have the right to terminate this Agreement as of said date
of title transfer, by giving thirty (30) days written notice to the other Party. In the event of any
taking under the power of eminent domain, the County shall not be entitled to any portion of the

compensation paid for the taking and Weller shall receive the full amount of such award. The
County shall have the right to claim and recover from the condemning authority, but not from
Weller, such compensation as may be separately awarded or recoverable by County on account
of any and all damage to the County and any costs or expenses incurred by the County in
moving/removing its equipment, personal property, and leasehold improvements.
§14. Damage or Destruction of the Land. If the Land or any structures on the Land are destroyed or
damaged so as to hinder the County's effective use of the Land, Weller shall repair such damage
or rebuild the facilities on the Land as soon as possible and restore the Land to the same
condition which existed immediately prior to the damage or destruction.
§15. Liability. Each Party shall be responsible for its own acts and the acts of its employees and
officers, the costs associated with those acts, and the defense of those acts.
§16. Environmental Matters.
16.1. For purposes of this Agreement, "Hazardous Material" includes any hazardous, toxic or
dangerous waste, substance or material as defined in the Comprehensive Environmental
Response, Compensation, and Liability Act, or any other existing federal or state statute,
relating to, or imposing liability or standards of conduct concerning any hazardous, toxic
or dangerous waste, substance or material.
16.2. County vvill not generate or store any hazardous material on or about the Land, unless
approved by Weller.
16.3. The provisions of this Section shall survive the termination of this Agreement.
§17. Insurance. The County is self-insured with respect to general liability claims. The County- has
purchased a separate insurance policy for property claims. The Parties mutually agree to have
their property insurance companies endorse their respective policies and issue policy
endorsements evidencing the mutual waiving of the right of subrogation against the opposing
Party for loss which is covered under the policy for property/fire insurance.
§18. Hold Over. Any hold over after the expiration of this Agreement with the consent of Weller,
shall be construed to be a tenancy from month to month and shall otherwise be for the term, and
the conditions herein specified, so far as applicable.
§19. Notices.
19.1. All notices, requests, demands, and other communications required by this Agreement
shall be in writing and shall be deemed given if personally delivered or mailed, certified
mail, return receipt requested, to the following addresses:

§20. Relationship of Parties. Nothing contained in this Agreement shall be deemed or construed to
create a relationship of principal and agent or of partnership or joint venture between the Parties
hereto.
§21. Headings. The section headings used throughout this Agreement are provided for reader
convenience only and shall not be controlling in the interpretation of this Agreement.
§22. Entire Agreement. This Agreement constitutes the entire understanding between the Parties and
supersedes all prior offers, negotiations, and/or agreements between the Parties relative to the
subject matter addressed herein. The Parties represented that there are no understandings,
representations, or promises of any kind, oral or written, that have been made by Weller to
induce the execution of this Agreement except those expressly set forth in this Agreement.
§23. Invalid Provision. The invalidity or unenforcability of any sections or subsections of this
Agreement shall not affect the validity or enforceability of the remainder of this Agreement or
the remainder of any sections or subsections. This Agreement shall be construed in all respects
as if any invalid or unenforceable sections or subsections were omitted.
§24. Governing Law. This Agreement shall be construed in accordance with, and subject to, the laws
of the State of Michigan. Any controversy or claim arising out of or relating to this Agreement,
or the breach thereof, shall be settled by commencement of a suit in Oakland County Circuit
Court.
§25. Amendment. This Agreement may not be changed, modified, amended, or altered, except by an
agreement in writing, signed by both Parties.
§26. Succession. This Agreement is binding upon the Parties and shall be binding upon their
successive heirs, representatives, administrators, successors, subcontractors, and assigns.
§27. Force Majeure, Each Party shall be excused from any obligations under this Agreement during
the time and to the extent that a Party is prevented from performing due to causes beyond such
Party's control. Reasonable notice shall be given to the affected Party of any such event.
§28. Discrimination. Neither Party shall not discriminate against an employee, an applicant for
employment, or another person or entity with respect to hire, tenure, terms, conditions, privileges
of employment, or any matter directly or indirectly related to employment in violation of any
federal, state, or local law.
§29. Reservation of Rights. Notwithstanding any other provision of this Agreement, this Agreement
does not, and is not intended to, impair, divest, delegate, or contravene any constitutional,
statutory, and/or other legal right, privilege, power, obligation, duty, or immunity of either Party.
§30. No Implied Waiver. Absent a written waiver, no act, failure, or delay by a Party to pursue or
enforce any right or remedy under this Agreement shall constitute a waiver of those rights with
regard to any existing or subsequent breach of this Agreement. No waiver of any term,
condition, or provision of this Agreement, whether by conduct or otherwise, in one or more
instances, shall be deemed or construed as a continuing waiver or any term, condition, or

provision of the Agreement. No waiver by either Party shall subsequently effect its right to
require strict performance of this Agreement.
§31. Remedies Not Exclusive. The rights, remedies, and benefits provided by this Agreement shall
be cumulative, and shall not be exclusive of any other rights, remedies and benefits, or of any
other rights, remedies, and benefits allowed by law.
§32. Counterparts. This Agreement may be executed in several counterparts, each of which shall be
an original and all of which shall constitute one and the same instrument.
§33. Superior Interest(s). This Agreement and the County's rights under this Agreement are
subject and subordinate to any Superior Interest. The subordination set forth in the preceding
sentence shall be self-operative, however, the County shall execute and acknowledge without
cost to Weller, within twenty (20) days of written request by Weller, such documents as
Weller or the holder of any Superior Interest shall reasonably request to confirm such
subordination.
§34. No Recording. Neither this Agreement, nor any memorandum or affidavit or certificate of this
Agreement, shall be recorded with the Oakland County Register of Deeds.
§35. Attorney Fees. Any and all costs and expenses (including without limitation reasonable attorney
fees and expenses), whether during litigation or otherwise, which are incurred by a Party as a
result of a breach by the other Party of its obligations under this Agreement shall be paid by the
breaching Party.

AGREEMENT WITH WELLER BROS. LAND COMPANY, INC. FOR PLACEMENT OF RADIO
COMMUNICATION EQUIPMENT 29828 WEST EIGHT MILE ROAD, CITY OF FARMINGTON,
MICHIGAN
To the Oakland County Board of Commissioners
Chairperson, Ladies and Gentlemen:
Pursuant to Rule XII-C of this Board, the Finance Committee has reviewed the above referenced
resolution and finds:
1. Under the terms of this license agreement the County, shall bear the expense and install, repair,
operate and maintain communication equipment on available land located at 29828 West Eight
Mile Road, City of Farmington, Michigan.
2. The license agreement will commence upon execution by both parties with a term of 15 years.
3. The County shall pay an annual license fee of $5,000.
4. The County 9-1-1 Surcharge shall pay for the costs associated with this license agreement.
5. Sufficient funding has been included in the FY 2011 Radio Communications Fund budget to cover
the $5,000 annual fee and will be included in the FY 2012 -2014 County Executive
Recommended Budget to fund on-going expenses with this agreement.
6. No budget amendment is recommended.
