IN RE: WASTE RESOURCE MANAGEMENT UNIT - RESOLUTION APPROVING THE PROVISIONS
OF A BROWNFIELD PLAN FOR THE FORD WIXOM PROJECT
To the Oakland County Board of Commissioners
Chairperson, Ladies and Gentlemen:
WHEREAS the Oakland County Board of Commissioners, pursuant to and in accordance with the
provisions of the Brownfield Redevelopment Financing Act, being Act 381 of the Public Acts of the State
of Michigan of 1996, as amended (the 'Act"), have established a redevelopment of Brownfields
Redevelopment Authority and Board (OCBRA) to facilitate the cleanup and redevelopment of Brownfields
within Oakland County's communities; and
WHEREAS the Ford Wixom site in The City of Wixom is an environmental hazard, a "facility" under state
statute and a non-producing parcel; and
WHEREAS a Brownfield clean up and redevelopment plan (the 'Plan") has been prepared to restore the
environmental and economic viability of this parcel ; which the OCBRA has reviewed and modified; and
WHEREAS pursuant to OCBRA by-laws, a local committee has been appointed, participated in
discussions regarding the proposed plan and project, reviewed the plan, and recommends its approval;
and
WHEREAS the members of City Council have reviewed the Plan, and have been provided a reasonable
opportunity to express their views and recommendations regarding the Plan in accordance with Sections
13 (13) of the Act ; and have unanimously approved the resolution declaring their concurrence with the
provisions of the Plan (attached); and
WHEREAS the OCBRA, pursuant to and in accordance with Section 13 of the Act, has unanimously
approved a resolution (attached) adopting the Plan, and recommending the adoption of the Plan by the
Planning and Building Committee and the Board of Commissioners to be carried out within the City of
Wixom relating to the redevelopment of 28601 S. Wixom Rd, located at the northwest intersection of
interstate 96 and S. Wixom Rd in the City of Wixom (the "Property"); and
NOW THEREFORE BE IT RESOLVED that the Oakland County Board of Commissioners does hereby
adopt the Brownfield Redevelopment Plan to be carried out within the City of Wixom, relating to the
redevelopment of 28601 S. Wixom Rd, located at the northwest intersection of Interstate 96 and S.
Wixom Rd.
BE IT FURTHER RESOLVED that a public hearing on the adoption of the Brownfield Plan approved by
the Oakland County Brownfield Redevelopment Authority for 28601 S. Wixom Rd. in the City of Wixom
shall be held on November 30, 2011, in the Oakland County Board of Commissioners' Auditorium, 1200
North Telegraph Road, Pontiac, Michigan.

RESOLUTION TO APPROVE A BROWNFIELD REDEVELOPMENT PLAN
FOR THE FORD WIXOM BROWNFIELD SITE
OCTOBER 12, 2011
WHEREAS, the Ford Wixom site has been a long-standing environmental hazard,
a "facility' under state statute, and a non-producing parcel for many years; and,
WHEREAS, a clean up and redevelopment plan has been established to restore
the environmental and economic viability of this parcel; and,
WHEREAS, a local committee has been appointed, reviewed the plan and
recommends its approval; and,
WHEREAS, the BRA Board has reviewed and modified the proposed plan: now,
WHEREAS, the BRA Board has rescinded & revoked the August 19 th version of
the plan and reviewed and modified the proposed plan dated October 4, 2011; and,
WHEREAS, to approve the Brownfield Redevelopment Plan for the Ford Wixom
site as presented and considered at the October 12, 2011 OCBRA Board meeting; and,
WHEREAS, There is no Financial impact on Oakland County; and,
THEREFORE, BE IT RESOLVED, the Brownfield Plan for the Ford Wixom
project was approved by the OCBRA on October 12, 2011 by a majority vote of 4 yeas to
0 Nays with one abstained vote.
BE IT FURTHER RESOLVED, to recommend the adoption of this plan by the
Oakland County Board of Commissioners, and its Planning & Building and Finance
Committee's

RESOLUTION CONCURRING WITH THE PROVISIONS OF
A OCTOBER 4, 2011 BROWNFIELD PLAN ADOPTED BY THE OAKLAND
COUNTY BROWNFIELD REDEVELOPMENT AUTHORITY FOR THE
FORD WIXOM PROJECT
WHEREAS, the Oakland County Board of Commissioners, pursuant to and in accordance
with the provisions of the Brownfield Redevelopment Financing Act, being Act 381 of the Public
Acts of the State of Michigan of 1996, as amended (the -Act"), have established a Brownfield
Redevelopment Authority and Board (OCBRA) to facilitate the clean up Lind redevelopment of
Brownfields within Oakland County's communities; and,
WHEREAS, the property located at 28601 S. Wixom Rd (Ford Wixom site) in the City of
Wixom is an environmental hazard, a "facility' Under State statute; and,
WHEREAS, a Brownfield clean up and redevelopment plan (the "Plan") has been prepared
to restore the environmental and economic viability of this parcel which the OCBRA and the City
of Wixom has reviewed and approved, all in accordance with the Act; and,
WHEREAS, a number of developments have occurred Which necessitate modifications to
the approved Plan with such changes including: 1) the description has been changed from a
renewable energy park to an industrial park; 2) the number of parcels has been changed from 3
parcels for redevelopment to 2 parcels; and 3) references to both Xtreme Power and Clairvoyant •
Energy have been deleted; and,
WHEREAS, the OCBRA has adopted the changes dated October 4, 2011; and,
WHEREAS, the members of the City Council have had the opportunity to review the
October 4, 2011 updated Plan, and have been provided a reasonable opportunity to express their
views and recommendations regarding the Plan in accordance with Section 13(13) of the Act.
NOW THEREFORE BE IT RESOLVED THAT the City Council of the City of Wixom
hereby concurs with the provisions of the updated Brownfield Plan dated October 4, 2011 including
approval of the Plan by the Oakland County Board of Commissioners and implementation of the
Plan by the Oakland County Brownfield Redevelopment Authority.
BE IT FURTHER RESOLVED THAT should any section, clause or phrase of this
Resolution be declared by the courts to be invalid, the same shall not affect the validity of this
Resolution as a whole nor any part thereof other than the part so declared to be invalid.
BE IT FINALLY RESOLVED THAT all resolutions or parts of resolutions in conflict with
any of the provisions of this Resolution are hereby repealed.

PROJECT SUMMARY

Ford Wixom Site Redevelopment Project
The eligible property is located at 28601 S. Wixom Rd, located at the
northwest intersection of interstate 96 and S. Wixom Rd in the City of
Wixom (the "Property"). The Property consists of two parcels (63-96-22-
07-200-005 and 63-96-22-07-426-007) and comprises approximately 317
acres.
Facility — Environmental investigations at the Property revealed the
presence of volatile organic compounds (VOC), semi-volatile compounds
(SVOC), polychlorinated biphenyls (PCB), metals and chloride at
concentrations in excess of Part 201 Generic Residential and Commercial
Cleanup Criteria. Therefore, the Property is considered "eligible
property" as defined by Act 381 of 1996, as amended, because it has been
determined to be a "facility" as defined in Part 201 of the Natural
Resources and Environmental Protection Act ("NR_EPA").
Eligible Activities: Baseline Environmental Assessment Activities, Due Care Activities,
Demolition, Lead and Asbestos Abatement and Development and
Preparation of Brownfield Plan.

A portion of the Property will be redeveloped into an Industrial Park as
part of an adaptive reuse of the manufacturing buildings located at the
Property. A detailed description of the proposed project is outlined below.

INTRODUCTION AND PURPOSE
The Oakland County Board of Commissioners established the Oakland County Brownfield
Redevelopment Authority and designated the boundaries of the Brownfield Authority by
adoption of a resolution, pursuant to the Brownfield Redevelopment Financing Act, Michigan
Public Act (PA) 381 of 1996, as amended (MCL) 125.2651 et seq., (the "Act"). The resolution
was filed with Michigan Department of State, Office of the Great Seal, on December 19, 2002.
The purpose of this plan, to be implemented by the Oakland County Brownfield Redevelopment
Authority (the "Authority"), is to satisfy the requirements for a Brownfield Plan as specified in
the Act.
The Authority proposes to implement this Brownfield Plan (the "Plan") in an effort to promote
economic development and redevelopment within the County.

FORD WIXOM SITE — BROWNFIELD PROJECT
ELIGIBLE PROPERTY INFORMATION
The 317 acre site is located in the City of Wixom, Oakland County, at 28601 S. Wixom Rd.,
located at the northwest intersection of interstate 96 and S. Wixom Rd (the "Property"). The
Property consists of two parcels (63-96-22-07-200-005 and 63-96-22-07-426-007) and is the site
of the former Ford Motor Company Wixom Assembly plant that was idled in 2007. The parcels
are currently zoned industrial and it is anticipated the site will be split into separate parcels or
units through the Condominium Act. See Exhibit A for the legal description and maps of the
site.
PROPOSED REDEVELOPMENT
The Property is currently owned by Ford Motor Company ("Ford"). Ford is working on the
redevelopment of the Property and expects to sell or lease the Property in phases (as dedicated
units or parcels) as tenants are identified for individual tenants/users. Future uses may include
renewable energy manufacturing or other industrial uses (the "Project"). The Project will be
divided into two development areas ("Development Areas"), as described below.
Development Area A
• Development Area A, depicted on Exhibit B, consists of
approximately 158.657 acres. One or more users are expected to
occupy some or all of Development Area A for industrial purposes.
Development Area B
• Development Area B, also depicted on Exhibit B, consists of
approximately 158.657 acres. One or more users are expected to
occupy some or all of Development Area B for industrial purposes.
Construction for the Project is anticipated to begin in 2012 and work will be completed as space
is occupied at the Property. This Plan and the Development Areas have been created to facilitate
the redevelopment of the Property to allow future users/developers, to apply for Brownfield
Michigan Business Tax Credits ("MBT Credits") for eligible investment made within the
Development Areas. The Development Areas are further identified in the attached Exhibit B site
map.
BROWNFIELD CONDITIONS
Environmental investigations at the Property revealed the presence of volatile organic
compounds (VOC), semi-volatile compounds (SVOC), polychlorinated biphenyls (PCB), metals
and chloride at concentrations in excess of Part 201 Generic Residential and Commercial
Cleanup Criteria in both Development Areas. Therefore, the Property is considered -eligible
property" as defined by Act 381 of 1996, as amended, because it has been determined to be a
"facility" as defined in Part 201 of the Natural Resources and Environmental Protection Act
("NREPA"). A copy of the environmental summary data and sampling map are attached as
Exhibit C.

BROWNFIELD PLAN ELEMENTS
A. A description of costs intended to be paid for with tax increment revenues (MCLA
125.2663(1)(a))
Tax increment revenues will not be captured as part of this Plan. Therefore, no eligible
costs are intended to be paid for with tax increment revenues.
B. A brief summary of the eligible activities that are proposed for the eligible
property. (MCLA 125.2663(1)(b))
"Eligible Activities" are defined in the Act as meaning one or more of the following: (i)
baseline environmental assessment activities; (ii) due care activities; and (iii) additional response
activities. In addition, in non-qualified local governmental units such as the City of Wixom, the
Act includes the following additional "eligible activities": (A) demolition of structures that is not
response activity under Part 201 of NREPA; and (B) lead or asbestos abatement. The proposed
Eligible Activities for the Property and Development Areas include baseline environmental
assessment activities, demolition, lead or asbestos abatement, due care activities and
development and preparation of browntield plan. The total estimated cost for the Eligible
Activities is approximately $12.4 million.
C. An estimate of the captured taxable value and tax increment revenues for each
year of the plan from each parcel of eligible property and in the aggregate.
(MCLA 125.2663(1)(c))
Tax increment revenues will not be captured as part of this Plan. Therefore,
estimates for the captured taxable value and tax increment revenues are not provided.
D. The method by which the costs of the plan will be financed, including a description
of any advances made or anticipated to be made for the costs of the plan from the
municipality. (MCLA 125.2663(1)(d))
The costs of the Plan will be financed by Ford or a subsequent developer/tenant.
Tax increment revenues will not be captured to repay any of the Eligible Activities. Federal,
state and local incentives will be utilized to offset the extraordinary costs associated with
redeveloping the Property. No advances are anticipated for the Project.
E. The maximum amount of the note or bonded indebtedness to be incurred, if any.
(MCLA 125.2663(1)(e))
No bonds will be issued as a part of the Project.
F. The duration of the brownfield plan, which shall not exceed the lesser of (1) the
period required to pay for the eligible activities from tax increment revenues plus
the period of capture authorized for the local site remediation revolving fund or
(2) 35 years. (MCLA 125.2663(1)(f))

It is estimated that redevelopment of the Property will be completed in multiple
years due to the size of the overall Property. Tax increment revenues will not be captured as part
of the Project. Therefore, the duration of the Plan will begin upon adoption of the Plan and will
remain under the Plan to the extent that all proposed eligible activities and eligible investment
are completed, but in no event will the Plan exceed the maximum duration provided for in
(MCLA 125.2663(1)(f)).
G. An estimate of the impact of tax increment financing on the revenues of all taxing
jurisdictions in which the eligible property is located. (1VICLA 125.2663(1)(g))
Tax increment revenues will not be captured as part of this Plan. Therefore, tax
increment financing will not impact the taxing jurisdictions in which the Property is located.
H. A legal description of each parcel of eligible property to which the plan applies, a
map showing the locations and dimensions of each eligible property, a statement of
the characteristics that qualify the property as eligible property and a statement of
whether personal property is included as part of the eligible property. (MCLA
125.2663(1)(h))

3. Characteristics of Property: The "eligible property" was historically used
as an automobile manufacturing facility by Ford from the 1950's to 2007.
4. Personal Property: Only new personal property is included as part of the
"eligible property".

Property meeting the definition of a "facility".
An estimate of the number of persons residing on each eligible property to which
the plan applies and the number of families and individuals to be displaced, if any.

J. A plan for establishing priority for the relocation of persons displaced by

Significant investment is expected at the Property and the Project is expected to
create several new job opportunities.
Michigan Business Tax Credit
It is the intention of the Michigan Legislature to encourage redevelopment of
brownfields using the Michigan Business Tax credit incentive permitted under Act 36, Public
Acts of 2007, as amended. The Michigan Business Tax credit can be based upon any "eligible
investment" at the Property. The Michigan Business Tax credit will be based upon any eligible
investment or part thereof incurred by a qualified taxpayer after approval of this Brownfield
Redevelopment Plan and within ninety (90) days prior to the receipt of a preapproval letter from
the Michigan Economic Growth Authority or the Chair of the MEGA Board, as applicable.
"Eligible investment" means demolition, construction, restoration, alteration,
renovation, or improvement of buildings on Eligible Property and the addition of machinery,
equipment, and fixtures to the Property.
Applications will be filed for two Michigan business tax ("MET") credits for
eligible investment within the boundaries of the Development Areas pursuant to Act 36 of the
Public Acts of Michigan of 2007, as amended.
