IN RE: ECONOMIC DEVELOPMENT AND COMMUNITY AFFAIRS - RESOLUTION APPROVING THE
PROVISIONS OF A BROWNFIELD PLAN FOR THE 200 SOUTH BOULEVARD CITY OF
PONTIAC PROJECT
To the Oakland County Board of Commissioners
Chairperson, Ladies and Gentlemen:
WHEREAS the Oakland County Board of Commissioners, pursuant to and in accordance with the
provisions of the Brownfield Redevelopment Financing Act, being Act 381 of the Public Acts of the State
of Michigan of 1996, as amended (the "Act"), have established a redevelopment of Brownfields
Redevelopment Authority and Board (OCBRA) to facilitate the cleanup and redevelopment of Brownfields
within Oakland County's communities; and
WHEREAS the 200 South Boulevard site in The City of Pontiac is an environmental hazard, a "facility"
under state statute and a non-producing parcel; and
WHEREAS a Brownfield clean up and redevelopment plan (the "Plan") has been prepared to restore the
environmental and economic viability of this parcel, which the OCBRA has reviewed and modified; and
WHEREAS pursuant to OCBRA by-laws, a local committee has been appointed, participated in
discussions regarding the proposed plan and project, reviewed the plan, and recommends its approval;
and
WHEREAS the City of Pontiac has reviewed the Plan, and has been provided a reasonable opportunity to
express views and recommendations regarding the Plan in accordance with Sections 13 (13) of the Act,
and has issued an Order concurring with the provisions of the Plan; and
WHEREAS the OCBRA, pursuant to and in accordance with Section 13 of the Act, has approved a
resolution (attached) adopting the Plan, and recommends the adoption of the Plan by the Oakland County
Board of Commissioners to be carried out within the City of Pontiac relating to the redevelopment of 200
South Boulevard in the City of Pontiac (the "Property").
NOW THEREFORE BE IT RESOLVED that the Oakland County Board of Commissioners does hereby
adopt the Brownfield Redevelopment Plan to be carried out within the City of Pontiac, relating to the
redevelopment of 200 South Boulevard.
BE IT FURTHER RESOLVED that a public hearing on the adoption of the Brownfield Plan approved by
the Oakland County Brownfield Redevelopment Authority for 200 South Boulevard in the City of Pontiac
shall be held on May 22, 2013 in the Oakland County Board of Commissioners' Auditorium, 1200 North
Telegraph Road, Pontiac, Michigan.

The Local Financial Stability and Choice Act (Act.436 of 2012/MCL 141.15411, et, seq.) in Section IC
empowers an Emergency Manager to issue orders to the appropriate local elected and appointed officials and
employees, agents, and contractors of the local government a Manager considers necessary to accomplish the
purposes of the Act and any such orders are binding on the local elected and appointed officials and employees,
agents, and contractors of the local government to whom they are issued,
Section 12(1) of the Act provides that "[a,-jri emergency manager may t2aCe, 1 or more of the following
additional actions with respecrto a local government that is in receivership, notwithstanding any chanter provision to
the contrary: (ee) [flake any other action Or exercise any power or authority of any officer, employee, need. Linen.,
board ; commission, or other similar entity of the local government, whether elected or appointed, relating to the
operation of the local government. The power of the emergency -manager shall be superior to and supersede the
power of any of the foregoing officers or entities.-
W=REAS, the City of Pontiac has a .Brownfield project commonly known as the MI Concourse Project
that it would like to have reviewed and processed by the Oakland County Brownfield Redevelopment
Authority; and,
WHEREAS, the City Of Pontiac has a Brownfield Authority but desires to have the Oakland County
Brownfield Redevelopment Authority handle the M1 Concourse Project; and,
WHEREAS the Oakland County Brownfield Redevelopment Authority was created by Oakland County
pursuant to MCL, 125.2651 et seq. TO assist jurisdictions like the City of Pontiac that Cl o not have then - own
Brownfield Authority; .and,
WHEREAS the Oakland County Brownfield Redevelopment Authority is prepared to assist the City of
Pontiac by reviewing the proposed 1v11 Concourse Project; and,
WHEREAS the City of-Pontiac will have the opportunity co provide public comment on any Brownfie,id
plan (including the amount of the administrative fee to be collected and the arnotmt captured for the
revolving loan fund) before it is finally adopted by the °CERA and/or the Oakland County Board of
Commissioners;

it is hereby ordered;
The City of Pontiac requests that the OCBRA undertake review of the M1 Concourse Project.
2. The City of Pontiac acknowledges and understands that (OCBRA or County) intends to collect certain
administrative fees and capture certain taxes for its revolvinn loan fund, which will be specified in detail in
any Brownfield Plan before it is finally adopted,
3. The Director, Department of Community Development shall forward a copy of this order to the appropriate
parties,

Copies of the documents referenced in this Order are to be maintained in the offices of the City Clerk - and
may be reviewed andior copies may be obtained upon submission of a written request consistent with the
requirements of the Michigan Freedom of information Act and subject to any exemptions contained in that state
statute and subject to any exemptions allowed under that statute (Public Act 442 of 1976, 1V1CL 15.231, et. seq.).
This order is effective as indicated and is necessary to carry out the duties and responsibilities required of
the Emergency Manager as set forth in the Local Financial Stability and Choice Act (Act 436 of 2012(MCL
141.15411, et. seq.) and the contract between the Local Emergency Financial Assistance Loan Board and the
Emergency Manager.

BROWNFIELD SITE

WHEREAS, per the Oakland County Brownfield Redevelopment Authority
(BRA) Bylaws, Article II Section 9. Not less than sixty days prior to the submittal of any
proposed Brownfield redevelopment plan to the BOC pursuant to Section 14(a) of the
Act, by resolution the Board shall appoint a committee for any such proposed plan to
allow for input of the city, village or township involved. The committee shall consist of a
minimum of one or more of the Directors of the Board, as well as one elected official, or
his/her designee from the affected city, village, or township. The committee so appointed
shall make recommendations to the Board, which shall include or address any changes to
the Brownfield redevelopment plan sought by the city, village or township, as well as any
other significant concerns or issues raised by the city, village or township.
WHEREAS. Dan Hunter, OCBRA and Leon Julcowski, Mayor City of Pontiac
have been designated to serve on the Local Host Committee since April 29, 2013 for the
200 South Boulevard project.
WHEREAS, all parties involved with this project and the specific persons
nominated for this committee will be meeting about this project starting on May 3rd of
2013: and,
THEREFORE, be it resolved, to approve and ratify the appointment of Dan
Hunter (Oakland County BRA) along with Leon Jukowski„ Mayor City of Pontiac to
serve on the 200 South Boulevard project committee.

WHEREAS, the 200 South Boulevard site has been a environmental hazard, a
"facility' under state statute, and a non-producing parcel for many years; and,
WHEREAS, a clean up and redevelopment plan has been established to restore
the environmental and economic viability of this parcel; and,
WHEREAS, the BRA Board has reviewed the proposed plan; now,
THEREFORE, BE IT RESOLVED, the Brownfield Plan for the 200 South
Boulevard project was approved by the OCBRA on April 30, 2013 by a majority vote of
4 yeas to 0 nays, provided that the Brownfield plan is also approved by the City of
Pontiac and the local host committee; and,
BE IT FURTHER RESOLVED, to recommend the adoption of this plan by the
Oakland County Board of Commissioners, and its Planning & Building and Finance
Committee's

BROWNFIELD REDEVELOPMENT AUTHORITY FOR THE
200 SOUTH BOULEVARD PROJECT .
RECITATIONS:
WHEREAS, the Oakland County Board of Commissioners, pursuant to and in
accordance with the provisions of the Brownfield Redevelopment Financing Act, being Act 381
of the Public Acts of the State of Michigan of 1996, as amended (the "Act"), have established a
Brownfield Redevelopment Authority and Board (OCBRA) to facilitate the clean up and
redevelopment of Brownfields within Oakland County's communities; and
WHEREAS, the property located at 200 South Boulevard, a General Motors (GM) site in
the City of Pontiac is an environmental hazard, a "facility' under state statute; and
WHEREAS, a Brownfield clean up and redevelopment plan (the "Plan') has been
prepared to restore the environmental and economic viability of this parcel which the OCBRA
has reviewed and approved; and
ONEREAS, pursuant to OCBRA by-laws, a local committee has been appointed,
participated in discussions regarding the proposed plan and project, reviewed the plan, and
recommends its approval; and
WHEREAS, the OCBRA, pursuant to and in accordance with Section 13 of the Act, shall
consider recommending that the Oakland County Board of Commissioners approve the
Brownfield Plan to be carried out within the City of Pontiac, relating to the redevelopment of the
property located at 200 South Boulevard (the "Property"); and
WHEREAS, the City has reviewed the Plan, and have been provided a rc.,-asonable
opportunity to express their views and recommendations regarding the Plan in accordance with
Sections 13(13) of the Act; and
NOW THEREFORE BE IT RESOLVED THAT, the City of .Pontiac hereby concurs
with the provisions of the Plan including approval of the Plan by the Oakland County Board of
Commissioners and implementation of the Plan by the Oakland County Brownfield
Redevelopment Authority.
BE IT FURTHER RESOLVED THAT should any section, clause or phrase of this
Resolution be declared by the courts to be invalid, the same shall not affect the validity of this
Resolution as a whole nor any part thereof other than the part so declared to be invalid.
BE IT FURTHER RESOLVED THAT all resolutions or parts of resolutions in conflict
with any of the provisions of this Resolution are hereby repealed.

Brownfield Plan for Mi Concourse
• INTRODUCTION
A. Plan Purpose
The Oakland County Brownfield Redevelopment Authority (Authority; OCBRA), duly
established by resolution of the Oakland County Board of Commission, pursuant to the
Brownfield Redevelopment Financing Act, Michigan Public Act 381 of 1996, MCLA
125.2651 et. seq., as amended (Act 381), is authorized to exercise its powers within the
limits of Oakland County. The Purpose of this Brownfield Plan (the "Plan"), to be
implemented by the OCBRA, is to satisfy the requirements of Act 381 for including the
eligible property described below, designated as 200 South Boulevard West, Pontiac,
Michigan (the "Property"), in the Plan. The Property consists of five parcels of land.
Each of the five parcels is a "facility" as defined by Part 201 of Michigan's Natural
Resources and Environmental Protection Act (1994 P.A. 451 ; as amended). The Property
is located within the boundaries of the City of Pontiac, Michigan (City), which has
authorized the OCBRA, by written agreement, to administer the Plan on its behalf.
The Plan will allow the OCBRA to use tax increment revenue to reimburse the developer,
M1 Concourse, .LLC (M1), for the costs of eligible environmental and non-environmental
activities required to prepare the Property for safe redevelopment and reuse (see Section
III). Ml. will also seek additional incentives (loans/grants) from the State of Michigan.
Ml's proposed redevelopment will only be economically viable with the support and
approval of the local and state brownfield redevelopment incentives.
Piemtv Description
The triangle-shaped Property consists of five parcels occupying approximately 80 acres
of land. It is located south of Downtown Pontiac and is bounded to the east by
Woodward Avenue, to the south by South Boulevard and to the west by Franklin Road.
The collective property is designated 200 South Boulevard West. The legal descriptions
of the parcels are included in Appendix C. Property location and boundary maps are
included in Appendix D. A summary of the five parcels is presented in the table below:

C. -Basis of Eligibility
The Property is eligible for inclusion in this Brownfield Plan in accordance with MCL
125.2652(n) because the Property is in the City of Pontiac, a qualified local governmental
unit, and the five parcels are "facilities" as defined. by 1994 P.A. 451, as amended. The

demonstrated by the results of environmental assessments described in the following

M1 Concourse will be an 80-acre, destination development for automobile enthusiasts.
The project will be based around the car-condominium-storage concept for storage of
classic automobiles in luxury garages constructed within shared common spaces. Metro
Detroit is the mecca for car collectors and enthusiasts of all ages. There are estimated -to
be more than 50,000 classic, exotic and collector cars in metropolitan Detroit, all of
which are either being stored in their owner's home garages or in buildings throughout
-the area. These storage solutions more often than not present significant challenges to the
security, maintenance, and accessibility of the vehicles.
MI Concourse's car condominiums will offer a convenient solution to these challenges,
while at the same lime providing car enthusiasts with a place to share their passion with
similarly-interested people.
In addition to the car condos, 1\41 Concourse will provide members and the public with
access to a variety of unique venues, activities, and retail outlets. These include a
destination restaurant operated by a well-known local restaurateur serving Modem fare
reminiscent of the classic Woodward Avenue soda shop. The restaurant will contain a
large parking lot which will encourage people to "stay and display" their vehicles. The
1\41 Concourse site will also include a large events center that will be used for car shows,
media events, vehicle auctions, conferences, and other special occasions. The 1\4.1 Event
Center will be surrounded by "demonstration garages" showcasing the vehicles and
products of various automotive manufacturers and suppliers. The Property will also
contain retail outlets, such as auto supply, paint/body, detaile...r, customization/restoration
and car audio/visual 11111 by independent proprietors. Additionally, NI1 Concourse will

have a large scale public exhibition space that can be utilized for concerts, car shows,
drive-in movies, auctions and other open air events. Finally. the Property will contain a
state-of-the-art demonstration track which can be used for everything from defensive
driving classes, vehicle testing, private course driving and/or performance driving
schools.
The Developer is anticipating making a capital investment of approximately $60 million
in the development. Ml's development will result.in the redevelopment and reuse of a
vacant, deteriorating, contaminated property in Downtown Pontiac. This Development
will improve the appearance of the area, reduce potential human health and
environmental impacts from Property contamination, and add over $19 million of taxable
value to the Property. The intended use is anticipated to create the following jobs:
Constructions Jobs — Estimated > 100 jobs, including engineers, architects,
electricians, carpenters, utility workers, landscapers and more, for a period of 3-5
years as the development is built in phases.
• Ml Concourse Garage Staff — Estimated 10-15 full-time staff, a security force,
and 10-20 seasonal staff related to events.
M1 Banquet/Events Center — Estimated 5-8 full-time staff and 50-200 temporary
event support staff (e.g. wait staff, security, cooks, dishwashers, audio/visual, etc.)
Restaurant — Estimated 20-30 full-time staff (management, cooks, wait staff,
dishwashers, security, hosts, etc.).
'GENERAL DEFINITIONS AS USED IN THIS PLAN
All words or phrases not defined herein shall have the same meaning as such words and
phrases included in Act 381.
III. BROWNFIELD PLAN
A. Description of Costs to Be Paid With Tax Increment Revenues and Summary
of Diuible Activities
M1 will be reimbursed for the costs of eligible non-environmental and environmental
activities necessary to prepare the Property for redevelopment. The costs of eligible
activities included in, and authorized by, this Plan will be reimbursed with incremental
local and school operating tax revenues generated by the Property after redevelopment
and captured by the OCBRA, subject to any limitations and conditions described in this
Plan, approvals of the Michigan Department of Environmental Quality (MDEQ) and
Michigan Economic Development Corporation (MEDC) for school operating tax capture,
and the terms of a Reimbursement Agreement between Mi and the Authority (the
"Reimbursement Agreement"). Administrative expenses of the OCBRA will be
reimbursed through capture of incremental local taxes.
No personal property tax will be captured in this Plan.

reimbursement from tax increment revenues is S19,120,000. The eligible activities are

The costs listed above are estimated and may increase or decrease depending on the
nature and extent of unknown conditions encountered. The actual cost of eligible
activities encompassed by this Plan that will qualify for reimbursement from tax
increment revenues captured by the OCBRA shall be governed by the terms of a,
Reimbursement Agreement. No costs of eligible activities will be qualified for
reimbursement except to the extent permitted in accordance with the terms and conditions
of the Reimbursement Agreement and Section 2 of Act 381 of 1994, as amended (MCL
125.2652). The Reimbursement Agreement and this Plan Will dictate the total cost of
eligible activities subject to payment. As long as the total cost limit described in this Plan
is not exceeded, line item categories and costs of eligible activities may be adjusted after
the date this Plan, to the extent the adjustments do not violate the terms of Act 381,

B. Estimate of Captured Taxable Value and Tax Increment Revenues
The 2013 taxable value of the Property is $412,710, which is the initial taxable value for
this Plan. The anticipated taxable value in 2017 will be $14,625,000, based on estimates
prepared by the Developer. For planning purposes, the taxable value in 2014, 2015, and
2016 are projected at 25%, 50%, and 75% of the 2017 taxable value estimate as the
project is completed. The actual taxable value will be determined by the City Assessor.
The OCBRA will capture 100% of the incremental local tax revenues generated from Teal
property to reimburse M1 for the costs of eligible activities under this Plan in accordance
with the Reimbursement Agreement. The OCBRA will capture 100% of the incremental
school operating tax revenues generated from real property to reimburse the costs of
eligible environmental and non-environmental activities pursuant to work plans approved
by the MDEQ and MEDC, respectively. Estimated taxable values, tax increment
revenues to be captured, impacts on taxing jurisdictions, and eligible activities
reimbursement cash flows are presented in Table 2 (Appendix B). The actual annual
incremental taxable value and captured tax increment revenue will be determined by the
County and City. The actual increased taxable value of the land and all future taxable
improvements OE the Property may vary.
It is the intent of this Plan to provide for the proportional capture of all eligible tax
increments in whatever amounts and in whatever years they become available until all
eligible costs described in the Plan are paid or 30 years, whichever is shorter. If the
IV1DEQ and IvMDC elect not to participate in this Project, the portion of capture related to
then -proportionate, share will be assumed by, made whole by, and become the
responsibility of the other taxing entities to the extent allowed by Act 381.
C. Method of Financing Plan Costs and Description of Advances
Municipality
M1 is ultimately responsible for financing the costs of eligible activities included in this
Plan. Neither the OCBRA nor the City of Pontiac will advance any funds to finance the
eligible.activities. All Plan financing commitments and activities and cost
reimbursements authorized under this Plan shall be governed by the Reimbursement
Agreement. The inclusion of eligible activities and estimates of costs to be reimbursed in
this Plan is intended to authorize the OCBRA to fund such reimbursements. The amount
and source of any tax increment revenues that will be used for purposes authorized by
this Plan, and the terms and conditions for such use and upon any reimbursement of the
expenses permitted by the Plan, will be provided solely under the Reimbursement
Agreement.
Reimbursements under the Reimbursement Agreement shall not exceed the cost of
eligible activities and reimbursement limits described in this Plan, unless it is further
amended.

D. Maximum Amount of Note or Bonded Indebtedness
Not applicable.
E. Duration of Brownfield Plan
The duration of this Brownfield Plan for the Property shall not exceed the shorter of the
following:
Reimbursement of all eligible costs, cumulatively not to exceed $19,120,000,
reimbursement of OCBRA administrative operating expenses, and funding of the
Local Site Remediation Revolving Fund, as described in this Plan, or
* 30 years tax capture after the first year of tax capture under this Plan.
The date for beginning tax capture shall be 2014, unless otherwise amended by the
OCBRA.
F. Estimated Impac Tax increment Financing_ on Revenues o
Jurisdictions
Incremental local and state tax revenues generated by the M1 Concourse project will be
captured by the OCBRA until all incurred eligible brownfield redevelopment costs are
reimbursed. The impact of the OCBRA incremental tax capture on local taxing
authorities is presented in Table 2 (Appendix B).

The property consists of five tax parcels (14-33-302-001, 14-33-302-002, 1 4-33-302-003,
14-33-351-001, and 14-33-351-012) having a total area of approximately 80 acres. The
legal description of the Property is attached in Appendix C. A map of the Property is
included in Appendix D.

No occupied residences are involved in the redevelopment; no persons reside at the
Property, and no families or individuals wil1 be displaced as a result of this development
Therefore, a demographic survey and information regarding housing in the community
are not applicable and are not needed for this Plan.

No persons will be displaced as a result of this development; therefore, a Plan for
relocation of displaced persons is not applicable and is not needed for this Plan.

L. Description of the Proposed Use of Local Property Remediation Revolving
Fund (LSRRF)
Excess tax increment revenues generated by this redevelopment will be captured by the
OCBRA, to the extent allowed by Act 381_, for funding of its LSRRF. This plan allocated
$200,000 per year for five years for the LSRRF after the eligible activities are
reimbursed. The OCBRA may, at its discretion, increase the capture for the LSRRF
within that five year time period to the maximum amount permitted by Act 381.
M. Other Material that the Authority or Governing Body Considers Pertinent
There is no other material that the OCBRA or governing body considers pertinent.
