IN RE: INFORMATION TECHNOLOGY - AGREEMENT WITH THE SEMCOG TO ESTABLISH THE
COST, LICENSING AND RESTRICTIONS ON THE ACQUISITION OF 2015 ORTHOIMAGERY
TO THE OAKLAND COUNTY BOARD OF COMMISSIONERS
Chairperson, Ladies and Gentlemen:
WHEREAS the SEMCOG is leading a coordination effort with local
governments across the State to acquire orthoimagery for the SEMCOC Region;
and
WHEREAS the regional project team involves the counties of Livingston,
Macomb, Monroe, Oakland, St. Clair, Washtenaw and Wayne, as well as SEMCOG,
and Detroit Water and Sewer (DWSD); and
WHEREAS the coordination effort will result in significant cost savings
in the acquisition of 2015 orthoimagery and provide consistent, high-quality
orthoimagery to local governments across the State, including the County; and
WHEREAS Oakland County acquires orthoimagery for use by County staff,
cities, villages and townships (CVTs) and the general public for use in
mapping and geographic information system (GIS) applications; and
WHEREAS Oakland County will share the 2015 orthoimagery with its
cities, villages and townships (CVTs) at no cost; and
WHEREAS funding for the acquisition of orthoimagery in the amount of
100,650.71 was previously approved via resolution g14032; and
WHEREAS an agreement has been drafted (as attached) by SEMCOG and
approved by Oakland County's Corporation Counsel.
NOW THEREFORE BE IT RESOLVED that the Oakland County Board of
Commissioners approves participation in the SEMCOC 2015 Orthoimagery Regional
Flight Project.
BE IT FURTHER RESOLVED that the Board Chairperson is authorized to
execute the Project Agreement on behalf of Oakland County, and thereby accept
and bind Oakland County to the terms and conditions of the Agreement.
BE IT FURTHER RESOLVED that the County's portion of the 2015
orthoimagery collection will be in the amount of $75,726.37 and will be paid
in full to SEMCOG according to the payment schedule set forth in the Project
Agreement.
BE IT FURTHER RESOLVED that the funding is available in the FY 2015
Information Technology Fund (63600) professional services line item, and no
budget amendment is recommended at this time.
Chairperson, on behalf of the Finance Committee, I move the adoption of
the foregoing resolution.

Contract between Southeast Michigan Council of Governments (SEMCOG)
and Oakland County for the 2015 Orthoimagery Project
Purpose:
This is an Agreement to establish the cost and condition of use of digital orthoimagery data
(referred to in this document as "Data") collected by the Vendor pursuant to an agreement
between the Vendor and the State of Michigan. The State will be entering into an Agreement
with SEMCOG that authorizes and permits SEMCOG to coordinate the distribution of the Data
to participating public bodies, and to collect the agreed-upon fees for transmittal to the State to
cover the cost of Data collection and this Project.
Cost
Oaldand County agrees to pay for its portion of the Regional Orthoirnagery. The cost for the
County was determined using the percentage of the County's area as a part of the whole region.
The following regional public bodies also contributed funds to the project, which decreased the
cost per county; the State of Michigan, SEMCOG and Detroit Water and Sewerage Department
(DWSD). Oakland County's portion of the cost of the flight is $75,726.37.
Payment Schedule (Dates Approximate)
25% of the fee is due 45 days after the effective date of this contract.
25% of the fee is due 45 days after the State's receipt of notification from the Vendor that the
imagery acquisition is complete.
50% of the fee is due 45 days after final delivery is accepted by County.
SEMCOG's Roles and Responsibilities
SEMCOG is responsible for coordinating the collection of funds from participating public bodies
that have entered into an agreement to obtain the Data as part of this Project. The contract with
the selected Vendor will be between the State of Michigan and the Vendor. SEMCOG will
contract with the State of Michigan to collect fees from the participating public bodies for
payment to the State.
County Roles and Responsibilities
The County will be responsible for quality control of its county orthoimagery, based on common
standards established by the State. The County will have 2 weeks from delivery date to complete
its quality control evaluation, provide feedback to SEMCOG, and accept or reject the Data.
SEMCOG will work with State of Michigan and the vendor to correct any quality control issues
identified by participating public bodies.
Termination
Upon written notice of 30 days, either party for convenience may terminate this Agreement. In
the event of termination, County will reimburse SEMCOG for all work completed up through the
date of termination as reviewed and approved by all participating public bodies. SEMCOG will
supply County with all products produced by the Vendor on County's behalf up to the time of
the approved termination date.
SEMCOG's Ownership and Distribution Rights
SEMCOG will own the digital orthoimagery with 1-foot pixel resolution.
SEMCOG will display these images on any Internet application.
SEMCOG will distribute the digital oithoimagery with I-foot pixel resolution.
County Ownership and Distribution Rights
County will own and may use the digital orthoimagery with 3-inch and/or 6-inch pixel
resolution. County may display the orthoimagery on any Internet application. County may
distribute the digital orthoimagery with 3-inch and/or 6-inch pixel resolution according to its
pricing terms.

Amendments to this Agreement
Provided a proposed amendment to this Agreement does not result in increased costs to the
County, and has been approved by the Department of Information Technology and Corporation
Counsel, it may be signed by the Chair of the Board of Commissioners.
