HomeMy WebLinkAboutResolutions - 2015.05.21 - 21847MISCELLANEOUS RESOLUTION # 15138 May 21, 2015 BY: Finance Committee, Tom Middleton, Chairperson IN RE: BOARD OF COMMISSIONERS TRI-PARTY PROGRAM — ADDITIONAL APPROPRIATION FOR CHARTER TOWNSHIP OF INDEPENDENCE - PROJECT NO. 52651 To the Oakland County Board of Commissioners Chairperson, Ladies and Gentlemen: WHEREAS the Charter Township of Independence #52651 was originally approved per M.R. #15072; and WHEREAS the project was established for the reconstruction and widening of Sashabaw Road at Waldon Road and Sashabaw Road at 1-75; and WHEREAS the total Tr-Party project cost participation was established at $3,442,000 of which the County agreed to fund $538,148; and WHEREAS the Township of Independence and the Road Commission for Oakland County (RCOC) approved additional funding from existing allocated Tr-Party monies since the time Project #52651 was initiated; and WHEREAS the Oakland County share for the additional project cost is $108,999 to bring the total County share to $647,147; and WHEREAS in the event the FY2016, FY2017, and/or FY2018 Tr-Party Program funds are not available, the COMMUNITY shall be responsible for their one-third share as well as the COUNTY's one-third share. NOW THEREFORE BE IT RESOLVED the Oakland County Board of Commissioners approves the additional Oakland County cost of $108,999 for Tr-Party Project #52651. The local match of $3,442,000 will be funded with $1,941,443 in Tr-Party funds, a $1,319,357 contribution from the Charter Township of Independence, and a $181,200 contribution from the Board. Our total estimated share is $828,350 and is in the FY15 budget. Depoty iFl000gThg Direetur County Highway Engineer Patricia Z.Milerzbicki Deputy-Secretary /Clerk of the Board /sm Enclosure C: Finance Department Engineering Department Programming Department Lynn Sonkiss, Oakland County Clerk of the Board 31001 Lahser Road Beverly Hills, MI 48025 248-645-2000 FAX 248-645-1349 www.reocweb.org 3 AMENDED COST PARTICIPATION AGREEMENT CONSTRUCTION Sashabaw Road at Waldon Road Sashabaw Road at 1-75 Charter Township of Independence Board Project No. 52651 This Agreement, made and entered into this Z-1 day of , 2015, by and between the Board of Road Commissioners for the County of Oakland, Michigan, hereinafter referred to as the BOARD, and the Charter Township of Independence, hereinafter referred to as the COMMUNITY, provides as follows; WHEREAS, the BOARD and the COMMUNITY, in cooperation with the Michigan Department of Transportation, hereinafter referred to as MDOT, have programmed the reconstruction and widening of Sashabaw Road at Waldon Road (PROJECT ONE) and Sashabaw Road at 1-75 (PROJECT TWO), as described in Exhibit "A", attached hereto, and made a part hereof, which improvements involve roads under the jurisdiction of the BOARD and within the COMMUNITY, which improvements are hereinafter referred to as the PROJECT; and WHEREAS, the estimated total cost of PROJECT ONE is $1,642,400 and the estimated total cost of PROJECT TWO IS $2,471,600; and WHEREAS, the BOARD will enter into a contract with MDOT for partial funding of PROJECT ONE with state program dollars under the Transportation Economic Development Fund Category A in the amount of $672,000; and WHEREAS, the BOARD, as the requesting party therein, will be the party financially responsible to MDOT to bear all costs of the PROJECT in excess of state funds, hereinafter referred to as the LOCAL MATCH; and WHEREAS, the COMMUNITY'S share of said LOCAL MATCH involves certain designated and approved Tr-Party Program funding in the amount of $1,941,443 ($789,200 toward PROJECT ONE and $1,152,243 toward PROJECT TWO), which shall be paid through equal contributions by the BOARD, the COMMUNITY, and the Oakland County Board of Commissioners, hereinafter referred to as the COUNTY; and 4 WHEREAS, all the parties hereto have reached a mutual understanding regarding the cost sharing for the LOCAL MATCH and wish to commit that understanding to writing in this Agreement. NOW, THEREFORE, in consideration of the mutual covenants set forth herein and in conformity with applicable law, it is hereby agreed between the COMMUNITY and the BOARD that: PROJECT ONE — SASHABAW ROAD AT WALDON ROAD The COMMUNITY shall perform or cause to be performed all preliminary engineering and right of way acquisition. Costs for the preliminary engineering and right of way will be funded through the Tr-Party Program in the amount of $253,200. 2. The BOARD shall contribute and perform the construction engineering, estimated in the amount of $181,200, toward the LOCAL MATCH. 3. The BOARD shall enter into a contract with MDOT for partial funding of the construction with State Transportation Economic Development Fund, Category A Program funds, estimated in the amount of $672,000, 4. Upon execution of this agreement, the COMMUNITY shall submit two invoices to the BOARD: a. The first invoice shall be payable by the BOARD in the amount of $84,400 (being 100% of the BOARD's Tr-Party contribution toward the preliminary engineering and the right of way). b. The second invoice shall be payable by the COUNTY in the amount of $84,400 (being 100% of the COUNTY'S Tr-Party contribution toward the preliminary engineering and the right of way). c. Upon execution of this agreement, the BOARD shall submit an invoice to the COMMUNITY in the amount of $178,667 (being 100% of the COMMUNITY'S Tr-Party contribution for the construction) 6. After execution of this agreement and approval by the COUNTY, the BOARD shall submit an invoice to the COUNTY in the amount of $178,667 (being 100% of the COUNTY'S Tr -Party contribution for the construction). a. The invoice shall be sent to: Lynn Sonkiss, Manager of Fiscal Services Executive Office Building 2100 Pontiac Lake Road, Building 41 West Waterford, MI 48328 7. Any preliminary engineering and/or right of way costs above the Tr-Party funds in the amount of $253,200 will be funded 100% by the COMMUNITY. Any construction costs not covered by the TEDF Category A funds in the amount of $672,000 and the Tr-Party funds in the amount of $536,000, will be funded 100% by the COMMUNITY. PROJECT TWO — SASHABAW ROAD AT 1-75 1. The COMMUNITY shall perform or cause to be performed all preliminary engineering, right of way acquisition, and construction engineering. Costs will be funded through the Tr-Party Program in the amount of $659,600. 2. Upon execution of this agreement, the COMMUNITY shall submit two invoices to the BOARD: a. The first invoice shall be payable by the BOARD in the amount of $219,867 (being 100% of the BOARD's Tr-Party contribution toward the preliminary engineering, right of way, and construction engineering). b, The second invoice shall be payable by the COUNTY in the amount of $219,867 (being 100% of the COUNTY'S Tr-Party contribution toward the preliminary engineering, right of way, and construction engineering). Upon execution of this agreement, the BOARD shall submit an invoice to the COMMUNITY in the amount of $1,374,571 (being 100% of the COMMUNITY'S $55,214 Tr-Party contribution for the construction and 100% of the COMMUNITY'S $1,319,357 additional contribution). The Tr-Party contribution of $55,214 does not include the FY2016, FY2017, or FY2018 Tr-Party amounts. These will be invoiced as indicated by below in Paragraph 6 and 8. 4. After execution of this agreement and approval by the COUNTY, the BOARD shall submit an invoice to the COUNTY in the amount of $55,214 (being 100% of the COUNTY'S Tr-Party contribution for the construction). The Tr-Party contribution of $55,214 does not include the FY2016, FY2017, or FY2018 Tr-Party amounts. These will be invoiced as indicated below in Paragraph 7 and 8. a. The invoice shall be sent to: Lynn Sonkiss, Manager of Fiscal Services Executive Office Building 2100 Pontiac Lake Road, Building 41 West Waterford, MI 48328 5. Any preliminary engineering, right of way, or construction engineering costs above the Tr-Party funds in the amount of $659,600 will be funded 100% by the COMMUNITY. Any construction costs not covered by Tr-Party funds in the amount of $492,643 and the COMMUNITY'S contribution in the amount of $1,319,357 will be funded 100% by the COMMUNITY, 6. After January 1,2016, January 1,2017, and January 1,2018, the BOARD shall submit invoices to the COMMUNITY in the amount of $36,333 each (being 100% of the COMMUNITY'S Tr-Party contribution for the construction), Sashabaw Road at Waldon RoadiSashabaw Road at 1-75 - 4 - Charter Township of Independence Project No. 52651 4/15/2015 7 7. After January 1, 2016, January 1, 2017, and January 1, 2018, the BOARD shall submit invoices to the COUNTY in the amount of $36,333 each (being 100% of the COUNTY'S Tr-Party contribution for the construction). a. The invoices shall be sent to: Lynn Sonkiss, Manager of Fiscal Services Executive Office Building 2100 Pontiac Lake Road, Building 41 West Waterford, MI 48328 8. In the event the FY2016, FY2017, and/or FY2018 Tr-Party Program funds are not available, the COMMUNITY shall be responsible for their one-third share as well as the COUNTY's one-third share. PROJECT ONE AND TWO SUMMARY The total actual LOCAL MATCH will be determined from the records of the BOARD upon completion of State financial audits of the PROJECTS and a final determination of the total state funds used on the PROJECT ONE. Final adjustments in the financial obligations of the parties hereto will be made upon completion of the required audits. Upon receipt of said invoice(s), the COMMUNITY and the COUNTY shall pay to the BOARD the full amount thereof, within thirty (30) days of such receipt.
