MISCELLANEOUS RESOLUTION #15172 July 16, 2015 BY: Planning and Building Committee, Philip VVeipert, Chairperson IN RE: ECONOMIC DEVELOPMENT AND COMMUNITY AFFAIRS — RESOLUTION APPROVING THE PROVISIONS OF A BROWNFIELD PLAN AMENDMENT FOR THE 200 SOUTH BOULEVARD PROJECT CITY OF PONTIAC To the Oakland County Board of Commissioners Chairperson, Ladies and Gentlemen: WHEREAS the Oakland County Board of Commissioners, pursuant to and in accordance with the provisions of the Brownfield Redevelopment Financing Act, being Act 381 of the Public Acts of the State of Michigan of 1996, as amended (the "Act"), have established a redevelopment of Brownfields Redevelopment Authority and Board (OCBRA) to facilitate the cleanup and redevelopment of Brownfields within Oakland County's communities; and WHEREAS the 200 South Boulevard site in the City of Pontiac is an environmental hazard, a "facility" under state statute and a non-producing parcel; and WHEREAS a Brownfield plan was established by Oakland County in May of 2013 via Miscellaneous Resolution #13130 to restore the environmental and economic viability of this parcel; and WHEREAS The M1 Concourse, the developer of 200 South Boulevard has requested an amendment to the Brownfield plan to allow capture of interest but otherwise lowers total capture to $14,739,154 from $19,120,000; and WHEREAS pursuant to OCBRA by-laws, a local committee has been appointed, participated in discussions regarding the proposed plan and project, reviewed the plan, and recommends its approval; and WHEREAS the City of Pontiac has reviewed the Plan, and has been provided a reasonable opportunity to express views and recommendations regarding the Plan in accordance with Sections 13 (13) of the Act, and the Pontiac Transition Advisory Board (TAB) has concurred with the provisions of the Plan at their June 171h meeting; and WHEREAS the OCBRA, pursuant to and in accordance with Section 13 of the Act, has approved a resolution (attached) adopting the Plan, and recommends the adoption of the Plan by the Oakland County Board of Commissioners to be carried out within the City of Pontiac relating to the redevelopment of 200 South Boulevard in the City of Pontiac (the "Property"). NOW THEREFORE BE IT RESOLVED that the Oakland County Board of Commissioners does hereby adopt the Brownfield Redevelopment Plan amendment to be carried out within the City of Pontiac, relating to the redevelopment of 200 South Boulevard. BE IT FURTHER RESOLVED that a public hearing on the adoption of the Brownfield Plan approved by the Oakland County Brownfield Redevelopment Authority for 200 South Boulevard in the City of Pontiac shall be held on July 16, 2015 in the Oakland County Board of Commissioners' Auditorium, 1200 North Telegraph Road, Pontiac, Michigan. PLAN PURPOSE The Oakland County Brownfield Redevelopment Authority (Authority; OCBRA), duly established by resolution of the Oakland County Board of Commission, pursuant to the Brownfield Redevelopment Financing Act, Michigan Public Act 381 of 1996, MCLA 125.2851 et. seq., as amended (Act 381), is authorized to exercise its powers within the limits of Oakland County. The purpose of this Brownfield Plan Amendment (the Plan), to be implemented by the OCBRA, is to satisfy the requirements of Act 381 for amending the previously approved Brownfield Plan to include the eligible property described below, designated as 200 South Boulevard West, Pontiac, Michigan (the "Property"), in the County's Brownfield Plan. The Property consists of five parcels of land. Each of the five parcels is a "facility" as defined by Part 201 of Michigan's Natural Resources and Environmental Protection Act (1994 P.A. 451, as amended). The Property is located within the boundaries of the City of Pontiac, Michigan (City), which has authorized the OCBRA, by written agreement, to administer the Plan on its behalf. This Plan allows the OCBRA to use tax increment revenue to reimburse the developer, M1 Concourse, LLC (M1), for the costs of eligible environmental and non-environmental activities, including interest, required to prepare the Property for safe redevelopment and reuse (see Section III). Ml's proposed redevelopment will only be economically viable with the support and approval of the local and state brownfieid redevelopment incentives. B. PROPERTY DESCRIPTION The triangle-shaped Property consists of five parcels occupying approximately 80 acres of land. It is located south of Downtown Pontiac and is bounded to the east by Woodward Avenue, to the south by South Boulevard and to the west by Franklin Road. The collective property is designated 200 South Boulevard West. The legal descriptions of the parcels are included in Appendix C, Property location and boundary maps are Included in Appendix 0. A summary of the five parcels is presented in the table below: C. BASIS OP ELIGMILITY The Property is eligible for inclusion in this Brownfield Plan in accordance with MCL 125.2652(n) because the Property is in the City of Pontiac, a .qualified .local governmental unit, and the five parcels are "facilities" as defined by 1994 P.A. 451, as amended. Copies of these reports are available for review upon request. Additional environmental assessments will be conducted after approval of the Plan. D. PROJECT DESCRIPTION Estimates indicate there are more than 50,000 .classio, exotic and collector cars in metropolitan Detroit, all of which are either being stored in their owner's home garages or in buildings throughout the are These storage solutions more often than not present significant challenges to the security, maintenance, and accessibility of the vehicles. MI's car condominiums will offer a convenient solution to these challenges, while at the same time providing car enthusiasts with a place to share their passion with similarly interested people. The development has been designed to be a year-round automobile-themecl destination for automobile collectors and enthusiasts alike, particularly during the annual Woodward Dream Cruise, the world's largest one-day automotive event. The Woodward Dream Cruise draws approximately 1.5 million people and 40,000 classic cars from around the world to celebrate the automotive history of the City of Pontiac and southeast Michigan. The development will include approximately 113 mile of frontage on Woodward Avenue, and will provide members and the public with access to a variety of unique venues, activities, and retail outlets. These include a destination restaurant operated by a well-known local restaurateur serving modem fare reminiscent of the classic Woodward Avenue soda shoo. The restaurant will include a large parking lot which will encourage people to "stay and display" their vehicles. The development will also indiude a large events center that will be used for car shows, media events, vehicle auctions, conferences, and other special occasions. The Ml Event Center will be surrounded by 'demonstration garages' showcasing the vehicles and products of various automotive manufacturers and suppliers. The development will also include retail outlets, such as auto supply, paint/body, detaiier, customization/restoration and car audio/visual run by independent proprietors. Additionally, the development will include a large-scale public exhibition space that can be utilized for concerts, car shows, drive-in movies, auctions end other open air events. Finally, the development will include a state-of-the- art demonstration track that can be used for defensive driving classes, vehicle testing, private course driving and/or performance driving schools. M1 is anticipates making a capital investment of approximately $45 million in the development. Ml's development will result in the redevelopment and reuse of the vacant GM PCC-VC property in Downtown Pontiac. This development will improve the appearance of the area, reduce potential human health and environmental impacts from Property contamination, and add over $13 million of taxable value to the Property. The development of Parcel A will be constructed in four phases. Phase 1 will include all site demolition and initial earthwork for the development including: surface pavement and concrete removal, mobilization of an on-site crushing plant, and earthwork/grading, and necessary environmental response activities (e.g. PCB-contaminated soil removal). The proposed Phase I buildings will include 9 car condo structures (80 units) and renovation of Building 30, In addition, demolition and initial earthwork will be conducted for the outdoor stage and exhibition area. Approximately 75% of the overall development utility infrastructure will be installed in this phase. Right-of-way improvements along Woodward Avenue, West South Boulevard, and Rapid Street in Phase I include: new pavement entrances, utility connections, landscaping, signage, and new sidewalks and common areas. Phase 2 will include construction of three car condo buildings (57 units), four retail buildings, one 3-story commercial/restaurant building, and one office building. Phase 2 also includes installing associated utility leads connections to existing infrastructure, paved drives and parking areas, and landscaping. Phase 3 will include construction of three car condo buildings (55 units) and four retail buildings. This phase also includes installing associated utility leads connections to existing infrastructure, paved drives and parking areas, and landscaping. Phase 4 will include construction of four car condo buildings (72 units) and four retail buildings. This phase also includes installing associated utility leads connections to existing infrastructure, paved drives and parking areas, and landscaping. The public will benefit through the reuse of approximately 80 acres of underutilized property and creation of approximately 100 construction jobs and 120 to 210 part- or full-time jobs. In addition, the public will benefit from the construction of restaurants, retail outlets, event space and increased property taxes generated from the Project. The redevelopment of the former GM property comes at a key moment in time for the City of Pontiac. The City is in the process of re-positioning and revitalizing the community. M1 Concourse will serve as a new gateway to downtown Pontiac and symbolize the community's re-birth. This redevelopment will dramatically improve the appearance of the area by replacing 80 acres of abandoned industrial buildings and concrete surfaces with new retail, restaurants, greenspace, and at least 250 private garages. The redevelopment will reduce potential human health and environmental impacts from historical contamination, and add over $13 million of much needed taxable value to the community. IL GENERAL DEFINITIONS AS USED IN THIS PLAN All words or phrases not defined herein shall have the same meaning as such words and phrases included in Act 381. , III. BROWNFIELD PLAN • A. DESCRIPTION OF COSTS TO BE PAID WITH TAX INCREMENT REVENUES AND SUMMARY OF ELIGIBLE ACTIVITIES M1 will be reimbursed for the costs of eligible non-environmental and environmental activities necessary to prepare the Property for redevelopment, plus interest, The costs of eligible activities included in, and authorized by, this Plan will, be reimbursed with incremental local and school operatinetax.revenues generated by the Property afte-r redevelopment and captured by the OCBRA, subfect to any limitations and conditions described in this Plan, approvals'of the Michigan DePartrnent of Environmental Quality (MDEQ) and Michigan Economic Development Corporation (MEDC).for school operating tax capture, and the terms of a Reimbursement Agreement between MI and the Authority (the "Reimbursement Agreement"), Administrative expenses of the OCBRA and interest wili be reimbursed through capture of incremental local taxes. The eligible activities are summarized in Table 1-51a in Appendix A. The costs of environmental and non-environmental activities eligible for reimbursement are estimated and may increase or decrease depending on the nature and extent of unknown conditions encountered. The actual cost of eligible activities encompassed by this Plan that will qualify for reimbursement from tax increment revenues captured by the OCBRA shall be governed by the terms of a Reimbursement Agreement, No costs of eligible activities will be qualified for reimbursement except to the extent permitted in accordance with the terms and conditions of the Reimbursement Agreement and Section 2 of Act 381 of 1994, as amended (MCL 125,2654 The Reimbursement Agreement and this Plan will dictate the total cost of eligible activities subject to payment As long as the total cost limit described in this Plan is not exceeded, line item categories and costs of eligible activities may be adjusted after the date this Plan, to the extent the adjustments do not violate the terms of Act 381. B. ESTIMATE OF CAPTURED TAXABLE_VALUE AND. TAX IN.CREMENT REVENUES The 2015 taxable value of the Property is reported by the City of Pontiac as $412,710, which is the initial taxable value for this Plan. The anticipated taxable value in 2020 will be $14,625,000, based on estimates prepared by the Developer. For planning purposes, the taxable value will be phased in based on the construction progress. The actual taxable value will be determined by the City Assessor. The OCBRA will capture 100% of the incremental local tax revenues generated from real property to reimburse M1 for the costs of eligible activities under this Plan in accordance with the Reimbursement Agreement The OCBRA will capture 100% of the incremental school operating tax revenues generated from real property to reimburse the costs of eligible environmental and non-environmental activities pursuant to work plans approved by the MDEQ and MEDC, respectively. Estimated taxable values, tax increment revenues to be captured, impacts on taxing jurisdictions, and eligible activities reimbursement cash flows are presented in Table 6 (Appendix B), The actual annual incremental taxable value and captured tax increment revenue will be determined by the County and City. The actual increased taxable value of the land and all future taxable Improvements on the Property may vary. It is the intent cif this Plan to provide for the proportional capture Of all eligible tax increments in whatever amounts and in whatever years they become available until all eligible costs described in the Plan are paid or 30 years, whichever is shorter. If the MDEQ and MEDC elect not to participate in this Project, the portion of capture related to their proportionate share will be assumed by, made whole by, and become the responsibility of the other taxing entities to the extent allowed by Act 381. C. METHOD OF FINANCING PLAN COSTS AND DESCRIPTION OF ADVANCES BY THE MUNICIPALITY M1 is ultimately responsible for financing the costs of eligible activities included in this Plan. Neither the OCBRA nor the City of Pontiao will advance any funds to finance the eligible activities; All Plan financing commitments and activities and cost reimbursements authorized under this Plan shall be governed by the Reimbursement Agreement. The inclusion of eligible activities and estimates of costs to be reimbursed in this Plan is intended to authorize the OCBRA to fund such reimbursements. The amount and source of any tax increment revenues that will be used for purposes authorized by this Plan, and the terms and conditions for such use and upon any reimbursement of the expenses permitted by the Plan, will be provided solely under the Reimbursement Agreement, Reimbursements under the Reimbursement Agreement shall not exceed the cost of eligible activities and reimbursement limits described in this Plan, unless it is further amended. 2015 sm E M1 BF'ALTRI-066864171.+05/12/15 4 D. MAXIIVIUM AMOUNT OF NOTE OR BONDED NDEBTEDNESS Not applicable. E. DURATION OF BROWN FIELD PLAN The duration of this Brownfield Plan for the Property shall not exceed the shorter of the following: Reimbursement of all eligible costs, cumulatively not to exceed $13,239,154, plus $1,500,000 in interest, reimbursement of OCBRA administrative operating expenses, and funding of the Local Site Rernediation Revolving Fund, as described in this Plan, or 30 years tax capture after the first year of tax capture under this Plan. The date for beginning tax capture shall be 2017, unless otherwise amended by the OCBRA. F. ESTIMATED IMPACT OF TAX INCREMENT FINANCING ON REVENUES OF TAXING JURISDICTIONS Incremental local and state tax revenues generated by the Nil Concourse project will be captured by the OCEIRA until all incurred eligible brownfield redevelopment costs are reimbursed. The impact of the OCI3RA incremental tax capture on local taxing authorities is presented in Table 6 (Appendix B). G. LEGAL DESCRIPTION, PROPERTY MAP, PROPERTY CHARACTERISTICS AND PERSONAL PROPERTY The property consists of five tax parcels (14-33-302-001, 14-33-302-002, 14-33-302-003, 14-33-351-001, and 14-33-351-012) having a total area of approximately 80 acres. The legal description of the Property is attached in Appendix C, A map of the Property is included in Appendix D. H. ESTIMATES OF RESIDENTS AND DISPLACEMENT OF FAMILIES No occupied residences are involved in the redevelopment, no persons reside at the Property, and no families or individuals will be displaced as a result of this development. Therefore, a demographic survey and information regarding housing in the community are not applicable and are not needed for this Plan. PLAN Fort RELOCATION OF DISPLACED PERSONS No persons will be displaced as a result of this development; therefore, a Plan for relocation of displaced persons is not applicable and is not needed for this Plan. J. PROVISIONS FOR RELOCATION COSTS No persons will be displaced as result of this development and no relocation costs will be incurred; therefore, provision for relocation costs is not applicable and is not needed for this Plan, • • K. STRATEGY FOR. COMPLIANCE WITH MICHIGAN'S RELOCATION ASSISTANCE LAW No persons will be displaced as result of this development; therefore, no relocation assistance strategy is needed for this Plan. 0 2015 SME M1BPALTR+066564.01.+05/12/15 5 L. DESCRIPTION OF THE PROPOSED USE OF LOCAL PROPERTY REMEDIATION REVOLVING FUND (LSRRF) Excess tax increment revenues generated by this redevelopment will be captured by the OCBRA, to the extent allowed by Act 381, for funding of its LSRRF. This plan allocated $200,000 per year for five years for the LSRRF after the eligible activities are reimbursed. The OCBRA may, at its discretion, increase the capture for the LSRRF within that five year time period to the maximum amount permitted by Act 381. M.
