HomeMy WebLinkAboutResolutions - 2016.03.30 - 22242MISCELLANEOUS RESOLUTION #16060 March 30, 2016 BY: Finance Committee, Tom Middleton, Chairperson IN RE: FACILITIES MANAGEMENT/FACILITIES PLANNING & ENGINEERING — SOUTH COURT TOWER BOULEVARD REPLACEMENT PROJECT To The Oakland County Board of Commissioners Chairperson, Ladies and Gentlemen: WHEREAS all roadways on the Oakland County Service Center, including South Court Tower Boulevard, are dedicated roadways and as such are the responsibility of the Road Commission of Oakland County (RCOC); and WHEREAS when the County determines roadway repair/replacement is required on the Service Center, the RCOC provides engineering and project management, while the County provides construction funding and oversight; and WHEREAS South Court Tower Boulevard is used constantly by the public, court personnel, Sheriff's deputies, and other County employees, and is now in poor condition and in need of replacement; and WHEREAS South Court Tower Boulevard crosses between the courthouse and the south parking lot, and the sidewalk leading to the parking lot is not Americans with Disabilities Act (ADA) compliant; and WHEREAS the Sheriff's Office is recommending that all vehicles be kept at least 100 feet away from the courthouse on all sides, and two of the four lanes of South Court Tower Boulevard are within 100 feet of the courthouse; and WHEREAS Facilities Planning & Engineering (FPE) has worked with RCOC to estimate the costs of replacing the divided four-lane road with a three-lane road (one lane in each direction and a center turn lane) and a site plan of the proposed new road and the cost estimate is attached; and WHEREAS the stairs leading down to the parking lot would be replaced with an ADA-compliant pedestrian walkway that slopes from the plaza across .South Court Tower Boulevard and ends at the same level as the parking lot; and WHEREAS the handicapped parking spaces currently in South Court Tower Boulevard would be relocated into the parking lot; and WHEREAS access from South Court Tower Boulevard into the plaza would be provided for Fire Service and EMS units; and WHEREAS the RCOC will issue a Request for Proposal (RFP) for the project in May 2016; and WHEREAS the RCOC cost estimate for the project is $1,127,319 excluding a contingency and including $1,117,339 for reconstruction work and $9,980 for engineering services related to relocation of the water main; and WHEREAS the relocation of street lighting and the widening of sidewalks for Fire Service and EMS units to access the plaza will be performed by annual (competitively bid) County contractors at a not-to-exceed cost of $84,949; and WHEREAS it is the recommendation of Facilities Management to include a contingency of $112,732, bringing the project budget to $1,325,000; and WHEREAS the RCOC will hold and manage the contract with the finalist vendor; and WHEREAS the project is included in the FY 2016 Capital Improvement Program under the Utility, Roads, and Parking Lot Projects section, and funding for the project is available as part of the Building Authority bond proceeds of $19,325,000 for Facilities Infrastructure and Info Tech projects; and WHEREAS Corporation Counsel has reviewed the agreement attached hereto between Oakland County and the Road Commission of Oakland County for this project; and WHEREAS it is the recommendation of Facilities Management that the Board of Commissioners authorize the South Court Tower Boulevard Replacement Project and authorize and approve the agreement. NOW THEREFORE BE IT RESOLVED that the Board of Commissioners authorizes the South Court Tower Boulevard Replacement Project WI 00000002351) in the amount of $1,325,000. BE IT FURTHER RESOLVED that the Board of Commissioners authorizes and approves the attached agreement and directs its Chairperson or his or her designee to execute the agreement and all other documents required by the agreement. 52032 (Court Tower Blvd) Page 4 of 4 1V1ERL: 5.3.3 2119/2016 11:43:20 AM SOUTH COURT TOWER BOULEVARD RECONSTRUCTION AGREEMENT between COUNTY OF OAKLAND and ROAD COMMISSION FOR OAKLAND COUNTY PROJECT NO. 52032 THIS AGREEMENT ("Agreement"), made and entered into this day of 2016, is made between the Road Commission for Oakland County, a Michigan statutory public body corporate, with administrative offices at 31001 Lahser Road, Beverly Hills, MI 48025, (hereinafter "RCOC") and the County of Oakland, with offices at 1200 N. Telegraph Road, Pontiac, MI 48341 (hereinafter "County") (collectively referred to as 'the Parties"), provides as follows: WHEREAS, the road referred to as South Court Tower Boulevard located in the Oakland County Service Center in Pontiac, Michigan is in poor condition and in need of repair, and WHEREAS, all of the roads in the Oaldand County Service Center are dedicated roadways and physically maintained by RCOC, and WHEREAS, the County Department of Facilities Management/Facilities Planning & Engineering is satisfied that this Agreement with RCOC is the most cost-effective means of completing the necessary repairs to South Court Tower Boulevard, NOW, THEREFORE, in consideration of the mutual benefits set forth herein, it is agreed between the Parties: 1. RCOC RESPONSIBILITIES a. The RCOC shall undertake and complete the reconstruction of South Court Tower Boulevard, in its entirety. Said reconstruction shall consist of removal and replacement of the existing pavement with 6" of asphalt, installation of concrete curb and gutter, relocation of water main, installation of pedestrian facilities, placement of electrical conduit, and rehabilitation of the existing drainage. b. Except for the County's payment obligation described herein, RCOC shall be solely responsible for providing any materials, equipment and labor necessary to complete South Court Tower Boulevard reconstruction project and shall be solely responsible for engaging, overseeing, and reimbursing any person(s) providing any material or labor to or in connection with these reconstruction projects. c. In connection with this project, RCOC shall comply with all applicable laws, regulations codes and ordinances and secure any necessary permits or licenses. 2. COUNTY RESPONSIBILII1ES Upon execution of this Agreement, RCOC shall invoice the County $1,127,339 for the reconstruction of South Court Tower Boulevard. This amount consists of $1,117,339 in costs for the reconstruction work and $9,980 for the professional service fees of an engineering consultant for work related to the relocation of a water main. The full amount of $1,127,319 shall be paid by the County to RCOC in immediately available United States Funds within 5 days of the date of the invoice. Upon completion of the South Court Tower Boulevard reconstruction project, RCOC shall refund the County any construction costs under this amount based on the final construction cost, as determined by RCOC. Any final construction costs in excess of $1,127,319 shall be funded by RCOC. 3. GENERAL 1ERMS a. This Agreement, and/or any subsequent amendments thereto, shall not become effective prior to approving resolutions by respective governing Boards of both Parties and as reflected and entered each Board's official minutes and filed with the Michigan Secretary of State as required by MCL §124.510. b. Any amendment or changes to this Agreement shall be in writing and approved by the respective governing Board of each Party. c. Each Party shall be responsible for any claims, damages, losses or liabilities made against that Party by any third party or person. In this regard, if necessary, each Party shall seek its own legal representation and bear the costs associated with such representation, including any attorney fees. Neither Party shall have any right under any legal principle to be indemnified by the other Party or by any of its employees or agents in connection with any such claims, damages, losses or liabilities. d. This Agreement does not, and is not intended to, impair, divest, delegate, or contravene any constitutional, statutory, and/or other legal right, privilege, power, obligation, duty, or immunity of the Parties. e. The Parties intend and agree that for all purposes under this Agreement, RCOC' s legal status and relationship to the County shall be that of an independent contractor. f. It is the intention of the Parties that this Agreement is not made for the benefit of any third party or person g. This Agreement shall be construed, interpreted and governed in accordance with the laws of the State of Michigan. h. This Agreement includes three (3) pages. Except as otherwise expressly stated herein, this Agreement represents the entire agreement and understanding between the Parties. This Agreement supersedes all other oral or written understandings between the Parties in any way related to this South Court Tower Boulevard reconstruction project. IN WITNESS WEEREOF, the Parties hereto have caused this Agreement to be signed by their duly authorized representatives as of the date above. The signatures warrant that they are authorized to execute this Agreement on behalf of their respective organizations.
