HomeMy WebLinkAboutResolutions - 2016.05.05 - 22340MISCELLANEOUS RESOLUTION .J/16116 May 6, 2016 BY: General Government Committee, Christine Long, Chairperson IN RE: DEPARTMENT OF HEALTH AND HUMAN SERVICES/HEALTH DIVISION — ROBERT WOOD JOHNSON FOUNDATION INVEST HEALTH GRANT ACCEPTANCE To the Oakland County Board of Commissioners Chairperson, Ladies and Gentlemen: WHEREAS the Robert Wood Johnson (RWJ) Foundation and the Reinvestment Fund, Inc. has awarded a grant to the Oakland County Health Division and to be used for a team of five cross-sector leaders representing the City of Pontiac to engage in an 18 month professional leadership learning series of 4 national and 2-3 topical and/or regional training sessions designed at improving health in disadvantaged cities; and WHEREAS the team will consist of one staff person from the Health Division, a staff person from Economic Development and Community Affairs and three additional individuals representing local community based agencies; and WHEREAS a proportion of grant funds will be used to implement a health related strategy in Pontiac that will be determined by the team during the course of the 18-month learning period; and WHEREAS the contract period will begin effective the date of contract signing (approximately May 6, 2016) and will end on December 31, 2017; and WHEREAS funding for this grant is in the amount of $60,000; and WHEREAS no personnel is being requested for this grant project; and WHEREAS this grant agreement has completed the grant review process in accordance with the Board of Commissioner's Grant procedures and is recommended for approval. NOW THEREFORE BE IT RESOLVED that the Oakland County Board of Commissioners accepts the Robert Wood Johnson Foundation and Reinvestment Fund's grant award of $60,000 beginning approximately May 6, 2016 through December 31, 2017. BE IT FURTHER RESOLVED that the future level of service be contingent upon the level of funding for this program. BE IT FURTHER RESOLVED that the Board Chairperson is authorized to execute the Grant Agreement and approve changes and extensions not to exceed fifteen percent (15%). There was an extraordinarily competitive pool of full proposals and reviewers were impressed by your team's commitment to and vision for addressing local health outcome disparities. We look forward to working with — and learning from — you and your fellow Invest Health participants. Our work together will generate new strategies for increasing and leveraging private and public investments to accelerate improvements in neighborhoods facing the biggest barriers to better health; new, enduring partnerships across sectors; and new pipelines of projects shaped to positively impact health outcomes in Invest Health cities. In other words, we've got a lot to do! In the meantime, we wanted to share some essential details about: • communications about city selection; • June convening logistics and travel; • grant agreements and grant payment; • team contact information; and • launch webinar. For easy reference, a checklist outlining key next steps is included at the end of this letter. The checklist specifies to whom and by when various forms and information should be returned. While there is a great deal of information below, please rest assured that future program- related communications and resources will be streamlined and managed through a password-protected website, which will launch in advance of the June convening. 1. Communications about city selection As indicated in the official notification email, the names of the 50 Invest Health cities are embargoed and confidential until Tuesday, May 17, 2016, when there will be a coordinated public announcement. Please do not discuss your team's selection publicly before then, but feel free to share the exciting news with close colleagues. We have prepared some materials to help you get the word out about your participation in Invest Health. There is communications toolkit at http://www.investhealth.org/toolkit/ (password: cityhealth) with the following materials: T HEALTH Strategies for Healthier Cities A Project of the Robert Wood Johnson Foundation and Reinvestment Fund • announcement protocols; • local press release template; • messaging guidelines; • one-pager on Invest Health; • social media tips and sample messages; • resources for communicating with policy-makers; and • Invest Health City badge. If you plan to issue a press release about your team's selection, please submit a draft press release by Thursday. May 5, 2016 for review and approval (which will come no later than Friday, May 13). 2. June convening logistics and travel Our inaugural national convening will be June 7-10, 2016 here in Philadelphia. Most convening events will be at the DoubleTree Hotel, 237 S. Broad Street, where we have reserved a block of rooms for program participants. All 50 Invest Health teams will be present, along with initiative partners, experts, and some very special guests. Please come prepared for days rich with content, learning, sharing, and fun. We will send a detailed agenda in advance of the convening. In the meantime, please note that the first event is a welcome reception at 5:30pm on Tuesday, June 7th and we will conclude the convening at 11:30am on Friday, June 10t h. There will be time for exploring the city and, on Thursday evening, connecting with the Reinvestment Fund's diverse investor community at our annual investor event, which will be at the storied Barnes Foundation museum. All Invest Health travel and lodging must be booked through Corporate Traveler, which teams will have complimentary access to courtesy of the program. Use of Corporate Traveler provides access to best pricing, 24/7 customer service, and easy spending tracking and reporting. There will be no cost to Invest Health teams for Corporate Traveler services. Grant agreement Your team will receive a $60,000 grant to support its participation in Invest Health. Enclosed with this letter is the template grant agreement and an overview document summarizing key provisions. Please review both documents. The grant will be paid in two installments: $20,000 up front and $40,000 after review and approval of your team's budget, which you will submit this summer. To receive the initial payment of $20,000, there are three key steps, which should be completed by Friday, May 6, 2016: • Your team's fiscal agent (i.e., the entity that will receive and be responsible for distributing the grant funds) should complete the fiscal agent contact information form available at: http://goo.gliformsitojtSx1UriN • The fiscal agent should fill out and return the enclosed W-9 form • After all team members review the grant agreement, your team should fill-in the highlighted fields with team-specific information and have the fiscal agent sign and return the agreement 4. GRANT AGREEMENT THIS GRANT AGREEMENT (this "Agreement"), made this 5th day of May, 2016, is by and between the County of Oakland Michigan, a Michigan Constitutional Corporation having an address of 1200 North Telegraph Pontiac MI 48341 ("Grantee") and REINVESTMENT FUND, INC., a Pennsylvania non-profit corporation having an address of 1700 Market Street, 19 th floor, Philadelphia, PA 19103 ("Reinvestment Fund"). BACKGROUND Reinvestment Fund is the recipient of grant funds from the Robert Wood Johnson Foundation ("RWJF"), to be used by Reinvestment Fund to make re-grants to city teams participating in the Invest Health Initiative. Grantee is the fiscal agent for the Invest Health team from Pontiac (the "Pontiac Invest Health Team"). Reinvestment Fund has approved a re-grant to the Pontiac Invest Health Team, payable to Grantee, in the amount of up to $60,000 (the "Grant") to be used solely as outlined below. Grantee shall use the Grant proceeds solely to support participation of the Pontiac Invest Health Team in the Initiative. The Grant funds will be used first to cover travel and lodging costs for Team members to attend Invest Health convenings, with all travel arrangements to be made through the Invest Health account with Corporate Traveler. The balance of the Grant funds are available for expenses or initiatives related to participating in the Invest Health Initiative. The budget setting forth the planned uses of Grant funds (the "Invest Health Budget"), once submitted to and approved by Reinvestment Fund, will be made a part of this Agreement as Exhibit A. The Grant is made in anticipation of the Pontiac Invest Health Team participating in all aspects of the Invest Health program including attending the 4 national and 2-3 regional/topical convenings; working with coaches, program faculty, and staff; and taking part in webinars, conference calls, and diagnostic, planning, and online learning activities. If the Pontiac Invest Health Team is not able to so participate, as determined by Reinvestment Fund, the Grantee may be required to return any remaining Grant funds. Reinvestment Fund wishes to make the Grant to Grantee, and Grantee wishes to accept the Grant from Reinvestment Fund. Therefore, in consideration of the above premises; in return for the mutual promises made in this Agreement; and for other good, valuable, and sufficient consideration which both parties acknowledge receiving, and intending to be legally bound, Grantee and Reinvestment Fund agree as follows: AGREEMENT 1. Incorporation. The introductory and background provisions above and their definitions are incorporated into this Agreement. 2. Disbursement. Reinvestment Fund will disburse the proceeds of the Grant to Grantee in two payments for use by Grantee in paying the costs in the Invest Health Budget (the "Grant Disbursements"). The Grant Disbursements are subject to the following terms and conditions: a. The first Grant Disbursement, in the amount of $20,000, will be made upon receipt of the signed Grant Agreement; i. prior to submitting and receiving approval from Reinvestment Fund of the Invest Health Budget, Grantee shall only expend the first Grant Disbursement funds on travel and lodging costs related to taking part in Invest Health activities; b. The second Grant Disbursement, in the amount of $40,000, will be made following receipt and approval by Reinvestment Fund of the Invest Health Budget; c. Eligibility for the Grant funds is contingent on the ongoing participation of the Pontiac Invest Health Team in all aspects of the Invest Health initiative; d. any material change to the Invest Health Budget (i.e., a line item change greater than $600) must be approved in advance by Reinvestment Fund; and e. all Grant funds must be expended or committed by December 31, 2017. Any Grant funds neither expended nor committed on January I, 2018 must be returned to Reinvestment Fund. 3. Grantee's Representations and Warranties a. As of the date of this Agreement, Grantee represents and warrants to Reinvestment Fund that, to the best knowledge and belief of Grantee: i. Grantee is a duly-organized Michigan Constitutional Corporation in good standing with the State; Grantee is in material compliance with all applicable federal, state and local laws and regulations; and the execution and delivery of this Agreement by Grantee does not violate any provision of Grantee's constituent documents, or the provision of any contract to which Grantee is a party or by which Grantee is bound. b. Grantee agrees that the above representations and warranties will be deemed to be re-represented and re-warranted by Grantee to Reinvestment Fund as of the date of each request for a Grant Disbursement. 4. Grantee's Covenants. Grantee covenants and agrees with Reinvestment Fund as follows. Grantee will: a. receive the Grant Disbursement in trust, to be used solely to pay for the costs of the Invest Health Budget; 2 b. submit a completed Invest Health Budget, using the attached Template, to Reinvestment Fund on or before July 1, 2016; c. submit two brief midterm written reports to Reinvestment Fund, satisfactory to Reinvestment Fund in every respect, that address how the Grant funds have been used to date and how they have benefitted the Pontiac team's participation in Invest Health ("Grant Mid-Term Reports"). The Grant Mid-Term Reports will be due on: i. December 15, 2016; and ii. June 15, 2017; d. submit a final written report on January 30, 2018 detailing how the Grant funds were expended and how they benefitted the team's participation in Invest Health ("Grant Close-Out Report"). e. keep accurate and complete records of, and substantiating documentation (e.g., bills, invoices, cancelled checks, receipts) for, all uses of the proceeds of the Grant for a period of two years after submission to Reinvestment Fund of the Grant Close-Out Report; and f. upon Reinvestment Fund's written request, produce any such records and substantiating documents related to the Grant funds; g. upon Reinvestment Fund's written request, permit Reinvestment Fund or its authorized representative to have access to Grantee's books and records during regular business hours, at a time mutually agreeable to both parties, to audit or otherwise review Grantee's use of the Grant Funds, and Grantee will cooperate with TRF in any such audit or review; and h. permit Reinvestment Fund and/or the Robert Wood Johnson Foundation, from time to time, and not at Grantee's expense, to use details about and photographs of the Pontiac's Invest Health effort to publicize the Invest Health initiative; 5. Nonperformance by Grantee or Pontiac Invest Health Team. Grantee agrees that: a. Reinvestment Fund may terminate this Agreement, and require the refund within twenty calendar days of any remaining Grant Funds, if Pontiac Invest Health Team does not demonstrate good faith commitment to the objectives of the Invest Health initiative; b. Reinvestment Fund may terminate this Agreement, and require refund of remaining Grant Funds, if Grantee fails to cure any other breach of this Agreement within twenty calendar days after written notice thereof from Reinvestment Fund. 6. Notices. The grant is subject to the terms and conditions in the enclosed Grant Agreement between Reinvestment Fund and the Invest Health team. While some of key provisions of the Grant Agreement are summarized below, team members should read and be familiar with the entire agreement. Please also review the key next steps on the following page. • The Invest Health grant funds are to be used first to cover travel and lodging costs for team members to attend Invest Health convenings, with all travel arrangements to be made through the Invest Health account with Corporate Traveler. Remaining grant funds are available for expenses or initiatives related to participating in the Invest Health program, subject to an approved budget. • Invest Health teams are required to submit a budget setting forth the planned uses of the grant funds for review and approval by Reinvestment Fund. A template for the budget is included at the end of the Grant Agreement. The budget must be submitted to Reinvestment Fund by July 1, 2016. • The grant will be paid in two installments: o the first payment, in the amount of $20,000, will be made upon receipt of the signed Grant Agreement; and o the second payment, in the amount of $40,000, will be made following receipt and approval by Reinvestment Fund of the team's proposed budget. • Prior to submitting and receiving approval from Reinvestment Fund of the proposed budget, Invest Health teams may only spend the funds from the first payment on travel and lodging costs related to taking part in Invest Health activities. • Teams should keep accurate and complete records and documentation (e.g., bills, invoices, cancelled checks, receipts) of expenditure of grant funds. • Teams will submit two brief midterm written reports — on December 15, 2016 and June 15, 2017 — to Reinvestment Fund about how the grant funds have been used and benefitted the team's participation in Invest Health to date. Teams also will submit a final written report on January 30, 2018. • All grant funds must be spent or committed by December 31, 2017. Any grant funds that have not been spent or committed on January 1, 2018 must be returned to Reinvestment Fund. • Any material change to the team's budget (i.e., a line item change greater than $600) must be approved in advance by Reinvestment Fund. • The grant is made in anticipation of the Invest Health team participating in all aspects of the Invest Health program. If the team is not able to participate, as determined by Reinvestment Fund, it may be required to return any remaining grant funds. Key Next Steps: 1.
