The Public Services Committee, having reviewed the above referenced resolution on May 16,
2017, reports with the recommendation the resolution be adopted.

MISCELLANEOUS RESOLUTION #17101

IN RE: BOARD OF COMMISSIONERS - SALE OF DECOMMISSIONED MAGNETOMETER AND
SECURITY X-RAY TO THE 43 RD DISTRICT COURT - HAZEL PARK
To the Oakland County Board of Commissioners
Chairperson, Ladies and Gentlemen:
WHEREAS Oakland County recently replaced the magnetometers and x-ray machines at many Oakland
County courts, which has created a surplus of old equipment placed into storage; and
WHEREAS the 43 fd District Court, Hazel Park Division (H.P.D.C.) has a demonstrated need for a
magnetometer and two x-ray machines; and
WHEREAS the stored equipment has a significantly diminished value to Oakland County, but is still
substantially newer than the existing security screening equipment at H.P.D.C. and would constitute a
significant upgrade over H.P.D.C's existing equipment; and
WHEREAS the Oakland County Sheriff's Office provides security at the H.P.D.C.; and
WHEREAS the appropriation of this equipment to the H.P.D.C. would significantly improve the safety of
the public and Oakland County Sheriff's deputies who provide security at the H.P.D.C.; and
WHEREAS the Oakland County Sheriff's Office recommends selling the equipment for $1.00 to H.P.D.C,
and Corporation Counsel has prepared an Agreement (attached Exhibit A) and Bill of Sale (attached
Exhibit B).
NOW THEREFORE BE IT RESOLVED that the Oakland County Board of Commissioners approves and
authorizes the sale of one (1) used magnetometer and two (2) used x-ray screening machines as set forth
in the Agreement (attached Exhibit A) and Bill of Sale (attached Exhibit B).
BE IT FURTHER RESOLVED that the Board of Commissioners directs its Chairperson, or his designee,
to execute the Agreement (attached Exhibit A) and Bill of Sale (attached Exhibit B).
BE IT FURTHER RESOLVED that an authorized representative for H.P.D.C. is required to sign and date
the Agreement (attached Exhibit A) and Bill of Sale (attached Exhibit B) before H.P.D.0 may take
possession of the equipment.

The Vice-Chairperson referred the resolution to the Public Services Committee and the Finance
Committee. There were no objections.
AGREEMENT FOR SALE OF SURPLUS EQUIPMENT
BETWEEN
OAKLAND COUNTY
AND
43R0 DISTRICT COURT HAZEL PARK
This Agreement is entered into between the COUNTY OF OAKLAND, a Michigan
Constitutional Corporation, 1200 North Telegraph Road, Pontiac, Michigan 48341 ("County"),
and the 43rd DISTRICT COURT- HAZEL PARK, 111 E. Nine Mile Rd., Hazel Park, Michigan
48030 ("Court").
WHEREAS, the County has in storage a walk-through magnetometer and two x-ray
machines that it no longer uses; and
WHEREAS, the Court has a demonstrated need for such equipment; and
WHEREAS, the County will sell the equipment to the Court in exchange for one dollar
($1.00) and the promises and assurances set forth below.
WHEREAS, this sale benefits both Parties because it improves the safety of all persons
at the Court, including the Oakland County Sheriff's Deputies who provide security for the Court.
NOW THEREFORE, in consideration of the mutual promises, obligations,
representations, and assurances in this Agreement, the Parties agree to the following terms and
conditions:
1. The County will transfer ownership of the following equipment ("Equipment") to the
Court:
a. Heimann Walk-Through Magnetometer, #21506051198.
b. Heimann Hiscan X-Ray, SO#1030246, Serial#50173.
c. Heimann Hiscan X-Ray, SO#1030240, Serial#50174.
2. The Court will pay the County one dollar ($1.00) for the Equipment.
3. The Court accepts the Equipment in its current condition, "AS IS", with no express or
implied warranty whatsoever. The Court acknowledges that it had an opportunity to
inspect the equipment.
4. The Court will assume all liability and shall be solely responsible for the Equipment,
including but not limited to the following:
a. Assembly and installation of the Equipment.
b. Operation of the Equipment.
c. Maintenance of the Equipment.
d. Replacement and repair of the Equipment.
e. Training for use of the Equipment.
f. Liability for all Claims arising out of the Court's use of the Equipment. "Claims"
means any loss; complaint; demand for relief or damages; lawsuit; cause of
action; proceeding; judgment; penalty; costs or other liability of any kind.
IN WITNESS WHEREOF, Michael J Gingell, accepts and binds the County of Oakland to the
terms and conditions of this Amendment;

BILL OF SALE
This Bill Of Sale, is executed and delivered as of , 20 , by the,
COUNTY OF OAKLAND, a Michigan Constitutional Corporation, 1200 North Telegraph
Road, Pontiac, Michigan 48341 ("Seller"), to the 43rd DISTRICT COURT- HAZEL PARK,
111 E. Nine Mile Rd., Hazel Park, Michigan 48030 ("Court") ("Buyer").
Seller transfers and conveys to Buyer the following personal property (collectively the
"Property"):
a. Heimann Walk-Through Magnetometer, I21506051198.
b. Heimann Hiscan X-Ray, SO#1030246, Serial#50173.
c. Heimann Hiscan X-Ray, SO#1030240, Serial#50174.
Buyer shall pay consideration in the amount of one dollar ($1.00) for the Property transferred
and conveyed pursuant to this Bill of Sale. The Property is being transferred and conveyed to
Buyer because Seller no longer uses the Property and Buyer has a demonstrated need for the
Property.
THE PROPERTY COVERED BY THIS BILL OF SALE IS PURCHASED BY THE BUYER
"AS IS", "WHERE IS", AND "WITH ALL FAULTS", AN) BUYER THEREFORE
ACKNOWLEDGES THAT NO WARRANTIES OF ANY NATURE ARE BEING PROVIDED

Chairperson, Ladies and Gentlemen:
Pursuant to Rule XII-C of this Board, the Finance Committee has reviewed the above-referenced
resolution and finds:
1. Resolution authorizes the sale of used security equipment from Sheriff's Office to the 43 1 District
Court, Hazel Park Division.
2. The equipment will replace the court's aging security screening system.
3. The County will sell one (1) used magnetometer and two (2) used x-ray screening machines to
the 43rd District Court for $1.00.
4, No budget amendment is required.
FINANCE COMMITTEE VOTE:
Motion carried unanimously on a roll call vote with Woodward and Crawford absent.
