STRATEGIC PLANNING COMMITTEE , MISCELLANEOUS RESOLUTION #96238 BY: FINANCE AND PERSONNEL COMMITTEE, SUE ANN DOUGLAS, CHAIRPERSON IN RE: DEPARTMENT OF MANAGEMENT AND BUDGET/PERSONNEL DEPARTMENT - AUTHORIZATION OF FUNDING FOR PROFESSIONAL SERVICES CONTRACT TO IMPLEMENT NEW HUMAN RESOURCE AND FINANCIAL INFORMATION (HRFIS) SYSTEM TO THE OAKLAND COUNTY BOARD OF COMMISSIONERS Chairperson, Ladies and Gentlemen: WHEREAS a broad-based committee of departmental representatives from Finance, Human Resources, Payroll, Treasurer, and Information Technology have been evaluating human resource and financial information system solutions; and WHEREAS the committee utilized information from the Request for Proposal (RFP), user departments, and vendor presentations to determine an acceptable solution; and WHEREAS with the assistance of Plante & Moran, LLP, the committee is recommending KPMG Peat Marwick, LLP (KPMG) as the prime contractor and solution provider for these systems; and WHEREAS KPMG Financial Management Performance Series is deemed "best of breed" to serve the County's financial needs by the committee; and WHEREAS the PeopleSoft Human Resource and Payroll software is chosen as the most suitable for that operational aspect and link with the chosen financial system; and WHEREAS negotiations have resulted in a turnkey concept with a cost of $6.9 million; and WHEREAS validation of information, including costing in the proposed contract, has been completed; and WHEREAS cost benefit analysis indicates that the proposal is within acceptable parameters. NOW THEREFORE BE IT RESOLVED the Oakland County Board of Commissioners agrees with the Human Resource and Financial Information System Selection Committee on the choice of KPMG Peat Marwick, LLP (KPMG) as prime contractor and solution provider for these systems. BE IT FURTHER RESOLVED KPMG will take responsibility for all hardware, software, operating systems, database, including third party products, to ensure the successful implementation and operation of the solution. BE IT FURTHER RESOLVED KPMG will coordinate all purchase orders, license agreements, sublicense agreements, and system integration, to ensure a fully compatible and operational system. BE IT FURTHER RESOLVED KPMG has provided assurances that the equipment will meet the current and future requirements of the County. BE IT FURTHER RESOLVED KPMG assures that the software meets the conditions set forth in the Request for Proposal, complies with all federal and state reporting requirements and meet the Year 2000 compliance issue. BE IT FURTHER RESOLVED the KPMG proposal includes extensive training for each user in the County. BE IT FURTHER RESOLVED the payment plan, based on delivery and acceptance by the County, has been developed such that acceptance will be only considered when satisfaction has been achieved. FINANCE AND PERSONNEL COMMITTEE a„, 3 Package Software and Implementation Assistance Contract - between Oakland County, Michigan and KPMG Peat Marwick LLP October 10, 1996 Package Software and Implementation Assistance Contract KPMG Peat Marwick LLP and Oakland County, Michigan Whereas the County of Oakland, hereinafter referred to as the "County", was desirous of implementing a Human Resource and Financial Management System and whereas the County made request for proposals in a document dated March 1996, and the County selected KPMG Peat Marwick LLP, hereinafter referred to as KPMG, as the successful bidder on said request for proposal. Now, therefore, in consideration of the mutual promises, covenants, and conditions herein set forth, the parties agree as follows: 1. Scope of Contract 1.1. Application Software License Acquisition 1.1.1. Solution This agreement sets forth the terms and conditions upon which KPMG Peat Marwick LLP (KPMG) will install, implement, and provide for Oakland County (County) a Human Resource and Financial Information System (HRFIS). Fundamental to this solution is the acquisition of software (Schedule A), hardware (Schedule B), and services (Schedule C), including training, modifications, project management, and implementation assistance for the proper implementation of HRFIS. Oakland County expects a complete Human Resource and Financial . Information System solution based upon the terms and conditions set forth herein. 1.1.2. Prime Contractor KPMG is the prime contractor for hardware, software, operating systems, and services necessary for the solution described in Section 1.1.1. KPMG will coordinate the activities of others, as necessary, and will be the sole point of contact for all elements of the implementation, including third parties. Further, KPMG will coordinate the integration of software from Oracle, Systems • Innovators, Inc., SytnPro, and PeopleSoft. 1.1.3. Performance Series Software KPMG will provide to the County KPMG's proprietary Performance Series software (Software) subject to the terms and conditions as specified in the License Agreement set forth in Schedule F of this document. KPMG will provide a site license to the County for the following Performance Series software products: • Performance Accounting • Performance Purchasing (including Inventory Management) • Performance Asset Management WORKING DRAFT ONLY 10/10/96 4:50 PM *Package Software and Implementation Assistance Contract KPMG Peat Marwick LLP and Oakland County, Michigan All third party software use will be governed by the respective software license agreements as executed by the County with the respective software vendors. Purchases of third party software will be executed by KPMG upon receipt of written authorization from the County. Execution of license agreements between the County and the respective software vendors is the responsibility of the County. Payments to KPMG for such purchases shall be made to KPMG by the County in accordance with the prices and timeframes as specified in the third party license agreements. Schedule A presents currently available estimates of these prices. In the event of changes to these schedules, KPMG will be paid for the actual cost with no gain or loss from the transaction. 1.2 Server Hardware Selection and Acquisition KPMG agrees to take responsibility for the configuration and acquisition of the server hardware recommended by KPMG to meet the requirements specified in the Request for Proposal as developed by Oakland County. Furthermore, it is clearly understood that KPMG is recommending the proposed server, system software, and related software combination based on current and estimated future operating statistics, transaction volumes, numbers of users, processing characteristics, as well as other information provided by the County in Schedule K of this contract. Based on such information, KPMG reasonably believes that the hardware and operating system software proposed by KPMG contains the necessary components to support the requirements of Oakland County as described in the County's request for proposal. KPMG has made a "good faith" effort in evaluating transaction volumes, equipment requirements, data storage requirements, and software constraints in the proposed equipment. Notwithstanding the foregoing, if the HRFIS fails to provide response times as agreed by the parties during the testing phase of this project due to problems of speed or action times of the County's existing network and equipment or third party software, KPMG shall have no liability for such failure. However, in the event the HRFIS system fails to provide response times as agreed by the parties not due to the fault of the County's existing network, equipment, or third party software, then in that event KPMG will provide at no cost to the County the hardware and operating system software necessary to correct this deficiency. KPMG has estimated disk space requirements to support three years of data. KPMG will make a "good faith" effort to have the hardware delivered and operational within 30 days of the effective date of this Agreement. Final delivery of hardware is outside the control of KPMG. a WORKING DRAFT ONLY 10/10/96 4:50 PM Package Software an Implementation Assistance Contract KPMG Peat Marwick LLP and Oakland County, Michigan 1.2.1 Server KPMG will work with OCDIT personnel to configure a hardware environment that is consistent with OCDIT standards and direction. These standards currently specify the use of a Hewlett Packard server and a Unix operating system environment. The final selection of the hardware configuration will be reviewed by OCDIT. KPMG will initiate the purchase of the server and related operating software components upon receipt of written authorization by the County. 1.2.2. Production and Test Environments The County is responsible for creating the necessary production and test environments. KPMG will provide assistance and advice as related to the application software. 1.2.3. Disk Subsystem The County is responsible for configuration of the disk subsystem and management of all DASD. 1.2.4. Tape Subsystem The County is responsible for configuration of all tape subsystems, including processes and procedures for backup and recovery. 1.2.5. Network The County will assume full responsibility for configuring, managing, and tuning a data communications network suitable for supporting the HRFIS. The County will ensure that the network does not constrain or otherwise hamper the performance of the new system. 1.2.6. Workstations The County will provide all users of the software suitable workstations in accordance with recommended minimums as set forth in Schedule H. 1.2.7. Printers The County's existing laser printers will be utilized initially to support the new software applications. Documentation 1.3.1 Performance Series Documentation Requirements KPMG will provide the County with three hard copies of the baseline documentation for each Performance Series application covered under this contract. Updated documentation following the project is available to the County through standard maintenance and support agreements as set forth in Schedule E of this document. Unless otherwise expressly specified, all Performance Series documentation provided under this contract will be provided in hard copy and machine readable diskette versions in a commercially available word processing software format. The County has the right to reproduce Performance Series documentation provided by KPMG for internal use. Reproduction of third party software documentation is governed by the terms and conditions set forth in the respective vendor license and maintenance agreements. 1.4. Application Software Customization 1.4.1. Modifications Modifications to Performance Series application software will be performed by KPMG as mutually agreed upon between KPMG and the County. KPMG acknowledges the County's interest in using baseline software and minimizing custom modifications. Potential modifications were identified in KPMG's response to the County's Request For Proposal (RFP). Based on a joint review of the County's RFP specifications, KPMG's response, and functions supported by baseline software, the County and KPMG may mutually agree that modifications are needed to baseline software. For all modifications, KPMG will provide a written estimate of the level of effort required to modify the baseline software. The County will review the priority and estimated cost for each proposed modification and determine which modifications will be made. The County will provide written notification authorizing all software modifications and related costs. Performance Series and PeopleSoft software modifications will not exceed the Modification Pool amounts specified in Schedule C, unless authorized by a change order to this contract as described in Section 5. Professional Services 1.5.1. Project Management KPMG shall provide a project management structure for phases of work related to the application software, including software provided by third parties, as identified in this contract. KPMG will not sub-contract any services contemplated herein without the express written authorization by the County. Payment for such services are in accordance with Schedule C. 1.5.2 Application Software Installation KPMG shall furnish labor and materials required to install the software on the proposed server environment. The County shall make all necessary arrangements to allow KPMG or third party software personnel sufficient work space and access to the server. 1.5.3. Design and Modification KPMG and/or third party software vendors will be responsible for the design and modification of their respective software. 1.5.4. Implementation Support KPMG will provide implementation assistance in accordance with the agreed-upon hourly rates and hours as specified in Schedule C. 1.5.4.1. Implementation Planning and Coordination KPMG will be responsible for planning and coordinating the implementation of all application software. The County will assign a senior level professional to serve on a full-time basis as the Project Director. The Project Director will have the authority to make decisions on behalf of the County and will be available as needed to the KPMG project manager. Data Conversion KPMG will be responsible for developing, testing and execution of all necessary conversion programs. KPMG will provide information on application system tables and contents. KPMG will provide suggestions for the types of data to be converted and the respective table(s) on the new system. KPMG will assume primary responsibility for the technical conversion of data. The County will be responsible for identifying reliable sources of data, purifying data, and assessing converted data. The County will also assist KPMG in the development and testing of all conversion programs. Any correction of converted data will be the responsibility of the County. 1.5.4.3. Integration with PeopleSoft Applications KPMG will integrate the PeopleSoft applications with the County's HRFIS. Integration will include the automated exchange of information between applications, automated reconciliation capabilities, and minimization of human intervention in the process of data exchange. 1.5.4.4. Interface Design and Development KPMG will provide information and instruction on how interfaces should be designed to Performance Accounting. KPMG will be primarily responsible for the design, development, testing, and implementation of any new automated interfaces with external application systems. The County's responsibility will include identifying all current, automated interfaces, assessing interface needs, transaction volumes, and interface execution frequency. The County will also assist KPMG in the development and testing of all interfaces. KPMG is responsible for interfacing all new third party applications listed in this contract. Package Software and Implementation Assistance Contract KPMG Peat Marwick LLP and Oakland County, Michigan 1.5.4.5. Training 1.5.4.5.1. Training Material Development KPMG will be responsible for providing materials to be used in training County personnel how to use the Application Software. KPMG will provide the County a master set of training materials and an electronic copy in a commercially available word processing format. The County will be responsible for duplicating and disseminating training materials as needed. 1.5.4.5.2. Training Strategy and Approach KPMG and the County will work together in developing a training strategy and approach that best meets the County's requirements. Representatives for each function to be implemented, including General Ledger, Accounts Payable, Budget, Purchasing, Fixed Assets, Cost Accounting, and others, will review the County's training, identify training participants, and prioritize training. Training hours will be budgeted for each area and module. Schedule J sets forth a preliminary allocation of training hours by County department. 1.5.5 Performance Series KPMG will implement Performance Series as specified in the proposal to Oakland County dated April 24, 1996. 1.5.6. PeopleSoft KPMG agrees to provide system integration and implementation support services for the PeopleSoft applications in accordance with the implementation strategy described in Section 2.2 of this contract. 1.5.7. Systems Innovators Inc. KPMG agrees to provide system integration and implementation support services for the System Innovators, Inc. applications in accordance with the implementation strategy described in Section 2.2 of this contract. 1.5.8. SymPro KPMG agrees to provide system integration and implementation support services for the SymPro applications in accordance with the implementation strategy described in Section 2.2 of this contract. Reports KPMG will meet the County's basic reporting needs as defined by the current inventory of standardized, production reports. Reporting needs will be met through a combination of the new softwares standard reports, standard online inquiries, and the use of Crystal Report writer. KPMG will provide for the introduction of Crystal Reports as part of the overall reporting strategy developed for Oakland County. The County will identify a group of no more than 10 users that will be trained in the use of Crystal Reports by KPMG. KPMG will, in addition, develop up to 15 Crystal Reports based on County provided specifications. Such support will be available through six months after acceptance of the system by the County as described in Section 3.2.1. 1.5.10. Electronic Document Imaging KPMG will provide up to 40 hours of general consultation to the County on the use of electronic document imaging with Pe7formance Series software. KPMG will also provide up to 100 hours of modification of the software to accommodate the County's imaging strategy. Time in excess of 100 hours must be authorized through a change order and will be provided per the rates agreed upon in Schedule D. 1.5.11 Staff Reassignment KPMG agrees to reassign personnel in the event a claim is put forth by Oakland County to KPMG, in writing, by the Project Liaison that the staff assigned are not performing in accordance in a reasonable expected technical, administrative training, or management capabilities. KPMG will reassign the qualified personnel within fifteen days of notification by Oakland County with personnel acceptable to Oakland County. 1.5.12. Project Liaison Oakland County has designated as project liaison for the Financial Management modules and for Human Resource and Payroll Management modules. KPMG will not perform any services, including software modifications, training or technical support without the express written authorization of the designated project liaison. Further, KPMG has designated as their project manager, to which all communications will be directed from Oakland County. Each side shall notify the other in writing of any change. Package Software and Implementation Assistance Contract KPMG Peat Marwick LLP and Oakland County, Michigan 1.6. Maintenance and Support Agreements KPMG and Third Party vendors will provide maintenance and support agreements for Performance Series and Third Party software, respectively. The maintenance and support agreements will govern the availability of hot line support, software correction, and the availability of new releases. KPMG will provide training sufficient for the use of such new releases based on the hourly rates presented in Schedule D. 1.6.1 Installation of New Releases The County agrees to install future upgrades, enhancements, derivative works of, versions of and releases to the Baseline Software within one hundred eighty days of their receipt from the KPMG or third party vendor. KPMG will provide installation support for new releases based on the hourly rates presented in Schedule D. 1.6.2 Conformance with Federal and State Requirements 1.6.2.1. Performance Series The Performance Series software designated on Schedule A will support known, documented Federal and State of Michigan reporting and processing requirements. In the event it is determined that this software does not operate in accordance with the rules and regulations as specified by the Federal Government and State of Michigan, KPMG will update the programs (both source and object) to reflect the requirements as specified by the regulatory agency. Such changes will be made on a timely basis. Conformance with Federal and State requests by third parties in this contract is governed by the respective licensing agreements. KPMG will support future documented Federal and State reporting and processing requirements under the conditions set forth in Sections 1.6 Maintenance and Support Agreements and 5. Change Requests. Modifications to Performance Series software made to accommodate Federal and State reporting and processing changes will be provided through KPMG's maintenance and support agreement. County-specific modifications may be initiated under the conditions set forth in Section 5. Change Requests. Future conformance with Federal and State requirements by third party software identified in this contract is governed by the respective licensing agreements. 1.6.3 Changes to Annual Maintenance and Support Fees KPMG agrees that the annual maintenance and support fees, as designated on Schedule E, will not be increased for a period of three years from installation. WORKING DRAFT ONLY 10/10/96 4:50 PM Package Software and Implementation Assistance Contract KPMG Peat Marwick LLP and Oakland County, Michigan 1.6.4 Year 2000 Compliance KPMG warrants that it's proprietary software will operate in the processing of date and date related information. Performance includes the manipulation of this data with dates prior to and through and beyond January 1, 2000 and shall be transparent to the user. Hardware and software products, individually and in combination, shall successfully transition into the year 2000 with the correct system date, including leap year calculations. 1.6.5 Support Services 1.6.5.1. Prior to Implementation KPMG will provide telephone consulting services to Oakland County 24 hours per day, five days per week prior to production implementation of Software. Diagnostic and corrective services necessary to correct errors in the software, custom programming, or conversion programming will be provided. KPMG will provide timely responses to questions and/or software errors. 1.6.5.2. Following Implementation Post implementation support services will be provided under a maintenance and support agreement as described in Section 1.8. 1.7. Custom Modules The County's licensing agreement is inclusive of functionality added to support Job Cost/Work Order and Order Entry. As such, the County is entitled to future releases of such software as incorporated in the Performance Series software. 1.7.1. Job Cost/ Work Order KPMG will work with a County-assigned requirements group to develop requirements for a general, county-wide job cost/work order module that is integrated with the Performance Series applications. Based on the agreed upon requirements, KPMG will prepare cost estimates for the development of the application or for other alternatives as desirable by the County. ICPMG will provide up to 2,000 hours of development work, less the time spent in requirements definition, at no cost to the County. 1.7.2. Order Entry KPMG will provide up to 673 hours of development and or modification assistance to address County needs for Order Entry capabilities beyond those provided in the baseline software. This assistance will be provided at no cost to the County. Maintenance and Support Services KPMG and the County will enter into a master maintenance and support services agreement during the first sixty days following the execution of this contract. Maintenande and support services for third party software specified in this contract will be executed by the County with • the respective vendors. 1.8.1. Help Desk Support The County will expand the scope of its current Help Desk operations to include the support of the Software covered under this contract. The County will provide a Help Desk function to support users. Assigned County Help Desk professionals will attend necessary training and workshops as determined by OCDIT. 2. Contract Deliverables 2.1. Software Licenses Licenses for the County to use each of the Software products covered under this contract will be treated as Contract Deliverables. 2.2. Implementation Strategy KPMG will work with the County Project Director and other staff to develop a realistic implementation strategy. The Implementation Strategy will further define the implementation effort and may include sections dedicated to describing: • Project Scope • Implementation Objectives and Scope • Implementation Approach • Introduction of Functionality • Training • Department Feedback and Reporting • Software Overview • Roles and Responsibilities Consultants County Central Administrative Functions (e.g., Management and Budget) Department of Information Technology Other County Departments la 10110/96 4:50 PM 1M WORKING DRAFT ONLY Package Software and Implementation Assistance Contract KPMG Peat Marwick LLP and Oakland County, Michigan The intent of this deliverable is to develop a common understanding among the County and participants of the projects scope, objectives, and direction. 2.3. Project Workplan KPMG, in cooperation with the County's Project Director, will use Project Manager Workbench to develop a project workplan that identifies project phases, activities, tasks, and major milestones. KPMG and the County's task responsibilities and known project task dependencies will be identified. KPMG and County project team members will record and report bi-weekly actual time spent performing project tasks using project standard time sheets that are consistent with the selected project management software. . 2.4. Status Reports KPMG shall track and report the project progress using Project Manager Workbench. Reports will be prepared biweekly. 3. Compensation 3.1 Payment 3.1.1 Payment for Application Software Payment for all application software will be made as follows: 10% on contract initiation 40% upon installation 50% upon Oakland County Acceptance on a module basis Such payments are to be paid on a per module basis according to the prices established in Schedule A. Final payments for application software will be made only upon satisfactory completion of an acceptance test by the County of documented functionality as described in Section 3.2. 3.1.2 Payment for Hardware and Associated System Software (Schedule B) Payment for all hardware and associated system software costs will be made within thirty (30) days of installation. 10/10/96 4:50 PM .1 WORKING DRAFT ONLY Package Software and Implementation Assistance Contract KPMG Peat Marwick LLP and Oakland County, Michigan 3.1.3 Payment for Implementation and Services (Schedules C and D) Payment for professional services will be paid monthly and based on detailed invoices submitted by KPMG, that will include class of staff by service area and department/module. Such invoices will be paid within 30 days following receipt. A 5 percent retainage will be withheld by the County until such retainage totals $150,000. This retainage balance will be paid to KPMG upon the County's written sign-off that all installed software (including modifications, e.g., work order processing) meets the requirements as stated in the County's RFP of March, 1996. Such sign-off will occur no later than 30 days after all modules are in production. In the event the agreed upon implementation schedule is changed, retainage will be prorated and released based on the then in production modules. 3.1.4. Rates and Payment The rates (hourly and daily), as specified on Schedule C, will remain in effect for a minimum of three (3) years, or as mutually agreed upon by County and KPMG. The County will notify KPMG in writing within five business days following receipt of invoice for any services covered by the invoice that the County deems not in compliance with the terms of this agreement. Such identified services will not be paid by the County until the County and KPMG remedy the deficiency. During the pendency of a dispute regarding KPMG's performance of a service hereunder, the County's obligation to pay fees corresponding to such service shall be suspended, but the County shall continue to pay undisputed amounts. 3.2. Acceptance 3.2.1 Software Acceptance The County anticipates performing formal acceptance testing on each software module listed in Schedule A. This acceptance testing will begin upon formal notification from KPMG to the County that the installation of the software module has been completed on the County's computer. Upon receipt of this notification, the County will have up to fifteen (15) days in which to complete software acceptance testing. In the event the County determines that the software does not meet the performance and systems specifications, they will notify KPMG in writing, at which time software acceptance for that module will be suspended. KF'MG will then have up to twenty (20) days to satisfy the software deficiency, at which time the acceptance testing will be resumed. In the event the County does not notify KPMG of deficiencies or its formal acceptance, the software will be termed to be "accepted" within thirty (30) days after the notification of installation. Upon receipt of such notification, the County will have fifteen (15) days in which to accept or reject such notification of completion in writing. In the event of a rejection, KPMG is to be provided a complete description of any deficiencies that form the basis for rejection. KPMG will respond in writing within ten (10) working days and begin the process of resolution as described in Section 6. 4. County Responsibilities The County shall perform or provide the following for the duration of this contract. 4.1. Project Facilities The County will provide office space, work space, desks, telephones, copying machines, facsimile machines and supplies to effectively support up to eight KPMG professionals and administrative staff. Conference room access also will be provided KPMG will provide workstations for use by KPMG project team members. The County will make arrangements for KPMG project team members to connect to a network and utilize one or more County laser printers. 4.2. Training Facilities The County shall be responsible for providing all of the training facilities to be used for the duration of this contract. Two fully equipped training rooms will be provided with the necessary technical support, including overhead projectors, projection palette, and access to the Server. KPMG will have access to the training facilities from 7:00 am through 10:00 p.m. 4.3. Intemetwork The County shall be responsible for supporting the intemetwork used to connect all users to the new system. The County will be responsible for connecting all KPMG and user workstations to the network. 4.4 Implementation Support Success of this project will be dependent upon a sound working relationship between the County and KPMG. The County agrees to make an adequate investment of County time and talent to meet the proposed milestones and ensure project success. Review and Approval The County will review and approve all documents within 10 business days after receipt so as not to impede project progress. Meetings County members of the combined project team will facilitate the scheduling of all meetings. County project team members, including the County's Project Director, will make a reasonable effort to attend meetings to help ensure that project progress is not negatively impacted. 5. Change Requests The County may request changes to the contract. Examples of change requests include, but are not limited to: • Changes mandated by County legislation; • Changes in project scope as deemed necessary by the County; • Requests for specific assistance to be provided to County departments, to be paid for with funds provided by the requesting department; • Requests by the County for additional assistance in project related activities; • Requests to acquire and provide to the County additional hardware, software, and services; • Changes recommended by KPMG or another contractor and approved by the County. 5.1 Process KPMG will submit a proposal using an agreed upon change order form within fifteen (15) business days of receiving each County request for additional assistance. KPMG shall describe the basis for the proposed change, including the estimated number of hours by labor category, and the actual cost of any materials or products required to implement the change request. The County's Project Director and Purchasing Division will authorize all change orders by signing the corresponding change order form. 5.2. Vehicle Schedule G sets forth the Change Order Form to be used to document and authorize all changes to this contract. Resolution of Differences Any claim, counterclaim, or dispute between the County and KPMG arising out of or relating to this contract shall be resolved by the following two steps, as deemed necessary: 1. Conference between the County's Project Director and KPMG's Project Manager 2. Conference between the County's Director of Management and Budget and KPMG Engagement Partner 6.1. Meetings KPMG's designee and the County's representative(s) shall meet as often as the parties reasonably deem necessary in order to gather and furnish to the other all information with respect to the matter in issue which the parties believe to be appropriate and germane in connection with its resolution. The representative(s) shall discuss the problem and negotiate in good faith in an effort to resolve the dispute without the necessity of any formal proceeding. 7. Governing Law This Agreement shall be construed in accordance with, and its performance governed by, the laws of the State of Michigan and any action brought as a result of breach of any of the covenants herein shall be brought in the State of Michigan 8. Assignment This Agreement, and any interest herein, shall not be assigned or transferred, in whole or in part, by either party, without the prior, written consent of the other party, which shall not be unreasonably withheld. This Agreement shall be binding upon the successors and subject to the above assigns of either party. 9. Miscellaneous Provisions 12.1 KPMG has represented to the County the following facts as an inducement to enter into this agreement and declares such statements to be true: — KPMG warrants that all services performed hereunder will be performed in a manner that complies with all statutes, regulations, ordinances, professional standards applicable to the services provided; — KPMG will provide and maintain its own worker's compensation insurance, general liability insurance, and automobile insurance as may be needed; — KPMG maintains and will continue to maintain all applicable business and professional licenses necessary to provide the services contracted for; ot WORKING DRAFT ONLY 10/10/96 4:50 PM Package Software and Implementation Assistance Contract KPMG Peat Marwick LLP and Oakland County, Michigan — That KPMG will not seek employment as an employee of the County during the term of the contract; — That nothing in this agreement is intended to establish an employer-employee relationship with the County. 12.2 This Contract shall not cause the County to be liable for, or KPMG to accrue, benefits such as, but not limited to, Worker's Compensation, retirement, pension, vacation pay, sick pay, merit increases, annual leave days, promotion, disability pay, insurance of any kind, or any other rights or liabilities arising out of a contract of hire or employer-employee relationship. 12.3 KPMG shall indemnify and hold the County harmless from any and all actions, liabilities, claims, loss and damage (including costs of litigation and actual attorney fees) alleged to have been caused by, or to have arisen, directly or indirectly, from the acts, performances, negligence, malpractice, errors or omissions of KPMG or KPMG's assistants, employees or agents, including without limitation, all claims relating to injury or death of any person or damages to any property. 12.4 Pursuant to the provision of Public Act 317 or 1968, as amended (MCL 15.321, et seq), no contracts shall be entered into between the County including all agencies and departments thereof, and any employee or officer of the County. To avoid any real or perceived conflict or interest, KPMG shall identify any relative or relative of KPMG's employees and subcontractor who are presently employed by the County. Nothing contained in this provision limits or is intended to limit in any way KPMG's right to offer and provide its services to the general public or other business entities, municipalities or governmental agencies, during or after the term of this agreement, or from working for more than one firm, entity, or agency during the term of this agreement. 12.5 ICPMG shall allow the County's Auditing division to perform financial and compliance audits as appropriate with the authority to access all pertinent records and interview any of ICPMG's employees throughout the term of the Contract and for a period of three (3) years after final payment to ensure a complete post-evaluation of services. 12.6 As part of the work specified in this contract, KPMG recognizes the importance of independence as it pertains to the performance of the County's independent, annual audit. Rule 101 of the AICPA Code of Professional Ethics establishes the standards by which such independence is measured. KPMG must notify the contract administrator in the event KPMG is unable to perform such services when due. Any and all assistants employed by KPMG are employed at KPMG's own expense (including taxes and insurances) and KPMG remains solely responsible for and fully liable for the conduct and supervision of any assistant it employs. KPMG warrants that any services performed by KPMG's assistants shall fully comply with the terms of this agreement and shall be of the same quality of service as KPMG has customarily provided to the County. All assistants employed by KPMG shall be deemed employees of KPMG and not employees, agents or sub-contractors of the County. 12.9 KPMG shall be responsible for and liable for all costs and expenses incident to the performance of services for the County including, but limited to professional dues, association fees, license fees, fines and penalties. Glossary Acceptance Testing: Approval: Baseline Software: Implementation: Interfaces: All tests and procedures deemed desirable by the County to determine whether the baseline software or the custom software or any associated work product is in compliance. The County's determination that baseline software or service deliverable conforms to the specifications for such baseline software or service deliverable. Application software offered to all potential customers without site-specific modifications. All processes and procedures necessary to cause a component of software to be in compliance when used in full production mode by County employees who are intended to use such component. The physical and logical connections (whether manual or electronic) between components of the software and the environment or with other County systems and department specific systems to provide for communications and sharing of data between such components and the environment. Installation: The process of configuring and loading the software components necessary to perform acceptance testing. Rate Schedule: Fully loaded hourly and daily rates as described in Schedule D Optional Professional Services Costs Third Party Software: Any software that comprises any part of the software or the development software for which any copyright, or other proprietary rights is owned by any third party. Software provided by PeopleSoft, System Innovators, Inc., SymPro, Oracle, and Hewlett Packard are included under this description.
