TO THE OAKLAND COUNTY BOARD OF COMMISSIONERS
Chairperson, Ladies and Gentlemen:
The Finance and Personnel Committee, having reviewed the above-referenced
resolution on December 4, 1997, reports with the recommendation that the
resolution be amended to delete the NOW THEREFORE BE IT RESOLVED paragraph and
insert a new NOW THEREFORE BE IT RESOLVED paragraph to read as follows:
NOW THEREFORE BE IT RESOLVED that the Oakland County Board of
Commissioners approves the extension of the current Macomb Oakland
Regional Center, Inc. Contract, through March 31, 1998, with a new
not to exceed of $96,571,476.00

IN RE: Community Mental Health - Approval of Second Macomb Oakland Regional
Center, Inc. (tORC) Contract Extension
To the Oakland County Board of Commissioners
Chairperson, Ladies and Gentlemen:
WHEREAS the Oakland County Community Mental Health Services Board's
contract with Macomb Oakland Regional Center, Inc. was extended through
December 31, 1997, per CMH Board resolution adopted September 16, 1997; and
WHEREAS the CMH Services Board extended this contract from October 1,
1997 through December 31, 1997, with certain terms and conditions, as shown in
the attached agreement; and
WHEREAS a new contract between the Oakland County Community Mental
Health Services Board and Macomb Oakland Regional Center, Inc. is currently in
the negotiation stages; and
WHEREAS the services provided by Macomb Oakland Regional Center, Inc.
under the scope of this extended contract continue to be necessary to provide
services to satisfy consumers' individual needs and ensure continuity of care
from Macomb Oakland Regional Center and/or its subcontractors; and
WHEREAS on November 20, 1997, the Oakland County Community Mental Health
Services Board approved a resolution regarding the Second Macomb Oakland
Regional Center, Inc.Contract Extension.
NOW THEREFORE BE IT RESOLVED that the Oakland County Board of
Commissioners approves the extension of the current Macomb Oakland Regional
Center, Inc. contract, as shown on the attached agreement, through March 31,
1998, or, if prior to that date, until an effective date for a new contract
is adopted by the Oakland County Community Mental Health Services Board and
the Oakland County Board of Commissioners.
Chairperson, on behalf of the Public Services Committee, I move the
adoption of the foregoing resolution.

This OAKLAND COUNTY COMMUNITY MENTAL HEALTH SERVICES BOARD -- MACOMB-OAKLAND
REGIONAL CENTER INC. CONTRACT - SECOND CONTRACT AMENDMENT AND EXTENSION,
(hereafter this "Second Contract Amendment"), is made and entered into by and between the OAKLAND
COUNTY COMMUNITY MENTAL HEALTH SERVICES BOARD whose address is 1200 N. Telegraph
Road, Pontiac, MI 48341-0047 (hereafter, and as further defined in the original "Contract", the "Board"),
and the MACOMB-OAKLAND REGIONAL CENTER. INC, a Michigan nonprofit corporation, whose •
address is 16200 Nineteen Mile Road, Clinton Township, MI 48038-1103, Michigan Corporation
Identification Number 755716, (hereafter, and as further defined in the original "Contract", the "Provider).
INTRODUCTORY STATEMENTS
The Provider and the Board agree and acknowledge that the purpose of this "Second Contract
Amendment" is, except as otherwise provided herein, extend and continue the present contractual
relationship between the Parties.
A. The Parties acknowledge and agree that their current contractual relationship began on October
1, 1996, as detailed in a written agreement between the Parties entitled OAKLAND COUNTY
COMMUNITY MENTAL HEALTH SERVICES BOARD- MACOMB-OAKLAND REGIONAL
CENTER. INC. CONTRACT (hereafter, the original "Contract") which was executed and entered
into by the Parties in September 30, 1996.
B. The Parties also acknowledge and agree that on, or about, September 30, 1997, the Parties
agreed to amend and extend their contractual relationship, originally due to expire on September

30, 1997, through December 31, 1997. Further, the Parties acknowledge other amendments to
their original 'Contract, during the course of their contractual relationship from October 1, 1996
through the date that this "Second Contract Amendment was executed between the Parties.
C. The Parties also acknowledge and agree that for any and all purposes herein and hereafter, that
any and all amendments to the original "Contract* between the Parties, and/or any other
documents or writings of any kind which otherwise govern or control the contractual relationship
between the Parties at any time after the execution of the original "Contract" between the Parties
and the execution of this "Second Contract Amendment," shall herein be referred to as the "Prior
Amendments".
In consideration of the extension of the mutual promises, representations, assurances, agreements, and
provisions described in the original "Contract" and this "Second Contract Amendment", the adequacy of
which is hereby acknowledged by the Parties agree to amend and extend the current contractual
relationship and original "Contract" as follows:
1. The Parties agree that any and all defined words or phrases in the original "Contract" between the
Parties will apply equally to and throughout this "Second Contract Amendment".
2. The Parties agree that any and all terms and conditions set forth in the original "Contract" between
the Parties are hereby reaffirmed and incorporated by reference, in their entirety, herein and shall
continue to remain in full force and effect and govern and control the contractual relationship
between the Parties and shall not be modified, excepted, diminished, or otherwise changed or
altered by this "Second Contract Amendment" except as otherwise expressly provided herein.
3. The Parties acknowledge that the "Contract Expiration Date" contained in the original "Contract
between the Parties was September 30. 1997. The Parties, by means of this "Second Contract
Amendment" agree to amend and extend this original "Contract" "Contract Expiration Date" to
March 31, 1998. As a result of this "Second Contract Amendment, the Parties agree that the
term of their current-contractual relationship will now end at 11:59:59 P.M. on the March 31, 1998.
4. The Parties agree that the effective date of this "Second Contract Amendment" shall be
retroactive back to September 30, 1997. The Parties further intend and agree that
notwithstanding any other term or condition in this "Second Contract Amendment that the Parties
intend and agree that their contractual shall in all regards be deemed to have been continuous
and without interruption since September 30, 1996. In the alternative, the Parties agree that
should for any reason this "Second Contract Amendment" not be finalized and/or completely
executed by the Parties on or before December 31, 1997, (i.e., the date that the original "Contract"
was extended to in "Prior Amendments"), that the current contractual relationship between the
Parties will be deemed to have been extended (i.e., on a calendar month to calendar month basis)
as provided for in the original "Contract" until this "Second Contract Amendment" has been
finalized by the Parties and that, in such an event, this "Second Contract Amendment shall be
then deemed to apply retroactively, and without any interruption or lapse in the contractual
relationship between the Parties.
5. The Parties agree that the NOT TO EXCEED AMOUNT shown on the first page of their original
"Contract" (i.e., $60,909,124.00) is hereby amended and changed to $96,571,476mhich
amount, as further described in the original "Contract" between the Parties, shall be the maximum

financial obligation that the Board shall have to the Provider for any and all Provider Services
during the entire contract period, as amended herein, beginning on October 1, 1996, and ending
as amended herein on March 31, 1997. The Provider agrees that the Provider shall not have any
legal or binding expectation of any payment or the receipt of any funds from the Board beyond
the, NOT TO EXCEED AMOUNT, as amended herein, for any and all Provider Services rendered
during the period beginning on October 1, 1996, and ending on March 31, 1997, unless the
original "Contract" between the Parties is again subsequently amended, in writing, as provided in
the original "Contract".
6. The Parties agree that any and all references in the original "Contract" to "Attachment A" shall
hereafter refer to the attached and amended "ATTACHMENT A REVISED - Oakland County
Community Mental Health Services Board — Macomb-Oakland Regional Center. Inc.. Contract.
October 1. 1996 - March 31. 1998" and that the "Attachment A" attached to the original "Contract*
is hereby superseded and replaced in its entirety by "ATTACHMENT A REVISED - Oakland
County Community Mental Health Services Board -- MacombznaklandaackanaLCemier. Inc„
Contract - October 1. 1996 - March 31. 1998" which is attached hereto and incorporated into and
made part of this "Second Contract Amendment".
7. Provider warrants that all Provider representations originally made in the original "Contract" and
Provider's ability to continue to perform all of Provider's Services required in the original "Contract"
continue to be true and correct in all material respects just as they were when such
representations were originally made. Further, Provider warrants that there has been no material
change in Provider's circumstances including, but not limited to, Provider's business or
organizational structure or form, that would affect Provider's ability to execute this "Second
Contract Amendment" and/or to continue to perform any and all of Provider's Services or meet
any other Provider's obligations in the original "Contract".
8. This "Second Contract Amendment" shall not become effective or binding upon the Parties, and
no payments shall be made to the Provider, until any and all Provider required Certificates of
Insurance have been updated to confirm and verify that all Provider insurances coverages .
required in the original "Contract" shall be continued through March 31, 1998 and proof of same,
in such format as may be required by the Board, has been delivered to the Board or designated
Board representative.
9. The Parties agree and acknowledge that any and all "Prior Amendments" to the original
"Contract", except as otherwise described in the following subsections and/or this "Second
Contract Amendment", are hereby completely superseded, and without any further legal effect
between the Parties, by this "Second Contract Amendment". Accordingly, the Parties agree that
the following subsections shall be considered to be added to the original "Contract" as follows:
9.1 Added to the oriainal "Contract" as a NEW §5.2.111&_thefoIlowingiext:
Children's Residential Services - Any of a variety of residential treatment settings
provided for minors and children transitioning to adult service, including children's foster
Care Homes and Supported Independence Programs. Foster Care settings are licensed
by the state as foster care facilities, and provide room, board, and 24 hour supervision to
Recipients. Costs of housing, food, utilities and base staffing are included. It is
understood by the Parties that for purposes of this Contract, special individualized support
services aimed at rehabilitation or maintenance as outlined in the Individual Plan of

Services are included. This may include, as provided for in the Recipient's IPOS,
enhanced staffing or services specific to the needs of typical mental health recipients. For
licensed foster care settings, staff may reside in the home setting, and are on duty but not
generally awake 24 hours.
9.2 Added to the original "Contract" as a NEW §_5.3.12 is the following text:
Housing Costs/Develooment Services - The Provider's management, licensing,
modification, development and providing for the use of Board Recipient's, the following
residential Facilities as detailed and specified in "ATTACHMENT A REVISED - Oakland
County Community Mental Health Services Board -- Macomb-Oakland Regional Center,
Jnc.. Contract - October 1. 1996 - March 31. 1998" - Page 12.
9.3 Section 6.6.1 in the original "Contract" is hereby superseded and replaced in its entirety
by the following text;
All Provider's cost and expenses associated with or incurred in the delivery of any and all
Provider Services for any Service Component(s) must fall within one of the "Budget
Category" line items as shown on "ATTACHMENT A REVISED - Oakland County
Community Mental Health aervicesaoard Macomb-Oakland Regional Center. Inc.,
Contract - October 1. 1996 - March 31_1998" for that Service Component(s) in order to
be paid by the Board. "Budget Category" (or "Budget Categories" if referring to more than
one) as used in this Contract, shall include and refer to the "Slot Cost," "Staff Cost,"
"Administration," "Operating," "Exceptions" "Day Program Costs" "Vocational
Transportation Costs" "Housing Costs/ Development Services" or Children's Residential
Services" line items for Service Component(s) as shown in "ATTACHMENT A REVISED -
Oakland County Community Mentallealth Services Board -- Macomb-Oakland Regional
Center. Inc.. Contract - October 1._1996_dltlar.ch 31. 1998" and/or as further defined in
this section. In addition for the DAY PROGRAM - DD Service Component(s), "Budget
Category" shall also refer to and include "Enhanced Vocational Cost," as shown in
"ATTACHMENT A REVISED - Oakland County Community Mental Health Services
Board — Macomb-Oakland Regional Center. Inc.. Contract - Octgber 1. 1996 - March 31,
1998" and as further defined in this section.
9.4 Added to the original "Contracr_as a NEW § 6.2.7.1 is the following text:
In addition the Provider Services of HOUSING COSTS/DEVELOPMENT SERVICES as
referred to in "ATTA HMENT ; I D - kl.n • • n • , -
Services Board -- Macomb-Oakland Regional Center. Inc.. Contract - October 1. 1996 -
March 31. 1998" shall include and be limited to any and all Provider costs and expenses
actually paid or incurred for each facility for Housing Costs and licensing modifications
associated with each facility as shown in "ATTACHMENT A REVISED - Oakland County
Community Mental Health Sgrvices_Board -- Macomb-Oakland Regional Center. Inc.,
Contract - October 1. 1996 - March at 198" -page 12. The Subtotal for each Facility
address shown in "ATTACHMENT A REVISED - Oakland County Community Mental
Health Services Board -- Macomb-Oakland Regional Center. Inc.. Contract - October 1,
1996 - March 31. 1998"-Page 12 of the Housing Costs/Development Services shall
represent the "cap" or the maximum amount of any and all Board payment obligations to
Provider for any and all Provider's expenditures related to or otherwise chargeable to the
Board for each separate Facility (address) shown on "ATTACHMENT A REVISED -

9.5 Added to the original "Contract" as a NEW § 6.2.7.2 is the following text:
In addition the Provider Services of CHILDREN'S RESIDENTIAL SERVICES as referred
to in "ATTACHMENT A REVISED - Oakland County Community Mental Health Services
Board — Macomb-Oakland Reoional Center. Inc.. Contract - October 1. 1996 - March 31,
1998"-Page 13 shall include and be limited to the Per Diem amount for each Recipient for
each Day that the Recipient is receiving Provider's Services or residing in Provider's
Program/Facility beginning with the Effective Date as shown on "AnAgliMULLA
REVISED - Oakland Caunty Gommunitv Mental Health Services Board — Macomb-
Oakland Regional Center. Inc.. Contract - October 1. 1996 - March 31. 1998'.
9.5.1 For the purpose of determining when any Per/Diem amount is due and owing the
Provider under this Contract, the Per/Diem shall be due and owing the Provider
whenever any Recipient under this Contract is in Provider's care and custody
and/or receiving any Provider Services for any period in excess of four (4) hours
in any Day. Any period of time less than four (4) hours in any Day shall not entitle
Provider to be paid any Per/Diem Amount for any Recipient for that Day.
9.5.2 The Effective Date as shown on "ATTACHMENT A REVISED - Oakland County
Community Mental Health Services Board -- Macomb-Oakland Regional Center,
Inc.. Contract - October 1_ 1996- March 31. 1998"-page 13 shall be determined
as the date the Recipient began receiving Provider Services or began residing in
the Provider's Program/Facility and the date the Board agrees to begin payment
of the Per Diem for that Recipient as shown on "ATTACHMENT A REVISED -
Oakland County Community Mental Health Services Board — Macomb-Oakland
Regional Center. Inc.. Contract - October 1. 1996 - March 31. 1998"-Page 13.
9.5.3 The Board payments to the Provider, described in -thit Section for Children's .
Residential Services, shall be the Board's sole monetary obligation and
consideration to the Provider for the placement of any Recipient in the Provider's
Program/Facility and/or receiving any Provider's Services under this Contract. All
Board payments shall be made in accordance with the DMH's Public Mental
Health Manual guidelines entitled Payment System.
10. The Board and the Provider agree that the original "Contract", as amended by this "Second
Contract Amendment", set forth the entire contractual agreement between the Parties. In entering
into this "Second Contract Amendment", the Provider acknowledges that it has not relied upon
any prior or contemporaneous agreement, representation, warranty, or other statement by the
Board and/or any Board Agent that is not expressly set forth in the original "Contract" and/or this
"Second Contract Amendment", and that any and all such possible, perceived or prior
agreements, representations, understandings, statements, negotiations, understandings and
undertakings, whether written or oral, in any way concerning or related to the subject matter
hereof are fug)/ and completely expressed in the original "Contract" and/or this "Second Contract
Amendment". It is further agreed that the terms and conditions herein are contractual and binding
and are not mere recitals and except for those terms and conditions expressly provided for in the
original "Contract" and/or this "Second Contract Amendment", there are no other agreements,

understandings, contracts, or representations between the Provider and either the Board, any
Board Agent, the County of Oakland or the State of Michigan in any way related to the subject
matter hereof which effect any contractual relationship between the Parties.
For and in consideration of the mutual assurances, promises, acknowledgments, warrants,
representations, and agreements set forth in the original "Contract and this "Second Contract
Amendment, and for other good and valuable consideration, the receipt and adequacy of which is hereby
acknowledged, the undersigned hereby execute this "Second Contract Amendment on behalf of the
Board and the Provider, and by doing so legally obligate and bind the Board and the Provider to the terms
and conditions of this ''Second Contract Amendment.

To the Oakland County Board of Commissioners
Chairperson, Ladies and Gentlemen:
Pursuant to Rule XXII-F of this Board, the Finance and Personnel Committee
has reviewed the above referenced resolution and finds;
1) The resolution approves an extension of the current Macomb
Oakland Regional Center, Inc. contract through March 31, 1998.
2) The resolution increases the Not To Exceed of the extended
contract to $96,571,476 for this eighteen month contract period.
3) The services provided through this contract were previously
budgeted for the FY 1998 and FY 1999, therefore budget
amendments are not required.
