Crawford, Chairperson IN RE: SHERIFF'S DEPARTMENT - CONTRACT EXTENSION FOR PRIVATE FOOD SERVICE VENDOR THROUGH 2006 To the Oakland County Board of Commissioners Chairperson, Ladies and Gentlemen: WHEREAS the Sheriff requested that the County Purchasing Division send out a Request for Proposal (REP) to have a private company operate the food service operation within the Sheriff's Department; and WHEREAS proposals were received and evaluated and the lowest bidder was approved as an acceptable vendor; and WHEREAS Corporation Counsel in conjunction with Purchasing and the Sheriff's Department and per the direction of M.R. #00163 contracted with ARAMARK CORRECTIONAL SERVICES, Inc; and WHEREAS the contract was for three (3) years with a start date of August 19, 2000; and WHEREAS; the Sheriff Department kitchen is in need of some new equipment; and WHEREAS ARAMARK has offered to put a capital investment of $100,000 into equipment if the County agrees to extend the contract for three (3) years; and WHEREAS Corporation Counsel in conjunction with the Sheriff and Management and Budget has drafted a proposed extension for three (3) years to include the $100,000 capital investment by ARAMARK. NOW THEREFORE BE IT RESOLVED that the Oakland County Board of Commissioners approves the attached contract amendment with ARAMARK CORRECTIONAL SERVICES, Inc., to extend the current professional services contract for three (3) years including the investment of $100,000 by ARAMARK. PUBLIC SERVICES COMMITTEE 2t-- e AMENDMENT AND CHANGE ORDER OF CONTRACT NUMBER B0200137 AMENDMENT #1 This AMENDMENT #1 OF CONTRACT NUMBER B0200137 ("Amendment ") is made and entered into by and between the COUNTY OF OAKLAND, a Michigan Constitutional Corporation ("COUNTY"), 1200 North Telegraph, Pontiac, Michigan 48341, and ARAMARK CORRECTIONAL SERVICES, INC. ("ARAMARK"), a Delaware Corporation, having a place of business at 2000 Spring Road, Suite 300, Oak Brook, Illinois 60523. In this Amendment, either ARAMARK or the COUNTY may also be referred to individually as a "Party" or jointly as the "Parties". The Parties acknowledge the existence of a current agreement between themselves entitled PROFESSIONAL SERVICES CONTRACT NUMBER B0200137 entered into on August 19, 2000 ("Original Agreement"), in which ARAMARK provides meal service for inmates at the Oakland County Sheriffs Department located at 1201 North Telegraph Road, Building 10 East, Pontiac, Michigan ("the FACILITY"), and its satellites. The Parties now wish to amend the Original Agreement. The Parties agree as follows: 1. Section 5.1 of the Original Agreement is hereby deleted in its entirety by Amendment #1 and replaced with the following language: This Agreement and operations under this Agreement shall continue to August 19, 2006. 2. Section 5.2 of the Original Agreement is hereby deleted in its entirety by Amendment #1 and replaced with the following language: The unit prices per meal stated in Attachment A are firm until August 19, 2003. Except as provided in the Agreement, such prices may not be increased or decreased until August 19, 2003. Unit prices per meal shall be redetermined and may be increased or decreased by ARAMARK after August 19, 2003. Such redetermination and increase or decrease may occur once a year thereafter on or about August 19 until this Agreement is terminated and/or cancelled. In no case shall the annual redetermination and increase or decrease in the unit price per meal be more than the Consumer Price Index for All Urban Consumers-All U.S. Cities (CPI-U) as published by the United States Department of Labor, Bureau of Labor Statistics or reasonably equivalent index, if such index is discontinued. 3. ARAMARK Correctional Services shall purchase the following equipment for the kitchen preparation facilities at the FACILITY: One Insinger Machine Co. Traywasher w/dryer (and accessories-see attached) for $108,000 (estimated) and five MCO-GS-20A 2001-0887/ Amendment 1. - - Convection ovens (and accessories-see attached) for $30,000 (estimated). ARAMARK shall be responsible for all expenditures and risks associated with purchasing, transporting, and installing such equipment at the FACILITY up to $100,000. Any expenditure over $100,000 shall be invoiced to Oakland County Sheriffs Department upon installation. Upon installation and operation of the equipment, ARAMARK shall depreciate such equipment over a period of thirty-six months (36), on a straight—line basis. ARAMARK shall not depreciate any equipment and/or expenditure, which are invoiced to the County. The COUNTY shall be responsible for all costs associated with preventative maintenance and repairs of such equipment as provided in Sections 7.1.2 and 7.1.3 of the Original Agreement. If the Contract between ARAMARK and the COUNTY is terminated and/or cancelled by either party, for any reason except for breach, the COUNTY shall reimburse ARAMARK for the undepreciated balance of the equipment, as of the termination and/or cancellation date. The COUNTY shall make such reimbursement within thirty (30) days after the termination and/or cancellation date. All equipment purchased by ARAMARK shall be deemed owned by the COUNTY upon completion of the 36-month depreciation, or earlier if the COUNTY pays the undepreciated balance to ARAMARK. ARAMARK shall be responsible for all costs associated with the equipment, until the equipment is deemed owned by the COUNTY, including, but not limited to, replacing the equipment if destroyed, except for preventative maintenance and repairs provided in Sections 7.1.2 and 7.1.3 of the Original Agreement. 4. The terms set forth in the Original Agreement shall remain in full force and effect, except as otherwise expressly provided for in this Amendment. 5. ARAMARK has not relied upon any prior or contemporaneous agreement, representation, or other statement by the COUNTY and/or any COUNTY Agent that is not expressly set forth in the Original Agreement and/or Amendment #1. 6. The Original Agreement and Amendment #1 represent the entire agreement and understanding between the Parties. 2001-0887/ Amendment I. - 2 - Price Per Meal $0.793 $0.821 $0.845 ATTACHMENT A Year 1 Year 2 Year 3 in the event, Oakland County employees, who worked in the Oakland County Sheriff Department's kitchen, are hired to work for ARAMARK under this Agreement, the above prices shall be increased by $0.005 per for each employee who accepts employement with ARAMARK, up to a maximum of twelve (12) employees. FISCAL NOTE (M.R. #02025) March 14, 2002 BY: FINANCE COMMITTEE, SUE ANN DOUGLAS, CHAIRPERSON IN RE: SHERIFF'S DEPARTMENT-CONTRACT EXTENSION FOR PRIVATE FOOD SERVICE VENDOR THROUGH 2006 TO THE OAKLAND COUNTY BOARD OF COMMISSIONERS Chairperson, Ladies and Gentlemen: Pursuant to Rule XII-C of this Board, the Finance Committee has reviewed the above referenced resolution and finds: 1. Aramark Correctional Services Inc. currently has a three (3) year contract with Oakland County to provide food services with a start date of August 19, 2000. 2. The Sheriff Department kitchen is in need of new equipment, which is estimated at a replacement cost of $138,000. 3. Aramark Correctional Services Inc. has offered to supply $100,000 in capital investment in return for extending the current contract an additional three (3) years through 2006. 4. Funds are available in General Fund Designated Fund Balance for Cafeteria Equipment (90-190000-14000-9407-9000)to cover the difference $38,000 ($138,000 - $100,000). 5. No budget amendments are required for FY 2002 and FY 2003 with respect to Contracted Services (Inmate Meals). Budgets for FY 2004, FY 2005 and FY 2006 will be developed as more information on the cost per meal becomes available. 6.
