IN RE: PARKS AND RECREATION COMMISSION - SUPPORT FOR ACCEPTANCE OF MINI-
GRANT FROM THE OAKLAND COUNTY CULTURAL COUNCIL AND MICHIGAN COUNCIL FOR ARTS
AND CULTURAL AFFAIRS FOR THE 2002 SINGSATION TRAVELING MUSIC SHOW PROGRAM.
Mr. Chairperson, Ladies and Gentlemen:
WHEREAS, the Oakland County Parks and Recreation Commission has been
notified that the Oakland County Cultural Council and the Michigan Council
for Arts and Cultural Affairs has awarded the Oakland County Parks and
Recreation 2002 Singsation Traveling Music Show Program a mini-grant award;
and
WHEREAS, the Oakland County Parks and Recreation Commission desires to
accept the award for the following amount: $4,000.00; and
WHEREAS, the Oakland County Parks and Recreation Commission has the
matching funds available to contribute to the program; and
WHEREAS, the grant award of $4,000, the grant match of in-kind
contribution of $16,281 and admission, and application fees of $9,550 account
for the grant total of $29,831.
WHEREAS, the purpose of the grant is to fund the Singsation Traveling
Music Show Program which was developed in response to the need for an
affordable and mobile musical theatre entertainment and educational program;
and
WHEREAS, the grant meets the goals and objectives of the Oakland County
Parks and Recreation Commission to offer innovative specialized recreation
programs and cultural experiences.
NOW THEREFORE BE IT RESOLVED that the Oakland County Board of
Commissioners authorizes the Parks and Recreation Commission to accept the
said mini-grant as stated above, with said monies for this project to come
from Parks and Recreation funds and funds awarded as a result of this mini-
grant.
Mr. Chairperson, on behalf of the General Government Committee, I move
the adoption of the foregoing resolutions

Risk Management and Safety:
Approved. No modification. - Stan Fayne (March 28, 2002
Corporation Counsel:
The first paragraph does not identify the parties to the Contract. This
needs to be done, and to be clear. I cannot determine who is the
Grantor and who is the Contractor. Secondly, the "hold harmless"
provision of paragraph 5 will have to be removed. The County, and most
certainly
Parks and Rec, cannot hold anyone harmless. In paragraph 11 there is a
reference made to the "dates of service" in paragraph 3. There are no
"dates of service" in paragraph 3. They are in paragraph 2. This needs
to be changed. Aside from these issues, for a $4000.00 grant, the
Contract is acceptable. - John Ross (April 15, 2002)
The captioned grant materials and grant acceptance pack -age (which
should include the Board of Commissioners' Liaison Committee Resolution,
the grant agreement/contract, Finance Committee Fiscal Note, and this
email containing grant review comments) may now be requested to be
placed on the appropriate Board of Commissioners' committee(s) for grant
acceptance by Board resolution.

CONTRACT FOR MINI CRANT
This Contract is made on March 8, 2002 between the Oakland County Regranting Agency, herein referred to as the. Oakland
County Parks & Recreation —Singsation 2002, as follows:
I. CONTRACT TERM
This Contract shall terminate on September 30, 2002, unless prior termination is effectuated by the Regranting Agency.
to Section 4 herein.
2. SERVICES/PROJECT
Contractor shall provide the following service:
Singsation 2002 is a mobile musical theatre entertainment and educational program. Performances will be held
June 18 through August 18, 2002. The program runs approximately 40 minutes in length. Singsation brings
music and culture to communities and organizations where these resources are otherwise unavailable, increases
exposure and promotes appreciation for the cultural aspect of musical theatre.
Contractor shall submit to the Regranting Agency the date, time, and location of
any public activities/projects/services conducted in connection with this Contract.
3. TERMS AND CONDITIONS OF PAYMENT
Regranting Agency shall pay Contractor an amount not to exceed $4000 subject to and conditioned upon the
Contractor's compliance with the terms and conditions set forth in this Contract. The Regranting Agency in its sole
discretion shall determine whether the Contractor has fulfilled these conditions. In the event the Regranting Agency
determines that the Contractor has failed to comply with any of the requisite conditions, the Contractor shall not be
entitled to, nor shall the Regranting Agency be liable for, payment of any monies listed below:
Mini Grant is in the amount of $4,000
The above listed conditions must be met thirty (30) days prior to the indicated payment date. In the event the
Legislature fails to appropriate funds or an Executive Order limits the Regranting Agency's ability to make payment,
the Regranting Agency shall be excused from and not obliged to make such payment.
4. TERMINATION OF CONTRACT BY THE REGRANTING AGENCY
This Contract may be terminated by the Regranting Agency upon five (5) days written notice to the Contractor if the
Regranting Agency determines that the Contractor has not complied with any of the conditions set forth in this
Contract. Upon termination, the Regranting Agency shall have no further liability or obligation to make payments set
forth in Section 3.
5. LIMITATION OF LIABILITY
The Regranting Agency shall not be liable to the Contractor or to any individuals or entities with whom the Contractor
contracts for or any direct, indirect, incidental, consequential, or other damages sustained or incurred as a result of
activities, actions, or inactions on the part of the Contractor for services rendered pursuant to Section 2 herein: from the
Regranting Agency's decision not to make payment to the Contractor pursuant to Section 3 herein; or from termination
of this Contract pursuant to Section 4 herein. Any liability resulting from activities engaged in by the Contractor shall
be the sole responsibility of the Contractor. Contractor agrees to hold the Regranting Agency, Michigan Council for
the Arts, the County of Oakland, and the State of Michigan harmless in the event of any judgment incurred as a result
of the activities described herein.

6. THIRD PARTIES
This Contract is not intended to make any person or entity not a party to this Contract a third-party beneficiary hereof
or to confer on a third party any rights or obligations enforceable in their favor.
7. PROMOTION
Contractor agrees to prominently display Regranting Agency's name and logo in printed materials and to include
support credit in broadcast promotion as follows:
"This activity is supported by the Oakland County Regranting Agency, a program of the Michigan Council
for Arts and Cultural Affairs."

When no printed material is used, verbal acknowledgement shall be given prior to each presentation. Copies of
printing, photographs advertising, and promotion materials prepared for this activity must be forwarded to the
Regranting Agency.
8. ACCOUNTING
Contractor agrees to maintain, appropriate documents, journals, ledgers, and statements in accordance with generally
accepted accounting practice, to retain these records Ibr a period of not less than four (4) years from the date of the
Final report, and to make this accounting available for audit by appropriate agents of the State, County, and/or Federal
Governments.
9. REPORTS
In addition to requirements which may be made in Sections 2 and 3 above, the Contractor agrees to submit to the
Regranting Agency a financial statement of expenditures and report of activities/activity period, but no later than
III2TY (30) DAYS following the termination date in Section I above. Failure to submit this report in a timely
manner may void Contractor's claim to funds provided herein. In order to provide members of the Regmnting Agency
appropriate evaluators and staff an opportunity to appraise the nature and caliber of activities supported by Regranting
Agency funds, Contractor agrees to admit said individuals to activities without charge and to cooperate with such in-
depth reviews and evaluations as may be required.
10. EQUAL OPPORTUNITY
Contractor certifies compliance with Executive Order 70-4, pertinent State/Federal statutes providing equal opportunity
for employment, provision of services regardless of race, religion, sex, color, national origin, ancestry, or age and equal
access for disabled to programs and services.
II. ENTIRE CONTRACT
This Contract is governed by the laws of the State of Michigan and supersedes all prior agreements, documents, and
representations between the Regranting Agency and the Contractor, whether expressed, implied, or oral. This Contract
constitutes the entire agreement between the parties herein and may not be amended or assigned except by written
instrument executed by both parties prior to the termination date set forth in Section I above. The Contractor agrees to
inform the Regranting Agency in writing immediately of any proposed changes of dates of services indicated in Section
3 as well as changes of address or personnel affecting this Contract If any provision of this Contract shall be deemed
void or unenforceable, the remainder of the Contract shall still be valid.

TO THE OAKLAND COUNTY BOARD OF COMMISSIONERS
Chairperson, Ladies and Gentlemen:
Pursuant to Rule XII-C of this Board, the Finance Committee has
reviewed the above referenced resolution and finds:
1. The resolution authorizes acceptance of a mini-grant from
the Oakland County Cultural Council and Michigan Council
for Arts and Cultural Affairs for 2002 Singsation Traveling
Music Show Program.
2. The purpose of the grant is to fund the Singsation
Traveling Music Show Program which was developed in
response to the need for an affordable and mobile musical
theatre entertainment and educational program.
3. The grant period is from June 18, 2002, to August 18, 2002.
4. The Oakland County Parks and Recreation Commission requests
funding from the Michigan Council for Arts and Cultural
Affairs of $4,000. The total budget for the program is
$29,831. Oakland County Parks and Recreation grant match
will consist of in-kind contribution of $16,281 and
admission and applicant fees of $9,550.
5. No General Fund/General Purpose appropriation is required.
The funds for the grant match and in-kind contribution are
within the Parks and Recreation Operating Budget.
6. Acceptance of the $4,000 in grant funding is actually
regranting of State funds previously accepted by Oakland
County Cultural Affairs through the County's grant
procedures. Therefore, no additional budget amendments are
required.
