Chairperson, Ladies and Gentlemen:
WHEREAS the Oakland County Board of Commissioners supports the economic growth of
Oakland County; and
WHEREAS one of the tools used to promote this economic growth is tax increment financing in
the form of Downtown Development Authorities (DDAs) and Local Development Finance Authorities
(LDFAs); and
WHEREAS to review requests from the County's cities, villages, and townships to establish
DDAs and LDFAs, the Board of Commissioners, pursuant to Miscellaneous Resolution #99010,
established the Tax Increment Financing District Review Policy Ad Hoc Committee (Ad Hoc Committee)
to evaluate and recommend to the Finance Committee on the County's participation in these proposed
authorities; and
WHEREAS on August 23, 2000, the Charter Township of Highland (Highland) held a public
hearing to consider the adoption of a proposed ordinance to establish a DDA; and
WHEREAS pursuant to Miscellaneous Resolution #00236 the Oakland County Board of
Commissioners determined to exempt County taxes from capture by the proposed Highland DDA for the
reasons set forth in that resolution; and
WHEREAS Miscellaneous Resolution #00236 further provided that if Highland could
demonstrate to the County that its DDA complied with all statutory requirements, the County would be
willing to review and negotiate with Highland a mutually beneficial agreement to enhance the economic
development of both the County and Highland; and
WHEREAS the County, through the appropriate County departments and officials, also offered to
work with Highland to create a Downtown Development Authority consistent with County criteria and
state laws; and
WHEREAS subsequent to the events of 2000, outlined above, Highland went forward with its
DDA plans without County participation; in addition, Highland had numerous meetings and discussions
with County Economic Development staff in an effort to comply with criteria set forth by the Ad Hoc
Committee; and
WHEREAS on February 25, 2004, the Township held a public hearing to consider the adoption of
a proposed amendatory ordinance for the expansion of its DDA boundaries; and
WHEREAS although Miscellaneous Resolution #00236 referenced the County's decision to "opt
out" of the 2000 plan, it also evidenced the County's willingness to negotiate with Highland and the DDA
for the County's participation in a revised plan; and
WHEREAS upon further review and successful negotiations with Highland and the DDA, the Ad
Hoc Review Committee now recommends participation in the proposed amendatory DDA plan presented at
the February 25, 2004, public hearing, as set forth in the attached agreement and exhibits.
NOW THEREFORE BE IT RESOLVED that the Oakland County Board of Commissioners
hereby rescinds Miscellaneous Resolution #00236.
BE IT FURTHER RESOLVED that the Board of Commissioners authorizes the County's limited
participation in Highland Township's amended February, 2004, DDA plan as set forth in the attached
agreement and accompanying exhibits.

AGREEMENT
BETWEEN THE COUNTY OF OAKLAND.
HIGHLAND TOWNSHIP AND THE
HIGHLAND TOWNSHIP DOWNTOWN DEVELOPMENT AUTHORITY
THIS AGREEMENT is entered into this day of April, 2004, between the
COUNTY OF OAKLAND ("County"), 1200.N. Telegraph Road, Pontiac, Michigan 48341,
HIGHLAND TOWNSHIP ("Highland"), 205 North John Street, Highland, Michigan 48357, and
the HIGHLAND TOWNSHIP DOWNTOWN DEVELOPMENT AUTHORITY ("DDA"), 205
North John Street, Highland, Michigan 48357. In this Contract, the County, DDA and Highland
Township may also be referred to as "Parties."
INTRODUCTION
Public Act No. 197 of the Public Acts of 1975, a/Ida The Downtown Development
Authority Act ("Act 197"), as amended, MCL 125.1651, et seq., authorizes municipalities to
establish Downtown Development Authorities when it is necessary for the best interests of the
public to halt property deterioration and increase property tax valuation where possible within
defined business districts. One of the purposes for creating Downtown Development Authorities
is to permit municipalities to finance public improvements in designated areas by capturing the
property taxes levied on any increase in property values within the areas; this is commonly
referred to as tax increment financing. Section 3(4) of Act 197 provides that a governing body of
a taxing jurisdiction whose ad valorem taxes would otherwise be subject to capture may exempt
its taxes from capture by adopting a resolution to that effect. Section 14(4) of Act 197 provides
that Downtown Development Authorities may enter into agreements with taxing jurisdictions
and the municipality establishing the Downtown Development Authority to share a portion of the
captured assessed value of the district.
On August 23, 2000, Highland held a public hearing to consider the adoption of a
proposed ordinance for the creation of its Downtown Development Authority. In accordance
with Section 3(4) of Act 197 in September, 2000, the County adopted Miscellaneous Resolution
No. 00236 indicating that the County would exempt its ad valorem property taxes from capture.
This resolution was then filed with the Township Clerk.
Subsequent to the events of 2000, outlined above, Highland, the DDA, and the County
had numerous meetings and discussions concerning the County's participation in the DDA's
Development Plan and Tax Increment Financing Plan. Representatives from Highland had a
series of productive meetings with staff from the County's Department of Community and
Economic Development.
Although MR #00236 referenced the County's decision to "opt out" of the 2000 plan, it
also evidenced the County's willingness to negotiate with Highland and the DDA for the

County's participation in a revised plan. Accordingly, what follows sets forth the Agreement
between Highland, the DDA and the County as to the 2004 amendatory proposal. The Exhibits
attached hereto include the following: Exhibit A is the original Highland Township DDA
Ordinance No. 418; Exhibit A-1 is the Amendatory Ordinance No. 432; Exhibit B is the list of
properties included in the original DDA district; Exhibit B-1 is the list of properties included in
the amended DDA district; Exhibit C is the Project List.
Throughout all of the discussions and meetings detailed in this document, the Parties
agreed that this Agreement would include complete capture of County millage.
NOW, THEREFORE in consideration of the mutual promises, representations, and
agreements set forth in this Contract, and for other good and valuable consideration, the receipt
and adequacy of which is hereby acknowledged, the Parties agree as follows:
1. Unless otherwise agreed, the County agrees to allow the tax increment revenue generated
by its millage rate to be captured and retained by the DDA from the properties listed in
Exhibit "B" ( the original DDA properties) beginning with the tax year 2001, and from
the properties listed in Exhibit "B-1" (the amended DDA district) beginning with the tax
year 2004 (i.e., County's portion of tax increment revenue). The total amount captured
from both the original DDA properties and the amended DDA district) shall not exceed
six million, four hundred fifty-two thousand, three hundred fifty ($6,452,350) dollars or
be captured beyond twenty-five (25) years from the date of this agreement, whichever
comes first. Thereafter, the County's participation in the DDA will cease and its portion
of ad valorem property that would otherwise be subject to capture will be exempt from
further capture by the DDA.
2. The County's portion of tax increment revenue shall be based upon the 2001 taxable
value of the properties listed in Exhibit "B" and shall be based upon the 2004 taxable
value of the properties listed in Exhibit "B-1". This revenue shall be limited and applied
to the funding necessary for the DDA projects listed in Exhibit "C". The DDA's capture
of County millage will be complete, including Parks and Recreation.
3. The DDA agrees to file an annual report, which shall include the amount of the revenue
captured, and the costs and other expenses relating to the Project, with the Oakland
County Board of Commissioner's Finance Committee on an annual basis during the term

of this Agreement. The DDA shall allow the auditing division of the County of Oakland
to perform financial and compliance audits as appropriate and access to all records
relating to the Project throughout the term of this Agreement and for a period of three (3)
years thereafter. To facilitate this audit, the DDA shall have financial and compliance
records available to the County within 120 days of the end of the DDA's fiscal year.
4. Highland acknowledges that it is aware of the impact of any voted millages affecting this
Agreement.
5. Highland acknowledges that it is not currently party to, or proposing any agreements that
would alter the amount of lawfully captured revenue from sources other than Oaldand
County; furthermore, Highland agrees to disclose any such proposed agreements to the
County's Ad Hoc Review Committee before entering into them. If such an arrangement
is contemplated by Highland, the County reserves the right to reconsider its participation
in the tax capture set forth in this Agreement and may "opt out" at its discretion.
6. Any DDA project other than those specifically allowed for herein may be considered by
the County upon proper application by the DDA at the appropriate time in the future.
Any modification or amendments to the DDA's Development Plan and Tax Increment
Financing Plan that affects the DDA Project List attached as Exhibit "C" shall be
submitted to the County's Ad Hoc DDA-TIFA/LDFA-TIFA Review Committee for
review. The County may "opt out" of any future modifications or amendments impacting
tax capture as provided by law.
7. The County's participation in the DDA's Development Plan and Tax Increment
Financing Plan will terminate in either 25 years from the date of this agreement or when
the County tax capture amount of $6,452,350 is reached, whichever comes first;
thereafter, the County's portion of ad valorum property that would otherwise be subject
to capture will be exempt from further capture by the DDA.

8. The County, Highland and the DDA warrant that they each have the appropriate authority
to enter into this Agreement and that each of them are bound by the respective signatures
below.
FOR AND IN CONSIDERATION of the mutual assurances, promises,
acknowledgments, warrants, representations, and agreements set forth in this Contract, and for
other good and valuable consideration, the receipt and adequacy of which is hereby
acknowledged, the undersigned hereby execute this Contract on behalf of the Parties, and by
doing so legally obligate and bind the Parties to the terms and conditions of this Contract.

AN ORDINANCE TO ADD A NEW CHAPTER 25 TO THE CODE OF ORDINANCES FOR
THE CHARTER TOWNSHIP OF HIGHLAND, SUCH CHAPTER SETTING FORTII THE
STANDARDS FOR THE DOWNTOWN DEVELOPMENT AUTHORITY, WHICH SHALL:
OPERATE FOR THE PURPOSE OF REVERSING THE PATTERN OF DETERIORATION IN
THE TOWNSHIP BUSINESS DISTRICT; PLAN FOR AND IMPLEMENT CERTAIN
PUBLIC IMPROVEMENTS THAT ARE CONSIDERED NECESSARY FOR FUTURE
ECONOMIC GROWTH; AND ESTABLISH THE LEGAL BASIS FOR THE CAPTURE AND
EXPENDITURE OF TAX INCREMENT REVENUES IN ACCORDANCE WITH PUBLIC
ACT 197 OF THE PUBLIC ACTS Of MICHIGAN OF 1975, AS AMENDED.
THE CHARTER TOWNSHIP OF HIGHLAND ORDAINS:
Section 1. Purpose.
The Board of Trustees for the Charter Township of Highland, having determined that it is
necessary and in the best interest of the public to halt property value deterioration and to increase
property tax valuation whore possible in the township business district, and to eliminate the
causes of such deterioration and to promote economic growth, a Downtown Development
Authority, which shall be known as the Charter Township of Highland Downtown Development
Authority, is hereby established pursuant to Public Act No. 197 of the Public Acts of Michigan
of 1975, as amended.
Section 2. Definitions.
The terms used in this article shall have the same meaning as given to them in Act 197 or as
hereafter defined provided unless the context clearly indicates otherwise. As used in this
ordinance:
Act 197 shall mean Act No. 197 of the Public Acts of Michigan of 1975 (MCL
125,1651 et seq., MSA 5.3010(1) et seq.), as now in effect and hereafter amended.
Authority shall mean the Charter Township of Highland Downtown Development
Authority as created herein,
District or Downtown District shall mean the specifically designated township
business district, as set forth in this ordinance or as hereafter amended.

Public Facility shall mean a street, plaza, pedestrian mall, and any improvements
to a street, plaza or pedestrian mall including street furniture and beautification,
park, parking facility, recreational facility, right of way, structure ,waterway,
bridge, lake, pond, canal, utility line or pipe, building, and access routes to any of
the foregoing, designed and dedicated to use by the public generally, or used by a
public agency.
Township shall mean the Charter Township of Highland.
Section 3. Creation of the Authority.
There is hereby created pursuant to Act 197 a Downtown Development
Authority for the Charter Township of Highland. The Authority shall be a public
body corporate and shall be known and exercise its powers as the "Charter
Township of Highland Downtown Development Authority."
The Authority shall develop the necessary or appropriate plans which, in
the opinion of the Township Board, aid in the economic growth of the District.
Once the development plans are approved by the Township Board, the Authority
shall implement such plans in accordance with the directives of the Township
Board, as well as any other regulations set forth in Act 197.
Section 4. Description of the Downtown District.
The Downtown District, in which the Authority shall exercise its power as provided by
Act 197, shall consist of the following described territory in the Township, subject to such
changes as may hereinafter he made pursuant to this ordinance and Act 197:

Section 5. Establishment of a Governing 13ourd.
Membership qualifications, terms, vacancy, compensation and expenses,
chairperson. The Authority shall be supervised and controlled by a governing
board consisting of the Township Supervisor and at least eight (8), but no more
than twelve (12) members, to be determined by resolution of the Township Board.
The members of the governing board shall be appointed by the Township
Supervisor, subject to the approval of the Township Board. At least a majority of
the members of the governing board shall be persons having an interest in

property located in the Downtown District. At least one (1) of the members shall
be a resident of the Downtown District. Of the members first appointed, an equal
number of members, as near as is practicable, shall be appointed for one (1) year,
two (2) years, three (3) years and four (4) years. A member shall hold office until
the member's successor is appointed. Thereafter each member shall serve for a
term of four (4) years. An appointment to fill a vacancy shall be made by the
Township Supervisor for the unexpired term only. Members of the governing
board shall serve without compensation but shall be reimbursed for all actual and
necessary expenses. The chairperson of the governing board shall be elected by
the members of such board.
(b) Oath. Before assuming the duties of office, each member of the governing
board shall qualify by taking and subscribing to the Constitutional oath of office,
Open Meetings Act, compliance; rules; special meetings. The business,
which the governing board may perform, shall be conducted at a public meeting of
the board held in compliance with Act No. 267 of the Public Acts of Michigan of
1976 (MCL 15.261 et seq., MSA 4.1800(11) et seq.), as amended. Public notice
of the time, date, and place of the meeting shall be given in the manner required
by Act No. 267. The governing board shall adopt rules consistent with Act No.
267 governing its procedure and the holding of regular meetings, subject to the
approval of the Township Board, Special meetings may be held when called in
the manner provided in the rules of the governing board.
Removal of board member for cause; judicial review. Pursuant to notice
and after having been given an opportunity to be heard, a member of the
governing board may be removed for cause by the Township Board. Removal of
a member is subject to review by the circuit court.
Expenses and financial records, open to the public. All expense items of
the Authority shall be publicized monthly and the financial records shall be open
to the public.
(0 Freedom of InfOrmation Act, compliance. In addition to the items and
records prescribed in subsection (e), a writing prepared, owned, used, in the
possession of, or retained by the governing board in the performance of an official
function shall be made available to the public in compliance with Act No. 442 of
the Public Acts of Michigan of 1976 (MCL 15.231 et seq., MSA 4.1801(1) et
seq.), as amended.

Section 6. Governing Board Officers and Personnel.
Director, oath and bond, chief e.xecutive officer; powers and duties;
report; acting director. The governing board may employ and fix the
compensation of a Director, subject to the approval of the Township Board. The
Director shall serve at the pleasure of the governing board. A member of the
governing board is not eligible to hold the position of Director. Before entering
upon the duties of his or her office, the Director shall take and subscribe to the
constitutional oath, and shall furnish and post a bond in a penal sum established
by the Township Board, payable to the Authority for use and benefit of the
Authority and filed with the Township Clerk. The premium on the bond shall be
deemed an operating expense of the Authority, payable from funds available to
the Authority for expenses of operation. The Director shall be the chief executive
officer of the Authority. Subject to the approval of the governing board, the
Director shall supervise, and be responsible for, the preparation of development
plans and the performance of the functions of the Authority in the manner
authorized by this article and Act 197. The Director shall attend the meetings of
the governing board, and shall render to the governing board and to the Township
Board regular reports covering the activities and financial condition of the
Authority. If the Director is absent or disabled, the governing board may
designate a qualified person as acting director to perform the duties of the office.
Before entering upon the duties of office, the acting director shall take and
subscribe to the oath, and furnish bond, as required of the Director. The Director
shall furnish the governing board with information or reports relative to the
operation of the Authority as often as the board shall require.
Treasurer; duties; bond. The governing board may employ and fix the
compensation of a Treasurer, who shall keep the financial records of the Authority
and who, together with the Director, shall approve all vouchers for the
expenditure of funds of the Authority, The Treasurer shall perform such other
duties as may be delegated to him or her by the governing board and shall furnish
bond in an amount prescribed by the governing board.
Secretary; duties. The governing board may employ and fix the
compensation of a Secretary, who shall maintain custody of the official seal and of
any records, books, documents, or other papers not required to be maintained by
the Treasurer. The Secretary shall attend meetings of the governing board, keep a
record of its proceedings, and perform such other duties as delegated by the
governing board.

Legal counsel; duties. The governing board may retain legal counsel to
advise the its members of the proper performance of their duties. The legal
counsel shall represent the Authority in actions brought by or against the
Authority.

OtIzer personnel. The governing board may employ other personnel which
it deems necessary.
Section 7. Powers of the Govern in Board.
The governing board established by this ordinance may:
(a) Prepare an analysis of economic changes taking place in the Downtown
District.
(b) Study and analyze the impact of growth upon the Downtown District.
Plan and propose the construction, renovation, repair, remodeling,
rehabilitation, restoration, preservation, or reconstruction of a public facility, an
existing building, or a multiple-family dwelling unit which may be necessary or
appropriate to the execution of a development plan which, in the opinion of the
governing board, aids in the economic growth of the Downtown District.
Plan, propose and implement an improvement to a public facility within
the Development District to comply with the barrier free design requirements of
the state construction code promulgated under the State Construction Code Act of
1972, Act No. 230 of the Public Acts of Michigan of 1972 (MCL 125.1501 et
MSA 5.2949(11) et seq.), as amended.
Develop long-range plans, in cooperation with the Planning Commission
and any other township planning consultants or engineers, designed to halt the
deterioration of property values in the Downtown District while promoting
economic growth, and to take such steps as may be necessary to persuade property
owners to implement development plans to the fullest extent possible.
(f) Implement any plan of development in the Downtown District necessary to
achieve the purposes of this ordinance, in accordance with the powers of the
Authority as granted by Act 197.
(g) Make and enter into contracts necessary or incidental to the exercise of its
powers and the performance of its duties.

Acquire by purchase or otherwise, on terms and conditions and in a
manner the Authority deems proper, or own, convey, or otherwise dispose of, or
lease as lessor or lessee, land and other property, real or personal, or rights or
interests therein, which the Authority determines is reasonably necessary to
achieve the purposes of Act 197, and to grant or acquire licenses, easements, and
options with respect thereto.
Improve land and construct, reconstruct, rehabilitate, restore, and preserve,
equip, improve, maintain, repair and operate any building, including multiple-
family dwellings, and any necessary or desirable appurtenances thereto, within the
Downtown District for the use, in whole or in part, of any public or private person
or corporation, or a combination thereof.
(l) Fix, charge and collect fees, rents and charges for the use of any building
or property under its control or any part thereof, or facility therein, and pledge the
fees, rents and charges for payment of revenue bonds issued by the Authority.
(k) Lease any building or property under its control, or any part thereof.
Accept grants and donations of property, labor, or other things of value
from public or private sources.

Section 8. Funds.
(a)
Acquire and construct public facilities.
Sources. The activities of the Authority shall be financed from one (1) or
more of the following sources:
a. Donations 10 the Authority for the performance of its functions.
b. Proceeds of a tax imposed pursuant to section 12 of Act 197.
c. Monies borrowed and to be repaid as authorized by section 13 of Act 197.
d. Revenues from any property, building or facility owned, leased, licensed
or operated by the Authority or under its control, subject to the limitations
imposed upon the authority by trusts or other agreements.
e. Proceeds of a tax increment financing plan, established under sections 14
to 16 of Act 197.

Deposit and payment of moneys. Monies received by the Authority and not
covered under subsection (a) shall immediately be deposited to the credit of the
Authority, subject to disbursement pursuant to this ordinance. Except as provided
in this ordinance or in Act 197, the Township shall not obligate itself, nor shall it
ever be obligated to pay any sums from public funds, other than monies received
by the Township pursuant to this section, or on account of the activities of the
Authority.
Section 9. Development Plans; Hearing on Plans; Determination of Public Purpose;
Citizens Council.
If the governing board decides to finance a project in the Downtown
District by the use of revenue bonds as authorized in section 13 of Act 197, or tax
increment financing as authorized in sections 14, 15 and 16 of the Act, it shall
prepare a development plan. The development plan shall, in all respects, conform
to the requirements of section 17 of Act 197. Before adoption of any resolution or
any ordinance approving a development plan or tax increment financing plan, a
public hearing shall be held, upon notice, and given in accordance with section 18
of Act 197. The finding of public purpose shall be made as provided in section 19
of Act 197.
IF a proposed development area has residing within it one hundred (100) or
more residents, a Development Area Citizens Council ("DACC") shall be
established at least ninety (90) days before the public hearing on the development
or tax increment financing plan. The DACC shall be established by the governing
board and shall consist of not less than nine (9) members. Members of the DACC
shall be residents of the development area and shall be appointed by the governing
board. All members of the DACC shall be at least eighteen (18) years of age and
the membership of the DACC shall be representative of the general population of
the development area. The DACC shall be an advisory body to the Authority and
its governing board in regard to the adoption of a development or tax increment
financing plan. Consultation between the governing board and the DACC shall be
conducted as provided in section 23 of Act 197 and in accordance with sections
24 and 26 of the Act.
Section 10. Fiscal Year; Adoption of Budget; Financial Reports.
The fiscal year of the Authority shall begin on January first of each year
and end on December thirty-first of that year, or such other fiscal year as may
hereafter be adopted by the Township Board.

The governing board shall annually prepare a budget and submit it to the
Township Board on the same date that the proposed budget for the Township is
required to be submitted to the Township Board. The governing board shall not
adopt a final budget for any fiscal year until that budget has been approved by the
Township Board. The governing board may, however, temporarily adopt a budget
in connection with the operation of any improvements which have been financed
by revenue bonds where required to do so by the ordinance authorizing the
revenue bonds,
The Authority shall submit financial reports to the Township as requested
by the Township Board. The Authority shall be audited at the same time and by
the same independent auditor auditing the Township accounts and copies of the
audit report shall be filed with the Township Treasurer.
Section 11. Termination of the Authority.
An Authority, which has completed the purposes for which it was organized, shall be
dissolved by ordinance of the Township Board. The property and assets remaining after the
termination shall belong to the Township.
Section 12. Development Plans.
Determination of public purpose. In accordance with section 19 of Act
197, the Township Board, shall conduct a public hearing on the economic
development plan and tax increment financing plan and determine that such plans
constitute a public purpose.
Basis of approval. The Township Board shall approve the economic
development plan and tax increment financing plan based upon the following
findings:
a. That the plans have been approved in their entirety by the Authority;
b. That the plans meet the requirements set forth in section 17(2) of Act 197;
c. That the proposed financing method is feasible and the Authority has the
ability to arrange for the financing required by the plans;
d. That the development is reasonable and necessary to carry out the
purposes of Act 197;
e. That the land included within the development area to be acquired is
reasonably necessary to carry out the purposes of the plans and of the
statute in an efficient and economically satisfactory manner;

f. That the development plan is in reasonable accord with the master plan of
the Township;
g. That public services such as fire and police protection and utilities are or
will be adequate to serve the project area;
h. That changes in zoning, streets, street levels, intersections and utilities, if
any, are reasonably necessary for the project and for the Township.
Amendment to the plan. No amendment or modification to the economic
development plan or tax increment financing plan shall be effective until
submitted to and approved by the Township Board.
Section 13. Repealer.
This Ordinance hereby repeals any ordinances in conflict herewith only to the extent
necessary to give this Ordinance full force and effect.
Section 141. Savings Clause.
That nothing in this Ordinance hereby adopted be construed to affect any just or legal right
or remedy of any character nor shall any just or legal right or remedy of any character he lost,
impaired or affected by this Ordinance.
Section IS. SeverabilitY.
The various parts, sections and clauses of this Ordinance are declared to be severable. If
any part, sentence, paragraph, section or clause is adjudged unconstitutional or invalid by a court
of competent jurisdiction, the remainder of the Ordinance shall not be affected.
Section 16. Adoption.
This Ordinance is hereby declared to be to have been adopted by the Charter Township of
Highland Township Board at a meeting thereof duly called and held on thc_cg._7_Liday of
, 2000 and ordered to be given effect upon publication as mandated by Charter
and statute.

AN ORDINANCE TO AMEND THE DOWNTOWN DISTRICT BOUNDARIES TO
INCLUDE ADDITIONAL PROPERTIES WITHIN THE HIGHLAND STATION AREA.
WHEREAS, the Charter Township of Highland established the Highland Downtown
Development Authority through Ordinance No. 418, adopted October 25, 2000; and
WHEREAS, the Planning Commission and HDDA subsequently completed a planning
study identifying other properties in the Highland Station area which are integrally related to the
Downtown Development District and should therefore be planned for and serviced with projects
and improvements designed to eliminate deterioration and promote economic growth;
NOW THEREFORE, the Charter Township of Highland, Oakland County, Michigan,
hereby ordains:
Section 1. The description of the Downtown District shall be amended to replace the description
of properties in Section 22 as follows:

DOWNTOWN DEVELOPMENT AUTHORITY
AN ORDNANCE TO AMEND THE DOWNTOWN DISTRICT BOUNDARIES TO
INCLUDE ADDITIONAL PROPERTIES WITHIN THE HIGHLAND STATION AREA.
WHEREAS, the Charter Township of Highland established the Highland Downtown
Development Authority through Ordinance No. 418, adopted October 25, 2000; and
WHEREAS, the Planning Commission and HDDA subsequently completed a planning
study identifying other properties in the Highland Station area which are integrally related to the
Downtown Development District and should therefore be planned for and serviced with projects
and improvements designed to eliminate deterioration and promote economic growth;
NOW THEREFORE, the Charter Township of Highland, Oakland County, Michigan,
hereby ordains:
Section 1. The description of the Downtown District shall be amended to replace the description
of properties in Section 22 as follows:

PROJECT LIST FOR TIF REVENUES
The following projects will be financed either fully, or in part, through Tax Increment Financing
(TIF) revenues.
1. Street Reconstruction and Streetscape
The HDDA proposes a phased program of street reconstruction and streetscape projects to be
completed in conjunction with utility extensions (note that the sanitary sewer and watermain
utility extensions will be financed through Special Assessment Districts, and not through TIF
revenues). These projects will include curb and gutter, asphalt surfacing, differential cross-
walks, street trees, landscaping, pedestrian amenities, street lighting and signage.
Phase I: Civic Center Complex $ 100,000
Phase II: Livingston Street $1,300,000
Phase III: South Milford Road $1,000,000
Phase IV: Resurfacing of Streets in Highland Station $2,000,000

2. Highland Station Central Stormwater System
In conjunction with utility construction, street reconstruction and streetscape projects, the HDDA
proposes to undertake a storm sewer and central stormwater retention facility project to address a
major site constraint for redevelopment of the area. The project would include storm sewers
ranging from 12-inch diameter to 42-inch diameter and two central basins to serve a limited area
within Highland Station.
Stormwater System Project $1,300,000
3. Highland Station Business Incubator
The HDDA would acquire the existing Highland Township offices at 205 N. John Street and
renovate the property to provide space for small business start-ups. Tenants would be selected
through a competitive process, and would be required to participate in business planning
activities, civic activities related to the HDDA, and develop a plan for "graduation" into the
community. The renovated property would also provide office space for the HDDA. Lease
revenues would provide a future income stream for the HDDA.

4. Highland Station Legacy Building and Street Name Monuments
The HDDA proposes a project to install "legacy markers" throughout the area in the locations
where history unfolded. As an example, a marker on Governor Crapo Street would include a
brief biographical sketch and explain his ties to Highland Township.
Legacy Monument Project $100,000
5. "Highland Heritage Park" at the Civic Center Complex
This project would provide a venue for festivals and promote public education of Highland
Township's unique history. The project includes a timber structure to be used as a comfort and
concession station on the site.
Highland Heritage Park $200,000
6. Downey Lake Pedestrian Path
The HDDA proposes a pedestrian pathway connecting all buildings on the Civic Center
Complex Site together and providing access to the Downey Lake frontage.
Downey Lake Pedestrian Path $150,000
7. Downey Lake Ampitheatre
The HDDA proposes to develop an ampitheatre in the natural setting around Downey Lake at the
Civic Center Complex. This will provide a venue for outdoor concerts and other cultural events.
Downey Lake Ampitheatre $250,000
8. Eleanor Street/M-59/Civic Center Access Park
This park is envisioned to provide connectivity between trails and sidewalk systems between
Highland Station on the south side of M-59 and the Civic Center Complex on the north side of
M-59. The project would be financed through TIF revenues and transportation enhancement
grants.

This park would provide a trailhead at the east edge of Highland Station to accommodate the
needs of equestrians. The project would include hitching space, watering troughs and sanitary
facilities. The project would be financed in part through grant funding and partnerships with the
equestrian community

10. South Milford Road Sidewalk Infill and Streetscape
The HDDA proposes to facilitate Special Assessment Districts to complete infill of missing
segments of sidewalk in the DDA District. In conjunction with this project, the HDDA will add
street furniture such as planters and benches to provide a safe and attractive means for
pedestrians to access Highland Station from the south.
South Milford Road Sidewalk Infill and Streetscape $80,000
11. HDDA Operations and Committee Activities
The HDDA intends to pursue Main Street Oakland County status and immediately hire a
Downtown Manager. Over time, it will be necessary to provide additional staff support.
The Main Street committees will establish annual budgets for their activities, which will be
financed in part through TIF revenues. Examples of appropriate activities could include an
HDDA website, advertising campaigns, promotional events, festivals, market studies and
streetscape design. The HDDA might also sponsor educational and networking opportunities for
merchants.
The HDDA also intends to offer mini-grants to encourage facade, landscaping and signage
improvements.
