RE: Department of Information Technology — Use of OakVideo by the U.S. Military
TO: The Oakland County Board of Commissioners
Chairperson, Ladies and Gentlemen:
The Planning and Building Committee, having reviewed the above referenced
Resolution on June 7, 2005 recommends adoption with the following contingencies:
1. An accurate determination of the value of the goods and services being
donated for this project.
2. Resolution of the Great Lakes Power and Lighting issues regarding their
donation.
3. The attachment of a revised "Summary of Equipment, Labor and Material
donated to the Family Video Conferencing Effort"
4. Paragraph 4 on Page 2 of the License Agreement reflect SBC donation of
six ISDN lines rather than ownership by the County.

Chairperson, Ladies and Gentlemen:
The Public Services Committee, having reviewed the above-referenced
Resolution on June 7, 2005, reports with a recommendation that the resolution be
amended as follows:
1. Amend the 9th WHEREAS, as follows:
WHEREAS the County has sought and received goods and services from the
following companies and is required to seek approval of the donations from
the Board of Commissioners as required by Board policy:

LICENSE
THIS LICENSE is entered into this day of , 2005 by and between the
MICHIGAN NATIONAL GUARD and the MICHIGAN DEPARTMENT OF MILITARY AND
VETERANS AFFAIRS, with its principal place of business located at 2500 S. Washington
Avenue, Lansing, MI 48913, hereinafter referred to as the "Guard," and between OAKLAND
COUNTY, with its principal place of business located at 1200 North Telegraph Road, Pontiac, MI
48341, hereinafter referred to as the "Owning Party."
W1TNESSETH:
WHEREAS, the Guard consists of locations overseas, and
WHEREAS, it is difficult for deployed Guard soldiers to communicate with their families during the
soldiers' period of deployment, and
WHEREAS, the Owning Party owns video Equipment and other technologies, which can be used
to conduct video conferencing, and
WHEREAS, the Owning Party has offered to allow the Guard to use its video Equipment, without
charge, to benefit the Guard's Family Support Program and to allow deployed Guard soldiers and
their families to communicate via video conferencing.
NOW THEREFORE, for and in consideration of the mutual covenants of the parties hereto, it is
hereby agreed as follows:
1. The Owning Party does hereby grant to the Guard the LICENSE and PERMIT to use the
following Equipment and technologies defined below (hereinafter "Equipment"), owned by the
Owning Party:

2. The Equipment v.411-las-igitiatly-may only be located at Michigan National Guard Joint-Forces
facilities in Oakland County,
Michigan and will be under the direct supervision of the Michigan National Guard, Department of
Information Management. From time to time, the Equipment may be relocated in various locations
throughout Michigan-Oakland County to meet the needs of the Guard. Upon request by the
Owning Party, the Guard must make the Equipment available to provide video-conferencing for
service members who are residents of Oakland County, Michigan. In the event that the
Equipment is moved from one building or facility to another, the Guard will inform the Owning
Party the location of the Equipment, who is physically in charge of the Equipment, and will
provide the Owning Party with an estimation of how long the Equipment will remain at that
location.
3. The Guard will use the Equipment for the purpose of conducting video conferencing between
service members and their families, or for apj4-gthef-lagiticRat&-education and training atilitaciL
purposes.
4. The Owning Party will only be obligated to-pajL.for the monthly line charges for the six (6) ISDN
lines connected to the National Guard 1775th Military Police Company building located on 233 N.
Johnston Street, Pontiac, Michigan, which are associated with the operation of the Equipment,
and no other telecommunication costs associated with the Equipment. The Owning Party may
permit a Telecommunications Service Provider to cover all or part of the costs associated with the
monthly line charges. The Owning Party will maintain the Equipment during the period of the
Guard's use. The Owning Party recognizes that federal law would prohibit the Guard from paying
any charges or fees without utilizing federal contracting procedures.
5. This agreement will be construed as a license to the Guard, is without compensation to the
Owning Party, and may be terminated at any time by either party.

6. Any toss or damage to the Equipment shall be the sole responsibility of the Owning Party.
This Agreement is not intended to change either Party's liability for or immunity from tort claims,
nor does it give either Party a right of indemnification.
7. This agreement will become effective on the date it is approved by all Parties and it will be
binding upon and inure to the benefit of the respective parties hereto and their successors.
9. The Owning Party warrants that it owns the Equipment described in the document.
10. All Parties warrant that their signatory at the bottom of this document has the legal authority to
sign documents on their behalf.
11 . Security. The Parties agree that the Guard has significant security measures, regulations, and
requirements concerning the use of the prospective equipment and military facilities. If, at any
time, the Guard determines that the required amount of security is not or cannot be maintained or
provided, the Guard will terminate this agreement with no costs payable to either party.
12. Merger. This agreement expresses all of the Parties agreements and obligations. Any
agreement or statement made outside of this signed agreement is not binding upon either party.
13. Ownership. The equipment will at all times remain the property of Oakland County.

IN RE: DEPARTMENT OF INFORMATION TECHNOLOGY — USE OF OakVideo BY THE U.S.
MILITARY
To the Oakland County Board of Commissioners
Chairperson, Ladies and Gentleman:
WHEREAS Oakland County (the County) has invested in technology that enables video
conferencing (called "OakVideo") between two or more points on the County's OAKNet; and
WHEREAS the County has recognized the significant sacrifices of the military and their families in
the defense of the United States and freedom; and
WHEREAS the County desires to share OakVideo for the purposes of providing live video
eonfereneing between the families of military personnel and those military personnel serving the country in
far away lands; and
WHEREAS the County has been developing the necessary technology and capabilities to assist in
providing the technology for the purposes stated above; and
WHEREAS the military will assist Oakland County in providing this technology for the benefit of
military personnel abroad and families at home; and
WHEREAS the military has required a license / intergovernmental agreement (attached) be signed to
enable the operation of the video conferencing equipment; and
WHEREAS the County is seeking funding for a limited portion of the operation of the video
conferencing system; and
WHEREAS Oakland County's Corporation Counsel has reviewed the License/Intergovernmental
Agreement; and
WHEREAS the County has sought and received goods and services from the following companies
and is required to seek approval of the donations from the Board of Commissioners as required by Board
policy:

NOW THEREFORE BE IT FURTHER RESOLVED that the Board of Commissioners authorizes
the launch of the use of OakVideo for the purposes of video conferencing between military families and
military personnel abroad.
BE IT FURTHER RESOLVED that the Board of Commissioners approves the license/
intergovernmental agreement between the County of Oakland and the Michigan National Guard and the
Michigan Department of Military and Veterans Affairs.
BE IT FURTHER RESOLVED that the Board of Commissioners' Chairperson is authorized to sign
the license / intergovernmental agreement.
BE IT FURTHER RESOLVED that the Board of Commissioners accepts the goods and services
being donated by Integrated Digital Systems, Titan Corporation, Adtran Corporation, Great Lakes Power &
Lighting and SBC Communications pursuant to MR 483204.
BE IT FURTHER RESOLVED that the Board of Commissioners authorizes Oakland County to
donate equipment and an ongoing donation of labor for Training and Support services.

LICENSE
THIS LICENSE is entered into this day of , 2005 by and between the
MICHIGAN NATIONAL GUARD and the MICHIGAN DEPARTMENT OF MILITARY AND
VETERANS AFFAIRS, with its principal place of business located at 2500 S. Washington
Avenue, Lansing, MI 48913, hereinafter referred to as the "Guard," and between OAKLAND
COUNTY, with its principal place of business located at 1200 North Telegraph Road, Pontiac, MI
48341, hereinafter referred to as the "Owning Party."
WITNESSETH:
WHEREAS, the Guard consists of locations overseas, and
WHEREAS, it is difficult for deployed Guard soldiers to communicate with their families during the
soldiers' period of deployment, and
WHEREAS, the Owning Party owns video Equipment and other technologies, which can be used
to conduct video conferencing. and
WHEREAS, the Owning Party has offered to allow the Guard to use its video Equipment, without
charge, to benefit the Guard's Family Support Program and to allow deployed Guard soldiers and
their families to communicate via video conferencing.
NOW THEREFORE, for and in consideration of the mutual covenants of the parties hereto, it is
hereby agreed as follows:
1. The Owning Party does hereby grant to the Guard the LICENSE and PERMIT to use the
following Equipment and technologies defined below (hereinafter "Equipment"), owned by the
Owning Party:

2. The Equipment vAli-be-i4itial4y-may only be located at Michigan National Guard 48i4:14-Par-Ges-
facilities in Oakland County,
Michigan and will be under the direct supervision of the Michigan National Guard, Department of
Information Management. From time to time, the Equipment may be relocated in various locations
throughout Miciakjapi—Oakland County to meet the needs of the Guard. Upon request by the
Owning Party, the Guard must make the Equipment available to provide video-conferencing for
service members who are residents of Oakland County, Michigan. In the event that the
Equipment is moved from one building or facility to another, the Guard will inform the Owning
Party the location of the Equipment, who is physically in charge of the Equipment, and will
provide the Owning Party with an estimation of how long the Equipment will remain at that
location.
3. The Guard will use the Equipment for the purpose of conducting video conferencing between
service members and their families, or for agy--othiar—leg.itigiat4.-education and training military
purposes.
4. The Owning Party will only be obligated ts-pay-for the monthly line charges for the six (6) ISDN
lines connected to the National Guard 1775th Military Police Company building located on 233 N.
Johnston Street, Pontiac, Michigan, which are associated with the operation of the Equipment,
and no other telecommunication costs associated with the Equipment. The Owning Party may
permit a Telecommunications Service Provider to cover all or part of the costs associated with the
monthly line charges. The Owning Party will maintain the Equipment during the period of the
Guard's use. The Owning Party recognizes that federal law would prohibit the Guard from paying
any charges or fees without utilizing federal contracting procedures.
5. This agreement will be construed as a license to the Guard, is without compensation to the
Owning Party, and may be terminated at any time by either party.

6. Any loss or damage to the Equipment shall be the sole responsibility of the Owning Party.
This Agreement is not intended to change either Party's liability for or immunity from tort claims,
nor does it give either Party a right of indemnification.
7. This agreement will become effective on the date it is approved by all Parties and it will be
binding upon and inure to the benefit of the respective parties hereto and their successors.
9. The Owning Party warrants that it owns the Equipment described in the document.
10. All Parties warrant that their signatory at the bottom of this document has the legal authority to
sign documents on their behalf.
11. Security. The Parties agree that the Guard has significant security measures, regulations, and
requirements concerning the use of the prospective equipment and military facilities. If, at any
time, the Guard determines that the required amount of security is not or cannot be maintained or
provided, the Guard will terminate this agreement with no costs payable to either party.
12. Merger. This agreement expresses all of the Parties agreements and obligations. Any
agreement or statement made outside of this signed agreement is not binding upon either party.
13. Ownership. The equipment will at all times remain the property of Oakland County.

U.S. MILITARY
TO THE OAKLAND COUNTY BOARD OF COMMISSIONERS
Chairperson, Ladies and Gentlemen:
Pursuant to Rule XII-C of this Board, the Finance Committee has
reviewed the above referenced resolution and finds:
1. A license/intergovernmental agreement is requested to be
signed and approved by the Board of Commissioners to enable
the operation of the video conferencing (OakVideo) access to
the U.S. Military personnel abroad and families at home.
2. The costs associated with this effort are projected to be
$81,443.10, of that amount $47,929.60 will be donations of
equipment and services by private companies which the County
accepts in accordance with the Procedure for Acceptance of a
Gift Donation from Private Sources per MR 483204.
3. The remaining balance of $33,513.50 reflects Oakland County's
value which includes the installation of the ISDN line
connection, hardware, and training.
4. Of the $33,513.50, the County recognizes donated services of
$13,900 and has funded $19,613.50 for the installation of
ISDN lines and hardware through the Video Conferencing
project.
5. The County will be responsible for negotiating the on-going
costs of the ISDN service provided annually by SEC that will
be recognized in accordance with MR483204.
6. On-going maintenance of the video conferencing equipment will
be provided by the CLEMIS Fund after the expiration of the
extended warranty.
7. No budget amendment is required.
