MISCELLANEOUS RESOLUTION # 05310

IN RE: DEPARTMENTS OF AVIATION AND FACILITIES MANAGEMENT - CONVEYANCE OF
COUNTY OWNED PROPERTY TO THE ROAD COMMISSION FOR OAKLAND COUNTY,
OAKLAND COUNTY INTERNATIONAL AIRPORT
To the Oakland County Board of Commissioners
Chairperson, Ladies and Gentlemen:
WHEREAS, the County of Oakland is the owner of the Oakland County International Airport
located in the Charter Township of Waterford, and
WHEREAS, the Road Commission for Oakland County has requested that the County of
Oakland convey certain parcels of land and grant easements for grading and drainage over part
of the Oakland County International Airport property for the re-alignment of Williams Lake Road,
and
WHEREAS, in exchange for conveying the property and granting the easements the Road
Commission for Oakland County has offered to convey approximately 19-acres of land inclusive of
two storage buildings to the County of Oakland; and
WHEREAS, the appraised value of property to be conveyed to the Road Commission
inclusive of easements is $602,472, whereas the value of the property inclusive of two storage
buildings to be conveyed to Oakland County is $617,185, and
WHEREAS, the Airport Committee has recommended approval of said land exchange with
the Road Commission for Oakland County for the re-alignment of Williams Lake Road in Waterford
Township, and
WHEREAS, the departments of Aviation and Facilities Management have reviewed the
request to exchange property with the Road Commission for Oakland County for the re-alignment
of Williams Lake Road and recommend said land exchange.
WHEREAS, all necessary documentation has been prepared and/or reviewed by Oakland
County Corporation Counsel.
NOW THEREFORE BE IT RESOLVED that the Oakland County Board of Commissioners
hereby authorize and approve the conveyance of land and granting of easements for grading and
drainage as requested by the Road Commission for Oakland County as described in the attached
Quit Claim deed, Grading Permit and Drainage Easement.
BE IT FURTHER RESOLVED that the Oakland County Board of Commissioners hereby
directs its Chairperson or his designee to execute all necessary documents relative to said
conveyance of land and granting easements.

REQUEST FOR AUTHORIZATION TO CONVEY LAND AND GRANT EASEMENTS TO THE
ROAD COMMISSION FOR OAKLAND COUNTY
Williams Lake Road Land Exchange
Oakland County International Airport
In accordance with Board of Commissioners Rules and procedures for the sale and/or purchase of property,
the Departments of Aviation and Facilities Management is requesting committee authorization to convey
via quit claim deed parts of eighteen parcels of land and grant drainage easements and temporary grading
permits over land located at the Oakland County International Airport to the Road Commission for
Oakland County.
Background
The Road Commission is presently in the final stages of relocating Williams Lake Road west of the
Oakland County International Airport in Waterford Township. Therefore, the Road Commission has
requested that the County convey certain parcels in fee and grant easements for grading and drainage to
accommodate the new Williams Lake Road alignment. In return for conveying the land and granting the
easements the Road Commission is offering to convey to the County approximately 19.17-ac. of excess
property inclusive of two storage buildings it owns located immediately west of the airport.
The County originally acquired the main portion of the airport from the City of Pontiac in 1967. From
1967 to the present the County has continued to acquire property and expand the airport and its facilities to
its present size.
Description and Use of the Property
The property to be conveyed to the Road Commission is located at the extreme southwest corner of the
airport property on undeveloped land just north of M-59. Land to be conveyed via quit claim deed is
irregular shaped (following the route of the new Williams Lake Road) and totals 2.55-acres. The subject
Grading Permit area is located adjacent to the southerly and northerly right of way limits of Williams Lake
Road as re-aligned, whereas, the Drainage easement is located south of the new road.
Appraised Value
Value of property to be conveyed to the Road Commission: $602,472.
Value of property to be conveyed to Oakland County: $617,185.
Recommendation
It is the recommendation of the Departments of Aviation and Facilities Management that the Oakland
County Board of Commissioners approve the conveyance of certain parcels of land and granting of
easements for grading and drainage over part of the Oakland County International Airport as described in
the attached exhibits to the Road Commission for Oakland County in exchange for property to be received
by the County.

In consideration of the improvement of Williams Lake Road Project No. 46691 according to the plans and
specifications on file in the Road Commission for Oakland County offices at 31001 Lahser Road, Beverly Hills,
MI 48025, the undersigned hereby grants to the RCOC a temporary, non-exclusive, non-assignable permit to
grade upon the parcels of land as described in the attached Exhibits for the improvement of Williams Lake
Road being in Section 18, T 3 N, R 9 E, Township of Waterford, Oakland County, Michigan, as indicated in
the plans.
Tax Parcel No.: See Attached Exhibits Commonly known as: Vacant Tull Court.
The purpose of this Grading Permit is to permit the construction of the road according to the plans. This
Grading Permit does not cause a change in property lines.
This permit also includes the consent of the grantors to the removal of such trees, shrubs and vegetation as in
the judgment of said Board of County Road Commissioners is necessary in the aforementioned construction,
further notice of such removal being hereby expressly waived; and also the right of temporary occupancy of the
above described area by public utilities. Any portion of Grantor's property which is damaged by Grantee's
exercise of the temporary grading permit shall be restored by Grantee to a condition similar to its condition
prior to grading.
Additional Conditions:
The permissive rights set forth herein shall start as of the date the contractor commences work on the above
project and shall terminate on the date that the contractor completes the above project.
The work described above shall be constructed in a first-class, workmanlike manner, and in accordance with
applicable State and County standards, and upon completion the RCOC shall have no further responsibilities
therefore.
This instrument shall be binding upon the parties hereto, their heirs, representatives, successors and assigns.
This instrument contains the entire permit agreement. No other promises have been made except as shown herein.

This Grant and Conveyance of an easement in gross shall be binding upon and inure to the benefit of the
Grantor and Grantee, their, representatives, successors and assigns, and the covenants and grants
contained herein shall not run with any parcel of land, and shall only extend to the use of said easement in
gross for a storm water drainage system. In the event that Grantee, its heirs, representatives, successors
and assigns (hereinafter Grantee) shall no longer require the use of said easement in gross for the
purposes described herein, said easement in gross shall be considered abandoned, and the easement in
gross shall terminate and be extinguished and, the land shall revert back to Grantor, its heirs,
representatives, successors or assigns (hereinafter Grantor), with no interest remaining in Grantee. Upon
the request of Grantor, the Grantee shall provide a Release of the Easement in Gross to Grantor. If no
Release of Easement in Gross is provided to the Grantor within a reasonable period of time, the Grantor
may file with the Oakland County Register of Deeds an Abandonment of the Easement in Gross which shall
act in place of the Release of Easement in Gross, required of the Grantee. If the easement in gross is
abandoned, terminated or extinguished, then upon the request of Grantor, the Grantee shall remove any
structures in the easement in gross as requested by Grantor, and restore the easement in gross to the
condition it was in prior to the removal. Any damage or claim of damage (including but not limited to
environmental damage), to persons or property, including property of the Grantor, resulting from the use of
the easement in gross for the construction, installation, operation, maintenance, replacement or removal of
the storm water drainage system by Grantee, shall be the sole responsibility of the Grantee.

TO THE OAKLAND COUNTY BOARD OF COMMISSIONERS
Chairperson, Ladies and Gentlemen:
Pursuant to Rule XII-C of this Board, the Finance Committee has
reviewed the above referenced resolution and finds:
1. The Road Commission for Oakland County has requested
Oakland County convey certain parcels of land totaling 2.55
acres and grant easements for grading and drainage over
part of Oakland County International Airport property for
the re-alignment of Williams Lake Road.
2. In exchange, the Road Commission for Oakland County has
offered to convey approximately 19 acres of land
immediately west of the airport, inclusive of two storage
buildings, to Oakland County.
3. The appraised value of property to be conveyed to the Road
Commission of Oakland County, inclusive of easements, is
$602,472 and the value of property, inclusive of two
storage buildings, to be conveyed to Oakland County is
$617,185.
4. The resolution authorizes and approves the conveyance of
County-owned land and granting of easements for grading and
drainage as requested by the Road Commission for Oakland
County.
5. No General Fund/General Purpose amendment is required.
