HomeMy WebLinkAboutResolutions - 2018.12.06 - 30906MISCELLANEOUS RESOLUTION #18416 December 6, 2018 BY: Commissioner Robert Hoffman, Chairperson, Human Resources Committee IN RE: HUMAN RESOURCES DEPARTMENT — AGREEMENT WITH CENTRAL MICHIGAN UNIVERSITY FOR TUITION DISCOUNT To the Oakland County Board of Commissioners Chairperson, Ladies and Gentlemen: WHEREAS education remains an important part in employee development; and WHEREAS the cost of tuition continues to rise along with student loan debt; and WHEREAS Oakland County (the "County') offers its employees a tuition reimbursement program to offset tuition costs, however most employees still require additional student loans to complete their education program; and WHEREAS Central Michigan University ("CMU") approached the County with a new program providing a 15% discount on tuition for several of its degree programs to County employees, spouses, and eligible dependents and a proposed Memorandum of Agreement between CMU and the County; and WHEREAS the County believes that this program will assist employees interested in taking courses at CMU to pursue additional education at a reduced cost; and WHEREAS the County will notify its employees about the CMU tuition discount program in various manners and will allow CMU to promote CMU and its tuition discount program to County employees as described in the proposed Memorandum of Agreement between CMU and the County; and WHEREAS the tuition discount partnership with CMU will be effective for five (5) years after the attached proposed Memorandum of Agreement between CMU and the County is fully executed, unless it is terminated by either Party; and WHEREAS no County funding is required to execute this program. NOW THEREFORE BE IT RESOLVED that the Oakland County Board of Commissioners hereby approves and authorizes the attached Memorandum of Agreement between CMU and the County. BE IT FURTHER RESOLVED the Board of Commissioners hereby directs its Chairperson or his Designee to execute the attached Memorandum of Agreement between CMU and the County and any other related documents between the County and CMU. MEMORANDUM OF AGREEMENT between CENTRAL MICHIGAN UNIVERSITY and OAKLAND COUNTY, MICHIGAN This Memorandum of Agreement ("Agreement") is made as of this day of 2018 (the "Effective Date"), between Central Michigan University Board of Trustees ("CMU"), 1200 South Franklin Street, Mount Pleasant, Michigan 48859 and Oakland County, 2100 Pontiac Lake Road, Waterford, Michigan 48328 ("Oakland County"). CMU and Oakland County may hereinafter jointly be referred to as the "Parties" or individually as a "Party". RECITALS WHEREAS, CMU is an accredited public institution of higher education offering certificate, undergraduate, and graduate degree programs ("Programs"); WHEREAS, CMU seeks to partner with Oakland County by offering certain Programs at a discounted tuition rate to Oakland County employees, their spouses, and dependents; WHEREAS, Oakland County desires to share awareness of CMU educational opportunities to its employees, spouses, and dependents; and WHEREAS, the purpose of this Agreement is to set forth the understanding of the Parties and to establish the terms and conditions of an Education Partner Program between CMU and Oakland County (the "Partnership"). NOW THEREFORE, CMU and Oakland County agree as follows: ARTICLE I — Program Participants A. Oakland County employees, spouses, and dependents who are admitted to, and enrolled in, Programs under this Agreement are the "Participants". Participants are individually responsible for registering for courses covered by this Agreement. 1. Oakland County qualified employees include all regular employees whether full- time or part-time, spouses, and dependents (through the calendar year in which the dependent turns 24). 2. Participants must provide verification of the employee's Oakland County employment in order to confirm that s/he is a qualified Participant. For an employee, this verification will include providing to CMU the most recent 1 Statement of Earnings and Deductions. For a spouse or a dependent, page one of his/her most recent federal income tax return, in addition to the Statement of Earnings and Deductions, must be provided to CMU. B. Participants will receive a discounted tuition rate of fifteen (15%) percent from the applicable current academic year tuition rates. 1. This discounted tuition rate applies to mos -0 online programs and/or to those face- to-face programs offered at CMU satellite locations l . 2. It does not apply to those programs and/or locations specifically excluded or to programs offered on the main campus of CMU in Mt. Pleasant, Michigan. C. The discounted tuition rate provided under this Agreement will NOT apply towards the already discounted CMU military rate, or to any other discounted rate already in place. Neither will the discounted tuition rate apply if any other institutional award, scholarship, waiver, or discount is applicable, meaning the discounted tuition rate is not stackable. D. If the Participant is not already currently admitted to CMU, the individual shall timely submit to CMU an application, including any applicable fees. CMU will evaluate the application and grant or deny admission in accordance with CMU's standard policies and procedures as outlined in the applicable CMU Bulletin(s). 1T1,e Bachelor of Science in Nursing, the Bachelor of Science in Business Administration, the Master of Business Administration, the Master of Entrepreneurial Transactions, and The Master of Science in Information Systems are excluded from the tuition reduction offering. 2Closed cohort locations are excluded. ARTICLE II Tuition and Fees Payment A. Participants who apply to and are admitted to CMU following execution of this Agreement will receive a discounted tuition rate of fifteen (15%) percent subject to Article I, B and C. CMU tuition rates for the 2018-2019 academic year are reflected in Attachment A. CMU Board of Trustees retains sole authority for establishing tuition rates which are determined on an academic year basis. CMU will provide notice of tuition rate increases within thirty (30) days after the CMU Board of Trustees approves any increase. 2 B. After a Participant is accepted for admission to CMU, CMU will request the verification as outlined in Article I, Paragraph A.2. above as confirmation that the Participant is a current Oakland County employee, spouse, or dependent. A Participant will not be eligible for the discount unless and until the Participant's employment is verified. C. Once a Participant is no longer an Oakland County employee, the Participant is no longer entitled to the discount for future course enrollments. D. CMU will invoice the Participant directly and the Participant shall pay to CMU the applicable tuition and fees in accordance with CMU standard policies and procedures. Oakland County has no liability or obligation for any amounts due by Participant(s). ARTICLE UI — Program Information A. The Parties will each appoint and designate a representative to maintain communication with the other Party and serve as the point of contact. Each Party will remain solely responsible for its own staffing costs, salaries and benefits, and all supervision attributable to its designated representative. B. The Parties acknowledge that CMU policies and procedures apply to all CMU students, courses, programs, and related administration. CMU has sole authority and control over content, requirements, and faculty of its courses and programs. CMU shall retain full responsibility for the administration of the programs, including, but not limited to, admissions, registrations, enrollment information, advising, student services, financial aid services, assistance in ordering textbooks, and marketing. 2. CMU will conduct its educational programs in conformity with academic requirements established and prescribed by CMU, and by its governing board and/or agencies of the State of Michigan having jurisdiction over all or part of any programs at CMU. C. The Parties acknowledge that a student's educational records and other information concerning a student are confidential and that such records and information will be made available only to the student or to those expressly authorized in writing by the student or as otherwise permitted by the Federal Education Rights and Privacy Act (FERPA). 3 ARTICLE IV Program Awareness A. Oakland County will inform its employees of the CMU discount program, using existing communication channels and promotional opportunities, including but not limited to, the following: 1. At its discretion, post a flyer concerning the Partnership around Oakland County locations, e.g., in break rooms, information centers, and on bulletin boards; 2. Include information concerning the Partnership in new hire orientations (and/or in new hire information packets); 3. Post information, about the Partnership on its internal employee benefit sites (including CMCT's logo and a link to CMU's dedicated Partnership webpage); 4. Include information about the Partnership at least twice yearly in Oakland County or Human Resources email publications; 5. Allow CMU access to tabling opportunities in Oakland County main employee locations at least once per year; 6. At its discretion, extend to CMU invitations to education/community events held at Oakland County locations, e.g., education fairs; 7. Introduce the Partnership in a county-wide announcement to all Oakland County employees; and 8. Allow CMU to facilitate "Lunch and Learns" with Oakland County employees, on Oakland County premises, at least twice per year. B. CMU will do the following: 1. Create marketing materials which may include the Oakland County servicemark (email and flyer in both digital and printed form) announcing the partnership so that Oakland County may disseminate these marketing materials to its employees; 2. If requested, offer two (2) professional development seminars (no more than one hour in length) at a Oakland County location, or online, each year of this Agreement; 3. Create a link to the Partnership on ClVIU's website, including use of the Oakland County servicemark, if permitted; 4. Post the Partnership on the CMU Business Development Unit website; and 5. Publish a university-wide announcement to CMU employees about the Partnership in CMU Today (or an equivalent CMU publication/e-newsletter). C. Each Party will send all announcements or other materials about the other Party or the fact of this Agreement to the other Party to review for accuracy and approval prior to publication or dissemination. CMU grants Oakland County a royalty-free, nonexclusive, non-transferable revocable license to use its name, logos, and other identifying symbols for the limited purpose of effecting this Agreement in accordance with the branding guideline or standard use expectations that CMU provides to Oakland County. Oakland 4 County grants CMU a license to use Oakland County servicernarks subject to the terms listed in Attachment B. CMU shall only use the servicemarIcs as directed by Oakland County in Attachment B. D. That any media produced by CMU or Oakland County to promote or publicize CMU Programs will contain the statement "CMU is an AA/BO institution, providing equal opportunity to all persons, including minorities, females, veterans, and individuals with disabilities, (see, litto://www,cmichedu/ocrie)" ARTICLE V — General Provisions A. All notices given under this Agreement shall be in writing and deemed given when (i) personally delivered with a written acknowledgement of receipt, or (ii) when deposited in the United States mail, certified or registered, postage prepaid, or by prepaid overnight delivery service providing written acknowledgement of delivery. B. This Agreement is effective for five (5) years from the date it is fully executed unless it is terminated earlier as provided in this Agreement. C. Either Party may terminate this Agreement at any time prior to the expiration date by providing written notice to the other Party; such termination shall be effective sixty (60) days from the date notice is received. Notwithstanding the foregoing, any Participant who has already enrolled in CMU prior to the termination of this Agreement shall continue to receive discounted tuition through the remainder of the semester. D. Neither Party may assign its interest in this Agreement, or any of its rights or obligations hereunder, without the prior written consent of the other Party. 5 6 B. The relationship of the Parties is that of independent contractors. Nothing contained in this Agreement shall create or be construed to create an employer-employee, principal- agent, partnership, or joint venture relationship between the Parties. F. Any exhibits or attachments referenced in this Agreement, whether or not physically attached hereto are incorporated into and made part of this Agreement. The Recitals of this Agreement are made part of this Agreement. G. This Agreement constitutes the entire understanding of the Parties and supersedes all prior discussions, negotiations, and agreements. This Agreement may only be altered, modified, or amended by the written consent of both Parties. The invalidity or enforceability of any other provision of this Agreement shall not affect the validity or enforceability of any other provision of this Agreement, which shall remain in full force and effect. H. This Agreement shall be governed by the laws of the State of Michigan. IN WITNESS WHEREOF, the Parties have executed this Agreement on the dates stated below. CMU shall not use the Mark for any other purpose. The Mark must be used by CMU as shown in the Servicemaik Guidelines, with no vaiiations of color, font or proportion. CMU acknowledges that Oakland County has intellectual property rights in the Mark. Nothing in the Agreement gives CMU any right, title, or interest in the Mark. CMU may not take any action that will inteifere with County's rights in the Mark. Oakland County may terminate CMU's rights under this Attachment, if Oakland County notifies CMU it has breached the terms of this Attachment and CMU fails to cure the breach within ten (10) business days of notice of breach. Following termination of this Attachment, CMU shall have ten (10) business days to remove the Mark from the materials and/or website authorized for use above. CIVPU shall provide Oakland County with written confirmation that such actions have been taken.
