IN RE: WATER RESOURCES COMMISSIONER — TRANSFER AND ASSIGNMENT OF CERTAIN
COUNTY INTERESTS IN EASEMENTS AND RIGHTS OF WAY FOR THE SANITARY SEWER SYSTEM
LOCATED WITHIN THE CITY OF NOVI
To the Oakland County Board of Commissioners
Chairperson, Ladies and Gentlemen:
WHEREAS Oakland County holds legal title to various portions of the sanitary sewer system located within,
and serving the residents of, the City of Novi; and
WHEREAS such sanitary sewer system consists of easements and rights of way for the related equipment,
facilities and improvements; and
WHEREAS Oakland County holds this legal title because the sanitary sewer system improvements were
financed by Oakland County bonds; and
WHEREAS the County of Oakland desires to transfer ownership and the City of Novi desires to accept
ownership from Oakland County the sanitary sewer system assets; and
WHEREAS there are no outstanding bonds or other indebtedness with respect to the property interests
included with this transfer that would otherwise prohibit the transfer of these property interests; and
WHEREAS there is no cash-related loss as a result of the property transfer; and
WHEREAS there are no financial capital assets to be removed from the City of Novi sanitary sewer system
fund because Oakland County does not own the system; and
WHEREAS the office of the Water Resources Commissioner has prepared all necessary documents related
to the conveyance via Quit Claim Deed.
NOW THEREFORE BE IT RESOLVED that the Oakland County Board of Commissioners hereby transfers
and assigns certain County interest in easements and rights of way of the sanitary sewer system including
related equipment, facilities and improvements serving the City of Novi.
BE IT FURTHER RESOLVED that the Oakland County Board of Commissioners hereby directs its
Chairperson or designee to execute the attached Quit Claim Deed in favor of the City of Novi and execute
any other necessary property transfer documents to effectuate the transfer of the County's interest in those
sanitary sewer system assets.
BE IT FURTHER RESOLVED that no budget amendment is required.

UIT CLAIM CONVEYANCE OF EASEMENTS AND RIGHTS-OF-WAY
FOR SANITARY SEWER SYSTEM FACILITIES AND IMPROVEMENTS
KNOW ALL MEN BY THESE PRESENTS, that the COUNTY OF
OAKLAND, a Michigan Constitutional Corporation, whose address is 1200
North Telegraph, Pontiac, Michigan 48341, and the OAKLAND COUNTY
WATER RESOURCES COMMISSIONER, in his capacity as "County
Agency" whose address is the office of the OAKLAND COUNTY WATER
RESOURCES COMMISSIONER, One Public Works Drive, Bldg. 95 West,
Waterford, Michigan 48328-1907, Grantors, for and in consideration of the sum
of ONE DOLLAR AND OO/CENTS ($1.00) receipt of which is hereby
acknowledged, paid to them by the CITY OF NOVI, a Michigan Municipal
Corporation, Grantee, whose address is 45175 Ten Mile Road, Michigan 48375.
Grantor does hereby convey and Quit Claim to Grantee all rights, title and
interests Grantors may posses, but only to the extent of its interest, including any
adverse possessory interest which may ripen in the future into full possessory
interest, including easements and rights-of-way, the sanitary sewers, laterals and
related equipment, facilities and improvements, excluding leads, located within the
corporate limits of the City of Novi and including the easement and/or rights-of-
way
ights-ofway areas described on the attached and incorporated in Attachment "A."
Grantors convey to Grantee all easements and rights-of-way, sanitary sewer
system improvements, including the right to construct, operate, maintain, repair
and/or replace a sanitary sewer system situated in the City of Novi, Oakland

County, Michigan. The conveyance of the system(s) and improvements is "as -is"
and Grantors make no warranties as to the condition or fitness for a purpose, said
warranties being expressly disclaimed.
PROPERTY DESCRIPTIONS:
SEE ATTACHMENT "A"
Grantee agrees to and acknowledges it shall be responsible for all
restrictions and conditions as set forth in the easements and right-of-way set forth
in Attachments "A."
This instrument shall be binding upon and inure to the benefit of the parties
hereto, their heirs, representatives, successors and assigns.

Land, for the purpaae of maintaining and repairing the same. This easement

purpose of performing necessary repairs to said sewer lines, and in connection
therewith to store on a temporary basis only, materials necessary to said
repairs on the Land, provided however, that Grantee shall not unreasonably
interfere with the use of the Land by Grantor or its tenants and Grantee
shall repair any damage which it may do to the Land and the improvements
thereon in connection with any such necessary repairs.
Nothing herein contained shall be deemed to prevent Grantor from '
improving all or any portion of the Land In any manner which Grantor may
elect. or from relocating or removing all or any part of said sanitary sewer
system, provided that said relocation or removal of any or part of said
sanitary sewers stem shall be subject to approval of the appropriate
governmental authorities.
