The Allen Law Group PC ("ALG" or the "Firm") is pleased to submit this response to the Request for
Proposal (the "RFP") solicited by the Oakland County Board of Commissioners (the `Board") for
general legal services. Outlined below is an overview of the Firm illustrating over forty years of
experience in representing municipalities, school districts, government agencies, private sector
entities, and non -profits.
BACKGROUND OF THE ALLEN LAW
GROUP, PC
Established in 1986 by Floyd E. Allen, ALG is a law firm
headquartered in the City of Detroit serving the
increasingly diverse needs of the metro Detroit private and
public sectors. ALG is headquartered in the historic Fisher
Building, in the heart of the Detroit New Center Area. The
Firm has continued to thrive by following the values of
exceptional client service, specialized expertise, cost
efficiency and business acumen. Our philosophy is to provide advice and legal representation that
allows boards and policy makers to achieve their goals while minimizing legal risks. As it relates to
the Board's request for services, the Firm has extensive experience advising and representing public
agencies and commissions in all areas of municipal law, including governance, finance, real estate,
zoning and land use matters, regulatory matters, imposition of taxes, public bidding and contracts, tax
assessments, employment and labor issues, and access to public meetings and public information.
ALG attorneys have comprehensive business experience in addition to the practice of law. This diverse
combination of backgrounds enables our Firm to better understand our clients' needs, and how they
can be met with practical legal solutions. Our attorneys have worked with large municipalities, multi-
national corporations, federal agencies and have owned their own businesses. They have also worked
in public administration, education, banking, manufacturing, real estate, construction, gaining, and
public administration.
ALG is also an active participant in the metropolitan Detroit community. Our attorneys participate in
a variety of professional community-based associations, and continually look for opportunities to
protect and advocate our clients' interests on all fronts. We currently have attorneys who lead and
serve on various non-profit boards, school boards, boards of trustees, community groups and other
public interest organizations throughout Southeastern Michigan. We pride ourselves on not only
committing to our clients, but also to the communities they support and serve.

FIRM QUALIFICATIONS
The Firm proposes to represent the Board as its Outside Legal Counsel. Our services include those
outlined in the RFP as well as other ancillary legal services as requested by the Board. We propose
the following attorneys to provide services as needed to the Board: Floyd E. Allen (Principal), George
K. Pitchford (Shareholder), Kevin Campbell (Shareholder), and Monica N. Hunt (Senior
Associate), Luis E. Gomez (Associate), and Amy Robertson (Of -Counsel). (See attorney resumes
attached)
DEMONSTRATED PUBLIC SECTOR AND EXTENDED SCOPE OF
SERVICES EXPERIENCE PROVIDING SERVICES TO THE PUBLIC
SECTOR FOR MICHIGAN COUNTY AND LOCAL GOVERNMENT LAW.
While not an all-inclusive listing, the following represents ALG's legal experience for the following
public -sector clients:
COUNTY OF WAYNE
The County of Wayne was struggling to address a $52 million operational deficit, and severely
underfunded pension system that had a liability in excess of $900 million.. After a financial emergency
was declared pursuant to Public Act 436 of 2012, ALG joined the County's team that was charged
with addressing these issues. After assisting the County with restructuring its operations, achieving
meaningful labor concession and addressing longstanding legacy financial issues, the County was able
to emerge from the crisis and be released from its Consent Agreement with the State of Michigan.
CITY OF DETROIT
As a result of changes instituted by directives of the Emergency Financial Manager, the Office of
Chief Financial Officer reorganized several key financial departments. ALG assisted in the assessment
of workforce needs, implementation of the plan of reorganization, and legal defense of the City against
the Union's charge of repudiation of the collective bargaining agreement. Ultimately, through the
continuous efforts of ALG, the charges against the City were dismissed in its entirety by the
Administrative Law Judge through MERC.
EDUCATION ACHIEVEMENT AUTHORITY
Under Governor Rick Snyder, the Education Achievement Authority was unveiled in June 2011 to
redesign public education in Michigan's lowest performing schools by driving more resources directly
into their classrooms and offering greater autonomy to help ensure student achievement increases. The
EAA was created by an interlocal agreement between Eastern Michigan University and Detroit Public
Schools. ALG was engaged by the Board at the EAA's inception and addressed a vast array of legal
issues that would arise in the creation of an authority that provides services to the public. ALG
addressed legal issues involving the Open Meetings Act; freedom of information requests and
confidentiality of documents; formation of contracts; use of public funds; retirement and pension
contributions of instructional staff; and approval of budgets and annual financial reports.
DE'T'ROIT WAYNE MENTAL HEALTH AUTHORITY
Historically, the State of Michigan and Wayne County managed mental health and substance abuse
services throughout the region. After a detailed study, however, Wayne County determined that it
__. would be more efficient and cost effective if an independent public agency were created to take over
the management of these services. Pursuant to Public Act 258 of 1974, as amended, ALG acted as lead
counsel in the creation and establishment of an independent public agency to manage these services.
-- ALG was engaged in all phases of this project including drafting the interlocal agreement creating the
new agency, leasing the building, staffing and negotiating all necessary collective bargaining
agreements. Today, this agency is known as the Detroit Wayne Mental Health Authority still serves
as a safety net organization to over 80,000 citizens in Wayne County who have mental illness,
intellectual and developmental disabilities and substance abuse disorders.
DETROIT PUBLIC SCHOOLS COMMUNITY DISTRICT
In the November 2012 general election, voters approved the renewal of the 18 -mils school operating
millage. A group of Plaintiffs sued the school district among other Defendants arguing that pursuant
- to Public Act 57 of 2018 (Recodified Tax Increment Financing Act) that local voter approval would
be necessary prior to the T1FA funds being captured for use by the Downtown Development Authority
to fund the Little Caesars Arena. Plaintiffs alleged that the school district breached a duty owed to
voters and that it was complicit in the wrongful diversion of millage revenue. ALG was engaged by
the school district to defend the school district's interests and received a favorable ruling by the lower
courts and is awaiting a decision on appeal to the Sixth Circuit,
DETROIT PUBLIC LIGHTING AU'T'HORITY
The City of Detroit's lighting system had fallen into disrepair, and the City had been unable to address
the challenge. ALG was engaged to create an independent agency that was able to raise the necessary
bonds to not only upgrade the current lighting system, but also deal with the almost 40% of the
streetlights that were no longer operational. Working with both the State of Michigan and the City of
Detroit, ALG was able to assist with the creation of a new agency to oversee the revamping of the
city's street lighting system. After its establishment, ALG was retained as owner's counsel by the
Detroit Public Lighting Authority to sell over $185 million dollars in bonds that served as the funding
for the fledgling agency. ALG also served as lead counsel during the subsequent construction project
that included the installation of over 65,000 streetlights throughout the City of Detroit.
ECORSE PUBLIC SCHOOLS
In June 2010, ALG sued the City of Ecorse on behalf of the school district for breach of its fiduciary
duty to assess, levy, and disburse taxes totaling $2,416,771 owed to the school district. At the time,
the school district was in financial distress, and was forced to borrow monies to continue operations
and was obligated to the lender to pay interest thereon. ALG represented the school district in this
matter, and after cross-motions for summary disposition and a full evidentiary hearing, ALG received
a favorable ruling from the trial court to award the school district the full amount of the taxes owed to
it.

Floyd Allen is the founder and Principal of The Allen Group, PC. Floyd is
an experienced legal and business problem solver, and has effectively
represented clients in municipal, utilities, state and federal government,
education, health care, automotive, manufacturing, transportation, and
gaming sectors.
For over 25 years, Floyd has successfully performed the role of General
Counsel for several organizations including the Detroit Public Schools,
Wayne County Community CoIIege District, Detroit Public Lighting
Authority, Detroit Medical Center, and Detroit Building Authority. As
Lead Counsel for the Detroit Public Schools, Floyd successfully handled
the legal activity associated with the $1.2 billion -dollar school renovation
and construction bond program. Floyd also served as one of the lead
attorneys during the I billion -dollar acquisition of the Detroit Medical
Center by Vanguard Health Systems. Floyd was instrumental in navigating
the DMC through dissolution in accordance with the Michigan Nonprofit
Corporations Act. In addition to this, Floyd also represented Wayne County
in the creation and establishment of the independent Detroit Wayne Mental
Health Authority pursuant to PA 258 of 1974 as amended.
Floyd also has experience in the area of public finance. Recently, he was
lead counsel during two municipal bond transactions of $60 million and
$185 million for the Detroit Public Lighting Authority. Floyd also assisted
the City of Detroit after emerging from bankruptcy with a reorganization
of the city's finance department, and the creation of the Office of Chief
Financial Officer pursuant to the Bankruptcy Plan of Adjustment and the
Uniform Budgeting and Accounting Act, PA 2 of 1968. Floyd has also
assisted the City of Detroit with its tax collection efforts, which has resulted
in significant revenue increase by the City of Detroit and played a major
part in their current budget surplus.
Prior to founding ALG, Floyd was an executive at Ford Motor Company.
He attended Wayne State University Law School while working at Ford
and left soon after graduating to follow his new passion for the law. He
now serves as a mentor in the community and has a keen interest in
improving educational opportunities for the youth of our region.

George Pitchford focuses his practice on counseling public and private
entities on a variety of governance, compliance, construction and
municipal law matters. He has worked with clients in a number of
sectors including municipal, education, health care and construction.
George brings a wealth of experience to the Allen Law Group, PC. He
has served in a General Counsel capacity to multiple governmental
entities including the Public Lighting Authority and the School District
of the City of Pontiac and has handled a variety of legal matters on their
behalf including Open Meetings Act interpretation and litigation,
Freedom of Information Act requests, real estate transactions, labor
negotiations, finance issues and various compliance matters. George has
also been actively engaged in representing and advising the Detroit
Water and Sewerage Department and played a role during the formation
of the Great Lakes Water Authority. This experience has provided
George with a unique understanding of the strategic and economic
challenges facing our firm's clients, and how best to help them to
achieve their goals.
George is also an active member of the community. He volunteers his
time and energy to non -profits and community groups around the
country. He currently serves on the Board of Orchards Children's
Services, the National Association of African Americans in Human
Resources and Vital Village, based out of Boston, Massachusetts.
Additionally, he is a member of the North Oakland County branch of
the NAACP and volunteered as a free legal advisor at the Oakland
County Women's Survival Shelter.
George is a graduate of the University of Detroit School of Law, where
he was the recipient of several academic and service awards, including
induction into the Jesuit honor society Alpha Sigma Nu. He was also a
Title Editor of Law Review and served on the Executive Board of Moot
Court. He has published a number of articles on a variety of topics
including workplace bullying, discharge of employees and copyright
law.

Since joining the firm in 2008, Kevin J. Campbell focuses his practice
on all stages of complex litigation, including appellate practice, in the
areas of municipal, commercial, education, and employment law.
Kevin has successfully represented public retirement systems in
disputes arising from their investments; and he participated in litigation
on behalf of the Detroit Pension Systems involving issues pertaining to
the Public Employee Retirement System Investment Act. He also
served as lead counsel in federal district and appellate courts
representing municipalities in disputes over their compliance with
Michigan statutes --including the open Meetings Act; the Revised
School Code, the Tax Increment Financing Act and certain
constitutional protections enforced by 42 USC § 1983. Kevin also
successfully represented the Ecorse Public Schools Board of Education
in a case against the City of Ecorse to recover over $2 million in unpaid
tax revenue. Additional representative cases Kevin has worked on
include Davis v. Detroit Pub. Schs. Cmty. Dist., 899 F.3d 437 (01, Cir.
2018) (involving a claim that utilization of captured TIF revenue for
development of Little Caesars Arena violated the Revised School Code)
and Southfield Educ. Ass's v. Rd. of Educ. of the Southfield Pub. Schs.,
320 Mich. App. 353 (2017) (involving a claim that the school district
violated the Revised School Code when it did not recall certain
teachers).
In addition to litigation, Kevin also represents and counsels'
commissions and boards on commercial real estate matters. He
represents corporate clients in buying and selling real property,
including the negotiation of purchase and sale agreements, pre-closing
due diligence and closings. He also negotiates commercial lease
agreements on behalf of both public and private sector clients and
represents landlords in disputes with tenants.

Monica N. hunt is a Senior Associate with The Allen Law Group and
focuses her practice on litigation in state and federal court. Monica has
handled cases in and argued before the Michigan Court of Appeals and
Sixth Circuit Court of Appeals.
Monica currently manages all aspects of civil litigation on behalf of
municipalities and brings extensive litigation experience in in the areas
of municipal law, tax enforcement, employment law, banking,
commercial litigation, and real property. Monica routinely defends
against lawsuits involving contractual and constitutional claims. She
regularly responds to Freedom of Information Act requests pursuant to
Act 442 of 1972 and defends municipalities against alleged violations
of that Act.
Monica's practice has included high-profile litigation involving elected
officials and representing local public entities in employment and
pension matters. Prior to joining ALG, she also represented the Oakland
County Treasurer and assisted on various tax collection issues.
Ms. Hunt earned. her bachelor's degree in Business Administration from
the Eli Broad College of Business at Michigan State University where
she served on the board of the Black Prelaw Student Society. She is
also a graduate of Wayne State University Law School. During law
school, Ms. Hunt interned with the Wayne County Prosecutor's Office
and prosecuted misdemeanor cases as a student attorney,

Luis E. Gomez is experienced in a wide -range of civil and commercial
disputes, representing municipalities, government employees, and
private entities in state, federal, and administrative courts.
During his first years of practice, Mr. Gomez participated in a high -
exposure, medical malpractice trial on behalf of the Detroit Medical
Center, obtaining a no -cause verdict in favor of the firm's clients. Mr.
Gomez has since managed litigations and projects on behalf of the City
of Detroit, Detroit Building Authority, Detroit Public Lighting
Authority, Detroit Public Schools Community District, and DTE
Energy, among others. He has defended municipalities in commercial
disputes involving the General Sales Tax Act and Use Tax Act. He has
also counseled municipalities with respect to questions arising from the
Optional Unified County Government Act, PA 139 of 1973.
In an effort to give a greater voice to the Latino community in Southeast
Michigan and promote the advancement of same, Mr. Gomez represents
Spanish-speaking individuals and business owners in business disputes
and general litigation. Luis is also an avid volunteer in the community
and provides pro bono services in both English and Spanish.
Mr, Gomez attended the University of Michigan Law School. While in
law school, he worked as a student attorney for two of Michigan Law
School's premier legal clinics — the Michigan Innocence Clinic and the
Civil Litigation Clinic – and completed a judicial internship with Justice
Madeleine Flier of the California Court of Appeals. He also proudly
served as an Associate Editor of the Michigan Journal of Race and Law
and board member of the Latino Law Students Association (LLSA).
Mr. Gomez completed his undergraduate studies at the University of
California, Berkeley, where he graduated with honors in History. For
three years before law school, he worked as the Lead Litigation
Paralegal for a litigation firm in Los Angeles that specialized in
employment and personal injury law.

Amy M. Robertson joined ALG in 2017. Prior to joining the Firm, Array
practiced in the State of Minnesota and gained a wide -range of
experience in a variety of legal issues including complex litigation and
class action law suits. Since graduating law school, her practice has
focused on labor and employment issues, administrative law, and civil
litigation.
Coming from a background in technical writing, Ms. Robertson draws
on a unique background that makes her particularly adept at
communicating complex information in a strong, persuasive manner.
She tabes pride in making every effort to keep her clients informed and
assured that their interests are being looked after by a highly motivated,
energetic attorney that seeks to build a transparent, trustworthy
relationship with each of her clients.
Ms. Robertson was a senior editor of the St. Thomas School of Law
Journal of Law and Public Policy. She has also published multiple
articles in Minneapolis's Hennepin Lawyer Magazine.

ALG attorneys recognize the importance of value and expeditious use of resources to resolve claims
in a cost-effective manner. For this reason, ALG offers a flexible and creative billing system that can
be tailored to the Board's specific needs. The Firm finds that businesses are more satisfied and
confident when they know their lawyers are accessible, without worrying about the cost for such
availability. The Firm understands that clients feel more secure in routine business decisions when
they can address minor issues before they become major legal problems. That's why ALG has creative
billing arrangements to help them practice preventative legal maintenance to conserve's the clients'
resources. Through creative billing arrangements such relationships with clients help them to practice
preventative legal maintenance. ALG also offers quarterly legal review audits, internal investigations
and seminars in an effort to more effectively shield our clients from litigation.
