To the Oakland County Board of Commissioners
Chairperson, Ladies and Gentlemen:
WHEREAS Oakland University (OU), on behalf of Healthy Pontiac, We Can! (HPWC), was awarded a
two-year grant (August 16, 2019 through August 16, 2021) from the Michigan Health Endowment Fund to
support the Prescription for a Healthy Pontiac Program; and
WHEREAS OU intends to subcontract with the Oakland County Health Division (OCHD) to coordinate
health education, material development, and program implementation aspects of the Pontiac Prescription
for Health project; and
WHEREAS the subaward period is February 1, 2020 through July 16, 2021; and
WHEREAS the grant funding for this agreement is $122,058; and
WHEREAS the grant agreement requires the creation of two (2) Special Revenue (SR) Part -Time Non -
Eligible (PTNE) 1,000 hours per year Public Health Educator II positions to fulfill the work outlined in the
subaward Scope of Work; and
WHEREAS there is no grant match requirement; and
WHEREAS the grant agreement has completed the Grant Review Process in accordance with
Miscellaneous Resolution #19006.
NOW THEREFORE BE IT RESOLVED that the Oakland County Board of Commissioners hereby accepts
the grant award for the Prescription for a Healthy Pontiac Program through OU in the amount of $122,058
for the period of February 1, 2020 through July 16, 2021.
BE IT FURTHER RESOLVED to create two (2) SR PTNE 1,000 hours per year Public Health Educator II
positions within the Health Promotion Services unit (#1060241).
BE IT FURTHER RESOLVED that the Chairperson of the Board of Commissioners is authorized to
execute the grant agreement and to approve any grant extensions or changes, within fifteen percent
(15%) of the original award, which are consistent with the agreement as originally approved.
BE IT FURTHER RESOLVED that acceptance of this grant does not obligate the County to any future
commitment and continuation of the special revenue positions in the grant is contingent upon future levels
of grant funding.
BE IT FURTHER RESOLVED that the FY 2020 budget is amended as follows:

Corporation Counsel:
The subcontract was modified as follows:
1. Section 4., Terms and Conditions of the Prime Agreement, was modified to reflect that we agree to all terms and
conditions of the Prime Agreement, except the Indemnification Clause in Section 6 of the Prime Agreement.
2. Section 7., Consideration, was modified to strike everything from "including indirect costs" to "administrative
costs" so the paragraph reads: "Oakland will reimburse Subcontractor the total incurred cost as invoiced during the period
of performance, as set forth in the preapproved budget that is included in Attachment 3 ("Budget"), which is incorporated
herein by reference ("Total Cost"), subject to any limitations in the Prime Agreement, this Subcontract and all applicable
Federal Regulations. Costs incurred in excess of the Total Cost are at Subcontractor's risk.
3. Section 21., Additional Terms and Conditions was struck in its entirety.

OAKLAND UNIVERSITY SUBCONTRACT
FOR THE RESEARCH OFFICE
Oakland University ("Oakland") and Oakland County Health Division ("Subcontractor")
enter into this Subcontract, as of the date of the last signature below, in support of Oakland's ("Prime
Agreement") between Oakland and Michigan Health Endowment Fund (Sponsor").
The parties to this Subcontract agree as follows:
Scone of Work. Subcontractor will perform the research and associated work detailed in the
Scope or Statement of Worts that is attached as Attachment 1 and incorporated herein by
reference ("Scope of Work"). Oakland can change the Scope of Work if: (a) the Sponsor requires
the changes; or, (b) Oakland, in its sole and exclusive discretion, determines that the changes
are necessary for performance of the Prime Agreement. If any such changes to the Scope of
Work affect the cost or scheduling of work under this Subcontract, the parties will negotiate cost
and/or scheduling adjustments in good faith and within the Prime Agreement's parameters.
2. Performance Period. The performance period commences on 02/01/2020 and ends on
07/1612021 unless terminated earlier as provided in this Subcontract
("Termination Date"). Subcontractor is not obligated to continue work or provide services after
the Termination Date and Oakland is not obligated to compensate Subcontractor for expenses
Incurred or commitments made after the Termination Date. Subcontractor will immediately notify
Oakland, in writing, if Subcontractor knows or reasonably should know of any actual or potential
condition that may delay Subcontractor's timely performance. The parties may extend the
performance period by written amendment, subject to the Prime Agreement's terms, conditions,
time limitations and funding restrictions.
3. Staffing. Oakland's Principal Investigator ("Oakland's PI") and Subcontractor's Principal
Investigator ("Subcontractor's PI") for this Subcontract are identified in Attachment 2.
Oakland's PI is responsible for the technical, scientific and programmatic aspects of this
Subcontract and for coordinating the research efforts of the collaborating investigators.
Subcontractor's PI's participation is considered essential to Subcontractor's performance of this
Subcontract. Subcontractor will not replace or remove Subcontractor's PI from the work required
by this Subcontract, or substantially reduce the level of his/her participation, without Oakland's
prior written approval.
4. Terms and Conditions of the Prime Aoreement, All of the Prime Agreement's terms and
conditions, with the exception of indemnity provisions, are Incorporated by reference into this
Subcontract. Subcontractor acknowledges that it has received, reviewed, understands and
agrees to be bound by the terms and conditions in the Prime Agreement. Subcontractor will
assume and does assume all of Oakland's responsibilities to the Sponsor under the Prime
Agreement as they relate to services to be performed by Subcontractor.
5. Federal Regulations. Subcontractor will fully comply with all Federal Regulations identified in the
Prime Agreement. For the purposes of this Subcontract, all references in any Federal
Regulation to contract, assistance agreement, or other such written agreement will mean this
"Subcontract," and all references to contractor will mean Subcontractor.

6. Allowable Costs. The Prime Agreement, the applicable Federal Regulations and the Office of
Management and Budget (OMB) Cost Principles as set forth in 2 CFR 200 (Uniform Guidance),
will determine the extent to which costs are allowable under this Subcontract. Subcontractor's
normal policies governing salaries, wages and fringe benefits will apply to all of its employees
paid from this Subcontract. Subcontractor's published policy on travel and travel reimbursement
must apply to all costs for travel and transportation charged to this Subcontract. Foreign travel
is prohibited without prior written approval of Oakland. When Subcontractor's policies conflict
with the Prime Agreement, the OMB's Cost Principles or any applicable Federal Regulation, the
more restrictive rules will apply.
7. Consideration. Oakland will reimburse Subcontractor the total incurred cost as invoiced during
the period of performance, as set forth in the preapproved budget that is included in Attachment
3 ("Budget"), which is incorporated herein by reference ("Total Cost"), subject to any limitations
in the Prime Agreement, this Subcontract and all applicable Federal Regulations. Costs incurred
in excess of the Total Cost are at Subcontractor's risk.
8. Re-budoetina of Funds. The parties understand that the Budget is an estimate and that there
may be a need to depart from it to cover certain unanticipated requirements of the Statement of
Work. Subcontractor is authorized to re -budget funds which do not require prior approval in
accordance with the Prime Agreement. All other re -budgeting of funds must have prior written
approval of Oakland.
9. Invoices and Payments. Oakland will reimburse Subcontractor for those Total Costs that are
actually incurred and invoiced, subject to approval by and payment from the Sponsor.
Subcontractor will submit invoices to Oakland at least quarterly, but not more often than monthly.
Each invoice will be categorized with monthly and cumulative charges entered appropriately,
include the period in which the costs were incurred and identify the categories of costs consistent
with the Budget designations. Upon request, Subcontractor will furnish Oakland with any
necessary documentation supporting invoiced amounts,

The final invoice, clearly marked FINAL, must be submitted within 45 days after the termination
or expiration of this Subcontract. Oakland may, at its sole discretion, refuse to reimburse
Subcontractor for any cost included in an invoice submitted more than 45 days after termination
or expiration of this Subcontract.
Final invoice payment will be withheld until Subcontractor completes and delivers to Oakland
any final reports and all closeout documents required by Oakland.
10. Accounts, Audits and Records. Subcontractor will maintain books, records, documents, and
other evidence, accounting procedures, and practices ("Records") sufficient to prove all direct

and indirect costs of whatever nature it claims to have incurred for the performance of this
Subcontract.
All of Subcontractor's facilities used in the performance of this Subcontract, and all of
Subcontractor's Records, will be subject at all reasonable times to inspection and audit by
Oakland, the Sponsor, the relevant Federal audit agency, the Comptroller General of the United
States and/or any of their authorized representatives.
Subcontractor will preserve and make available its Records for at least 7 years following
expiration or termination of this Subcontract or until audit is completed and all resulting questions
are resolved, whichever occurs last.
As a sub -recipient of federal funds, and if Subcontractor meets the threshold audit requirements
for 2 CFR 200, Subcontractor will provide Oakland with an audit report encompassing the
Performance Period for this Subcontract. This audit should be conducted in compliance with 2
CFR 200. One copy of the audit report and any management letters associated with the audit
should be submitted to Oakland within 3 months of the completion of the audit and no later than
9 months from Subcontractor's fiscal year end. Subcontractor will also include a transmittal
letter identifying any audit findings relating specifically to this Subcontract. In any cases of
noncompliance, Subcontractor will provide copies to Oakland of responses to auditor's reports
and a plan for corrective action. If Subcontractor does not meet the threshold audit requirements
for 2 CFR 200, Subcontractor's records must be available for review or audit by appropriate
officials of the Federal agency, pass-through entity, and General Accounting office as provided
in 2 CFR 200.
Subcontractor will cooperate with Oakland in resolving all questions that Oakland may have
concerning the 2 CFR 200 reports and any plans for corrective action. Subcontractor will permit
independent auditors to have access to Records and financial statements as necessary for
Oakland to comply with 2 CFR 200,
11. Patents and Inventions. All matters regarding rights, title and interest in and to inventions or
other intellectual property rights conceived or reduced to practice in the course of performance
of this Subcontract must be disclosed and will be subject to the terms of the Prime Agreement
and 37 CFR Part401. Subcontractor will submit required invention reports to Oakland within 30
days of a disclosure. Subcontractor will ensure that all persons who perform any part of the
work under this Subcontract comply with this requirement. Except as otherwise required by law,
Oakland agrees to treat any disclosures pursuant to this Paragraph as confidential and will treat
them with the same care as they would their own confidential information.
12. Reports. Subcontractor will provide reports to Oakland as required by the Scope of Work and/or
the Prime Agreement, and Subcontractor will, upon Oakland's request, assist Oakland in the
preparation of all reports required by Oakland related to subcontractor's scope of work to the
Sponsor under the Prime Agreement. Subcontractor will also render any other reports as may
be requested by Oakland's PI during the period of performance of this Subcontract, and will
submit a final report upon completion of the Scope of Work.
13. Publications. Subcontractor will acknowledge the support of the Sponsor whenever activities
funded in whole or in part by this Subcontract are published. Any presentations or publications

arising from and supported by this Subcontract will include a positive statement clearly setting
forth that the contents are in no way the responsibility of the Sponsor.
14. Assianments and Subcontracts. Subcontractor will not assign this Subcontract, or subcontract
any of the work required by the Scope of Work, without Oakland's prior written approval. This
restriction on subcontracts will not apply to the purchase of standard commercial supplies or raw
materials or subcontracts included in the Scope of Work document attached in Attachment 1.
To the extent that the Subcontractor subcontracts any of the work required by the Scope of
Work, Subcontractor will secure the subcontractor's written agreement to accept and comply
with all of the terms and conditions of this Subcontract.
15. Termination. Oakland may, in its sole and exclusive discretion, terminate this Subcontract upon
written notice to Subcontractor if funding becomes unavailable for this Subcontract or if such
funds are restricted. Either party may also terminate this Subcontract, upon written notice to
other party, in addition to any other remedies it may have, if the other party fails in whole or part
to perform Its obligations under this Subcontract.
16. Post -Termination Obliaations. Upon receipt of a termination notice, Subcontractor will take all
immediate action to minimize all expenditures and obligations financed by this Subcontract and
will cancel obligations as soon as possible. Subcontractor will be compensated for all actual and
allowable expenses and all un -cancelable obligations properly incurred prior to the date of
termination subject to the Total Cost limitation set forth in Paragraphs 6 and 7. Subcontractor
will promptly deliver to Oakland all data, reports, summaries and such other information and
material as may have been prepared for and/or accumulated by Subcontractor In the
performance of this Subcontract, whether completed or in process.
17. Continuation of Work Pending Dispute Resolution. During the pendency of any dispute relating
in any way to this Subcontract, both parties will proceed diligently with performance as feasible.
18. Notices. All notices required to be given pursuant to this Subcontract will be made in writing,
and sent by first class mall to:

19. Research Misconduct and Conflict of Interest. Subcontractor certifies that it has established
written, enforced policies on responsible conduct of research, research misconduct and conflict
of interest (financial or otherwise) that comply with the applicable regulations and the provisions
of this Subcontract. In the event that Subcontractor does not have such policies established,
Subcontractor will request a copies of Oakland's written responsible conduct of research,
research misconduct and conflict of Interest policies and will comply with those policies.
20, Compliance with Law, The Subcontractor will comply with and hereby makes any certifications
required by all applicable federal, regulations, restrictions, permit and licensing requirements
and laws, including without limitation the Drug -Free Workplace Act of 1986 (41 USC 8101, at
seq); the Byrd Antl-Lobbying Amendment (31 USC 1352, at seq); the Family Educational Rights
and Privacy Act of 1974 (20 USC 1232g); the Jeanne Clary Disclosure of Campus Security
Policy and Campus Crime Statistics Act (20 USC 1092(f)); Executive Order 12549 (debarment
and suspension); Executive Order No. 11240 as amended by Executive Order 11375 (equal
opportunity); OMB Circular A-129 (non -delinquency on federal debt); and any related statutes,
amendments, rules, regulations and orders. In furtherance of Executive Order 12649 and the
regulations promulgated thereunder, 2 CFR 180, 2 CFR 200, and any additional regulations
promulgated by an applicable federal agency, the Subcontractor hereby certifies that

Attachment 1: Scope of Work
1. Roles and Responsibilities
Oakland University, on behalf of Healthy Pontiac, We Can! (HPWC), has received funding
and technical support from the Michigan Health Endowment Nutrition and Healthy
Lifestyles funding opportunity to support the Pontiac Prescription for Health Program. Given
that Oakland County Health Division (OCHD) is the backbone organization for HPWC, and
has expertise in public health education, health communications, managing integrated
community -wide public health strategies, OCHD will be subcontracted to coordinate the
health education, material development, and program implementation aspects of the Pontiac
Prescription for Health project.
For this project, Oakland County Health Division will provide support through the
development and, implementation of the program. Staff will assist with scheduling program
events, enroll and manage participants, coordinate and lead health education sessions, and
design educational materials. OCHD staff will also work with OU to provide evaluation and
reporting outcomes to the PI and Co-Pl.
OCHD staff will also provide development and implementation assistance to the Oakland
University Principal investigator, graduate assistant and other program staff to plan, and
implement grant activities.
OCHD will hire and supervise of two part-time Public Health Educators who works directly
with community partners to implement the initiatives outlined in the MHEF grant. Carolyn
Hribar, Planning and Evaluation Supervisor, and Amanda Woods, Public Health Educator III,
will provide expertise in Health Communication, Health Education, and Program Planning
and Implementation, to guide activities associated with OCHD in the Workplan.
Additionally, a Public Health Educator (TBD) will be the staff support for building and
maintaining the program including client enrollment, organization of coalition and partner
meetings, providing health education, engaging community partners, and tracking outcomes
OU will hire and supervise a part-time Graduate Student to work directly with the OCHD
staff, including the Public Health Educators and Amanda Woods, to support program
implementation by managing participants, supporting OCHD during health education
sessions, data collection, provide childcare during education sessions, and evaluation support.
Method of Accountability: OCHD will be monitored by the PI (Dr. Laurel Stevenson) and
Co -PI (Dr. Jennifer Lucarelli). The team will establish monthly meetings with OCHD staff to
provide program updates, coordinate actives, and conduct process evaluation.
2. Reporting
Financial reporting will occur as outlined in the subcontract part nine (9).
Workplan progress updates will occur monthly during established joint team meetings
between the PI and Co -PI for OU and OCHD Staff mentioned above.

GRANT AGREEMENT
THIS GRANT AGREEMENT (the "Agreement") is effective as of August 14, 2019 by and
between the Michigan Health Endowment Fund, a Michigan nonprofit corporation, whose
address is 7927 Nemco Way, Suite 270, Brighton, MI 48116 (the "Grantor"), and Oakland
University, a tax exempt organization or government entity, whose address is 2200 N,
Squirrel Rd, Rochester, MI 48309 (the "Grantee").
IT IS HEREBY AGREED AS FOLLOWS:
1. Grant Letter. The terms and conditions described in the letter from Grantor to Grantee dated
August 14, 2019 (the "Letter") are hereby incorporated into this Agreement and made a part
hereof.
2. Grant; Payment of the Grant. Grantor hereby grants to Grantee the aggregate amount set
forth In the Letter (the "Grant") to be used solely for the purposes of the project entitled
Prescription for a Healthy Pontiac, as described in the proposal, (the "Purposes"), Payment
of the Grant shall be as set forth in the Letter.
3. Expenditure of Grant. The Grant, including any Interest earned on grant funds, is made for
the Purposes stated herein and may not be expended for any other purpose without the
Grantor's prior written approval, Grantee shall return any portion of the Grant to the Grantor
(i) which is not used for the Purposes of the Grant; or (ii) if Grantor has determined that the
activities of Grantee in carrying out the Purposes will jeopardize the Grantor's or Grantee's
tax-exempt status.
4. Tax -Exempt Status. Tax -Exempt Status. Grantee certifies that it is a tax-exempt organization
as described in Section 501(c)(3) or 501(c)(4) of the Internal Revenue Code of 1986 (the
"Code") and attests that: (1) its tax-exempt status has not changed since the issuance of the
IRS determination letter, and to the best of Its knowledge and belief, it has not changed its
basic purposes or the manner of conducting its affairs in any way that may affect the
continuation of its tax-exempt status; (Ii) there is no Issue presently pending before any
office of the Internal Revenue Service that could result In any proposed changes to the
Grantee's tax-exempt status under Section 501(c)(3) or 501(c)(4) of the Code; and (iii) it
knows of no basis on which Grantee could be considered to be controlled directly or Indirectly
by Grantor, Grantee agrees to notify Grantor if such determination or status under the Code
is revoked or modified during the course of the Grant, and upon request, to promptly return
any unspent Grant funds to Grantor as of the date of notice of such change.
Alternatively, Grantee certifies that it is a governmental unit or political subdivision of the
State of (Michigan) or other governmental entity and that the Purposes qualify as "public
purposes" described in Section 170(c)(1) of the Code.
S. Grant Funds. Grant funds received from Grantor shall not be used: (i) to influence the
outcome of any specific public election, or carry on, directly or indirectly, any voter
registration drive (within the meaning of Section 4945(d)(2) of the Code); or (ii) for any
purposes other than charitable, scientific, literary, educational, or other purposes described
in Section 170(c)(2)(B) of the Code.
6. Indemnification. Grantee hereby agrees, to the fullest extent permitted by law, to defend,
indemnify, and hold harmless Grantor, its officers, directors, employees, and agents, from
and against any and all claims, liabilities, losses, and expenses (including reasonable
attorneys' fees) directly, indirectly, wholly or partially arising from or In connection with any
act or omission of Grantee, its employees, or agents, in applying for or accepting the Grant,
in expending or applying the Grant funds or In carrying out any project supported by the
Grant, except to the extent that such claims, liabilities, losses, and expenses arise directly
from or in connection with acts or omissions of Grantor, its officers, directors, employees, or
agents.
Reporting Requirements. Grantee shall submit to Grantor written reports summarizing the
Grant activity and use of Grant funds, including a detailed accounting of the uses or
expenditure of the Grant on a schedule as described In the Letter. Grantee further agrees to
provide any other information reasonably requested by Grantor.
8. Changes. Grantee will notify Grantor as soon as practicable about any changes in Grantee
that significantly affect the ability of Grantee to fulfill the Purposes of this Grant.
Budget Variation. Grantee may, at its discretion, reallocate up to $10,000 of any existing
budget category without prior approval from the Health Fund. Any amount over $10,000
requires written prior approval.
10. Records and Access to Information. Grantee shall maintain records of all activities, including
but not limited to, financial records, receipts, and expenditures, relating to the Grant. The
Grantee's books and records shall be made available for Grantor's inspection during normal
business hours at Grantee's principal place of business for the purpose of making such
financial audits, verifications, or program evaluations as Grantor deems necessary concerning
the Grant.
11. Right to Discontinue Funding. Grantor may terminate this Agreement or withhold payments,
or both, if Grantee becomes unable to carry out the Purposes of the Grant or fails to meet
the terms and conditions of this Agreement. If termination or withholding of payment is being
considered by Grantor, Grantee will be notified of the non-compliance issues and, If feasible
and at the discretion of the Grantor, will have a specified period of tirne to remediate the
non-compliance issues cited by Grantor. Successful remediation will be determined in the
sole discretion of Grantor.
1.2. Publicity. Grantee and Grantor shall each permit the other to include information regarding
the Grant, including the names of Grantee and Grantor and the amount and purpose of the
Grant, in each party's periodic public reports, newsletters, and news releases. Grantee agrees
to acknowledge the support of Grantor in accordance with guidelines developed by Grantor,
from time to time, whenever activities funded by the Grant are pubilshed in any news medla
or other publication, with the exception of inultiple routine social media posts. Any proposed
publicity which goes beyond the disclosures described herein or in the publicity guidelines
shall require the prior approval of the other party which shall not be unreasonably withheld.
13. Governing Law. This Agreement shall be deemed to be made under and shall be construed
in accordance with the laws of the State of Michigan without regard to conflicts of laws
principles.
14. Assignment. Grantee may not assign its rights hereunder without the prior written consent
of Grantor.
15. Complete Agreement; Amendment. This Agreement constitutes the entire agreement of the
parties with respect to the subject matter hereof and supersedes any prior written or oral

agreements between the parties. This Agreement may be modified or amended only if the
amendment Is made in writing and signed by both parties.
16. Waiver. The failure of either party to enforce any provision of this Agreement shall not be
construed as a waiver or limitation of that party's right to subsequently enforce and compel
strict compliance with every provision of this Agreement.
17. Counterparts. This Agreement may be executed in counterparts, each of which shall be
deemed to be an original, and all of which together shall constitute one and the same
instrument.
18. Notices. Notices under this Agreement shall be made in writing as follows:

When to acknowledge the Health Fund
As part of your grant agreement, we ask you to acknowledge the Health Fund in media outreach,
promotional materials, and publications directly related to the funded program. We are available to
review materials upon request, but we do not require you to obtain our approval as long as you are
adhering to Health Fund guidelines.
Some materials or situations might not fit perfectly into either category. If you're unsure or would like to
request an exemption, drop our communications staff a note.

Shorthand
Always use "Michigan Health Endowment Fund" in the first reference to the foundation. After the first
reference, you may use "Health Fund". Do not use WHEF" or "the Fund".

For press releases or other instances requiring a description of the Health Fund:
The Michigan Health Endowment Fund works to improve the health and wellness of Michigan
residents and reduce the cost of healthcare, with a special focus on children and seniors. You
can find more information about the Health Fund at mihealthfund.org.
For other text references, feel free to create your own language or keep it simple by stating that the
program is supported by the Michigan Health Endowment Fund. Even if our funding supports an event,
please do not refer to us as "sponsors" as the Health Fund does not directly sponsor events.

format or a one -color version. When you use the Health Fund logo, you may resize it but you may not

How we can help you publicize your grant
We're excited about your story, and might choose to publicize it in coordination with you. Specifically:
• We might feature your project on our blog. This might follow a site visit, we might contact you to
fill out a brief questionnaire, or we might draft a blog based on your materials and reports. We
will give you the opportunity to review the blog before we post it.
• We might highlight your organization on social media, especially if the work we're supporting is
featured in a news article. We encourage you to send us links or copies of publications or media
that mention your project.
• We might feature your grant in our annual report or other publications; in presentations at
Health Fund board meetings or external events; or in conversations with the media.
• We can provide a quote from Health Fund staff for press releases or other materials. In select
instances we might suggest opportunities for coordinated media outreach.
• We will consider sending a Health Fund representative to your organization's event. This is at
our discretion and dependent on availability.
Now seeking: grantee photography
We're always on the lookout for high-quality photos of our grantees' work and programs in action. We
encourage you to share images with us while taking note of the following considerations:
• We might feature your images in digital or print publications; if we do so we will always include
proper attribution.
• Make sure people in images have given proper legal permissions. This includes children who
require parent or guardian permission.
• If you have more than a few images to share, contact hayley@mihealthfund.org to coordinate
file sharing.
