MISCELLANEOUS RESOLUTION #21061 March 11, 2021 BY: Commissioner Gwen Markham, Chairperson, Finance Committee IN RE: INFORMATION TECHNOLOGY — APPROVAL OF LEASE AGREEMENT WITH THE CHARTER TOWNSHIP OF INDEPENDENCE FOR PUBLIC SAFETY COMMUNICATIONS SYSTEM AT 6050 FLEMINGS LAKE ROAD To the Oakland County Board of Commissioners Chairperson, Ladies and Gentlemen: WHEREAS for over a decade the County has operated and maintained a public safety communications system for the benefit of its residents on behalf of and for local law enforcement, fire services, emergency medical services, hospitals, homeland security and other public safety services ("first responders'); and WHEREAS the County constructed, operates, and maintains the existing system with funds from the County 9-1-1 charge (fee) on devices, as permitted by and defined in the Emergency 9-1-1 Service Enabling Act, Michigan Public Act 32 of 1986, MCL §484.1101 at seq.; and WHEREAS the operation and maintenance of the existing system required the County to build various towers on real property owned by third parties, including the Charter Township of Independence; and WHEREAS the Board of Commissioners, in MR #92020, approved the execution of an Agreement with the Township for the construction, operation, and maintenance of a tower at 6050 Flemings Lake Road, Clarkston, MI; and WHEREAS because the existing system is nearing the end of its useable life, a replacement system was competitively bid, evaluated by a team of public safety users and County personnel, and awarded to Motorola; and WHEREAS the replacement system will be utilized by first responders and other users in and around Oakland County and will be integrated with the Michigan Public Safety Communications System; and WHEREAS the existing Agreement between the County and Township has expired; and WHEREAS the replacement system design requires continued use of the tower at 6050 Flemings Lake Road; and WHEREAS the Departments of Information Technology and Corporation Counsel have drafted, reviewed, and approved the attached Lease Agreement to be executed with the Township; and WHEREAS the Department of Information Technology recommends entering into the attached Lease Agreement to facilitate continued use of the tower at 6050 Flemings Lake Road. NOW THEREFORE BE IT RESOLVED that the Oakland County Board of Commissioners approves the attached Lease Agreement and authorizes the Board Chairperson to execute the Lease Agreement with the Charter Township of Independence. BE IT FURTHER RESOLVED that the Chairperson is authorized to execute all documents associated with and to effectuate the attached Lease Agreement with the Township. BE IT FURTHER RESOLVED that all agreements associated with the County Public Safety Communications System shall be kept by Radio Communication in the Department of Information Technology. BE IT FURTHER RESOLVED that no budget amendment is required at this time. LEASE AGREEMENT This Lease Agreement ("Lease") entered into this day of , 2021, by the County of Oakland, a municipal and Constitutional Corporation located at 1200 North Telegraph Road, Pontiac, Michigan 48341, acting by and through its Department of Information Technology ("Tenant") and the Charter Township of Independence, located at 6483 Waldon Center Drive, Clarkston, MI 48346 ("Landlord"). INTRODUCTION A. Tenant and Landlord entered into an "Agreement Granting License for Oakland County Transmission Tower" on February 13, 1991 ("Original Agreement"). The Original Agreement permitted Tenant to construct and maintain a tower located at 6050 Flemmings Lake Road, Clarkston, MI. The Land and Tower subject to the Original Agreement is set forth in Exhibits A and B, which are attached and incorporated herein. B. The Original Agreement expired, but Tenant and Landlord continued to abide by the terms of the Original Agreement due to the fact that the Land and Tower are used in the operation of the existing County -wide public safety communications system. This existing system is utilized by the Independence Fire Department and the Oakland County Sheriff s Offence, in providing law enforcement services to Independence Township residents. C. Because the existing system is near end -of -fife. Tenant is currently constructing and installing a new County -wide public safety communications system, expected to be integrated into the Michigan Public Safety Radio Communications System. The new system requires adding new equipment to the Tower. D. This Tower and Land are critical and integral for the operation of the new system. E. Tenant's improvements to the Tower for the new system are set forth in plans last revised as of October 6, 2020, attached as Exhibit B. F. To ensure the safety of Oakland County and Independence Township residents and to ensure a seamless transition from the existing system to the new system, the Parties desire to enter into a new Lease. G. In consideration of the mutual covenants contained herein, the Parties agree to the following terms and conditions. LEASE AGREEMENT §1. Introduction. The terms and conditions contained in the Introduction are adopted in their entirety and incorporated this Lease §2. Definitions. 2.1. "Access Easement" shall mean a non-exclusive easement for an access drive to provide ingress, egress, and utilities over the adjacent real property depicted and described in the attached Exhibit B 2.2. "Claim(s)" shall mean any alleged losses, claims, complaints, demands for relief or damages, lawsuits, causes of action, proceedings, judgments, deficiencies, liabilities, FINAL VERSION (1-27-21) Page 1 of 7 penalties, litigation, costs, and expenses, including, but not limited to, reimbursement for reasonable attorney fees, witness fees, court costs, investigation expenses, litigation expenses, amounts paid in settlement, and/or other amounts or liabilities of any kind which are incurred by or asserted against a Party, or for which a Party may become legally and/or contractually obligated to pay or defend against, whether direct, indirect or consequential, whether based upon any alleged violation of the federal or the state constitution, any federal or state statute, rule, regulation, or any alleged violation of federal or state common law, whether any such claims are brought in law or equity, tort, contract, or otherwise, and/or whether commenced or threatened. 2.3. "Day" shall mean calendar day, unless otherwise specified in this Lease. 2.4. "Land" shall mean the real property set forth and described in Exhibit B as the 95x76 fenced compound, which is associated with the common address of 6050 Flermnings Lake Road, Clarkston, MI. 2.5. "Site" shall mean the Land and the Access Easement. 2.6. "Tower" shall mean the existing tower on the Land constructed and maintained by Tenant pursuant to Exhibits A and B. §3. Leased Site. Landlord leases to Tenant and Tenant leases from Landlord the Land, as above -defined, together with an Access Easement, as above -defined. §4. Proper Title. Landlord warrants that it has legal title to the Site or an assignable or otherwise transferable possessory interest of such nature as to confer upon Tenant the same full rights of occupancy as if Landlord had legal title. Landlord, at its sole expense, shall defend Tenant against any claim challenging Landlord's right to confer upon Tenant the right to occupy the Site with respect to land/title issues; and Landlord shall, at its sole expense, satisfy any judgment against Tenant arising from such claim. §5. Term. This Lease shall commence on January 1, 2021 and end on December 31, 2037, unless this Lease is terminated earlier as provided in this Lease. The Parties acknowledge that Tenant's occupancy of the Land from the date the Original Agreement expired until December 31, 2020 shall be deemed a month -to -month tenancy pursuant to the terms and conditions of the Original Agreement. §6. Rent. Given Tenant's use of the Site and Tower, Tenant shall pay Landlord, the sum of one dollar ($1.00) annually during tern of this Lease, as rent for the Site. §7. Use of Site. 7.1. Tenant shall use the Site for the construction and maintenance of a Tower to operate a County -wide public safety communications system, placement of an emergency power generator and equipment shelter, or as otherwise agreed to by the Parties in writing. 7.2. Tenant's use of the Site will comply with all applicable laws, regulations, rules, and ordinances. 7.3. If space is available and upon the execution of a separate license agreement, Landlord may license space on the Tower from Tenant for public safety purposes. §8. Tenant Improvements, Modifications and Plans. FINAL VERSION (1-27-21) Page 2 of 7 8.1, The Parties acknowledge that Tenant constructed and maintained the Tower on the Land as set forth in Exhibit A. By executing this Lease, Landlord acknowledges and approves Tenant's improvements to the Tower and Site as set forth in Exhibit B. 8.2, In the future, Tenant may improve or modify the Site, the Tower, and any related support facilities and strictures on the Site as approved by Landlord. Prior to commencing work, Tenant shall submit plans and specifications for all improvements or modifications to Landlord for Landlord's written approval; such approval shall not be unreasonably withheld. The plans and specifications shall become incorporated into this Lease. No improvement, modification, construction, installation, or alteration shall commence until plans for such work have been approved by Landlord and all necessary approvals, licenses, and/or permits have been properly issued. 8.3. Plans submitted pursuant to this Section shall include: fully dimensioned site plans that are drawn to scale and show, as applicable (i) the proposed location of the Tower antennas, equipment shelter, driveway and parking areas, (ii) the proposed changes in the landscape, (iii) the proposed type and height of fencing, and (iv) any other details Landlord may request. 8.4. Prior to commencing construction, Tenant shall also provide Landlord with the name of the contractor that will be constructing the improvements. 8.5. The Tower and all improvements/modifications made to the Tower shall remain the property of Tenant. 8.6. Tenant shall be responsible for obtaining and paying for all governmental approvals, permits, and licenses necessary to construct the Tower and/or any other improvements. 8.7. All improvements or modifications shall be constructed in a workmanlike manner and shall be completed in compliance with all applicable laws, rules, ordinances, and regulations. 8.8. Tenant shall keep the Site free from any liens arising from any work performed, materials famished, or obligations incurred by or at the request of Tenant. If any lien is filed against the Site as a result of acts or omission of Tenant or Tenant's employees, agents, or contractors, Tenant shall discharge the lien in a manner reasonably satisfactory to Landlord within ninety (90) days after Tenant receives written notice that the lien has been filed. §9. Assigument and Subletting. 9.1. Tenant shall not assign this Lease in whole or in part, or sublet all or any part of the Site without Landlord's written consent. 9.2. With Landlord's written consent, which shall not be unreasonably withheld, Tenant may license space on the Tower to third parties for the prupose of installing, mounting, and operating various types of communications equipment and related communications activities. 9.3. Notwithstanding any assignment or sublease, Tenant shall remain fully liable on this Lease and shall not be released from performing any of the terns, covenants, and conditions of this Lease. FINAL VERSION (1-27-21) Page 3 of 7 §10. Fees for Landlord. Unless otherwise agreed by the Parties in writing, Landlord shall not be required to make any expenditure or pay any fee in connection with this Lease or make any improvements to the Site. §11. Maintenance of Tower and Site. Tenant shall, at its sole expense, maintain the Site and all of its improvements, equipment, and other personal property on the Site, in good working order, condition, and repair. Tenant shall keep the Site free of debris. §12. Access to Site. Tenant shall have the right to access the Site twenty-four (24) hours a day, seven (7) days a week. Landlord shall have the right to enter the Site to examine and inspect the Site. §13. Utilities. Tenant shall be responsible for obtaining any utility service to the Site that it desires. Tenant shall pay all charges, when due, for utilities to the Site during the term of the Lease. §14.Ouiet Eniovment. Tenant shall peaceably and quietly enjoy and hold the rights and the privileges granted under this Lease without hindrance or interference by Landlord. §15. Govenunental ADDrovals. This Lease is contingent upon Tenant obtaining and maintaining all necessary governmental approvals, permits, and/or licenses that Tenant deems necessary. If such approvals, permits, and/or licenses are not obtained or maintained, then Tenant may terminate this Lease and proceed pursuant to Section 16. §16. Termination. 16.1. Termination by Landlord. Upon thirty (30) days written notice, Landlord may terminate this Lease if Tenant fails to use the Site or Tower according to use set forth in Section 7. 16.2. Termination by Tenant. Upon ninety (90) days written notice, Tenant may terminate this Lease if Tenant determines that this Lease is no longer necessary for Tenant purposes or for technological reasons. 16.3. Landlord's Option to Purchase Tower/Removal of Tower. Within thirty (30) days of termination or expiration of this Lease, Landlord has the option to purchase the Tower from Tenant for $1.00. Landlord shall communicate its intention to purchase the Tower, in writing, to Tenant within the thirty (30) day period. If Landlord does not elect to purchase the Tower, within one -hundred and twenty (120) business days from the end of the thirty (30) day period or Landlord's election not to purchase the Tower, Tenant shall remove the Tower and all related structures on the site and restore the site to a level grade, so no further evidence of the Tower and/or structures is visible (landscaping excluded). §17. Condemnation. In the event the entire Site is taken by eminent domain, this Lease shall terminate as of the date title to the Site vests in the condemning authority. In the event a portion of the Site is taken by eminent domain so as to materially hinder effective use of the Site by Tenant, either Party shall have the right to terminate this Lease as of said date of title transfer, by giving thhy (30) days written notice to the other Party. In the event of any taking under the power of eminent domain, Tenant shall not be entitled to any portion of the reward paid for the taking and Landlord shall receive full amount of such award. Tenant shall have the right to claim and recover from the condemning authority, but not from Landlord, such compensation as may be separately awarded or recoverable by Tenant on account of any and all damage to Tenant and any costs or expenses incurred by Tenant in moving/removing its equipment, personal property, and leasehold improvements. §18. Damaae or Destruction of Tower. FINAL VERSION (1-27-21) Page 4 of 7 18.1. If the Tower or any portion of the Tower is destroyed or damaged so as to materially hinder effective use of the Tower, Tenant may elect to terminate this Lease upon thirty (30) days written notice to Landlord. In such event, Tenant and Landlord shall proceed as set forth in Section 16. This Lease shall ternmte upon Tenant's fulfillment of the obligations set forth in the preceding sentence. Landlord shall have no obligation to repair any damage to any portion of the Site. 18.2. If Tenant chooses not to terminate this Lease, it may repair or rebuild the Tower and/or improvements. During the period that the Tower is being repaired or rebuilt, Tenant, at its own expense and if possible, may locate a temporary Tower to another location on Landlord's property, as mutually agreed by the Parties. §19. Liability. 19.1. Damaee Landlord Property. Tenant shall be responsible for any damage to the Land or to any facilities located on the Land that is caused by Tenant and its employees because of Tenant's use under this Lease. If damage occurs, Landlord shall make the necessary repairs or cause a third party to make the necessary repairs. Tenant shall reimburse Landlord the actual costs of repairing the damaged facilities/property. Landlord shall invoice Tenant for such costs and Tenant shall pay such costs within thirty (30) days of receiving the invoice. 19.2. Claims. Each Party shall be responsible for any Claims made against that Party by a third party and for the acts or omissions of its employees, volunteers, or agents arising under or related to this Lease. §20. Reservation of Riahts. The Lease does not, and is not intended to, impair, divest, delegate, or contravene any constitutional, statutory, and/or other legal right, privilege, power, obligation, duty, or immunity of Tenant or Landlord. §21. Insurance. Tenant is self -insured with respect to general liability claims. Tenant has purchased a separate insurance policy for property claims. Tenant and Landlord mutually agree to request their property insurance companies endorse their respective policies and issue policy endorsements evidencing the mutual waiving of the right of subrogation against the opposing Party for loss which is covered under the policy of property/fire insurance. §22. Hold Over. Any hold over after the expiration of the Lease with the consent of Landlord, shall be construed to be a tenancy from month to month and shall otherwise be for the term and on the conditions herein specified, so far as applicable. §23. Notices. All notices, requests, demands, and other communications required by this Lease shall be in writing and shall be deemed given if personally delivered or mailed, certified mail, return receipt requested, to the following addresses: To Landlord: Charter Township of Independence Attention: Supervisor 6483 Waldon Center Drive Clarkston, MI 48346 With a copy to: To Tenant: CLEMIS Administrator, Department of Information Technology 1200 North Telegraph Road, Building 49 West FINAL VERSION (1-27-21) Page 5 of 7 Pontiac, MI 48341 With a copy to: §24. Relationshin of Parties. Nothing contained in this Lease shall be deemed or construed to create a relationship of principal and agent or of partnership or joint venture between the Parties. Neither this Lease nor any acts of the Parties shall create any relationship between the Parties other than that of Landlord and Tenant. §25. Headings. The section headings in this Lease are for reader convenience only and shall not be controlling in the interpretation of this Lease. §26. Invalid Provision. The invalidity or unenforcability of any sections or subsections of this Lease shall not affect the validity or enforceability of the remainder of this Lease or the remainder of any sections or subsections. This Lease shall be construed in all respects as if any invalid or unenforceable sections or subsections were omitted. §27. Governing Law and Venue. This Lease shall be construed in accordance with, and subject to, the laws of the State of Michigan. To the extent provided by law, any action at law, suit in equity, or other judicial proceeding for the enforcement of this Lease or any provision thereof shall only be instituted in the Oakland County Circuit Court, a District Court located in Oakland County, or the United States District Court for the Eastern District of Michigan, depending on the nature of the action, suit, or other proceeding. §28. Amendment. This Lease may not be changed, modified, amended, or altered, except by an agreement in writing, signed by both Parties. §29. Succession. This Lease is binding upon the Parties and shall be binding upon their successive heirs, representatives, administrators, successors, subcontractors, and assigns. §30. Force Maieure. Each Party shall be excused from any obligations under this Lease dining the time and to the extent that a Party is prevented from performing due to causes beyond such Party's control. Reasonable notice shall be given to the affected Party of any such event. §31. Discrimination. Either Party shall not discriminate against an employee, an applicant for employment, or another person or entity with respect to hire, tenure, terms, conditions, privileges of employment, or any matter directly or indirectly related to employment in violation of any federal, state, or local law. §32. No hnnlied Waiver. Absent a written waiver, no act, failure, or delay by a Party to pursue or enforce any right or remedy under this Lease shall constitute a waiver of those rights with regard to any existing or subsequent breach of this Lease. No waiver of any term, condition, or provision of this Lease, whether by conduct or otherwise, in one or more instances, shall be deemed or construed as a continuing waiver of any term, condition, or provision of the Lease. No waiver by either Party shall subsequently effect its right to require strict performance of this Lease. §33. Remedies Not Exclusive. The rights, remedies, and benefits provided by this Lease shall be cumulative, and shall not be exclusive of any other rights, remedies, and benefits, or of any other rights, remedies, and benefits allowed by law. This Lease may be executed in several counterparts, each of which shall be an original and all of which shall constitute one and the same instrument. §35. Entire Aereement. This Lease constitutes the entire understanding between the Parties and supersedes all prior offers, negotiations, and/or agreements between the Parties relative to the subject matter addressed herein. Tenant represents that there are no understandings, representations, or promises of any kind, oral or written, that have been made by Landlord to induce the execution of this Lease except those expressly set forth in writing in this Lease. After the installation of equipment, a comprehensive R56 audit should be conducted to notate any deficiencies and recommended corrective actions, which will address items including but not limited to, proper 'single point' grounding, surge suppression on the electrical circuits, coaxial cables, telephone and low voltage data circuits, separate electrical circuits and proper cable separation. Additional deficiencies may be noted in the final audit after completion of site installation. Please note that some or all of the items (or variations of the items) listed in this report, may be observed at some or all of the sites, and should be addressed similarly. EXHIBIT B SPECIFIC DEFICIENCIES/REASONS 2. BUILDING DESIGN AND INSTALLATION 2.d Transmission line entry ports, holes or openings which penetrate the outer surface of the building have not been properly sealed. All site buildings shall be weather tight and shall deter entry by animals, birds, and insects. Ports are Not Sealed. Reference R56, Paragraph_3.7.1 & 3.7.2. 2.f Proper fire suppression is not installed. All installations shall have a minimum of two correctly installed portable fire extinguishers on the premises before equipment is installed. At a minimum, the following size and classification of portable extinguishers are required, a 20 lb., Class ABC, dry chemical extinguisher (for general firefighting) and a 7 - 10 lb., Class BC, Carbon Dioxide,(CO2) extinguisher (for equipment firefighting) or FE-36TM 10 Ib.1 Fire extinguisher without service tag. Needs to have 2 fire extinguishers with current, service tags. Reference R56, Paragraph 3.12. EXHIBIT B 2.k At a minimum, sites which are not continuously supervised shall post the following: Authorized Personnel Only No Trespassing; Responsible Entity Identification, The site shall have conspicuous signage identifying the site operating entity and providing appropriate contact information, Permit or licensing information as assigned by the Federal Communications Commission (other equivalent) shall also be included and present at every site. Reference R56, Paragraph 3.15. 3. EXTERNAL GROUNDING 3.c However, the TGB shall be bonded directly to the tower using one of the following methods: Bolting the bus bar directly to the tower structure using appropriate stainless -steel hardware. This shall provide a direct electrical bond. Securing the bus bar to, the tower using appropriate mechanical hardware and electrically bonding the bus bar to the tower using a grounding conductor. The grounding conductor shall connect to the nearest tower leg or diagonal structural support at a point below the TGB. The grounding conductor shall be #2 AWG or coarser conductor and shall bond to the tower using approved methods (no split bolts) and appropriate hardware, such as stainless -steel beam clamps or stainless - steel band/strap type clamps. Additionally, where a galvanized tower is not protected against precipitation run-off from copper and copper alloys, the TGB shall be constructed ' of tinned copper. Reference R56, Paragraph 4.6.5.2. EXHIBIT B 3.i A self-supporting bridge and cable support system shall not be: mechanically fastened to both the tower and the building, unless a nonconductive slip joint is used at one of the locations. The recommended separation between tower and ice bridge, or building and ice bridge, 6 in. The ice bridge appears to be too close to the tower. A. self-supporting 'bridge and cable support system shall not be; mechanically 'fastened to both the tower and the building, unless a nonconductive slip joint is used at one of the locations. The recommended separation between tower and ice bridge, or building and ice bridge is 6 inches. Reference R56, Paragraph 2.12.8.1 & 4.10.2.2. 3.k The fence fabric and deterrent wiring are not bonded to ground. The fence fabric near each corner bonding point shall be bonded to the building ground; ring. The fence fabric bond should be made in at least; three points down the fence fabric. The deterrent wiring, near each corner fence post, shall be bonded to the nearest location of the building ground ring using # 2 AWG or coarser, bare, solid or stranded, tinned, copper conductor. Reference R56, Paragraph '4.10.2.1. AAA 011 Ol 3.1 Fence gates are not bonded to its supporting fence post. All gates shall be bonded to the gate supporting fence post. The gate needs to be properly bonded to its supporting fence post with a flexible # 2 AWG welding conductor. This conductor can be bonded to the gate and the ,support post with either exothermic welds; tinned clamps or lugs and stainless -steel securing hardware. Ground wire is broken off both gates. Reference R56, Paragraph 4.10.2.1. 3.o.2 Metallic items, located within 6 ft. of the grounding electrode system or within 6 ft. of grounded objects, are not properly bonded to the grounding electrode system as applicable. Conduit next to ground Buss Bar not bonded to ground system. Reference R56, Paragraph 4.10.2 & 4.10.2.4. EXHIBIT B 3.o.6 The vents are not bonded to ground. Metallic items located within 6 ft. of the grounding electrode system or within 6`ft. of grounded objects, are not properly bonded to the grounding electrode system as applicable. Vents and Door are not bonded to the ground system Reference R56,° Paragraph 4.10.2. 3.p Approved bonding techniques have not been used for the connection of dissimilar metals. The presence of rust is an indicator of improper; bonding of dissimilar metals (possibly a lack of conductive gel or lack of rust inhibitor). Reference R56, Paragraph 4.7. EXHIBIT B 3.r Bonding surfaces for lugs and clamps are not free of paint and corrosion and a conductive anti -oxidant compound has not been applied. Paint, enamel, lacquer and other nonconductive coatings shall be removed from threads and surface areas where connections are made to ensure good electrical continuity. Reference R56, Paragraphs 4.7.4, 4.8.1, & 4.8.6.1, 3.0 Grounding conductors shall be protected where exposed to physical ,damage. Grounding conductors shall be secured using appropriate hardware intended for the purpose. Conductors exposed to damage shall be protected in a non-metallic conduit. The conduit should extend 30 cm (12 in.) above grade and 15 cm (6 in.) below grade; protection may be'� accomplished ,by flexible, non-metallic conduit, Reference R56, Paragraph 4.6. 1 & 4,6.3., EXHIBIT B 3.w The grounding conductor or its enclosure shall be securely fastened to the surface on which it is carried. Grounding conductors are not securely fastened as required Where metallic fasteners are used on bare conductors, fasteners of the same material (or compatible) shall be used. See NFPA 780-2017, section 4.10.4, for additional information. Reference R56, Paragraph 4.6.3. 4. INTERNAL GROUNDING 4.c The conductors and connections to the PBB do follow approved connection methods. No more than one clamp, fitting, or lug may be attached by the same bolt or bolts. The equipment bonding conductors that attach to the'PBB need to be approved connectors (i.e., using listed high compression, irreversible connectors such as two -hole connectors). Reference R56 Paragraph 5.8.1 & 5.8.9.1. EXHIBIT B 4.i Some ancillary and support equipment is not bonded to ground. Ancillary support apparatus needs to be properly bonded to the IPBB, PBB, or SBB. This identification shall be readily visible without requiring removal of the plug. Reference R56, Paragraph 6.2.7. EXHIBIT B 6. TRANSIENT VOLTAGE SURGE SUPPRESSION 6.a A Type 1 SAD/MOV surge protection device (SPD) is not installed as required. No surge protection is installed in the shelter for the AC power lines. A Type 1A, SAD/MOV, normal mode Surge Protection Device (SPD) needs to be installed as close as possible to the distribution box so that its conductor leads are no greater than 3 feet in length. It also needs to be installed with a circuit breaker or fused disconnect switch in line with the SPD, so it can properly operate and be safely serviced without taking the site's electrical power down.
