HomeMy WebLinkAboutResolutions - 2021.07.22 - 34728MISCELLANEOUS RESOLUTIONi #21299 July 22, 2021 BY: Commissioner Penny Luebs, Chairperson, Public Health and Safety Committee IN RE: HEALTH AND HUMAN SERVICESIHEALTH DIVISION — AMENDMENT #5 TO THE INTERLOCAL AGREEMENT WITH THE OAKLAND COMMUNITY HEALTH NETWORK FOR SUBSTANCE USE DISORDER PREVENTION SERVICES To the Oakland County Board of Commissioners Chairperson, Ladies and Gentlemen: WHEREAS Oakland County has received Amendment #5 to the Interlocal Agreement from the Oakland Community Health Network (OCHN), to reflect reimbursement for the purchase of supplies for the substance use disorder prevention program; and WHEREAS the existing agreement was adopted by the Board of Commissioners on September 28, 2017 via Miscellaneous Resolution (M.R.) #17267 and amended in FY 2018 via M.R. #18237 on June 3, 2018, in FY 2019 via M.R. #19072 on April 2, 2019; on December 12, 2019 via M.R. #19396; and again, December 7, 2020 via M.R. #20641; and WHEREAS Amendment #5 includes reimbursement for the purchase of sterile needles or syringes for the period June 1, 2021 through September 30, 2023 for an amount not -to -exceed (NTE) $5,000 every twelve (12) months in support of creating a safe syringe program in Oakland County; and WHEREAS sterile needles or syringes will be purchased and distributed for the purposes of preventing the transmission of communicable diseases; and WHEREAS no additional local in -kind match is required; and WHEREAS this Interlocal Agreement has completed the Grant Review Process in accordance with the Grants Policy approved by the Board at their January 21, 2021 meeting. NOW THEREFORE BE IT RESOLVED that the Oakland County Board of Commissioners hereby approves Amendment #5 to the Interlocal Agreement between the County of Oakland and the Oakland Community Health Network for the reimbursement for the purchase of sterile needles or syringes for the period June 1, 2021 through September 30, 2023 for a NTE amount of $5,000 every twelve (12) months. BE IT FURTHER RESOLVED that the Board of Commissioners authorizes its Chairperson to execute the Amendment and to approve any extensions or changes, within fifteen percent (15%) of the original award, which are consistent with the original agreement as approved. No position implications, so no HR action needed.— Heather Mason (06/21/21) Risk Management: Amendment approved by Risk Management. — Robert Erlenbeck (06/21/21) Corporation Counsel: The amendment is approved by Corporation Counsel. — Sharon Kessler (06/21/21) OAKLAND COUNTY INTERLOCAL AGREEMENT BETWEEN OAKLAND COUNTY AND THE OAKLAND COMMUNITY HEALTH NETWORK FOR SUBSTANCE USE DISORDER PREVENTION SERVICES Amendment: Reimbursement for the Purchase of Sterile Needles or Syringes 2017-0016-SUDP #5 The Parties, Oakland County ("County") and The Oakland Community Health Network (" OCHN"), agree and acknowledge that the purpose of this Amendment is to modify as provided herein and otherwise continue the present contractual relationship between the parties as described in their current Substance Use Disorder Prevention Services, ('Contract"). In consideration of the mutual promises, representations, assurances, agreements, and provisions in the Contract and this Amendment, the adequacy of which is hereby acknowledged by the Parties, the Parties agree to amend the Contract as follows: 1. The Agreement is amended by inserting a new Exhibit V. 2. Except as amended herein, the terms and conditions of the Agreement shall remain in full force and effect and are otherwise unchanged. OAKLAND COMMUNITY HEALTH NETWORK: BY: DATE: Dr. Nicole Lawson, PhD Deputy Executive Director BY: DATE: Anya Eliassen, Chief Financial Officer THE COUNTY OF OAKLAND BY: DATE: Chairperson, Oakland County Board of Commissioners EXHIBIT V: Reimbursement Attachment 'This Substance Use Disorder Reimbursement Attachment ("Reimbursement Attachment") for the purchase of sterile needles is made and entered into pursuant and subject to the terms and conditions of the Oakland County Interlocal Agreement 2017-0016-SUDP, as may be amended ("Agreement") between Oakland County Oakland Community Health Network (hereinafter "OCHN"). In the event of a direct conflict or inconsistency between the terms of this Reimbursement Attachment and the Agreement, the terms of the Reimbursement Attachment shall control. Capitalized terms not otherwise defined herein shall have the meaning prescribed in the Agreement. I. Scope The County agrees to purchase sterile needles or syringes ("Supplies") for the Substance Use Disorder Prevention program using its approved vendor, as needed, for the Term of this Attachment. The County shall be responsible for the order, delivery, and tracking of all Supplies purchased under this Attachment. The County agrees to provide a full accounting of all purchases made under this Attachment upon OCHN's request. I1. Term and Termination a. Term Start Date: June 1, 2021 Term End Date September 30, 2023 b. This Reimbursement Attachment shall be effective as of the Reimbursement Attachment Term Start Date and shall end on the Reimbursement Attachment Term End Date, unless earlier terminated in accordance with the terms of the Agreement (the "Reimbursement Attachment Term"). In the event of termination, OCHN shall have no other liability to the County and the County shall not be entitled to any additional compensation or renumeration in connection with such termination of this Reimbursement Attachment. IH. Invoicing and Payment. a. The County will receive payment for authorized purchase of the Supplies in accordance with terms of the Agreement, this Reimbursement Attachment, and OCHN's policies and standards. b. The County shall invoice OCHN at cost, with no mark up, the cost to purchase the Supplies to OCHN in accordance with the terms of this Attachment and the Agreement. c. For the Reimbursement Attachment Term, the amounts paid under this Attachment shall not exceed five -thousand dollars ($5,000) ("NTE Amount") every twelve (12) months without OCHN's prior written consent and upon amendment of this Attachment. Notwithstanding anything to the contrary, funding Linder this Reimbursement Attachment is subject to change upon written notice to the County from OCHN. d. All payments and reimbursements to the County will be made subject to the terms of the Agreement and is contingent upon available funding as determined by OCHN as set forth in the Agreement. IV. Additional Requirements a. The Parties shall cooperate in the provision of services, including providing any requested documentation related to the services and goods procured and provided hereunder. b. Each Party must provide program/services management and designate a single point of contact for the term of the Reimbursement Attachment. c. The Parties shall comply with and perform the services in accordance with the guidelines and requirements set forth in the Agreement and this Reimbursement Attachment, the Medicaid Provider Manual, applicable then -current OCHN policies, MDHHS guidelines, CMS Guidelines, and other applicable laws and regulations.
