NOW THEREFORE BE IT RESOLVED that the Oakland County Board of Commissioners hereby approves the project submitted by the Charter Township of Waterford and authorizes the transfer of Tri-Party Road Improvement Program funds in the amount of $165,017 from Non-Departmental Transfers appropriation (9090101). BE IT FURTHER RESOLVED additional project costs, not greater than 15% from the original agreement, which are consistent with the project as originally approved, will be paid when invoiced and appropriated in the quarterly forecast resolution. BE IT FURTHER RESOLVED that additional project costs exceeding 15% of the original agreement will require a separate resolution. BE IT FURTHER RESOLVED that the Oakland County Clerk is requested to forward copies of this resolution to the Road Commission for Oakland County, Oakland County Fiscal Services, and the Charter Township of Waterford. BE IT FURTHER RESOLVED that the FY 2023 budget shall be amended as described in the attached Schedule A – Budget Amendment. Noechel, Manager, Project Development SUBJECT:PROJECT NO. 56841, WALTON BOULEVARD CLINTONVILLE ROAD TO PONTIAC CITY LIMITS LOCAL COST PARTICIPATION AGREEMENT/TRI-PARTY PROGRAM CHARTER TOWNSHIP OF WATERFORD Attached for your review and submission to the Board for their approval is the local cost participation agreement with the Charter Township of Waterford for the resurfacing of Walton Boulevard from Clintonville Road to Pontiac City Limit. Construction on this project is expected to begin this summer. The estimated total cost is $4,950,112 and will be partially funded with Surface Transportation Program funds in the amount of $3,960,010. The remaining local match of $990,102 will be shared equally between the Charter Township of Waterford and the Board. The Charter Township of Waterford has elected to use the Tri-Party Program funds in the amount of $495,051 for their share. Our total estimated share is $660,068 and is in the FY23 budget. The project is in the district of County Commissioner Karen Joliat. The agreement is in our standard approved format, and I recommend Board approval and authorize the Managing Director to execute the agreement on behalf of the Board. TGN/ll Attachments Department Review / Approval MDO Review / Concur Samuel Fitzer Digitally signed by Samuel Fitzer DN: CN=Samuel Fitzer, E=sfitzer@rcoc.org, O=State of Michigan, C=US Date: 2023.05.10 08:26:08-04'00' 14 COST PARTICIPATION AGREEMENT CONSTRUCTION Walton Boulevard Clintonville Road to Pontiac City Limit Charter Township of Waterford Board Project No. 56841 This Agreement, made and entered into this _____ day of _________________, 2023, by and between the Board of County Road Commissioners of the County of Oakland, Michigan, hereinafter referred to as the BOARD, and the Charter Township of Waterford, hereinafter referred to as WATERFORD, provides as follows: WHEREAS, the BOARD and WATERFORD, in cooperation with the Michigan Department of Transportation, hereinafter referred to as MDOT, have programmed the resurfacing of Walton Boulevard from Clintonville Road to Pontiac City Limit, as described in Exhibit "A", attached hereto, and made a part hereof, which improvements involve roads under the jurisdiction of the BOARD and within WATERFORD, which improvements are hereinafter referred to as the PROJECT; and WHEREAS, the estimated total cost of the PROJECT is $4,950,112; and WHEARAS, the BOARD has entered into an agreement with MDOT in Contract No. 23- 5063 under the Surface Transportation Program funds in the amount of $3,960,010; and WHEARAS, the BOARD, as the requesting party therein, will be the party financially responsible to MDOT to bear all costs of the PROJECT in excess of federal funds, hereinafter referred to as the LOCAL SHARE; and WHEREAS, WATERFORD’S share of said LOCAL SHARE involves certain designated and approved Tri-Party Program funding in the amount of $495,051, which amount shall be paid through equal contributions by the BOARD, WATERFORD, and the Oakland County Board of Commissioners, hereinafter referred to as the COUNTY; and        18th May Walton Boulevard - 2 - Charter Township of Waterford Project No.56841 4/10/2023 WHEREAS, all parties hereto have reached a mutual understanding regarding the cost sharing for the LOCAL SHARE and wish to commit that understanding to writing in this Agreement. NOW, THEREFORE, in consideration of the mutual covenants set forth herein and in conformity with applicable law, it is hereby agreed between WATERFORD and the BOARD that: 1. WATERFORD approves of the PROJECT, declares its public necessity, and authorizes the BOARD to perform or cause to be performed, and complete the PROJECT along with all administration in reference thereto. 2. The PROJECT shall include total payments to the contractor. Any costs incurred by the BOARD prior to this agreement date shall be allowable. 3. The estimated total LOCAL SHARE is $990,102 and shall be allocated in the following order: a. WATERFORD shall contribute one-half of the LOCAL SHARE and has elected to use Tri-Party Program funding in the amount of $495,051. The Tri-Party Program includes $177,184 through fiscal year 2023 and $317,867 from fiscal year 2024 which has not yet been announced. If these funds are not available WATERFORD shall be responsible for the $317,867 share. b. The BOARD shall contribute one-half of the LOCAL SHARE in the amount of $495,051. c. Any LOCAL SHARE costs above $990,102 will be shared equally between the BOARD and WATERFORD. 4. Upon execution of this agreement, the BOARD shall submit an invoice to WATERFORD in the amount of $59,061 (being 100% of WATERFORD’S Tri-Party contribution through fiscal year 2023). After execution of this agreement and approval by the COUNTY, the BOARD shall submit an invoice to the COUNTY in the amount of $59,061 (being 100% of the COUNTY’S Tri-Party contribution through fiscal year 2023). a. After February 1, 2024, the BOARD shall submit an invoice to WATERFORD in the amount of $105,956 (being 100% of WATERFORD’S Tri-Party contribution). 7. After February 1, 2024, the BOARD shall submit an invoice to the COUNTY in the amount of $105,956 (being 100% of the COUNTY’S Tri-Party contribution). a.
