We are pleased to submit our proposal to provide consulting architectural
and engineering services for your proposed swimming pool and multipurpose
activities facilities at Waterford - Oaks Park on the basis shown below.
Inasmuch as the Department of Natural Resources has indicated their desire
to enter into contract with only one prime professional consultant, we have
agreed with Hoyem Associates, Inc. to act as the prime consultant utilizing
the engineering services of Hoyem Associates, Inc.
Program Statement - We will assist your staff and Commission in the prepara-
tion of a Program Statement to be submitted to the Department of natural
Resources. Our fee will be 22- times our actual gross project payroll (ex-
cluding administrative and clerical) not to exceed $2,000.00.
The preliminary Program Statements will be prepared to offer the various
alternatives and cost estimates. The final Program Statement will be based
upon your decisions.
Design Develo ment Working Drawings, Supervision - Upon approval of the
Program Statement .y the Department of Natural Resources and your author-
ization, we will prepare proposals for separate contracts with the State
of Michigan and the Parks and Recreation Commission based upon their
respective share of the total construction cost.
Fees will be in accordance with the State of Michigan's professional services
fee schedule in effect at the time of contract. We were instructed by the
Department of Natural Resources that separate professional services contracts
would be required.
If this proposal meets your Commission's approval, please have this letter
agreement signed by.your authorized representative.

1. The minutes of the previous meeting were reviewed.
2. To date work under this contract is about 95% complete. Vinyl floor covering is
being installed complete with covedbase; plastic wall finishes are complete;
interior trim and finish hardware are being fitted; acoustic ceiling grids are
installed.
3. It is intended to fit plumbing fixtures, install partitions in rest rooms,
install lighting fixtures, install ceramic floor tile and install millwork within
the next few days.
4. This facility being close to the point of completion no further progress meetings
will be scheduled. The Owner and the architect however reserve the right to
call a meeting if required. "Punch list" inspection will be made on or about
March 1.

Proposed Bylaws
OFFICERS of the Commission shall be: Chairman — Chairman
shall chair all meetings of Commission when present except for
the election of the office of Chairman itself, and shall pre—
pare the agenda for all regular meetings. 'Vice Chairman - -'Vice
Chairman shall chair meetings in absence of Chairman. Secretary —
Secretary shall keep in good detail all minutes of regular
meetings or shall delegate authority to do so to a qualified
shorthand stenographer.
COMMITTEE MEETINGS shall be appointed by the Chairman and
shall meet under the same conditions and rules as does the
Commission. Any one (1) or more members of the Commission
appointed by the Chairman may constitute a committee.
A QUORUM: In accordance with Public Act 261 of the year
1965, as amended, six (6) members of the Commission present
and voting shall constitute a quorum.
ON QUESTIONS OF SUBSTANCE, passage shall req-uire a svb--
stantial majority of those present and voting, not merely a
simple majority. A full ten (10) members being present and
voting, seven members voting in league, shall constitute a
substantial majority. Nine (9) members being present and
voting, six (6) members voting in league shall constitute a
substantial majority. In the instance of eight (8)_ members,

or any lesser number of members, being present and voting,
five (5) members voting in league shall constitute a substantial
majority. All questions of substance shall be taken by a call
of the roll.
A QUESTION OF SUBSTANCE shall be determined by the chair
in all instances not covered by these rules. Automatic
questions of substance shall be: Purchase of lands by the
Commission; approval of contracts; a challenge and overriding
of a decision of the chair; to limit debate to one hour;
filling of Director and Deputy Directors positions by the
Commission in case of vacancies; discharging of Director or
Deputy Directors; expenditures other than budgeted items of
five —hundred dollars ($500) or more; election of officers Of
the;'Commission; approval of the yearly budget; and waiving of
any of the bylaws or rules adopted.
A MEMBER OF THE STAFF of the Commission may address the
Commission at the request of the Chairman or any two C2)
members, unless a substantial majority of the members present
and voting shall object.
STAFF MEMBERS shall attend seminars and educational
conferences and similar functions upon approval of the
Commission.
COMMISSIONERS shall attend seminars and educational

COMMISSIONERS shall tour the parks at least once a year
and make a personal check of the buildings and grounds.
THE COMMISSION MAY NOT stand in recess over -night or
until the next day.
>," ADJOURNMENT time for each meeting shall appear as the
first (lst) item on the agenda.
ALL MEMBERS shall be notified of meetings in writing
forty-eight (48) hours in advance of said meetings.
ONE HOUR LIMITATION OF DEBATE: A one hour limit may be
called for on any item on the agenda or any item properly
before the Commission. When the question of limiting time of
debate to one (1) hour has carried by a substantial majority
the Chairman shall divide the time equally between the members
present and voting. Members may yield their allotted time to
another member.
A MEMBER shall be recognized by the chair before
addressing the Commission.
THE AGENDA ITEMS not considered at a regular meeting
shall automatically be carried over to the next meeting and
will be considered within fourteen (14) days of their first
appearance on the agenda.

THE DIRECTOR shall carry out the policies of the Commission
and shall report monthly to the Commission on the status of
the Commissionts business and on budgeting matters.
THE DIRECTOR shall bear responsibility for the pre—
paration of the budget and shall submit such a budget to the
Commission at the beginning of each fiscal year (beginning
January 1st) for their approval.
NO EXPENDITURES above five hundred dollars ($500) may be
approved by the Director unless it be previously approved in
the budget, without a substantial majority of the Commissionts
approval.
