Item #7 ELECTRICAL SERVICE GROVELAND-OAKS After investigation of an additional electrical service for the new Maintenance Building at Groveland-Oaks,,,it is now apparent that the power company involved will not put in additional 200 AMPs until the Parks and Recreation Commission improves the existing electrical service in the maintenance areas. The buildings presently serviced in this area are as follows: Existing Maintenance Building Existing Storage Barn Existing Managers Residence Existing Park Superintendent Existing Pump Storage Building The service to these buildings has been added on as required or ex- panded as the need increased. The Consumers Power Company is now requesting that these services be improved to meet safety standards before additional service is installed. The attached letter describes and confirms Consumers Power's request. Since it is imperative that we have the electrical service for the new Maintenance Building, staff recommends that contract documents and specifications be drawn up and bid to have the new service in- stalled as soon as possible. Mitchell Oakland County Parks and Recreation 2800 Watkins Lake Road Pontiac, Michigan 48054 Dear Mr Mitchell: Sorry for not writing sooner, but I did want a full report of what facilities we now have serving both your residential and commercial buildings at 14444 Grange Hall Road. We show two residential services and one commercial service. We now have your request to serve a second maintenance building bringing the number of services to four. Our policy states one service residential and/or commercial service per premise. We strongly recommend that all build- ings be served from a central point panel (customer built) which will be served underground. The number of meters will remain the same, two residential and one commercial, with disconnects at the panel or at the building being served. All overhead primary line back to the lake now serving one residential and pumphouse, plus the metering equipment, will be removed because it is in very poor condition and unsafe. I have prepared the electric service request showing underground service to customer owned meter pedestal just north of drive fronting on new maintenance building. Should you desire another location, please let me know as soon as possible. If you have any questions, please call me. L E A S E This Agreement of Lease, made this day of , 1976, by and between the SOUTHEASTERN OAKLAND COUNTY INCINERATOR AUTHORITY as LANDLORD, and the.OAKLAND COUNTY PARKS AND RECREATION C:)�,24ISSION, as TENANT, WITNESSETH: 1. DESCRIPTION AND USE. The LANDLORD hereby leases to the TENANT property located.in the City of Madison Heights, Oakland County, Michigan for construction and operation of a golf course, (hereinafter called the leased property) and more particularly described on the sketch annexed hereto as EXHIBIT "A" and made a part hereof. 2. TERM OF LEASE. The term of this Lease shall be twenty-five (25) years, commencing'or_ and ending on , both dates inclusive, unless sooner terminated as herein provided. In the event that the LANDLORD is forced by governmental action or court decision to cease operation at its incinerator site during the term of the Lease, the LANDLORD may terminate the Lease by ninety (90) days notice in writing given to the TENANT. *In such event, the TENANT shall, within six (6) months after receiving such notice either remove said golf_ course from the LANDLORD°s land or purchase said land from the LANDLORD for its fair market value as established by agreer:ent of the parties hereto or by professional appraisal of the fair market value of the property by (aali.fied experts to be selected by the parties as follows: - I - Each of the parties select a competent appraiser, who holds membership in either the American Institute of Real Estate Appraisers or the American Society of Real Estate Ap- praisers, and the two (2) appraisers shall attempt to agree on the value of the leased property, If the two (2) ap- praisers cannot agree, they shall select a third appraiser and they shall proceed to determine the fair value of the leased property. Any valuation_ agreed upon by a majority of said appraisers shall be accepted as final by both parties. In the event that the LANDLORD should decide to discontinue its waste disposal operation at its Madison Heights site during the term of the Lease, the LANDLORD may terminate the Lease in the manner above indicated, in which event the TENANT shall either remove its golf course from the leased property or purchase the leased property from the LANDLORD, in the manner above indicated. In the event that the LANDLORD should require the leased property during the term of the Lease, for use in connection with its waste disposal operations at the Madison Heights site, the LANDLORD may terminate the Lease as above indicated, in which event the TENANT shall remove its golf course from the leased property within six (6) months after receipt of notice from the LANDLORD requiring it to do so. 3. CONSIDERATION. In recognition of the fact that the leased property is vacant property not presently needed by the LANDLORD in connection with its waste disposal operation, and in recognition of the fact that the TENANT will construct - 2 - and operate a public golf course on the leased property, no rent as such shall be payable from TENANT to LANDLORD during the term of this Lease. Provided, however, that TENANT shall reimburse LANDLORD in the amount of two-thirds (2/3) of any service charge or fee and taxes paid by LANDLORD to the City of Madison Heights. It is acknowledged that such service charge currently is the amount of Ten Thousand and no/100 ($10,000) Dollars per annum, and that such service charge is subject to possible increases during the terra of the -Lease. The TENANT covenants and agrees that it will, at its own expense, pay and discharge any --and all special assessments levied against said leased premises before the same shall # become delinquent and all further and other taxes of any kind �j (� and nature that may be properly and lawfully levied against said leased premises or the TENANT`s property or equipment thereon, before the same shall become delinquent. Furt.hor_provided, that in the event that TENANT should contract with any private person or entity to operate the proposed golf course and such operation should result in a net profit to TENANT, then and in such event TENANT shall annually pay to LANDLORD a part of such net profit in the ratio that the leased property acreage bears to the total acreage of the golf course premises. 4. USE AND OCCUPANCY. It is understood and agreed between the parties hereto that the leased premises during the continuance of this Lease, shall be used and occupied 3 - for a public golf course and for no other purpose or purposes, and that the TENANT will not use the premises for any purpose in violation of any law, municipal ordinance or regulation, and that on any breach of this agreement, the LANDLORD may, at its option, terminate this Lease forthwith and re-enter and repossess the leased premises. It is agreed that the golf course shall be operated during daytime hours only. 5. CONDITION OF PREMISES AT TIME OF LEASE. The TENANT acknowledges that it has examined the leased premises prior to the making of this Lease, and knows the conditions thereof, and that no -representation as to the condition thereof has been made by the LANDLORD or its agents which are not herein expressed, and the TENANT hereby ac- cepts the leased premises in their present condition at the date of execution of this Lease. Further, the TENANT explicitly acknowledges that it is cognizant of all of the facets of the LANDLORD's solid waste disposal operation on property contiguous to the leased premises, and explicitly acknowledges the LANDLORD's right to alter or expand such operation as may be deemed necessary by the LANDLORD within its sole discretion during the term of this Lease. 6. ASSIGNMENT. TENANT covenants not to assign or transfer this Lease or hypothecate or mortgage the same or sub -let said premises or any part thereof during the term of this Lease. Any assignment, transfer, hypothecation, - a - ,.. rtgage 3r sub-lc`ti?ly :;i the leased premises, shall give the LANDLORD the right to terminate this Lease and to re-enter and repossess the leased premises. 7. TENANT TO INDEMNIFY AND INSURE. The TENANT agrees to indemnify and hold harmless the LANDLORD from any liability for damages to any person or property in, on or about said leased premises from any cause whatsoever. TENANT will procure and keep in effect during the term hereof, public liability and property damage insurance for the benefit of the LANDLORD in the sum of $500,000 for damages resulting to one person and 8500,000 for damages resulting from one occurrence and $500,000 property damage insurance resulting from any one occurrence. Said policy shall be written to name LANDLORD as an additional named insured with respect to the leased property, including a cross -liability clause, the effect of which is to have the insurance apply to the TENANT and the LANDLORD in the manner as if two separate policies exist. TENANT shall deliver said policy to LANDLORD and upon TENANT`s failure to do so, the LANDLORD may, at its option, obtain such insurance and the cost thereof shall be due and payable by TENANT to LANDLORD within thirty (30) days after submission of such cost to TENANT. B. QUIET ENJOYMENT. TENANT, upon the performance of all the terms of this Lease, shall at all times during the lease term and during any extension or renewal term, reasonably and quietly enjoy the leased property without any disturbance from the LANDLORD and from any other person claiming through the LANDLORD. 5 t 9. RE-ENTRY. In case any obligation shall be unperformed, or if default be made in any of the covenants herein contained,or if said leased premises shall be deserted or vacated, then it shall be lawful for the LANDLORD, his attorney, representa- tives and assigns, to re-enter into, repossess the same premi- ses and the -TENANT and each and every occupant to remove and. put out. 10. REbIEDIES NOT EXCLUSIVE. It is agreed that each and every of the rights, remedies and benefits provided by this Lease shall be cumulative, and shall not be exclusive of any other or said rights, remedies -and benefits or of any other rights, remedies and benefits allowed by law. 11. WAIVER. One or more waivers of any covenant or condition by the. LANDLORD shall not be construed as,a waiver of a further breach of the same covenant or condition. 12. NOT,ICES. Whenever under this Lease a provision is made for notice of any kind, it shall be deemed sufficient notice and service thereof if such notice to the TENANT is in writing addressed to the TENANT at its last known post office address and deposited in-the'mail with postage pre- paid and if such notice to the LANDLORD is in writing, ad- dressed to the last known post office address of the LANDLORD, and deposited in the mail with postage pre -paid. 13. APPROVAL OF PLANS. The final plan for development of the golf course is subject to approval by the LANDLORD, to ensure that the golf course operation does not interfere - 6 - PARK BEAUTIFICATION PROGRAM; C.E.T.A. TITLE X Over 750 people were tested and interviewed between February 10 and 20, 1976. Hiring began March 1, 1976, with employees arriving at the rate of ten per day. The total manpower will be 125 laborers and 12 foremen. At present, our work has consisted entirely of cleaning up the storm damage. Presently we are working at Addison -Oaks and Groveland-Oaks. We also assisted the Road Commission with road clearing in Oakland and Addison Townships on March 4 and 5, 1976. The major projects we will be undertaking are: 1) Nature trail system for Independence -Oaks 2) Hard -surfaced cart paths at Springfield -Oaks and White Lake -Oaks Golf Courses 3) Tree planting for all parks. We presently have 24,400 seedlings on order for spring planting, and have plans for planting ornamentals in all parks. A list of other projects is available. We intend to use the buses in cooperation with the Mobile Recreation Program to make the Wave Pool more accessible to South Oakland residents during daytime hours. When, instead of a general contract for a project, C separate contracts are required for the various phases of the work, a greater amount of time spent in design and project administration will be required, and increased compensation is often charged for each class of work. This special arrangement should be evaluated by the landscape architect and client prior to establishing the fee, and they should agree upon a compensation fair to both. For alterations and additions or remodeling, the min- imum compensation should be increased in proportion to the complexity of existing conditions. Compensation is often reduced when professional serv- ices are reduced, as is the case when the landscape .architect provides consulting or design services to a prime Item #10 RED RUN DRAIN BUILD -LEASE RECOMMENDATION It is the recommendation of the staff that the Oakland County Parks and Recreation Commission build the Red Run Golf Course with 4-mill funds, rather than go with a private developer for construction and operation of the facility. The staff has done an extensive investigation of the advantages and disadvantages of using the lease -build concept, as it applies to this particular site. You will find listed below some of the major itEM s which came out of the investigation and were instrumental in arriving at staff's recommendation. ADVANTAGES OF PRIVATE DEVELOPER Using private capital for the development of the Red Run Golf Course, the Commission could use funds budgeted for the golf course for other park projects within the park system with the possibility of securing additional matching funds. Provides County with a recreational facility without additional increase in payroll or supervision. Parks and Recreation Commission would get a golf course facility at no cost at the end of lease agreement. This concept would provide an opportunity for investment by private enterprise. Park system would have the benefit of a guaranteed revenue. DISADVANTAGES OF PRIVATE DEVELOPER Profit oriented philosophy: No reduction of or special rates for senior citizens. No use by special group outings, such as junior amateur tournaments, senior citizens' tournaments, high school leagues, etc. Reduced amount of time for open golf. Leagues would be used as much as possible for guaranteed tee times. Reduced supervision and service to lower overhead. Multi -jurisdictional administration problems (lack of control). Red Run Drain Build -Lease Recommendation Page 2 4-mill park millage not being used for park development in southern portion of Oakland County. Parks and Recreation would have to repay the developer's investment if the drain has to be enlarged or the Incinerator Authority takes back its leased property, should this situation occur before lease agreement has been completed. Parks and Recreation would have little control over a marginal operator as to maintenance and/or operational service. A percent of the revenues from the developer would have to be shared with the Incinerator Authority. Due to proposal evaluation and settlement, the golf course construction could be delayed for a considerable time and delay the opening in 1977. ('r)NTrT TTCTnTr The most important fact considered in staff making its decision was that the Parks and Recreation Commission did make a verbal commitment that we would develop the Red Run Drain when a suitable county facility was designed. This method would also return 4-mill funds to a project suitably located in the southern portion of the County. Taking the above into consideration, it is recommended that the low bid of G. A.
