Apo fz s the � '� on Van o d�-somas Mx ' the a Item #6 PARK SYSTEM TRUST FUND Staff will be looking for direction to find out whether or not the Commission is interested in creating such a trust fund and any input you might have so we may proceed with this program. TRUST AGREEMENT THE PARKS SYSTEM TRUST FUND OF OAKLAND COUNTY ID'PW A MRT T'i WHEREAS, the County of Oakland is the owner of several County Parks. These parks represent large investments in land and improvements and the expense of their development, upkeep, maintenance and renewals and replacement of their improvements is increasing. The use of the parks for recreational and cultural purposes is a distinctive feature to:the County.of Oakland. As the County of Oakland continues to grow the requirements of the Parks will increase. Under municipal financing, it is difficult to plan for the annual maintenance, renewals and growth of the Parks and their facilities and for the further utilization of present and future facilities of the Parks and the following trust is intended to provide a plan and method for securing the expense of maintaining and operating the Parks and providing for their growth, by supple- menting tax and other revenues thereof and to spread the cost thereof among all who wish to contribute and for these purposes this trust is created. NOW THEREFORE, THIS AGREEMENT, made this , 19 , by and between day of and all and every person, firm or corporation who or which contri- butes to the Fund hereinafter set up and described and termed hereinafter as "Contributors" and those individuals who are members of the Oakland County Parks and Recreation Commission, Oakland County, Michigan, and termed hereinafter "Trustees". WITNESSETH. that for and in consideration of the Contributor it is agreed by the Gontribut.ers (both present or future) and by the Trustees as follows: ARTICLE I (1) The name of this Trust is "The Parks System Trust Fund of Oakland County", hereinafter termed "Fund". (2) The purposes of the Trust are: (a) to provide a body of investments that will will create income; (b) to employ the income and the Fund for purposes hereinafter detailed. (3) The trustees are :empowered to accept property by gift, grant, devise, or bequest or otherwise, if within the purposes of the.trust as they may determine. ARTICLE I Powers of the Trustees: (a) To use and employ, invest and re -invest the principal and income of the Fund, in part of whole, unless restricted by the terms of any gift,' grant, devise or bequest which they may accept. (b) They shall have all and every power, right; and privilege in respect to investment, re -investment; retention of property in the form and condition in which.the trustees may receive it; in the sale, lease, conveyance, exchange, transfer of the Fund in whole or in part; in compromising and adjusting claims in favor of or against the Fund, or any part thereof; in giving consents, executing and delivering powers of attorney and corporation treating or dealing with the Trustees, whether.as purchasers or otherwise, are relieved of any and all responsibility for the performance of their fiduciary obligations by the Trustees, and between them the relationship is that of individuals, untouched by the provisions of this trust. (c) The Trustees have complete freedom in determining what is income and what is principal of the trust and may, allocate losses or expenses to income or principal as they deem best. (d) The Trustees in every case shall act by a majority of its members. (e) The Trustees will keep such minutes of their actions and books of account and vouchers of expenditures and other records as shall reasonably show all their transactions. ARTICLE III The said Fund may be used in the acquisition, development, upkeep, maintenance and perpetuation of Parks in and for the County of Oakland, Michigan. Use of Income: The net income from the Fund (and of gifts specially desig- nated to be so used or employed) may be used: (a) For the upkeep and maintenance of the Parks and of the upkeep, maintenance, and replacement of the improvements of the parks now or hereafter existing, coming under the jurisdiction of the Oakland County Parks and Recreation Commission and of creating additions to the improvements of said Parks in such sum or sums as a majority of the trustees decide. If, in the judgment of the trustees, there are sufficient therefor. (b) For any of the designated purposes for which special gifts may be accepted by the Trustees. Use of Principal: The principal of the Fund may be used for the financing of self-liquidating projects within the said Parks, which shall be considered investments, upon such terms as the Trustees deem proper. The principal of the Fund may be used in such manner and to the extent as the trustees deem necessary for capital investments in the Parks; not.income producing, in which event the part of the Fund, when so used, ceases to be a part of this Trust. The principal of the Fund may be used for investments generally to produce income. ARTICLE IV The Trustees: Members of the Oakland County Parks and Recreation Commission, known as the Trustees,. are the Parks and Recreation Commissioners of the County of Oakland and their successors in office, and of any successor body, under whatever name, which performs the same function. The trustees may employe and:fix the compensation payable as the expense of the Fund, of a Secretary, agents, attorneys and such other assistants and employees and servants as they deem necessary. hall wive and maintain bond oavable to the A' ARTICLE V Auditing of Accounts: The accounts of the Trustees shall be audited biennially by an independent auditor appointed by the trustees and paid out of the trust assets as part of the expenses incident to the administration of the Trust. Responsibility of Trustees: Each trustee shall be answerable only for his own bad faith or wilful neglect.or fault, and not for mere errors of judgment or actions taken or omitted on advice of counsel. Acceptance of Trust: Each trustee shall evidence his acceptance of this trust by a separate written instrument which will become a part of the records of this trust. ARTICLE VI Agreements: The trustees, as such, are empowered to enter into all and every agreement relative to the expenditure of any part of the Fund, 'whether principal or income, or regarding its general welfare, with any person, firm or corporation. ARTICLE VII. Amendments: Every contingency and future condition, in reference to the Parks, cannot be foreseen. Amendments to this Trust and changes or alterations may be necessary from time to time. The Park Commis- f the Park Commission, and five by the Oakland County Board of Commissioners, shall'be the body that shall decide the necessity for and.formulate such amendments, changes and alterations, which body shall act by a two-thirds, majority. Before any proposed Amendments, changes, or alterations shall be made tothe trust, the same shall be published in a local newspaper of general circulation, at least thirty days before the.same shall go into 'effect, with suitable time or.times and place provided when and where the amending body will sit to hear comment -or- suggestions thereon from members of the -public in general. The..amending body shall decide whether or not it desires to'follow any suggestions made at.the public meeting.
