You have requested my opinion as to whether the Chairman and Vice -
Chairman of the Parks and Recreation Commission may be elected by
secret ballot. You state that at its first meeting for the year
1977 held on January 14, the Commission elected the Chairman and
Vice -Chairman to their respective offices by secret ballot. -Your
minutes of the meeting of January 14 reflect the following:
Moved by Mr. CZark, suppor ed by A'Ps. Fortino, all offices be
declared vacant.
Motion Carried.
Mr. Richardson opened n.frmnations for election of C'hainwan for 1977.
Moved by Dr. Montante, supported by Mr. Vogt that E. Frank
Richardson continue as Chairman of the Parks and Recreation
Commission.
Moved by Marjorie Walker the nomination of Betty Fortino as Chairman
of the Parks and Recreation Commission.
Moved by Mr. Clark, supported by Mrs. Walker that nominations for
Chairman be closed.
Ballots were cast, tallied by Mr. ReickeZ, and Mr. Richardson was
declared Chairman.
Chairman Richardson assamed the Chair and opened nominations for the
position of Vice- Chairman.
Moved by Mr. Clark, the nomination of Betty Fortino as Vice -Chairman
of the Parks and Recreation Commission.
Moved by Dr. Montante, the nomination of Marjorie Walker as Vice -
Chairman of the Parks and Pecreatior. Commission.
The Chair directed the -n_orrrinations be closed.
Ballots were cast and ,'arjaf'ie Walker was declared Vice -Chairman of

At no point in the election of the Chairman and Vice -Chairman are
the words "secret ballot" used, nor does the minutes reflect that
there was a motion to conduct the election by secret ballot.
I have reviewed the By -Laws as last revised, dated April 11, 1975-
No mention is made of the manner of electing the Chairman and Vice -
Chairman other than to provide that a Chairman may not chair Com-
mission meetings when the office of Chairman itself is up for
election. The By -Laws make no mention of a secret ballot, voice
vote or any other manner of electing the Chairman and Vice -Chairman.
In the absence of any direction in the By -Laws, it is necessary
to review the applicable provisions of Act 261 of the Public Acts
of 1965, as amended.
Act 261 provides in Section 3, that at its first meeting of the ,year,
the Commission shall elect its officers. The statute is silent as
to the question of whether an officer may be elected by secret
ballot.
Act 261, Section 1, provides that the Commission shall be deemed
an agency of the County. As an agency of the County, it is bound
in general by the same laws and rules and regulations which bind
the County. The nearest thing in the County structure to the Parks
and Recreation Commission is, obviously, the Board of Commissioners.
The Board of Commissioners may elect its Chairman by secret ballot
(MSA 5.323C11). However, for the Board of Commissioners to imple-
ment the provisions of the foregoing Section, it is necessary that
a motion be made, seconded and adopted that the election of the
Chairman shall be by secret ballot. Robert Rules of Order, Newly
Revised, published in 1970, discusses secret ballots for the election
of officers; and states that if provided for in the by-laws, a sec,t
ballot must be held. In the absence of such a provision, however,
a motion seconded and adopted must precede a secret ballot.
In view of the foregoing actions as reflected by the excerpts from
the minutes and in particular, there being no motion seconded and
adopted to provide for an election by secret ballot, I am of the
opinion that the election of the Chairman and Vice -Chairman held on
January 14, 1977, is invalid and new elections must be conducted.

I further note that your minutes of January 14 reflect that all
offices were declared vacant. In view of that, I would suggest
that when you hold the election for new officers, either a.
Temporary Chairman be elected or have Mr. Reickel, in effect,
act as Clerk of your Commission and conduct the election of the
Chai r,rnan .
In view of the plethora of legislation pertaining to open meetings
and decisions being made in public, I suggest that unless there is
reason shown in the minutes compelling your actions in electing
a Chairman by secret ballot, it would be far wiser if done by other
than secret ballot. In any event, if a member demands a "aye and
nay" vote as provided for in your By -Laws, then no secret ballot
may be had under any circumstances.

There is a certain amount of preliminary work that is
necessary in order to submit a pre -application to the
Department of Natural Resources for funding from the
Bureau of Outdoor Recreation.
A proposal from Anderson/Lesniak & Associates, Inc., has
been submitted so they may proceed with master plans for
portions of each park, preliminary floor plan and
elevation of proposed buildings.
Staff is recommending that these two projects, as defined
in Mr. Anderson's letter, be included in our pre -applica-
tion program and that the fees projected by Mr. Anderson
be approved so we can meet the deadline which is scheduled
for March 15, 1977.
1977 CAPITAL BUDGET
Based upon a review of the 1977 Capital Improvement
Budget that was held on February 4, it would be in
order to officially adopt the 1977 Capital Budget.
