OAKLAND COUNTY PARKS AND RECREATION COMMISSION MEETING March 18, 1992 The meeting was called to order at 9:14 a.m. by Chairman Lewis Wint in the com- mission room of the Parks and Recreation Commission's administration office. CAPITAL IMPROVEMENT PROJECTS BUDGET UPDATE AND ACTIVITIES REPORT: Staff updated the Commission on the refrigerated toboggan run project at Waterford Oaks, noting the difficulties encountered in getting the contract signed for the site feasibility study. Moved by Mr. Littman, supported by Mrs. Fox to authorize staff to begin negotiations with the second low bidder on the Waterford Oaks Refrigera- ted Toboggan Run Project, Peter Basso Associates, if the contract with Harley Ellington Pierce Yee is not finalized to the mutual satisfaction of both parties by Friday, March 20, 1992. Kuhn to receive the Capital Im- provement Projects Budget Update as of 1-31-92 and the Activities Report for February, 1992. AYES: Fox, G. PADDOCK POOLS PROPOSAL - WATERFORD OAKS WAVE POOL: At the February 5, 1992, meeting, staff informed the Commission of the drainage problems occurring at the Waterford Oaks Wave Pool. Facilities and Operations Engineering were consulted, but unable to determine where the leaks were originating. Therefore, staff contacted Paddock Pools of Eastern Michigan to evaluate the problem and to give us a quotation on the cost of repairs in order to have the pool open for Memorial Day weekend. Bill Robertson of Paddock Pools addressed the Commission, reviewing the testing completed and the repairs they recommended. Staff requested Commission approval to approve a contract with Paddock Pools to repair the major leaks at the plenum columns and expansion joints for $23,874.00; plus to repair a broken return line leak and evaluate the soil condition under one plenum at a not -to -exceed price of $7,500. Commission expressed concerns about the per man cost proposed for the testing; consultant will re-evaluate the proposal on a variable cost per hour at the same not -to -exceed fee. 3 - 2 (Commission Meeting, March 18, 1992) Moved by Mr. Korzon, supported by Mr. Lewis to approve the contract with Paddock Pools to repair the major leaks at the Waterford Oaks Wave Pool at the plenum columns and expansion joints for $23,874.00; plus repair a broken return line leak and evaluate the soil condition under one plenum for a not -to -exceed cost of $7,500. If more extensive work is required, the project will be halted and the project sent out for bid. ROLL CALL VOTE: AYES: Korzon, G. RADIO COMMUNICATIONS CHARGE: Staff informed the Commission that the charges for radio communications for our department have been increased from our 1991 annual rate of $27,940 to $117,288 for 1992. The increase has been charged to us to reflect the costs associated with the 800 MHz county -wide communication system, including the infrastructure, financing, and radios, although the system'is not expected to be operational until November, 1992, at the earliest. Commission expressed concerns over the fees for this new system, plus the fact that the increased fees are already being transferred from the Parks' budget. Moved by Mrs. Fox, supported by Mr. Korzon to continue with our cur- rent radio communication program at the previously established price of $27,940 per year until a new fee structure is recommended and adopted by the Oakland County Board of Commissioners and approved by the Oakland County Parks and Recreation Commission. A refund is to be transferred back into the Parks and Recreation Commission budget for those payments already transferred at the new 1992 rate from the Parks Commission's funds. Moved by Mr. Rewold, supported by Mr. Law to adopt the following reso- lution addressing the Parks Commission's concerns about the new county- wide communication system for staff to present to the Finance Committee of the Oakland County Board of Commissioners: WHEREAS, the County of Oakland is in the process of implementing a new radio communication system to improve and increase current usage by users; and 3 - 3 (Commission Meeting, March 18, 1992) WHEREAS, the new radio, financing, and infrastructure costs of this system are currently being charged back to the users; and WHEREAS, this charge has increased the Parks and Recreation budget from $27,940 per year to $117,288 per year; and WHEREAS, this increase was not previously reviewed or approved by the Parks and Recreation Commission; and WHEREAS, our Commission exercises fiduciary responsibility over the Parks and Recreation budget, which includes millage monies voted on by the taxpayers of Oakland County, and feels that the increase in the radio communication charge is excessive. NOW THEREFORE BE IT RESOLVED that, at its meeting of March 18, 1992, the Parks and Recreation Commission directed the previous radio communication rate of $27,940 per year, charged against the Parks budget, be maintained until a new fee structure is recommended and adopted by the Oakland County Board of Commissioners and approved by the Oakland County Parks and Recreation Commission. BE IT FURTHER RESOLVED that a refund be transferred back into the Parks and Recreation Commission budget for those payments already trans- ferred at the new 1992 rate from the Parks Commission's fund. County Commissioner Serra suggested the Commission not limit this information to the Finance Committee, but present it to the Board of Commissioners. ADDISON OAKS GRANT AGREEMENT: Moved by Mr. Rewold, supported by Mrs. Fox to adopt the following resolution amending the Addison Oaks Acquisition Grant Agreement by deleting the Christopher parcel: WHEREAS, the Oakland County Parks and Recreation Commission accepted from the Michigan Natural Resources Trust Fund the Addison Oaks Acquisition Grant, MNRTF 89-002, to acquire 139 acres adjacent to Addison Oaks County Park, which is comprised of two parcels identified as the Jeffrey Groehn parcel and the John Christopher parcel; and WHEREAS, the Oakland County Parks and Recreation Commission appro- priated matching funds and has acquired the 93.4 acre Jeffrey Groehn parcel identified in the above grant and the grant agreement dated September 1, 1990; and 3 - 4 (Commission Meeting, March 18, 1992) WHEREAS, the Oakland County Parks and Recreation Commission has been notified by the Michigan Department of Natural Resources of the need to amend the above agreement to delete said parcel. NOW THEREFORE BE IT RESOLVED that the Oakland County Parks and Recreation Commission amends the above agreement, deleting the parcel identified as the John Christopher parcel. AYES: Fox, Korzon, G. ELLIS AND ASSOCIATES - WATERFORD OAKS AND RED OAKS WATERPARKS: In concurrence with recommendations from Risk Management and Corporation Counsel, staff is requesting the implementation of an aquatic training program for the Waterford Oaks and Red Oaks Waterparks. Moved by Mr. Rewold, supported by Mr. Littman to award the contract for the implementation of a pool and waterpark lifeguard training program at the Waterford Oaks and Red Oaks Waterparks to Ellis and Associates in the amount of $3,216.00. AYES: Fox, Korzon, G. Kuhn, Law, Lewis, Littman, Rewold, Wint (8) NAYS: (0) Motion carried on a voice vote. BIDS: As per the information filed in the agenda, the following bids were approved: Moved by Mr. G. Kuhn, supported by Mrs. Fox to award the contract for the purchase and installation of 50 evergreen and 11 deciduous trees for the Springfield Oaks and White Lake Oaks Golf Courses to the low bidder, C & H Landscape, in the amount of $8,150.00. Due to problems with low bidder being unable to provide insurance for the terrace project handrails at Addison Oaks, staff requested Commission approval to rescind approval and award to the second low bidder, Special Fabricators, Inc. of Madison Heights, in the amount of $4,950.00. Moved by Mr. Rewold, supported by Mr. G. Kuhn, because of vendor inability to provide insurance, to rescind approval of the low bid for the Addison Oaks Terrace Project handrails and award the bid to the second low bidder, Special Fabricators, in the amount of $4,950.00. 3 - 5 (Commission Meeting, March 18, 1992) AYES: Fox, Korzon, G. F. Miller for $3,216.50 each, for a total of $6,523.00. 5-yard, pull -type 23 hp vacuum for the Red Oaks Waterpark from the low bidder, W. F. Miller, in the amount of $5,472.00. Annual supply of fertilizer for the golf courses and parks to be split and awarded as follows: 37 tons of tee and fairway fertilizer from the low bidder, Turfgrass, in the amount of $15,836; 9 tons of greens and 4 tons of milorganite from the low bidder, Benham, for $5,794; and 37 tons of lawn and fairway fertilizer from the low bidder, U.A.P., for $11,647.60. Annual supply of grass seed for the golf courses to the low bidder, Benham, in the amount of $3,405.50. Construction of five each 12 ft. x 24 ft. x 6 ft. concrete storage bins for the Glen Oaks Golf Course to the low bidder, Bush Brothers, in the amount of $16,967.00. Self-contained 18 hp 160-gallon sprayer for White Lake Oaks from the low bidder, Lawn Equipment, in the amount of $9,364.00. 17 dozen lifeguard swimsuits for the day use parks and waterparks from THE FINALS, in the amount of $5,528.40. MANAGER'S REPORT: In addition to the information filed in the agenda, the following was noted: ---Staff has been notifed that our $2,000 grant application has been awarded from the Oakland County Cultural Council for our 1992 Traveling Music Show. ---A copy of a letter sent to Planning and Building Committee Chairman Olsen clarifying the Parks Commission's position on the county's new radio communication project was attached for Commission review. 3 - 6 (Commission Meeting, March 18, 1992) ---Pet Suppliers Plus of Redford has become the Commission's sponsor for our 1992 pet waste program. ---In response to the Parks Commission's request about including American -made content in bids, a memo was received from County Purchasing Manager Hylla stating the county's "policy of no bid preference for any group or individuals" in order to avoid giving "special consideration to any group or product as this is contrary to open and competitive bidding practices." Commission reiterated their request to have the amount of American -made content included on all bids, understanding that any recommendation based on that infor- mation will be made by the Parks Commission and not Purchasing. Commissioner Littman noted that the Road Commission is drawing up a policy to have their bid specifications indicate that the Road Commission "reserves the right to choose based on content." Due to the high risk of operating the wave -action pool and water slide, as well as the number of minors who frequent and work at the facility; it is staff's recommendation to prohibit alcohol in the waterpark facility. This will stay consistent with the policy at Red Oaks Waterpark where alcohol is not allowed. To -date, there have been no accidents directly involved with alcohol at the Waterford Oaks Waterpark, however; the crowd has at times been out of hand on busy days. To help reach the objectives of public safety at Oakland County Parks facilities, it is staff's recommendation that this no alcohol policy be adopted for the Waterford Oaks Waterpark. This policy will be instituted for the 1992 season. 7-1 ITEM #8 INTENT TO COMPLY AMERICANS WITH DISABILITIES ACT Attached is the Americans with Disabilities Act report, in con- junction with Oakland County Parks for national compliance, which everyone must eventually do. Staff is requesting Commission acceptance of the Statement to Comply, which brings us under the law, and also acceptance of the grievance procedure for the parks system that residents can use. Waterford These utility vehicles will be used for general maintenance around the pool and golf course and not for specialty projects, such as aerifying greens. We wrote the specifications for a hydrostatic drive because of the diversity of the operators we have at Red Oaks. Hydrostatic drive does not involve shifting gears, which has posed a problem at Red Oaks. These vehicles will replace 7-year old trucksters that are in poor condition and will be sold in the county auction. Staff recommends awarding the purchase to Wilkie Turf, the single bidder that met specifications, for $16,650.00. There is $15,000.00 in the Operating Equipment Budget for these vehicles. The balance of $1,650.00 will come from the Operating Equip- ment Surplus. Because the best just keep getting better. 11-2 ITEM #12 FIREWORKS DISPLAY ADDISON AND GROVELAND OAKS A fireworks display has been a major special event of the Oakland County Parks and Recreation Commission at Groveland Oaks dating back to the mid-1960's. A display was also added at Addison Oaks in 1986. These fireworks displays attract between 4,000 and 8,000 people to the parks at a special event entry fee of $5.00 per vehicle. The fireworks expense at each park facility in 1991 was $4,000. Revenues generated by the special event fee generally pay for the fireworks expense. Rozzi's Fireworks, of Loveland, Ohio, has been the supplier of our fireworks display for many years. The quality and reliability of their products are at a high standard. Experienced volunteers, under the supervision of local fire departments, are responsible for dis- charging the fireworks. Staff recommends enhancing our current display with an expanded grand finale and to award the purchase for the entire display to Rozzi's Fireworks in the amount of $9,000. Funds are budgeted in the special event line item at each park for this expenditure. 12-1 ITEM 113 OLATHE SWEEPER ADDISON OAKS Parks operation staff requests the replacement of a 16-year old Jacobsen sweeper at Addison Oaks that had been used for over 3,000 hours. The Jacobsen was liquidated in the 1991 spring county auction. The Olathe sweeper will be used for leaf pick up, sweeping hard surfaces such as parking lots, and general debris pick up in the picnic areas and campgrounds. The prob- lem was investigated by our mechanic, Gerry Scarborough, who reported loud knocking noises and low oil pressure. After further tear down investigation, it was determined the engine would need a complete rebuild or replacement. The engine has over 100,000 miles on it. He recommends the engine be replaced. The man hours and parts to rebuild would be close to the replacement cost; also, a replacement engine will have a warranty covering it. Staff requests Commission approval to purchase and have installed a 1987 or newer remanufactured 366 gas engine. We do not have the equipment or facility to remove the existing engine and install the remanufactured engine; therefore, staff recommends we approve the lowest estimate for the purchase and installation of this engine. If we were to rent a bus from Waterford Schools to cover these runs, it would cost us $6,098, with our staff cost included. 16-1 ITEM #17 MALE SWIMMING SUITS Oakland County Parks and Recreation Commission has 104 summer lifeguards stationed at Addison Oaks, Red Oaks Waterpark, Waterford Oaks Waterpark, Independence Oaks and Groveland Oaks. Two swimming shorts are issued to each male lifeguard for the season, as part of their uniform. The single bid was received from the following: Gulbenkian Swim Inc. $4,233.00 The supply ordered is based on a two year period, depending on the number of males hired in a given summer. The supplex shorts have been utilized by other waterparks in Michigan and has been a swimming suit that the Oakland County male lifeguards are comfortable with. Staff requests the commission's approval to purchase 17 dozen (204 total) men's supplex swim shorts. The shorts have a guard patch on the side for easy identification. The unit price per swimming suit is $20.75. Monies for this expenditure are available under the Uniform line -item at each waterpark facility. 17-1 ITEM #18 SUMMER STAFF SHIRTS Bids have been received for the purchase of 124 dozen (1,488 each) summer shirts for our part-time staff. Each year three shirts are issued to approximately 200 staff, re- sulting in the use of 600 shirts. This purchase should supply us for a two-year period. Last year we ordered a supplemental supply of 56 dozen (672 each) at a purchase price of $9.38 each. The funds for this purchase are contained in each facility's line item of their operating budget. 18-1 ITEM #19 ROAD GRADER Staff is requesting the purchase of a used road grader from the Federal Surplus outlet in Cadillac, Michigan. This unit has been physically evaluated by our mechanic, as well as a review of its com- plete maintenance records, which have been made available to us. In general terms, the grader is in excellent condition and has had regular and documented maintenance. The records show 6,000 operating hours, which is low for a 1967 machine. Although Allis-Chalmers is no longer in business, parts are still available in Livonia, Michigan, through Fiat -Allis, who is the company that bought out Allis-Chalmers. The Parks pay to have 13 miles of roads graded once each year. This year the low bid is $5,900. In addition, the roads are regraded by Parks employees with a tractor and back blade several times per year. This tractor back blade unit does not do as good a job, nor does it keep the road properly crowned, as a grader does. This grader is available for $7,000, which includes delivery. With satisfactory performance for two years, the investment would be recovered. It is felt by staff that this piece of equipment within the system will greatly improve the gravel road maintenance program and also reduce the cost of road maintenance. In view of this, staff is recommending the purchase of this grader for $7,000. There are sufficient funds in the Operating Equipment Surplus to cover this purchase. Staff will present additional supportive information at the meeting. 19-1 ITEM 19A REPLACEMENT BOILERS AND STORAGE TANKS GROVELAND OAKS Staff requests replacement and installation of three boilers and water storage tanks at several Groveland Oaks restroom facilities. This will replace boilers and tanks that are 15-20 years old. The existing boiler at the concession restroom building has malfunctioned continuously due to the design of unit, high demand, and mineral build-up from the park's water. This unit was included in the initial construction cost of the concession building. This replacement unit will be upgraded with a water filtration system. Staff is presently investigating the problem with this unit with the engineer and manufacturer's representative to see what can be done to rectify the situation. However, due to the urgency, staff would like to include this unit pending resolu- tion with the manufacturer. In 1991, park staff and Technical Support staff were continuously called for service calls, and several hundred dollars were expended for repair parts. The requested units are manufacturered by Lochinvar, which are 100% United States material content. Installation of this equipment will be completed by our Technical Support staff in preparation for the upcoming season. ITEM #19B FIREPLACE REPAIRS INDEPENDENCE OARS The two stone fireplaces at the Twin Chimneys Picnic Shelter at Independence Oaks were built in the 1950's as part of the hunting lodge previously located on the site. In recent years the fireplaces have experienced serious operational problems: inoperable dampers causing intense temperatures; firebox/ heat-o-later failure due to 10-gauge steel construction, and ineffective smoke release. Prior to the determination that the firebox/heat-o-later was of such inadequate construction, the scope of the project was to repair the firebox/heat-o-later. After these repairs were initiated, it became imperative to upgrade/replace the firebox/heat-o-later with operable dampers. See attached letter of understanding from Grunwell-Cashero, Inc. of Detroit, who is retained under contract by Oakland County for miscellaneous repairs. Staff requests approval for Grunwell-Cashero, Inc. to perform the repairs as specified, for the not -to -exceed amount of $10,000. The contractor will provide a detailed time and material statement for this project. Monies for these repairs are available in the parks budget Building Maintenance line item. ITEM #20 DINOSAUR HILL ASTRONOMICAL SOCIETY At the November 6, 1991 Commission meeting, staff presented a pro- posal and agreement for the construction of observation buildings at Addison Oaks. Attached is the proposed agreement with all of the concerns ad- dressed and/or corrected as requested by the Commission. Representatives from DHAS will be present to answer any questions in reference to their request for program use at Addison. 20-1 OAKLAND COUNTY PARKS AND RECREATION COMMISSION LAND LEASE FOR CONSTRUCTION OF MOVEABLE BUILDINGS THIS MEMORANDUM OF LEASE AND AGREEMENT, entered into this day of , 19_, to be effective the day of , 19 , by and between the OAKLAND COUNTY PARKS AND RECREATION COMMISSION, hereinafter called the OCP&R, and DINOSAUR HILL ASTRONOMICAL SOCIETY, hereinafter called DHAS: WHEREAS the OCP&R owns and operates the Addison Oaks County Park, Addison Township, and has certain plots of ground available which can be leased to the Lessee upon the conditions hereinafter specified; and WHEREAS the DHAS is desirous of leasing said plot of ground upon said conditions for the purpose hereinafter set forth. NOW THEREFORE THIS AGREEMENT WITNESSETH: 1) The OCP&R hereby lets and leases to DHAS and DHAS hereby leases from the OCP&R for a period of three (3) years from and after the date of this lease for a term commencing , and expiring , the hereinafter described property. DHAS shall have the right of renewal of this lease at the expiration thereof upon such terms and conditions as shall be agreed upon between the parties hereto. Said property located in the Addison Oaks County Park in Addison Township, Oakland County, Michigan, and described as follows: 2) DHAS agrees it will use said property in compliance with the laws and regulations of the Township in Addison, Oakland County, State of Michigan, and the United States. 3) DHAS agrees that the privileges herein granted, in whole or in part, shall not be assigned, transferred or in any manner disposed of without the approval of the OCP&R. 4) DHAS agrees that in the use of said above -described land, no obstruction shall be made or any inconvenience caused to the OCP&R in the business of operating and maintaining the Addison Oaks County Park. 5) It is further agreed that the enjoyment and use in common with others upon the Addison Oaks County Park of all entrances, exits and approaches shall not be interfered with or interrupted by any act of DHAS during the term of this lease. 20-2 6) DHAS hereby agrees to construct up to three (3) approved type buildings on the above -described property within one (1) year from the date of this lease at its own cost and expense, said plans and construction to be approved by the OCP&R. The interior and exterior of the buildings must be maintained to a standard satisfactory to the OCP&R. 7) Any OCP&R approved building construction, grading of land, drilling of wells, installing of electric or telephone cable, septic tank, or any other facility or buildings above or below ground shall be done at DHAS' own expense, including general maintenance and repairs. Any additional parking areas that may be required specifically for this facility, and approved by OCP&R, will be at DHAS' own expense. 8) DHAS covenants and agrees that it will keep the exterior of the buildings constructed by DHAS and the appurtenant grounds covered by this lease in tidy condition, and that the grounds shall be kept free from rubbish and other unsightly objects or things. 9) The OCP&R agrees that at the expiration or termination of this lease or any renewal thereof, DHAS may within 90 days remove any and all buildings, structures and other improvements or part of buildings, structures or other improvements placed or erected on said premises by DHAS during the term thereof or any renewal thereof; all expenses incurred by OCP&R or DHAS for such removal to be borne by DHAS. 10) DHAS agrees at the expiration or termintaion of this lease, the OCP&R shall have the right to ownership of all buildings and other permanent improvements erected or placed upon the premises and they shall become its property in fee simple without process of law if DHAS does not exercise its right in Paragraph 9. 11) DHAS as part of the consideration hereof, hereby undertakes and agrees to indemnify and save the OCP&R harmless of and from all loss, injury or damage to person or property of the OCP&R, employees of the OCP&R, or others which may arise or be alleged to arise through, on account of, or out of the privilege herein granted, whether caused by theft, fire or otherwise. DHAS shall provide liability insurance in the amount of , with the OCP&R, its agents and employees as additional named insureds. 12) DHAS undertakes and agrees that in case any claim is made or suit is brought against the said OCP&R for any said loss, injury or damage, which may arise or be alleged to arise through, on account of or out of the privilege herein granted, DHAS will upon notice from the OCP&R, settle, adjust and defend the same at DHAS' sole cost and expense and will pay any judgment rendered together with costs of court. 20-3 13) As part of the consideration of this lease, conditioned upon payment of the applicable entry fee, the OCP&R hereby grants to DHAS the right to use in common with others having that right, parking facilities for automobiles of DHAS, its guests and invitees, which are now owned or which may hereafter be developed by the OCP&R, at such times during day or night and days of the week as shall be established from time to time by such rules and regulations as may be prescribed for the use thereof by the OCP&R, acting through its Park Supervisor. 14) If contingencies arise in the future whereby the OCP&R adopts a general policy of charging a revised entry fee, then upon due notice, DHAS shall pay such fee, provided however that other users of the County Park are charged a similar fee. 15) It is expressly understood that the present rules and regulations now in effect governing the Addison Oaks County Park, or any future amendment thereto, shall be binding and shall be considered a part of this lease and shall be complied with by DHAS in all details. 16) It is agreed that the OCP&R and its duly authorized employees shall have the right of ingress and egress to said leased premises, including all buildings or appurtenances placed or erected on said premises for inspection purposes or for any purpose occasioned by emergency. 17) The OCP&R shall have the right, but not the responsiblity, to enter upon the leased premises to maintain, repair, renew or remove sewers and underground telephone or telegraph conduits or other installations. If such work has been caused by DHAS, it will be corrected at their expense. The OCP&R agrees to perform any work with reasonable dispatch and to leave said premises in as good order and condition as the same were in prior to the commencement of the work. 18) With prior approval, DHAS may conduct fund raising events for the purpose of maintaining or improving the facility, but no signs, posters or similar devices shall be erected, displayed or maintained in view of the general public in, on or above the space herein leased without written approval of the Park Supervisor, and any not approved by him shall be removed by the OCP&R at the expense of DHAS. 19) DHAS further agrees to pay any taxes or special assessments hereinafter legally levied by a governmental agency against the buildings or personal property of DHAS. The non-payment of any such taxes by DHAS for ninety (90) days shall be grounds for cancel- lation of this lease by the OCP&R. 20-4 20) DHAS for itself, its personal representatives, successors in interest and assigns as a part of the consideration hereof, does hereby covenant and agree as a covenant running with the land that (1) no person on the grounds of race, color or national origin shall be excluded from participation in, denied the benefits of or be otherwise subjected to discrimination in the use of said facilities; and (2) that in the construction of any improvements on, over or under such land and the furnishing of services thereon, no person on the grounds of race, color or national origin shall be excluded from participation in, denied the benefits of or otherwise be subjected to discrimination; and (3) that the Lessee shall use the premises in compliance with all other requirements imposed by or pursuant to Title VI of the Civil Rights Act of 1964, and as said regulations may be amended. 21) That in the event of breach of any of the above covenants, upon 30 days written notice, the OCP&R shall have the right to terminate the lease and to re-enter and repossess said land and the facilities thereon, and hold the same as if said lease had never been made or issued. 22) This lease shall be non-exclusive and subordinate to the provisions of any existing or future agreement between the OCP&R and other governmental bodies relative to the operation or maintenance of the Park, the execution of which has been or may be required as a condition precedent to the expenditure of funds for the development, operation or maintenance of the Park. 23) The OCP&R reserve the right to further develop or improve the area of the Park as it sees fit, regardless of the desires or views of the DHAS and without interference or hindrance.
