The meeting was called to order at 9:12 a.m. by Chairman Pecky D. Lewis, Jr. in the commission room of the
Parks and Recreation Commission's administration office.

STATEMENT OF OPERATIONS:
The Statement of Operations for the month ending March 31, 1998, was accepted as filed.
ACTIVITIES REPORT:
The Activities Report for the month of March, 1998, was accepted as filed.
STAFF INTRODUCTION:
Chief of Recreation Sue Delridge introduced Mike Boyd, our new Recreation Specialist, who will be
supervising at the Red Oaks Waterpark. Mr. Boyd is a graduate of Northern Michigan University.
NEXTEL WATER TOWER RENTAL - SPRINGFIELD OAKS ACTIVITIES CENTER:
As directed by the Commission at its March 18 meeting, staff checked with other municipalities for cellular
tower contract details. Assistant Manager Kipke reviewed several, but noted the difficulties in comparing, as
each contract varies.
Staff recommended Commission approve the contract with Nextel for $1,500 per month for five years, with
a three percent adjustment per year, plus five-year renewable clauses, contingent upon approval by
Corporation Counsel.
Staff addressed several concerns, noting Springfield Township's awareness of the proposal, plus that there
will be no additional staff time required to provide/maintain access to Nextel's equipment.
Commission also questioned the number of antennas to be erected on the water tower, noting the contract
should limit Nextel to their current need of three, with rights to negotiate additional antennas; sub -leasing
rights; and the clause requiring insurance. Staff will ensure these concerns are addressed in the contract
through Corporation Counsel.
Moved by Mrs. McConnell, supported by Mr. Palmer to approve the contract with Nextel for
the installation of three cellular phone antennas on the Springfield Oaks Activities Center
water tower, contingent upon approval from Oakland County Corporation Counsel and
Springfield Township zoning. The contract will be presented to the Oakland County Parks
and Recreation Commission for final approval.

BIDS:
As per the information filed in the agenda, the following bid was approved as recommended by staff and
Purchasing:

Moved by Mr. Palmer, supported by Mr. R. Kuhn to award the bid for the purchase of two
Aire-Oz water aerators for use in the sewage waste treatment system at Addison Oaks to
Aeration Industries in the amount of $5,670.00.

ORION OAKS BIKE PATH:
Chief of Parks Dan Stencil noted that work on the bike path on the east side of Orion Oaks along Joslyn Road
has begun, with completion projected near the end of June or beginning of July. Orion Township officials will
be inviting the Parks Commission to a ribbon -cutting ceremony; date to be determined.
WEBBER ACRES NATURE CENTER - ORION OAKS:
Staff has been approached by officials from Orion Schools to consider a joint venture with the Parks
Commission at Orion Oaks County Park. The proposal involves Parks Commission approval to allow Orion
Schools to build the replacement Webber Acres nature center building within Orion Oaks County Park. Orion
Schools would provide staffing, with shared program time between the two agencies.
Commission authorized staff to proceed with further discussions with Orion Schools for a nature center to be
built at Orion Oaks adjacent to Webber Acres.
Discussion followed on several concerns, including future costs plus ensuring the facility is built, operated,
and maintained to the Commission's standards; staff will ensure all issues are addressed.
Commissioner VanderVeen offered to send staff a copy of a lease done through the airport that might be
helpful with discussions with Orion Schools.
REAL ESTATE UPDATE:
Pontiac/Waterford Elks:
The Pontiac/Waterford Elks have notified the Parks Commission that our offer to purchase 13 acres adjacent
to Waterford Oaks has been rejected. Therefore, staff recommended Commission return the grant approved
for this purchase through the Michigan Natural Resources Trust Fund.
Moved by Mr. Palmer, supported by Mr. Skarritt to return the grant, approved for the
purchase of 13 acres adjacent to Waterford Oaks, to the Michigan Natural Resources Trust
Fund.

Kaufman:
The environmental assessment report for the 39-acre Kaufman parcel adjacent to Lyon Oaks is
recommending additional testing be completed at the site. The testing involves three soil borings and three
wells monitored at a cost of $6,765.
Staff recommended the testing be completed and offering to split the cost with the owner.
Moved by Mr. VanderVeen, supported by Mr. Palmer to proceed with additional testing on
the 39-acre Kaufman parcel adjacent to Lyon Oaks, including three soil borings and three
wells monitored, at a cost of $6,765, to be split equally with the owner.

Rizzolo:
Staff has received the appraisal for the 13-acre Rizzolo parcel adjacent to Lyon Oaks. Mr. Rizzolo is in the
process of getting his own appraisal on the property; staff will meet with him once he has received it.
EXECUTIVE OFFICER'S REPORT:
In addition to the Executive Officer's Report filed in the agenda, the following was noted:
---Staff has begun the budget process for the 1999 budget. Staff has requested the parks request no new
operating equipment or increase in line items, if possible. Also, planning to cover staffing needs for Lyon Oaks
with transfers from other parks.
---Staff is working diligently on lifeguard staffing for the beaches and pools. Also, the Today Show is hoping to
conduct an interview with any lifeguards, 50 and over, sometime during the Memorial Day weekend.
NEW BUSINESS:
---Chairman Lewis noted that, at the'Oakland Parks Foundation's annual meeting held earlier this morning, the
Foundation board agreed to sponsor three memorial benches for placement around the parks.
---Commissioner Millard questioned the Parks' philosophy of an indoor pistol range within the Parks System.
After discussion, Commission requested staff contact other parks systems to see what is being done.
---Commission requested staff change the name of an upcoming special event from "Kensington Kookout" to
"Kensington Cookout."
OLD BUSINESS:
---Commissioner Skarritt inquired about any consequences through the state for our "no hunting" policy at Rose
Oaks relating to grants. Staff noted that we will be allowing archery hunting at the park this fall, and that we will
learn of any "consequences" when we submit grant applications this fall.

ASPHALT
Last fall, Milford Asphalt was low bidder and awarded a contract for $76,750 to
install and improve various golf cart paths on the golf courses. Due to poor weather and
heavy work load, Milford Asphalt, and the contractor that the county has on a blanket
contract, were unable to do any asphalting last fail; therefore, the work was put off until
this spring.
In the course of completing these projects, additional areas arose that were in
need of paving that staff felt could not wait until this fall to accomplish or wait for
another contractor.

Due to the condition on the golf course, Glen Oaks required the most extra work
of $23,555; however, $8,000 of this amount was bid out as a separate item and Milford
Asphalt was again the low bidder.
The extra at Red Oaks incurred for patching the parking lot at the Wave Pool,
which had deteriorated this past year.
Staff seeks permission to amend the contract with Milford Asphalt from $76,750
to $108,205 for the work completed.
Funds for these extras will come from the Capital Improvement Projects
Contingency.

ADMISSIONS EQUIPMENT
WATERFORD OAKS WATERPARK
The attendance at the Waterford Oaks Waterpark has resulted in
long lines for patrons waiting to be admitted into the park, plus some
confusion for patrons who want to sign up for swimming lessons, reserve
groups, etc.
Based on last year's experience, another point of admissions would
greatly improve the situation and shorten the wait time. In order to
accomplish this, the following equipment needs to be added to our current
admissions system:
1 Turnstile
1 Ticket printer
1 Cash drawer
The equipment will assist us in accommodating larger crowds,
thereby providing better customer service. Projected lifespan of the
equipment is eight years.
Staff recommends purchasing this equipment from Lasergate
Systems, Inc., from Clearwater, Florida, in the amount of $9,663.00. This
is a sole source bidder, due to the need to interface with our existing
system.
Funds are available in the Operating Budget contingency for this
expenditure.

Since October 1, 1995, Fair Oaks L.L.C. has had a lease agreement with you for the
operation of Springfield Oaks Activity Center.
The fsrst lease is to end on September 30, 1998, therefore we are coming to the June 3"a
meeting to start the decision on a new agreement.
We feel that the past three years have gone well for both Fair Oaks and Parks and
Recreation. We have learned a great deal about what works and what doesn't at the
S.O.A.C. The number of events and people using the Activity Center have increased but
not as much as we had anticipated. There has been a great cost reduction in the costs of
operations for the Parks and Recreation Commission.
We have an interest in renewing the existing lease for another three year period if we are
able to meet with the Commission to discuss further additions and improvements. These
additions and improvements are needed to increase the use and profitability of the park
and facility.
Our goal is to have the grounds generate more income in order to reduce the cost of Fair
- Oaks to the Oakland County Fair Board and to reduce the cost of operations for Parks and
Recreation.
We look forward to working with Ralph Richards and his staff to make Springfield Oaks
Activity Center have its own identity and be an important part in the Oakland County
Park system.

AGREEMENT
THIS AGREEMENT made the 0 ( day of d ff k , , 199j--,—by and between
the COUNTY OF OAKLAND, through its PARKS AND RECREATION COMMISSION
(COMMISSION), 2800 Watkins Lake Road, Waterford, Michigan 48328, and FAIR OAKS
L.L.C. (FAIR OAKS), a Michigan Limited Liability Company, 12451 Andersonville Road,
Davisburg, Michigan 48350 is as follows:
1. PREMISES. FAIR OAKS agrees to assume the management and operation of a certain
COMMISSION facility described as SPRINGFIELD OAKS ACTIVITY CENTER and its
adjoining grounds and facilities, more particularly described in Attachment A.
2. TERMS -Fair Oaks Upon assumption, FAIR OAKS agrees:
a. to provide a full-time facility manager;
b. to provide staff in sufficient numbers for efficient office operations;
c. to provide staff in sufficient numbers for the supervision and
management for all rental activities at the facility;
d. to honor and carry out all current rental agreements at the facility;
e. to schedule and be responsible for all rental agreements during the term
of this Agreement and to use the form attached as Attachment B for all such
rentals and to allow the COMMISSION use of the facilities for no charge;
f. to use its best efforts to advertise the facility and expand its use;
g. to establish and maintain according to generally acceptable accounting
principles, complete financial records for this facility which shall be made
available to the COMMISSION for inspection upon reasonable request.
h. to cause the financial records to be audited annually by an independent
public accounting firm which audit shall be made available to the
COMMISSION upon completion.
i. to comply with and enforce all Rules and Regulations as promulgated by
the COMMISSION;

j. be an equal opportunity employer and not discriminate against any
employee or applicant for employment because of race, sex, age, creed,
color, or national origin.
k. to honor and comply with the terms of the COMMISSION's food service
agreement with Oaks Management.
3. INSURANCE FAIR OAKS shall maintain the following insurance coverages:
a. Comprehensive General Liability including premises,
operations, contractual, independent contractors, and personal
injury in the minimum amount of One Million Dollars
($1,000,000) combined single limit per occurrence. The
County of Oakland, and Oakland County Parks and recreation
Commission, shall be additional named insureds to the policy.
b. Worker's Compensation to conform to Statute requirements
and Coverage B Employee's Liability of One Hundred Thousand
Dollars ($100,000).
C. FAIR OAKS shall provide written evidence of the above at the
inception of the contract and the insurer shall provide the
COMMISSION a minimum of thirty (30) days notice of
cancellation, material alterations and/or change of coverage.
4. TERMS - COMMISSION. During the term -of this Agreement, the COMMISSION
agrees:
a. to maintain the facilities and grounds described in Attachment
A to the standards of the COMMISSION and the codes of
Springfield Township.
b. to pay all utility charges except telephone
C. to provide a General Maintenance Mechanic employee to assist
with maintenance and upkeep of the facilities and grounds.
d. to provide direction and assistance to FAIR OAKS in its
management of the facilities and grounds.
e. with the recommendation of FAIR OAKS, establish fees and
charges for rental and use of the facilities and grounds .
5. TERMS -MUTUAL. It is agreed that FAIR OAKS and the COMMISSION will
at least annually review and decide upon any and all capital improvements and their
method of payment.

6. INDEMNIFICATION. FAIR OAKS shall indemnify and hold the COMMISSION
harmless from and against all liability, actions, claims, demands, costs, damages or
expenses of any kind which may be brought or made against the COMMISSION arising
from FAIR OAKS negligent acts or omissions or upon the Premises.
To the extent permitted by law, the COMMISSION shall indemnify and hold FAIR OAKS
harmless from and against all liability, actions, claims, demands, costs, damages or
expenses of any kind which may be brought or made against FAIR OAKS by reason of the
COMMISSION'S negligent performance of obligations under this agreement.
7. RENTAL REVENUE. FAIR OAKS shall retain all rental revenue as received.
8. ASSIGNMENT. This Agreement may not be assigned without the prior written
approval of the COMMISSION.
9. MODIFICATION. This Agreement may be modified or amended only by written
agreement of the parties hereto.
10. GOVERNING LAW. This Agreement shall be interpreted under and governed by the
laws of the State of Michigan.
11. SEVERABILITY. If any provisions of this Agreement or the application thereof to
any extent be invalid or unenforceable, the remainder of this agreement, or the application
of such provision to the parties or circumstances other than those to which it is invalid or
unenforceable, shall not be affected thereby, and each provision of this Agreement shall be
valid and enforceable to the fullest extent permitted by law.
12. WAIVER. One (1) or more waivers of any covenant, condition or agreement by the
COMMISSION shall not be construed as a waiver of a subsequent breach of the same
covenant, condition or agreement. No breach of a covenant, condition or agreement of
this Agreement shall be deemed to have been waived by the COMMISSION unless such
waiver be in writing signed by the COMMISSION.
13. ENTIRE AGREEMENT. This Agreement and the Exhibits attached hereto constitute
the entire Agreement of the parties hereto with respect to the Premises, and all prior
negotiations, agreements and understandings, either oral or written, are hereby merged
herein.
14. BINDING EFFECT. The terms and conditions of this Agreement shall be binding and
shall inure to the benefit of the parties hereto and their respective heirs, representatives,
successors and assigns; provided, however, that no rights shall inure to the benefit of any
assignee of FAIR OAKS unless the assignment to such assignee has been approved by the
COMMISSION.
14. LENGTH. This Agreement shall be reviewed annually by the parties and shall be
renewable by mutual agreement for up to three (3) years from the date first above written.

GOLF HOLE CHANGE
LYON OAKS
Per Commission direction, staff met with Arthur Hills and
Associates regarding the first 18 holes of the golf course at Lyon Oaks
being designed around/into the wetlands. This change is a move from
holes bordering the wetlands to holes being placed further into the
wetlands.
Additional costs involved in this change will be approximately
$800,000, including clearing of trees, wetlands decking, and wetlands
protection.
Staff is requesting clarification on the Commission's wishes to
proceed with this.
A plan will be available at the meeting.

---Enclosed is a revised copy of the Commission's master calendar for 1998. Please note the
meeting in July will be Wednesday, July 15, and will include the Commission's budget review;
also, the Wednesday, August 5 meeting will be held at the Glen Oaks Clubhouse.
---20,000 pine and spruce seedlings were provided by BFI/Eagle Valley Landfill, Orion
Township. Of that total, 8,000 seedlings were planted within the park system; the remaining
12,000 were distributed to school districts, municipalities, and townships.
---Update on the rattlesnake incident reported in the media: The rattlesnake incident that was
reportedly to have occurred at Addison Oaks last week turned out to have happened at Bald
Mountain State Park.
---We have received a Certificate of Appreciation from Orion Township for the Parks' and
Friends of Orion Oaks' efforts in beautifying the township during the Saturday, April 25 annual
park clean up at Orion Oaks.
---Attached is information from Corporation Counsel regarding the proposed Nextel lease at
Springfield Oaks. As you read, you will find a number of changes Corporation Counsel is
proposing. Staff is discussing these issues with Nextel and hopes to bring back a revised
contract to you at a later date. Staff will be available for questions or comments.
---Also attached is a revised copy of the 1998 spring fees and charges for local 9- and 18-hole
golf courses.
---On May 23 and 24, Waterford Oaks BMX hosted the National BMX Race, with 700 riders on
Saturday and 618 riders on Sunday. Everyone had a great time, with great weather and no
major accidents.
The BMX racing season will continue through September with open practices on Tuesdays and
Thursdays and National Bicycle League -sanctioned races on most Saturdays.

As you and I have discussed, Oakland County, through a management agent
currently "licenses" spots for antennas on the 800 megahertz towers which the
County owns and which are located at various points throughout the County. We do
not enter into leases with the communications companies for antenna locations.
It is the position of this office that licenses are much more desirable because they do
not give the communications companies an "interest" in any County property such
as a lease would do. The licenses are revocable and, even though the license
contracts are for a period of years, since a license by its very nature is revocable, it
is much earlier to get control and cooperation from the communications companies,
as opposed to a situation in which they had a leasehold interest which would give
them greater rights and greater leverage in dealing with the County.
Currently, I am revising and rewriting a licensing agreement which we have used
several years ago. When this is completed, I will send it to you for consideration by
the Parks and Recreation Commission. In the mean time, I have review the proposed
lease from Nextel and, as you will glean from my comments below, I would not be
able to recommend that the Parks and Recreation Commission enter into this lease.

After you have review my comments, if you wish to discuss them, I will be happy
to do so, but it is my firm belief that a license is the only way to proceed with Nextel
at this time.
In Paragraph 1, Nextel starts out immediately by indicating that we are going to grant
it not only a lease for a specific piece of ground, but a lease that runs to all access and
utility easements. In the past, if it has been necessary to grant communications
companies access to easements and utilities, said access has been spelled out by
metes and bounds, therefore, limiting Nextel's ability to claim access from areas into
which the County (and in this case, the Parks & Rec. Commission) might not want
them to enter.
In Paragraph 2, Nextel uses very general language for what it can or cannot do on the
leased property. In the licenses that I have done in the past, the activity or the license
to be granted has been specific as to what the communications company can do.
Nextel's use of the phrase "for any activity in connection with the provision of
communications services." is totally unacceptable.
In Paragraph 3, Nextel should be restricted to the areas that it can enter in order to do
its surveys and it must comply with all reasonable Parks & Rec. rules and
regulations, as well as direction from Parks & Rec. management, so as not to
interfere with park functions.
Under Paragraph 4, I would advise entering into a five (5) year lease with perhaps
two, maximum of three five year extensions. I would also include a clause that would
allow the Parks and Rec. Commission to move the water tower for any reason and
that Nextel could have an antenna at the new tower location.
As to Paragraph 5, the requirements as to when and under what conditions the rent
should be paid by Nextel should be spelled out much more extensively. In the
license which we do, there are rent requirements as well as penalties for being late,
etc. In addition, it should be clear that rent is payable the date that this lease is
entered into and not from the date Nextel places an antenna on the tower.
In Paragraph 6, as well as throughout the entire course of this Lease, Nextel does not
specify what it is going to be erecting on the tower, how high it is going to be, or any
other particulars as to the type of antennas to be installed. In addition, I would
imagine that you would want to review and approve Nextel's plans to see that they
do not cause the Parks & Rec. Commission any difficulty. If you want to change 12
antennas locations to 3 locations that is easily done.

Another issue to consider in this lease is that Nextel will be constructing a building
on the Park grounds to house some of it's equipment. I would advise that you have
some input into what, where, and how such a building is erected.
Further, in Paragraph 6, the provisions concerning electricity and other utilities are
inadequate and should specify that the lessee must use the utility companies available
and, if need be, have either a separate line or a separate meter installed to gauge the
utility usage. In the licenses which we do, we will require that, if there is a separate
meter running off of one of our County lines, we will send the bill to the
communications company when we receive it, and we will then expect payment
within 10 days. As Subparagraph (b) is worded, Nextel could bring in its own set of
utilities. If this is not problematic for you, then that is a decision you can make. I
point this out because I believe it could be problematic.
Further on in Subparagraph (c) of Paragraph 6, Nextel is granting itself unlimited
access for anyone it chooses to have on the premises whenever it chooses to have
them. This is something you need to review and determine if you need to restrict
access to only those persons necessary. This is normally what is done in the licenses
into which we enter.
In Paragraph 7, Nextel is indicating that once it has installed itself on the leased
premises, no one can put any equipment in the area which might cause frequency
problems for Nextel. A similar provision is normally found in other licenses with
communications company; however, depending upon the degree of frequency
interference, it is not unreasonable to expect that Nextel could have to, in the future
because of the needs of the Parks & Rec. Commission, do some frequency
modulation or change the position of its spikes on the tower so as to allow the Parks
& Rec. Commission to perform its functions. As the paragraph currently stands that
would not be possible. One further note, Nextel should be required not only to
comply with all FCC requirements but all FAA requirements such as height, etc.
Paragraph 8 on taxes should be rewritten to acknowledge that the County does not
pay any property taxes, so any new taxes would be the responsibility of Nextel.
Paragraph 9 likewise should be rewritten. As written it gives the County no right to
go against Nextel's property should it cease to pay any rent. It precludes the County
from execution and levy on the asset. The only recourse for the County would be to
terminate the lease and try to collect a money Judgment with no collateral.
Paragraph 10 on termination is too one-sided and too open-ended. As written Nextel
could claim that the operation was no longer economically or technologically valid

and pull out of the lease and remove its antenna(s).
Paragraph 11 could be modified to indicate that if there is a loss due to fire, etc., then
at a certain percentage of destruction the lease would be extinguished. Or, you could
grant Nextel the option of being given a place on the new tower, even in a different
location, under the same terms and conditions then in effect. If the location of the
destroyed tower were to be changed, Nextel could have the option of moving or
having it's lease terminated.
As to Paragraphs 12 and 13, I will submit those Insurance provisions to Risk
Management for their review. Although, probably your park is already covered under
the County's General Liability Self Insurance Policy and you would not need any
additional insurance.
If the issue of subletting is a problem under paragraph 14, then that provision can be
stricken. However, the provisions on transferring possession to successors companies
of the parent company will be hard to remove.
Paragraph 15 presents no real problem until it comes to the point where
lessor/Oakland County has to agree to indemnify and hold lessee harmless. It is the
position of this office that pursuant to the current state of the law in Michigan that
Oakland County cannot enter into indemnification agreements or agree to hold third
parties harmless. Therefore, this provision must be stricken.
I am not sure what exactly the first sentence of Paragraph 16 means and, therefore,
it should be excluded.
Paragraph 17 imposes an additional indemnification provision upon Oakland County
which, as explained above, this office cannot approve. In addition, there is a
reference to the fact that Oakland County should not allow any third party to "use,
generate, store or dispose of any hazardous material on, under, about or within the
land in violation of any law or regulation." Is this a problem for your Park? Do you
want Nextel dictating how you operate your Park or what goes on in your Park?
Paragraph 18 again presents us with the problem of indemnification. As explained
above the County cannot agree to these types of conditions.

problem with either the FCC or FAA. If the tower is currently in compliance with the
Rules and Regulations of those two Agencies, then it is Nextel that should pay for
any marking, lighting, or other modifications required because of the addition of it's
antenna.
Again, I would caution you that it has been our experience in dealing with
communications companies in the past that you must take an extremely strong
position in your dealings with them right from the beginning. It would be my
suggestion that instead of entering into a lease with Nextel you offer Nextel a license
agreement with the terms and conditions to be negotiated by your staff, after
reviewing these comments, and subject to review by this office.
