Adjourn OAKLAND COUNTY PARKS AND RECREATION COMMISSION MEETING August 1, 2001 Chairman Pecky Lewis called the meeting to order at 9:05 a.m. in the commission room of the administration office. APPROVAL OF PAYMENTS: Moved by Mrs. Taub, supported by Mr. Skarritt to approve the payment of the Payment Summary, which includes the Interdepartmental Payment Register for May and June, 2001, (FM 08 and 09,. FY 2001), the Oak Management Inc. Credit Register for Apri, May, and June, 2001; and the Payment Register, which includes the Voucher Report Period for June, 2001 (FM 09, FY 2001), and C.I.P. Voucher Report Period for June, 2001 (FM 09, FY 2001). AYES: Korzon, Kuhn, Law, Lewis, Skarritt, Taub, VanderVeen (7) NAYS: (0) Motion carried on a voice vote. 3-1 (Commission Meeting, August 1, 2001) COMBINED STATEMENT OF OPERATIONS: The Combined Statement of Operations for the month ending June 30, 2001 was accepted as filed. ACTIVITIES REPORT: The Activities Report for June 2001 was accepted as filed. CAPITAL IMPROVEMENT PROJECTS BUDGET UPDATE: In conjunction with the CIP Update, staff reported on the status of the Arnold acquisition and grant. The Capital Improvement Projects Budget Update as of June 30, 2001 was accepted as presented. AWARD PRESENTATION: Staff presented Mr. Ernie Baker with a plaque as Outstanding Volunteer of the Year, awarded by the National Association of County Parks and Recreation Officials for his fund raising efforts on behalf of the Oakland County Parks and Orion Oaks County Park. Administrator of Park Operations Dan Stencil presented a plaque awarded by the National Association of Counties in recognition of "From Seedlings to Trees: A Natural Partnership." He reported that, over the last five years, more than 60,000 seedlings have been distributed to park agencies, schools districts, and municipalities. Mr. Stencil also presented a certificate of appreciation from Orion Township awarded to the Friends of Orion Oaks for their participation in the annual Orion Township Clean Up Program. KALEIDOSCOPE FOUNDATION: Helen Vergin, Chairperson of the Kaleidoscope Foundation, presented additional details of a proposal previously made to the Commission for consideration of a lease between the Kaleidoscope Foundation and Oakland County Parks for approximately 5.4 acres of land at the Springfield Oaks Activities Center. The Kaleidoscope Foundation, which provides programs for seniors and youth, is currently sharing a facility; they are now looking for a parcel of land to build their own facility and parking lot. The Foundation will pledge $2 million in building funds, plus another $1 million in trust for operational funds, before any construction begins; also, Parks Commission would review and approve the plans. She also noted that, if for some reason the Foundation must dissolve, the building would revert to the County's ownership. Staff recommended Commission approval of the concept, with authorization to proceed with a proposed lease agreement. Discussion followed, with several concerns remaining unresolved, including the philosophy of leasing property to a private agency, continued programming should the Foundation dissolve, under -utilization of the Springfield Oaks Activities Center, physical area of the county this agency will be providing services, plus financial obligations. Moved by Mr. Vogt, supported by Mr. Law to approve the concept of a lease between the Oakland County Parks and Recreation Commission and the Kaleidoscope Foundation for 5.4 acres of land at the Springfield Oaks Activities Center to build a facility for expanded programming to seniors and youth. Further concerns were expressed on future obligations entailed by this lease, plus duplication of services already provided around the county. Mr. Law withdrew his support of the motion. 3-2 (Commission Meeting, August 1, 2001) Commission requested further investigation into this proposal before any action is taken. They also suggested to Mrs. Vergin that consideration to purchase a parcel of land, or the donation of same, would be in the best interest of the Foundation. LYON OAKS GOLF COURSE ACCESSORIES: Moved by Mr. Vogt, supported by Mrs. Taub to award the purchase of the golf course accessories for Lyon Oaks Golf Course, including benches, trash receptacles, water dispensers, and tee divot boxes, to the low bidder, Great Lakes Golf Course Products, in the amount of $17,429.00. AYES: Korzon, Kuhn, Law, Lewis, McCulloch, McPherson, Skarritt, Taub, VanderVeen, Vogt (10) NAYS: (0) Motion carried on a voice vote. NEW WATER FEATURES — RED OAKS WATERPARK: Chief of Design and Development Joe Figa reported on the review process completed by staff on the conceptual designs submitted by Water Technology and Aquatic Development for the new water features proposed at the Red Oaks Waterpark. After review, staff agreed that Aquatic Development submitted a more exciting design and had proposed a more thorough assessment and evaluation of the facility. Therefore, staff recommended Commission authorize staff to negotiate a contract with Aquatic Development for the next phase of development for the new water features at the Red Oaks Waterpark. Staff will review the final costs and determine whether it will be more cost effective to have Aquatic Development create the construction plans or have them fast track the project by developing a set of preliminary plans and basing their costs on that amount. During discussion, concern was expressed that the new development may adversely affect the pending litigation with the lessees of the Golf Dome and Sports Village. Moved by Mr. Kuhn, supported by Mr. Korzon to authorize staff to negotiate the contract for the next phase of development of the new water features at the Red Oaks Waterpark to Aquatic Development, with the understanding that we may or may not move ahead with this project due to the pending litigation with the lessees of the Red Oaks Golf Dome and Sports Village. AYES: Korzon, Kuhn, Law, Lewis, McCulloch, McPherson, Skarritt, Taub, VanderVeen, Vogt (10) NAYS: (0) Motion carried on a voice vote. WATERFORD OAKS WATERPARK RENOVATION: Chief of Design and Development Joe Figa reviewed the proposals for the Waterford Oaks Wave Pool renovation, noting this project is part of a 50/50 matching grant from the Clean Michigan Initiative Recreation Bond Fund grant program with an estimated project cost of $500,000. Staff recommended Commission award the contract for the preparation of a study report to determine the 3-3 (Commission Meeting, August 1, 2001) type and extent of repairs required, including replacement of the wave -making equipment, plus plans, specifications, and construction supervision during the construction phase. Cost of the document and construction administration phase will be 9 percent of the construction costs. Moved by Mrs. Taub, supported by Mr. Vogt to award the contract for the study report, plans and specifications, plus construction supervision during the construction phase of the Waterford Oaks Wave Pool renovation to Integrated Design Solution (IDS) in the amount of 9 percent of the construction costs. AYES: Korzon, Kuhn, Law, Lewis, McCulloch, McPherson, Skarritt, Taub, VanderVeen (9) NAYS: (0) Motion carried on a voice vote. WATERFORD OAKS PATH PAVING: Staff requested Commission approval to amend the contract approved at the July 11, 2001 Commission meeting for the path paving at Waterford Oaks to include an additional 1,090 feet of existing path in poor condition discovered after a recent site visit. Cost for the additional milling and recapping was quoted at $9,875; the new contract total will be $78,278.00. Moved by Mr. VanderVeen, supported by Mr. Law to approve the additional expenditure of $9,875 to Allied Construction for 340 feet x 6 feet of paved path at Waterford Oaks to be milled and recapped and 740 feet x 8 feet to be capped. RED OAKS UPDATE: Executive Officer Ralph Richard updated the Commission on the progress of negotiations between the George W. Kuhn Advisory Board and SOCRRA for the acquisition of the property necessary for the restoration of the Red Oaks Golf Course. A final agreement is expected imminently. GRANT RESOLUTION AMENDMENT — INDEPENDENCE OAKS: Moved by Mr. McCulloch, supported by Mrs. Taub to amend the previously adopted grant resolution for the Youth Camp at Independence Oaks as follows: WHEREAS, the Oakland County Parks and Recreation Commission has been notified by the Department of Natural Resources that application for cost sharing grants from the Michigan Natural Resources Trust Fund and Land and Water Conservation Fund may be submitted by April 1, 2001; and WHEREAS, the Oakland County Parks and Recreation Commission has identified and established priorities for improvements within the adopted Recreation Master Plan; and 3-4 (Commission Meeting, August 1, 2001) WHEREAS, the Oakland County Parks and Recreation Commission recommends the filing of the following application to the Department of Natural Resources for matching grant: Independence Oaks Youth Camp NOW THEREFORE BE IT RESOLVED that the Oakland County Parks and Recreation Commission recommends submission of the above -said grant with the appropriate matching funds to be designated from the one -quarter mill. EXECUTIVE OFFICER'S REPORT: In addition to the Executive Officer's Report filed in the agenda, the following was noted: ---Mr. Richard reported on staffs involvement in the Michigan Senior Olympics, which will be held in Midland on August 5-9. Other noteworthy events include the Wheelchair Daze scheduled at Independence Oaks on Saturday, August 4; the Oakland County 4-H Fair at the Springfield Oaks Activities Center on July 31 to August 4; and the SCAMP/Wint Memorial Golf Classic to be held at the Springfield Oaks Golf Course on Friday, September 7. ---Mr. Richard updated the Commission on the status of the proposed Clareview Road abandonment adjacent to Glen Oaks. The scope of the project would include the construction of an approximate 950-foot action river, which will include a large approach pool containing sprays providing additional water activity. Two children's features are included, one similar to the one at Waterford Oaks containing a variety of interactive water features and a 14" wet pool, and a zero depth spray zone also containing water action toys with no standing water for younger children. This project will also include upgrading and expanding the new filtration system to the existing facilities and adding the new systems and site amenities. The cost for construction of the above will be in the range of $3.3 million, plus fees, permits, and reimbursable expenses. Staff is presently in the process of reviewing the parking requirements, which would include costs. Mr. Payne's recommendation is to conduct managed hunts during the "early season," September 1 through September 15, and the "regular season" of September 17 through October 7 and December 15 through 23. In addition, we would continue to allow public hunting during the special late goose season, which is held January 5 through February 3. Staff is requesting Commission approval to permit staff and volunteer hunters to harvest Canada Geese with firearms between September 6 and September 15, 2001. Harvested geese will be donated to local food banks. Staff will notify local governmental authorities, Oakland County Sheriff's Department, and park neighbors regarding the program. Staff will also employ harassment techniques that include dogs, pyrotechnics, visual deterrents, and goose sensitive golf course maintenance practices. Staff also requests approval, depending on the success of the early season hunt, to employ a similar program during the regular goose season. The program will be evaluated and a recommendation for 2002-03 will be provided to the Commission prior to June 1, 2002. ITEM #12 CRICKET LETTER OF AGREEMENT LYON OAKS At the August 1, 2001, Commission meeting, the Commission directed staff to develop a Letter of Agreement between the Michigan Cricket Association and the Parks Commission. It has been reviewed and prepared by Corporation Counsel; a copy of that document is attached. Staff is requesting Commission approval of this Letter of Agreement. 12-1 MEMORANDUM OF AGREEMENT This agreement is made and entered into on the _22nd day of August, 2001, by Oakland County Parks and Recreation, 2800 Watkins Lake Road, Waterford, Michigan 48328-1917, hereinafter known as "OCPRC" and Michigan Cricket Association, 17177 N. Laurel Park Drive, Ste. #423, Livonia, Michigan 48152, hereinafter known as "MICHCA". PURPOSE: This agreement sets forth the rights and responsibilities of the parties as it relates to the planning, construction, maintenance, and operation of a temporary cricket ground/facility at Lyon Oaks County Park. The parties to this agreement are desirous of developing a permanent facility at Lyon Oaks County Park within five years of entering into this agreement. OCPRC RESPONSIBILITES 1. Construction. OCPRC will construct a temporary Pitch composed of a clay surface and artificial turf that will be provided by MICHCA. OCPRC shall pay all design and construction costs and will be reimbursed by MICHCA for 50% of the total cost. The facility shall be designed in accordance with standards as agreed by the parties hereto. It shall be located as set forth in Exhibit "A". 2. Maintenance. OCPRC shall provide maintenance as needed included mowing of the cricket ground and parking areas and shall remove trash and debris on a regular basis. 3. Parking. OCPRC shall provide adequate parking areas for, participants and attendees. 4. Access. OCPRC will provide access to the facility by providing a gated fence opening off Pontiac Trail located at 51811 Pontiac Trail. 5. Shelter. OCPRC shall provide a 20' x 40' tent, with 8 trash barrels, a barbecue grill and 2 portable toilets. 6. Use of the Premises. OCPRC may allow persons other than MICHCA to use the facility. However, such use shall be monitored so that it shall not interfere with the beneficial use of the facility by MICHCA. In addition, the pitch shall be off limits to persons other than MICHCA or its designates. MICHCRS RESPONSIBILITIES 1. Articles of Incorporation. MICHCA shall provide OCPRC with its Articles of Incorporation, 10 12-2 before commencement of this contract. Insurance carriers are subject to approval of Oakland County. GENERAL CONDITIONS 1. Governinq Law. This agreement shall be interpreted under and governed by the laws of the State of Michigan. 2. Modifications. This agreement may be modified or amended only by written agreement of OCPRC and MICHCA. 3. Severability. if a term, condition, or provision of this agreement is found by a court of competent jurisdiction, to be invalid, unenforceable, or to violate or contravene federal or state law, then the term, condition, or provision hall be deemed severed from this Agreement; all other terms, conditions and provisions shall remain in full force and effect. 4. Enti4Acireement. This Agreement constitutes the entire agreement of the Parties with respect to the premises, and all prior negotiations, agreements and understandings, either oral or written, are merged herein. 5. Bindin., effect. The terms and conditions of this agreement shall be finding and shall inure to the benefit of the Parties and their respective heirs, representatives, successors and assigns. 6. Assignment. MICHCA shall not assign, or in any manner transfer any interest in the agreement without the prior written consent of the OCPRC. 7. Waiver. No waiver of any term, provision or condition of this Agreement, whether by conduct or otherwise, in one or more instances, shall be deemed or construed as a further continuing waiver of a term, provision or condition of this Agreement. No remedy available to a Party for the other Party's breach of this Agreement is intended to be an exclusive remedy. A Party's exercise of any remedy for breach of this Agreement shall no be deemed or construed to be a waiver of its right to pursue another remedy. 8. IMPROVEMENTS. All improvements to the property shall remain the property of OCPRC at the termination of this agreement 9. DURATION. This agreement shall remain in effect for a period of three (3) years unless the parties hereto agree to terminate this agreement in writing at an earlier date. 12-3 2. Indemnification. MICHCA and their guests, shall save, defend, indemnify and hold OCPRC harmless from and against any and all loss, cost, liability, damage, expense, (including, without limitation, reasonable attorneys' fees), penalties, fines and claims whatsoever in connection with loss of life, personal injury and/or damage to property arising from any negligent or willful acts or omission of MICHCA, their agents or employees. 3. Payment. MICHCA shall pay an annual fee in the amount of $500 that shall be due and payable upon receipt of invoice from OCPRC every month end in 5 equal monthly installment of $100 beginning May 2002. Payment shall be made at OCPRC offices and shall be considered late if it is not received within 30 days of receiving invoice. In the event that payment is not timely made, OCPRC may at its option, consider the contract to be null and void and deny MICHCA entry to the facility. 4. Equipment. MICHCA shall supply all necessary equipment and supplies to facilitate play, such as wickets, bats and balls, 5. Schedule of Games. MICHCA shall provide OCPRC with a schedule of games, practices, social events and coaching camps to be scheduled during each season. Such schedule shall be given to OCPRC in February of each year. 6. Exhibition and Development Program. MICHCA shall at least annually organize a minimum of two "open house" exhibitions and youth skills development programs. 7. Insurance. MICHCA shall obtain the following insurance coverage. One Million Dollars ($1,000,000.) All certificates of Insurance and duplicate policies of any user shall contain the following clauses: The insurance company(s) issuing the policy or policies shall have no recourse against the County of Oakland for payment of any premiums or for assessments under any form of policy. Any and ail deductibles in the above referenced insurance shall be assumed by and be for the account of, and at sole risk of MICHCA. B. Change or Cancellation. All certificates are to provide 30 days notice of material change or cancellation. Certificates of Insurance and insurance binders must be provided no less than ten (10) working days N 12-4 10, CONSTRUCTION, Nothing in this contract shall prohibit the parties from agreeing in writing to allow MICHCA to construct a temporary facility, which cost shall be equally shared by the parties. MICHIGAN CRICKET ASSOCIATION (M HCA) By: Venkat Mallya Its: Chairman Date: August 22, 2001 12-5 ITEM #13 NATURE CENTER BRIDGE REPAIRS INDEPENDENCE OAKS The pedestrian bridge at Independence Oaks is in need of repairs. This bridge was installed in 1984 and is comprised of steel with wood decking. Due to our winter conditions, ice -melting chemicals are used for safety. Consequently, some of the steel has deteriorated to a point that some steel must be replaced plus additional reinforcements made. A structural engineer was retained that developed the specifications for the repairs, which primarily consist of grinding off the top flange of deck support, welding a self -weathering steel plate continuously for 100 feet on each side, and installing square steel tubes 100 feet on each side between the wood deck and the deck support angle. Our crews have already installed two wooden support structures per the engineer's request. Once these repairs have been accomplished, the bridge should be viable for the next several years. The estimated cost for a new bridge is $70,000 plus installation. There is also an alternate to drill or cut a drainage hole of V diameter in each diagonal web member. Only one bid was received, as follows: General Electrical Mechanical Inc. Base Bid Alternate White Lake, MI $14,835 $52 per hole Staff is presently reviewing this bid and will make a presentation and recommendation at the Commission meeting. 13-1 ITEM #14 WATERFORD OAKS WAVE POOL RENOVATION Although this project was approved at the prior commission meeting, there was some confusion, and the total project cost needs to be clarified and amended. The contract was recommended to be awarded to Integrated Design Solutions (IDS) of Troy. The project included Phase I, which is the study to determine the problems and components to be included in the renovation and Phase II, the construction phase, in which IDS included in their fee the drawings and specifications for bidding, and the contract administration and supervision. Water Technology did not include the cost of contract administration and site supervision. This was to be on an hourly, as needed, basis. The following is what was presented: Study Phase Integrated Design Solution (IDS)* $15,000 Troy, MI Construction Phase ■ 9.5% of construction ■ Costs include construction and construction supervision Water Technology, Inc. $16,450 ■ 6% of construction WI/lL ■ Construction supervision on an hourly, as needed, basis * IDS is collaborating with Bill Robertson Pool Design and Seto -Tsang Assoc. ♦ Note: The construction is based on an estimated cost of $500,000, which will be funded in part by a grant we have received for 50%, or $250,000. ♦ IDS has reduced their fee from 9.5% to 9%. Therefore, the cost of the project is $15,000 for phase one and $45,000 for the construction phase, which includes $36,000 for the preparation of construction documents (7.2% of the estimated construction cost) and $9,000 for contract administration and supervision (1.8% of estimated construction cost), for a total cost not -to -exceed $60,000. Staff recommends the study phase and, contract administration and supervision on as needed basis, not -to -exceed $9,000. The initial authorization did not include all the components. 14-1 ITEM #15 CORRESPONDENCE GLEN OAKS A letter has come to the commission regarding some damage to a resident's vehicle, and they have sent us this letter in regards to that incident and their home. Staff has authorized payment of their $250 deductible on their car insurance and informed them that we will not pay for any future repairs on their house once their new siding has been installed. Staff is investigating the possibility of shortening the golf hole to a par three and how that would affect the next house further down. In September of 1999, we purchased the house at 29615 Greening. At that time, the tree in the front of the house was overgrown and needed pruning. After pruning the tree, we noticed dozens of golf ball dings and dents all over the front and sides of the house, and we realized there's a major problem. Obviously, after living here, we have discovered it is actually dangerous to be outside at all. Activities that are done by a home owner, gardening, washing the cars, watering flowers, just sitting on the front porch, talking to our next door neighbors, playing with nieces and nephews, they have become next to impossible without the risk of damage or injury. My husband just recently pulled my brand new car out of the garage to wash it and the hood of the car was hit causing $800_in damage. This is not the first time one of our cars has been hit, and we are worried about friends and family and their cars when they come over to visit. Not only do I worry about the damage to the house and the cars, but I am constantly begging my husband to wear a helmet while he mows the lawn, et cetera, but as you would probably understand, he refuses 15-2 to do so. I am a court reporter, so I do a lot of the work at home. During the day as I sit in my office I hear what sounds like gun shots hitting my house which are really golf balls. This can be very startling, disruptive and frustrating. I also notice golfers constantly directly in front of my house looking for their balls. Why is this always happening directly in front of my house? In 2000 we replaced all of our windows with tempered glass due to the worry of breakage from golf balls. We have just ordered all new siding for our house because of the damage, not to mention the embarassment of the way our house looks. These are both expenses we had not planned on when we moved here. We are a young couple who work extremely hard to be able to buy this house. You can imagine our dissappointment. We:realize Greening Street is a problem also. There have been numerous incidences of people, animals and cars being struck by balls. Please realize though that because of the layout of your golf course, our house gets hit the hardest, and this includes our back yard as well. We must have hundreds of balls collected, and the damage to the house is more than noticeable. On beautiful days we wish we could sit on our bench on the porch, but to be honest, we are scared. How can we raise a family here under these circumstances? Please help to get this serious problem addressed so we can enjoy our home that we work so hard for. We just want to feel safe, enjoy our home, live like normal people. Your attention to this matter is appreciated. The application requires a resolution from the Parks Commission in support of this grant; that resolution is attached for your review and approval. 16-1 ELLIS BARN GRANT APPLICATION RESOLUTION WHEREAS, the Oakland County Parks and Recreation Commission has identified the acquisition of a working/historical farm as an objective in its current strategic plan; and WHEREAS, RBI 33, LLC, owners of the historic Ellis barn in Springfield Township have committed themselves to preserving the barn by donating it to another agency; and WHEREAS, RBI 33, LLC has pledged $75,000 towards the cost of dismantling and relocating the Ellis barn to another site; and WHEREAS, the Oakland County Parks and Recreation Commission, at its February 28, 2001, regular meeting, accepted RBI 33, LLC's request to approve Springfield Oaks County Park as the site for the relocation of the barn; and WHEREAS, the Ellis barn meets program and storage needs of the master plan for the site; and WHEREAS, the Oakland County Parks and Recreation Commission, at its February 28, 2001, regular meeting,.;also committed a total of $50,000 for site preparation and landscaping; and WHEREAS, the Oakland County Parks and Recreation Commission has included the Ellis Barn Relocation Project in its 2002 Capital Improvement Projects Budget; and WHEREAS, the Oakland County Parks and Recreation Commission has included the Ellis Barn Site Development Project in its 2002 Capital Improvement Projects Budget; and WHEREAS, the Oakland County 4-H Fair Association has agreed to establish an endowment fund to offset maintenance and operation costs for the barn; and and WHEREAS, RBI 33, LLC has pledged another $5,000 towards the maintenance endowment fund; WHEREAS, the Township of Springfield has committed to leading or assisting with fund-raising efforts for financial contributions towards matching funds. NOW THEREFORE BE IT RESOLVED that the Oakland County Parks and Recreation Commission approves submission of the TEA21 grant application for funding of the Ellis Barn Relocation to Springfield Oaks County Park. FURTHER BE IT RESOLVED that the Oakland County Parks and Recreation Commission forwards this resolution to the Oakland County Board of Commissioners for their approval pursuant to the county's grant procedures. Moved by Supported by Date: 16-2 ITEM #17 EXECUTIVE SESSION Staff is requesting an Executive Session to discuss a proposed land acquisition. 17-1 ITEM #18 EXECUTIVE OFFICER'S REPORT ---Pet Supplies Plus has donated 30,000 "pooper scooper" bags for the Orion Oaks Bark Park. This value is estimated at $1500, making their total donation $7,000 over the last three years. ---Independence Oaks was host to the USA Swimming Open Water Regional Swim Meet on Monday, August 13, 2001. Seven states were represented, with over 230 swimmers participating. This event was co -sponsored with Oakland University, who has been a partner with Oakland County Parks in aquatics education. ---The lifeguards of Oakland County Parks were recognized by 105.1 FM with the "Magic Employee Salute" for their work, especially in the hot and humid dog days. ---Red Oaks Clubhouse: IDS has reviewed our fee for services and will hold the line and provide design and construction administration services for 9% of the construction cost. We do anticipate that, due to inflation and the construction economy in the area, the construction cost of the facility will increase beyond the original budget. We would suggest planning on a 5% increase in the estimated construction cost. ---Staff is selling 2002 Annual Motor Vehicle Permits at the 2001 fee schedule until October 1; after that date, permits will be sold at the 2002 rates. ---Lyon Oaks operations staff has, to date, received inquiries from 17 golf leagues interested in playing at Lyon Oaks. Staff will evaluate league play during the 2002 season and make a recommendation to the Commission for possible golf league program expansion in 2003. ---Due to the continuing park development construction at Lyon Oaks, there will be no archery deer hunting program offered this year. The 2001 season is October 1 through January 1, 2002. ---Fair Oaks contract extension: According to the parameters of the current contract with Fair Oaks, we will extend the contract for one year.
