ACTIVITY REPORT: The Activity Report for the month of September, 2007 was accepted as filed. Staff will investigate the possibility of obtaining a grant to bring children into the parks to visit the nature center. INTRODUCTIONS: Chief of Recreation Jim Dunleavy introduced the following interns: J. R. Grulke from Michigan State University; and Lena Piippo and Valarie Brochu from Central Michigan University. INFORMATION TECHNOLOGY MASTER PLAN/ASSESSMENT: Moved by Mr. Skarritt, supported by Mrs. Taub to approve funding the needs assessment, project scope and approach of the Oakland County Parks and Recreation Commission's information technology requirements, for future phased -in implementation, in an amount not to exceed $80,642. AYES: Crawford, Gregory, Lewis, McCulloch, Palmer, Richards, Skarritt, Taub, VanderVeen (9) NAYS: (0) Motion carried on a voice vote. 4-2 (Commission Meeting, November 7, 2007) PROS CONSULTING REPORT: PROS Consulting President Leon Younger presented an update on the progress of the parks system's long- term financial assessment and strategic master planning process. OPEN MEETINGS ACT PRESENTATION: Oakland County Corporation Counsel Judy Cunningham and Assistant Corporation Counsel John Ross presented an overview of the Open Meetings Act, detailing requirements for meeting postings, closed sessions, and meeting minutes, plus requirements for ensuring public bodies remain in compliance. Additional caution was expressed over the use of a -mails for conducting any type of business. HIGHLAND OAKS MINERAL ROYALTY DEED CONVEYANCE: Moved by Mr. Gregory, supported by Mr. Richards to adopt the following resolution recommending approval of the Highland Oaks Mineral Royalty Interest Deed by the Oakland County Board of Commissioners: WHEREAS, pursuant to Miscellaneous Resolution No. 07016 the Oakland County Board of Commissioners accepted a Michigan Department of Natural Resources Trust Fund Grant Agreement, which provided partial funding for the acquisition of land to establish Highland Oaks County Park; and WHEREAS, the terms and conditions of said grant agreement require the County to convey a Mineral Royalty Interest Deed to the state representing a 1/6 interest in all gas, oil or mineral rights produced from the land; and WHEREAS, the attached Mineral Royalty Interest Deed has been approved by Oakland County Corporation Counsel and the State of Michigan Department of Natural Resources. NOW THEREFORE BE IT RESOLVED that the Oakland County Parks and Recreation Commission recommends the Oakland County Board of Commissioners approve the conveyance of a 1/6 interest in all gas, oil or minerals produced from the land of Highland Oaks County Park to the State of Michigan via the attached Mineral Royalty Interest Deed. BE IT FURTHER RESOLVED that the Oakland County Parks and Recreation Commission recommends the County of Oakland Board of Commissioners direct its Chairperson or his designee to execute the attached Mineral Royalty Interest Deed and all other documents, which may be required. RESOLUTION — HOLLY AREA SCHOOLS PROPERTY PURCHASE AGREEMENT: Moved by Mrs. Taub, supported by Mr. Palmer to adopt the following resolution recommending approval of the Holly Area Schools Property Purchase Agreement by the Oakland County Board of Commissioners: WHEREAS, pursuant to the authorization of the Oakland County Planning and Building Committee, the Oakland County Parks and Recreation Commission and the 4-3 (Commission Meeting, November 7, 2007) Department of Facilities Management, with the assistance of Oakland County Corporation Counsel, have negotiated the terms and conditions of the attached Purchase Agreement with the Holly Area School District, for the purchase of 17.29 acres of land located in Holly Township; and WHEREAS, the Oakland County Parks and Recreation Commission has budgeted sufficient funds from its land acquisition fund to complete the purchase of said property; and WHEREAS, pursuant to the terms and conditions of said Purchase Agreement, the County of Oakland shall pay the Holly Area School District the sum of $185,000.00 via a cash sale for the purchase of said property subject to the County performing its required due diligence investigation of the subject property; and WHEREAS, the Departments of Facilities Management and Corporation Counsel have reviewed and/or prepared all necessary documents related to the attached Purchase Agreement and recommend its approval. NOW THEREFORE BE IT RESOLVED that the Oakland County Parks and Recreation Commission hereby recommends the Oakland County Board of Commissioners approves and accepts the terms and conditions of the attached Purchase Agreement between the County of Oakland as purchaser and Holly Area School District, seller for a cash sale purchase. BE IT FURTHER RESOLVED that the Oakland County Parks and Recreation Commission hereby recommends the County of Oakland Board of Commissioners directs its Chairperson or his designee to execute the attached Purchase Agreement and all other related documents between the County of Oakland and Holly Area School District, which may be required to complete the purchase of said property. UPPER BUSHMAN LAKE ACQUISITION GRANT ACCEPTANCE: Moved by Mr. Palmer, supported by Mrs. Taub to adopt the following resolution in support of the Grant Agreement, contingent upon approval by Corporation Counsel, and the submission of the Grant Agreement for approval by the Oakland County Board of Commissioners: WHEREAS, the Oakland County Parks and Recreation Commission has been notified of the award of the TF06-199 Upper Bushman Lake Acquisition Grant, administered by the Michigan Natural Resources Trust Fund Board and the Michigan Department of Natural Resources; and WHEREAS, the One Million Nine Hundred Thousand ($1,900,000.00) dollar grant will help offset the cost of acquiring this parcel, which will substantially increase the size and recreational opportunities of Independence Oaks County Park; and WHEREAS, the matching funds for the Upper Bushman Lake Acquisition Grant will come from the % mil for parks. NOW THEREFORE BE IT RESOLVED that the Oakland County Parks and 4-4 (Commission Meeting, November 7, 2007) Recreation Commission supports the acceptance of the TF06-199 Upper Bushman Lake Acquisition Grant. BE IT FURTHER RESOLVED that the Oakland County Parks and Recreation Commission recommends that, upon the approval of the Grant Agreement by Oakland County Corporation Counsel, said agreement will be forwarded to the Oakland County Board of Commissioners for consideration and approval. BE IT FURTHER RESOLVED that the Oakland County Parks and Recreation Commission has included the grant revenue and project expenses for said project in the budget for Fiscal Year 2008, thereby eliminating the need for a budget amendment. WATERFORD OAKS COUNTY PARK STORM WATER IMPROVEMENTS PROJECT GRANT ACCEPTANCE: Moved by Mr. Crawford, supported by Mr. Richards to adopt the following resolution, contingent upon approval by Oakland County Corporation Counsel and the submission of the Project Agreement for approval by the Oakland County Board of Commissioners: WHEREAS, the Oakland County Parks and Recreation Commission has been notified of the #2007-0123 Waterford Oaks County Park Storm Water Improvements Project Grant award, through the Clean Michigan Initiative Clean Water Fund program administered by the Michigan Department of Environmental Quality; and WHEREAS, the One Hundred and Ninety Thousand ($190,000.00) dollar grant will help offset the cost of implementing Best Management Practices in the construction of parking lot improvements at Waterford Oaks County Park; and WHEREAS, the matching funds for the #2007-0123 Waterford Oaks County Park Storm Water Improvements Project Grant will come from the % mil for parks. NOW THEREFORE BE IT RESOLVED that the Oakland County Parks and Recreation Commission supports the acceptance of the #2007-0123 Waterford Oaks County Park Storm Water Improvements Project Grant. BE IT FURTHER RESOLVED that the Oakland County Parks and Recreation Commission recommends that, upon the approval of the Project Agreement by Oakland County Corporation Counsel, said agreement will be forwarded to the Oakland County Board of Commissioners for consideration and approval. AYES: Crawford, Gregory, Lewis, McCulloch, Palmer, Richards, Skarritt, Taub (8) NAYS: (0) Motion carried on a voice vote. 4-5 (Commission Meeting, November 7, 2007) 2007 ACCESSIBLE BY DESIGN AWARD — WATERFORD OAKS ACCESSIBLE PLAYGROUND: Moved by Mr. Gregory, supported by Mrs. Taub to adopt the following resolution in support of the 2007 Accessible By Design Awards grant application for the Waterford Oaks Accessible Playground: WHEREAS, the Oakland County Parks and Recreation Commission has been notified of Requests for Proposals for the 2007 Accessible By Design Awards, administered through the Access to Recreation Initiative in cooperation with the Michigan Recreation and Parks Association; and WHEREAS, the Waterford Oaks Accessible Playground, currently in design, meets the advertised grant requirements and has been budgeted for construction during Fiscal Year 2008; and WHEREAS, the requested Two Hundred and Fifty Thousand ($250,000.00) dollar grant will help offset the cost of constructing this regional play facility at Waterford Oaks County Park; and WHEREAS, the matching funds for the Waterford Oaks Accessible Playground, will come from the % mil for parks. NOW THEREFORE BE IT RESOLVED that the Oakland County Parks and Recreation Commission supports the application to the 2007 Accessible By Design Awards for the Waterford Oaks Accessible Playground. DESIGN AND DEVELOPMENT QUARTERLY UPDATE: Chief of Design and Development Joe Figa presented an update on the capital and maintenance projects throughout the parks system. Commission Palmer questioned plans for the proposed equestrian center at Springfield Oaks. Staff noted Leon Younger has a copy of the business plan for the proposed equestrian center and will be reviewing it. Also, staff will be attending an Equine Expo being held in Lansing in December that will include results from the most updated equine survey, as well as a feasibility report on a state-of-the-art center. BIDS: Moved by Mr. Skarritt, supported by Mr. Crawford to award the contract for the replacement of the pedestrian bridge at the Lewis Wint Nature Center, including removal and disposal of the old bridge, and removal and replacement of the two mid -span support structures to the low bidder, Custom Manufacturing, Inc., in the amount of $45,050.00, plus a five percent contingency of $,2253.00, for a total budgeted amount of $47,303.00. Marye Miller, Executive Director, and Vice Chair Sandy Middleton will present the Commission with an award of recognition plus provide a brief overview of the Senior Olympics program. Seniors are a growing population segment in Oakland County, and this is an example of the Commission's support of senior recreation activities. DTE Energy: DTE Energy has a long history statewide of supporting environmental and natural resource preservation projects. We are recognizing DTE's support in the recent installation of a Blue Heron Rookery Nesting Project at Lyon Oaks. Staff will show a PowerPoint presentation highlighting aspects of this cooperative program. 9-1 ITEM #10 STAFF INTRODUCTION Oakland County Parks has had a long association with Lori Taylor. She was instrumental in developing artwork for the original displays at the Wint Nature Center back in 1975. Through the years she has provided her expertise during classes and created additional exhibits. More recently she completed a wetland exhibit involving taxidermy, mural painting and three dimensional background. She completed this display just prior to her award as artist in residence at Sleeping Bear Dunes National Shoreline. Not only is Lori an artist, she is a very competent interpreter and employee. Oakland County Parks is lucky to have her working for us and sharing her talents for the benefits of our patrons. 10-1 ITEM #11 OAK MANAGEMENT LEASE Pursuant to the concession lease agreement, Parks staff has met with Oak Management Corporation staff regarding the current rental rates. Staff, with Oak Management's concurrence, combined the utility rate and rental rate percentages to establish a single rental rate (see attached) that will be inclusive of utility costs. Staff feels this change, if implemented, will realize time savings with respect to accounting processes for Parks staff. Staff consequently is recommending the approval of the conceptual change in the current rental rate structure in addition to the new rates as indicated. A written amendment to the lease agreement will be forthcoming after review by Corporation Counsel. Currently, 39% of the county's population is age 45 plus. New trends that we are researching include: health and fitness, environmental concerns, and the needs of the "sandwich generation" — individuals caring for both aging parents and their own small children. In the past, we partnered with senior centers to provide events. A new market we're tapping is coordinating with assisted living facilities and low income apartment complexes. In development is a new marketing plan to promote existing programs to the baby boomer population. This will enable us to increase participation in our existing programs and provide opportunities for the residents. A total of 448 individuals volunteered for the park system, totaling 26,643 hours. Our volunteers are essential to us as they assist in making our facilities and programs a success. According to the Bureau of Labor Statistics standards, we had a fiscal savings in excess of $488,000 The current hourly rate is $18.32 per hour. 12-2 ITEM 1113 MOBILE RECREATION REPORT Park Supervisor Phil Castonia will provide a PowerPoint report on our Mobile Recreation program. 13-1 ITEM #14 2008 COMMUNITY ASSISTANCE PROGRAM PROPOSAL The concept of the Community Assistance Program (CAP) will be revised and expanded in 2008. The goal is to provide more recreation opportunities and experiences to communities, organizations, school districts, non -profits, and underserved populations. The CAP program is an element of the park system's evolving Urban Parks, Recreation and Services strategy. Staff has revised the CAP program, which will be will be more fully marketed to all 61 cities, villages, and townships in Oakland County. We will be offering mobile recreation visits, bus transportation, day camp scholarships, and waterpark discounts as part of the program. This year we are keeping the transportation aspect of the program to include the 28 school districts in Oakland County which will again be able to use one bus for transportation to either of our nature centers or day use parks. Schools would be responsible for the nominal per person charge at the nature center. We would like to request that the Commission once again continue to support and grant the funds to the Mobile Recreation Department in the amount totaling $100,000. This would be available to all cities, villages, townships and school districts in Oakland County. The request of funds for the 2008 Community Assistance Program will be $100,000. The funds will be allocated as follows: k $30,000 - Mobile Recreation Visits a, $30,000 - Partnerships and Collaborations with cities, villages, and townships with struggling or eliminated parks and recreation departments 21 $20,000 - Discounts to non-profit and community groups in Oakland County k $10,000 - Transportation to nature centers and day use parks a $5,000 - Program Scholarships for at -risk youth and individuals with disabilities X $5,000 - Discounted Trips to the waterpark, youth group camping, the refrigerated toboggan run and nature centers This expanded program will provide over 100,000 residents and visitors, who otherwise may not have this opportunity, a chance to enjoy quality recreation activities. Description of Services Available Under This Program Mobile Recreation ($30,000): All cities, villages, and townships in Oakland County would be eligible for mobile unit visits during the summer of 2008 at no cost. This is contingent upon a completed application being approved by the Mobile Recreation Supervisor. The following units will be available this year: Adventure Sport Mobile, Climbing Wall, Puppet Mobile, Bouncers, Mini -Festival, Dunk Tanks, and Tents. The units will be available for this program seven days per week. The possibility will also exist to add on a "bonus" second visit for groups in the same geographical location as an already scheduled paid visit. Limit: Three mobile unit rentals per community per year. 14-1 Partnerships and Collaborations ($30,000): Select cities, villages, and townships in Oakland County would be eligible for additional visits and programming assistance during the summer of 2008 at no cost. This program would be available to agencies that have recently lost their parks and recreation department, have steadily had their budget cut, or have lost programs and services and are not able to provide the quality recreation services their residents could use. This is contingent upon an agreement between Oakland County Parks and the selected city, village, or township. Oakland County Parks would assist with programming and provide free mobile units to assist with programs that would not operate otherwise. Limit: To select communities until funds are completely dispersed. Discounts ($20,000): This program is available for all non-profit agencies in Oakland County and is only valid for events held within Oakland County. A request letter for consideration must be sent to the Recreation Supervisor in charge of Mobile Recreation on the agency's letterhead, either by mail or email. Information that needs to be included in the request letter is date, time, location, purpose of the program, how it will benefit the community, and which mobile unit is being requested. Any other pertinent information, such as the organization mission statement/brochure, or flyer for the event should also be included. The program works on a first come, first served basis. Any non-profit receiving a discount would be encouraged to offer in -kind services in trade. Limit: $1,000 in discounts per agency per year. When the $20,000 is used, no other discounts will be given. Transportation ($10,000): The C.A.P. buses may be used for transportation to and from Lewis E. Wint Nature Center, Lyon Oaks Nature Center, or any day use park. Park entry fee will be waived. The buses will be available Monday through Friday from 9:00 am until 3 :00 pm. in the months of September through June. This will be available for each of the 28 school districts in Oakland County, and all 61 cities, villages and townships. Groups will be responsible for nominal admission fee for nature centers. Limit: One free bus trip per community or school district per year. Program Scholarships ($5,000): The C.A.P. Scholarship Program will provide scholarships for each community that acts as a registration site for summer day camps. There would be a total of 63 full scholarships for the 21 registering communities. The scholarships can be used for Wild Adventures during the sessions in which their community attends camp. These funds would be routed through the community youth assistance programs in partnership with the local parks and recreation departments. These scholarships will be available for at -risk youth and individuals with disabilities. Limit: Three full camp scholarships for each of the 21 registering communities per year. Discounted Trips ($5,000): The C.A.P. program will include $2 discount tickets for groups of 45 or less. This will be available Monday and Tuesday only. Trip locations include: waterparks, nature centers, toboggan run, and youth group camping. Trips are open to all cities, villages, townships, senior groups, and group homes for individuals with disabilities. Limit: Each community and group will be limited to one discounted trip per year. 14-2 ITEM #15 MICHIGAN NATURAL RESOURCES TRUST FUND (MNRTF) 2008 GRANT CYCLE The Oakland County Parks and Recreation Commission will soon be notified of the application deadline for the 2008 Michigan Natural Resources Trust Fund (MNRTF) grant program (application deadline is anticipated to be April 1, 2008). Staff will be making a proposal for a possible Development Grant application at the December 12 Commission meeting with a public hearing scheduled for early 2008, pending the Commission's approval. Staff will also recommend that OCPR delay application for an acquisition grant until August (secondary application deadline for Acquisition grants only) in order to better consider the strategic planning currently in process and the time necessary to investigate land acquisition opportunities. 15-1 ITEM #16 HIGHLAND OAKS MINERAL ROYALTY DEED CONVEYANCE We have been directed by the Michigan Department of Natural Resources Grants Section Administrator Jim Wood that the modification proposed by the Parks Commission on the Highland Oaks Mineral Royalty Deed, including definition language, will not be accepted due to its redundancy and the DNR's commitment to not accepting modifications to their documentation. The original and revised deeds are attached for your review. As you may recall, the changes proposed by Oakland County Corporation Counsel included a new Paragraph (g) under 1. Definitions, plus a new Paragraph (a) under 2. Royalties. It is staff's recommendation to accept the original deed wording, reaffirming the attached resolution recommending approval of the Mineral Royalty Interest Deed by the Oakland County Board of Commissioners. 16-1 RESOLUTION WHEREAS, pursuant to Miscellaneous Resolution No. 07016 the Oakland County Board of Commissioners accepted a Michigan Department of Natural Resources Trust Fund Grant Agreement, which provided partial funding for the acquisition of land to establish Highland Oaks County Park; and WHEREAS, the terms and conditions of said grant agreement require the County to convey a Mineral Royalty Interest Deed to the state representing a 1/6 interest in all gas, oil or mineral rights produced from the land; and WHEREAS, the attached Mineral Royalty Interest Deed has been approved by Oakland County Corporation Counsel and the State of Michigan Department of Natural Resources. The value of gross proceeds shall be increased to the extent that the gross proceeds have been reduced because the purchaser, or any other person, is providing certain services the cost of which is the responsibility of the Lessee to place lease products in marketable condition. c. At the sole option of the Nonparticipating Royalty Owner, and in lieu of royalty payments upon oil and/or gas produced and saved, the Nonparticipating Royalty Owner shall be delivered the credit free of cost the equal one -sixth (1/61h) part of all oil and/or gas produced and saved under the terms of the Lease to facilities to which the wells may be connected. 16-4 NON PARTICIPATING ROYALTY PAYMENT TERMS — (Continued) d. Payments specified must be made within 60 days following oil production sale or the gas and/or plant products sale. Payments made after the due date shall include interest at the rate of 1.5% per month, or at the maximum legal rate, whichever is less, on the amount of royalty unpaid. A full month's interest will be charged for late payments received during any portion of the month in which late payment is received. Should oil be produced from any well, the gross proceeds of sale of lease produces of such oil shall be free to the Nonparticipating Royalty Owner of any cost to whichever point is first encountered: 1) the point of sale to an independent nonaffiliated third parry purchaser; or 2) to an affiliated purchaser, provided the sale is at prevailing market rates; or 3) the point of entry into an independent non affiliated third party owned pipeline system; or 4) the point of entry into an affiliate -owned pipeline system, provided transportation rates are at prevailing market rates. Upon request by the Non participating Royalty Owner, written justification of charges must be submitted and agreed to in writing by the Nonparticipating Royalty Owner. f. Should gas, including casinghead gas, be produced and saved from any well, the gross proceeds of sale of lease products of said gas shall be free to the Nonparticipating Royalty Owner of any cost whichever point is first encountered: 1) the point of entry into a facility to remove CO2, H2S, and N2, or obtain plant products; or 2) the point of entry into an independent non affiliated third party -owned pipeline system; or, 3) the point of entry into a pipeline system owned by a gas distribution company, or any subsidiary of such gas distribution company, which is regulated by the Michigan Public Service Commission; or 4) the point of entry into an affiliated pipeline system, if the rates charged by such pipeline system have been approved by the Michigan Public Service Commission, or if the rates charged are reasonable, as compared to independent pipeline systems, base on such pipeline system's location, distance, cost of service and other pertinent factors. Upon request by the Nonparticipating Royalty Owner, written justification of charges must be submitted and agreed to in writing by the Nonparticipating Royalty Owner. g. All royalties accruing to the Nonparticipating Royalty Owner herein shall be without deduction of any costs incurred except as agreed herein. Gross proceeds includes, but is not limited to, payments to the lessee for certain services such as compression, dehydration, measurements, and/or gathering which the Lessee is obligated to perform at no cost to the Nonparticipating Royalty Interest Holder to place lease products in marketable condition. Where lease products are sold to an affiliated person or entity, gross proceeds are equivalent to the gross proceeds derived from, or paid under, comparable arm's- length contracts for purchases, sales, or other dispositions of like -quality lease products from the same filed or area. In evaluating the comparability of arm's-length contracts for purposes of this Agreement, the following factors shall be considered: price, time of execution, duration, market or markets served, terms ,quality, volume, posted prices, prices received for arm's-length spot sales, other reliable public sources of price or market information, and such other factors as may be appropriate. c. "Lease Products" means any leased minerals attributable to, originating from, or allocated to this lease. d. "Marketable Condition" for gas means sufficiently free from impurities, except CO2, H2S, and N2, and otherwise in a condition that it will be accepted by a purchaser under a sales contract typical for the field or area. e. "Marketable Condition" for oil means sufficiently free from impurities and otherwise in a condition that it will be accepted by a purchaser under a sales contract typical for the field or area. f. "Nonparticipating Royalty" is a right to share in the gross proceeds, free of costs of production, when oil, gas or other minerals are extracted from the land. The holder of a nonparticipating royalty is not authorized to enter on the premises to prospect, sever, or remove minerals. g. "Oil" means natural crude oil or petroleum and other hydrocarbons, regardless of gravity, which are produced at the well in liquid form by ordinary production methods and which are not the result of condensation of gas after it leaves the underground reservoir, including but not limited to, oil, casinghead gasoline, drip gasoline and natural gasoline extracted from natural gas. 2. Royalties The Nonparticipating Royalty shall be determined and paid as follows: a. These purchase agreements are contingent upon each other. The Kidwell agreement expires on December 22 and needs to be acted upon. Staff's recommendation is to approve the purchase agreement with Kidwell, contingent upon a satisfactory agreement with the church, which is expected on or about December 17. The delay in negotiations with the church has been due to getting the appropriate approvals through the church's regional and state governing bodies. 17-1 Approval and Acceptance Of Purchase Agreement — Kidwell Property Parcel No. 13-24-126-012 Waterford Oaks County Park On July 18, 2007 pursuant to the rules and procedures of the Oakland County Board of Commissioners the Oakland County Parks and Recreation Commission authorized staff the to obtain appraisals and begin negotiations for the purchase of 2896 Watkins Lake Road, Waterford Township for expansion of Waterford Oaks County Park. The Departments of Parks and Recreation and Facilities Management with the assistance of County Corporation Counsel have negotiated the terms and conditions of the attached purchase agreement to acquire parcel no. 13-24-126-012. Description of property: A two-story approximately 1,800-sf house with no basement and an attached one car garage originally built in 1946. Land area:.82-ac. Estimated acquisitions costs are as follows: Oakland County expenses: Purchase Price: $160,000 Earnest money deposit: $5,000. Phase I Environmental Assessment: 2,000 Phase II Environmental Assessment: 4,000 Title Insurance & Closing 700 Survey Estimated Total Cost: Seller expenses: Property transfer tax: Appraised value: 1,000 $167,700 Property tax proration $1,376 $167,000. Telegraph Road, Pontiac, Michigan 48341 (hereinafter "Purchaser"), for the purchase of all right(s), title and interest inclusive of all mineral rights or mineral royalty interest in the real property, described below, located in the Township of Waterford, County of Oakland, State of Michigan (hereinafter the "Premises"); said Premises described as: See Attached Exhibit "A" PURCHASE PRICE/CONSIDERATION Subject to the adjustments and prorations provided for in this Agreement, the purchase price of the Premises shall be One Hundred Sixty Thousand Dollars and no/cents ($160,000.00) payable as follows: 1.1 Earnest Money Deposit. Purchaser will tender to Seller upon Purchaser's Acceptance of this Agreement a draft in the amount of Five Thousand Dollars ($5,000.00) which Seller acknowledges as good and sufficient Consideration for accepting this Purchase Agreement. Said deposit shall be held by Title Company, Michigan 48324, (the "Title Company") in an interest bearing account. The deposit and the interest accrued shall be applied toward the purchase price at the time of closing or be disbursed to the Seller or the Purchaser in accordance with the terms of this Agreement. 1.2 Payment of Balance of Purchase Price. This is a cash sale. At the time of closing, after applying the earnest money deposit plus any accrued interest to the purchase price, the balance of the purchase price minus any costs adjusted at closing will be tendered to Seller by Purchaser or wired by Purchaser to Seller's bank, at Seller's option. 1.3 The Seller, under a separate agreement shall be responsible for and pay any broker or finder fee in connection with this transaction. 1.4 Purchase Contingency. The Seller hereby acknowledges that the Purchaser is engaged in the process of assembling two parcels of land for the expansion of Waterford Oaks County Park. Therefore, the purchase of the premises is contingent upon the County of Oakland completing the purchase of a portion of the Waterford Oaks Community Church property located adjacent to the premises. 17-4 The Oakland County Board of Commissioners shall have 60 days from the date of purchase of the Waterford Oaks Community Church property to accept this Agreement on behalf of the County of Oakland. If the Oakland County Board of Commissioners does not accept this Agreement, then it shall be null and void, and the deposit and interest shall be returned to the Purchaser. 1.5 Due Diligence Contingency. This Purchase Agreement is contingent upon the Due Diligence requirements set forth in Section 5 of this Agreement, and its sub- paragraphs. 2. TITLE CONVEYED 2.1 Title to the Premises shall be conveyed at the Closing from Seller by warranty deed showing no encumbrances except existing easements of record or encumbrances accepted by Purchaser. 2.2 Upon execution of this Purchase Agreement by Seller, Seller agrees not to lease, assign, or grant a security interest or other lien that would encumber the Premises after Closing, and Seller warrants that any assignment, security interest or other lien that would encumber the Premises after Closing shall be satisfied out of the consideration transferred at the time of Closing. 2.3 Seller will grant to Purchaser the right to make all Divisions under Section 108 of the Land Division Act, Act No. 288 of the Public Acts of Michigan of 1967. 2.4 Seller will convey to Purchaser any and all mineral rights Seller may have in the Premises. 3. TITLE INSURANCE The Purchaser my procure a commitment for an ALTA owner's form of title insurance policy, which policy will be marked up as of Closing and be effective and certified through the date of recording of the title documents, in an amount not less than the purchase price, certified to a date later than the acceptance hereof, and guaranteeing fee simple absolute title in an insurable and marketable condition. Seller agrees to execute a standard form Owner's Affidavit at closing to assist in Purchaser's efforts to obtain coverage without standard exceptions. In addition to the representations and warranties contained in said Owner's Affidavit, Seller agrees to execute an affidavit indicating the following: (i) Seller is not on notice, whether actual or anticipated notice, of any pending claims against the Seller that would affect the sale of the property. 2 17-5 (ii) There are no court orders prohibiting the sale of the property. 4. TITLE OBJECTIONS 4.1. Purchaser shall have twenty (20) days after receipt of the Title Policy to object to the condition of the title, based upon the written opinion of the Purchaser's attorney that the title is not marketable. Upon written notice by Purchaser to Seller that in the opinion of Purchaser's Attorney the title is defective, Seller shall have thirty (30) days from the date Seller is notified of the particular defect(s) claimed, to either (1) remedy the defects, or (2) obtain at its own cost and expense a substitute commitment for title insurance, insuring in a manner satisfactory to Purchaser, the Purchaser's title against such defects claimed. If the Seller fails to remedy the defects or obtain a substitute commitment for title insurance within said period, Purchaser may at its sole option (1) waive said title defects and close subject to same; or, (2) defer the Closing until such time as the defect(s) can be remedied, if such defects can be remedied in a reasonable time; or, (3) terminate this Purchase Agreement. 5. DUE DILIGENCE INVESTIGATIONS The Purchaser will have 90 days after approval and acceptance of this offer by the Oakland County Board of Commissioners (hereinafter "Board"), to conduct the due diligence property investigations in paragraphs 5.1 through 5.3. During the 90 day period, the Purchaser and its agents shall have access to the property in order to conduct the investigations listed below. If during the 90 or 180 day periods the Purchaser, in its sole discretion, gives written notice to Seller that it is not satisfied with the condition of the Premises as evidenced by the due diligence investigations, then Purchaser shall be entitled to the return of its earnest money deposit and any accrued interest thereon. 5.1 ALTA/ACSM boundary Survey. Purchaser will obtain, at its own cost, a ALTA/ACSM boundary survey of the Premises inclusive of intermediate staking for future fencing purposes. In addition, Purchaser shall have fifteen (15) days from and after receipt of the survey to determine if the survey matches the property as described in the legal description. If in the written opinion of the Purchaser's attorney the survey does not match the property as described in the legal description, then upon written notice by Purchaser to Seller, Seller shall have thirty (30) days from the date Seller is notified of the particular defect(s) claimed, to remedy the defects. If the Seller fails to or cannot remedy the defects, Purchaser may at its sole option (1) waive said defects and close subject to same; or, (2) defer the Closing until such time as the defect(s) can be remedied; or, (3) terminate this Purchase Agreement. 5.2 Phase I Environmental Assessment. The Purchaser shall at its expense obtain a 3 17-6 Phase I Environmental Assessment ("Phase 1") performed consistent with applicable ASTM standards. If the Phase 1 Report discloses no environmental concerns, then the Parties will proceed to Closing pursuant to Section 6. If the Phase 1 reveals any contamination that would cause the property to be a Facility under Part 201 of the Michigan Natural Resources Environmental Protection Act, (MCL 324.20101et. seq.), hereinafter Part 201, then at the sole option of Purchaser, Purchaser may: (i) terminate this Agreement and receive back its deposit and any accrued interest; or (ii) it may commission a Phase II Environmental Assessment. Purchaser shall notify Seller within 15 days after receipt of the Phase I if it elects to terminate this Agreement for environmental reasons. If the Phase II discloses that the Premises is a Facility, and Purchaser elects to perform a Baseline Environmental Assessment (BEA), then Purchaser shall have an additional 180 days from the time it elects to perform a BEA to submit the BEA together with a Due Care Plan to the Michigan Department of Environmental Quality (hereinafter MDEQ) for a liability determination pursuant to Sections 20126 and 20129a of the Natural Resources and Environmental Protection Act. If the Purchaser receives an exemption of liability from the MDEQ and MDEQ accepts the Purchaser's proposed use of the Premises, then the parties will proceed to closing in accordance with paragraph 6. If Purchaser does not receive an exemption of liability from the MDEQ, or if MDEQ requires response activities to be performed, then at the sole option of Purchaser, Purchaser may: (i) terminate this Agreement and receive back its deposit and any accrued interest; or (ii) proceed to closing pursuant to Section 6. Nothing in this Agreement will prohibit the Parties from modifying or extending the date for Closing if such changes are necessary based upon environmental issues. Such modification or extension must be agreed to in a written addendum to this Agreement signed by both parties. 5.3 Any other investigations that the Purchaser, in its sole discretion, shall deem appropriate. 6. CLOSING, AND CLOSING DOCUMENTS. 6.1 If this offer is accepted by the Seller, and if Seller can convey title as agreed and can comply with all of contingencies of sale described herein, the Purchaser agrees to complete the sale on or before Ell 17-7 6.2 The Closing shall be held at the offices of a Title Company of Purchaser's choosing, or any other mutually convenient location agreed upon by the parties. Purchaser, or the Title Company if Purchaser so elects, will prepare the necessary documents for signatures. 6.3 Purchaser shall notify Seller in writing, twenty (20) days in advance of the Closing date, and shall prepare, or have prepared, and submit to Seller within five (5) days of Closing, all Closing documents required by Purchaser. 6.4 Seller will sign and deliver at Closing, a statutory form of a Warranty Deed conveying fee simple absolute title to the Premises inclusive of all minerals rights or royalties if any (pursuant to Michigan law) in the condition required by this agreement, and a Non -Foreign Persons Affidavit. These documents will have also been reviewed and approved by Purchaser. The Seller will pay any costs or fees required to remove or satisfy outstanding mortgages or other liens. 6.5 Purchaser will pay for the recording of the Deed and any notary fees, and the Seller will pay the property transfer tax (revenue stamps). 6.6 At Closing the Seller will sign an Affidavit of No Liens on the Title Company's standard form, sufficient to permit the Title Company to delete the standard Schedule B exceptions. 6.7 At Closing the Seller will sign a Certificate of Accuracy, regarding the Representations made by Seller in Section 12. 6.8 The Seller and Purchaser will sign and/or prepare any other documents necessary to complete the sale and transfer of the Premises. 6.9 Seller will provide to Purchaser an accounting of all rents and fees (if any) that pertain to the Premises and were paid to Seller for periods that extend beyond the date of Closing. Those rents that are for periods that extend beyond the date of Closing shall be prorated back to the date of Closing and Seller shall tender to Purchaser a cashiers check in the amount of those prorated rents, as well as for any other adjustments or charges as reflected by the Closing Statement. 6.10 Current property taxes shall be prorated on the due date basis of the taxing authority, on the basis of a three -hundred sixty-five (365) day year; Seller being responsible for taxes up to and including the date of closing. 7. POSSESSION. 7.1 Purchaser shall have possession of the Premises at the end of Closing. 5 17-8 7.2 Purchaser agrees that at Closing Purchaser will enter into a separate document Leasing the Premises back to Seller for a period of one year with a one time extension of six months. Seller will have the right to terminate said Lease upon thirty (30) days notice to Purchaser at any time during the course of the Lease for any reason or no reason. RIGHT OF ENTRY AND ACCESS While this Agreement is in effect, Purchaser and its employees and agents shall have the right to enter and access the Premises at reasonable times, with reasonable notice to the Seller, for the purpose of surveying, testing, environmental impact studies, site planning, and other such work as Purchaser deems necessary or desirable to determine the Premises' suitability for the conduct of Purchaser's business. However, in the event that this sale does not take place, then Purchaser, at its own expense, shall restore the property to substantially the same condition as exists on the date of this Agreement, to the extent such restoration is necessary, due to Purchaser's actions. 9. DEFAULT OF SELLER. In the event Seller shall default in the performance of its obligations herein, the Purchaser, in addition to other remedies provided by law, may in its sole discretion, elect to proceed under either 9.1 or 9.2, but not both: 9.1 Specifically enforce this Agreement and require specific performance of this contract by judicial decree; or, 9.2 Demand a refund of the entire earnest money deposit plus accrued interest. Return of the deposit shall terminate this Agreement, unless Purchaser has elected to enforce this Agreement as provided in 9.1. 10. DEFAULT OF PURCHASER. In the event the Purchaser shall materially default in the performance of its obligations herein, Seller may, in its sole discretion, elect to proceed under either 10.1 or 10.2, but not both: 10.1 Specifically enforce this Agreement and require specific performance of this contract by judicial decree; or, 10.2 Declare that the Purchaser has forfeited all rights hereunder and retain the earnest money deposit and interest as liquidated damages. The retention of the earnest money deposit and interest 6 17-9 by Seller shall cancel this Agreement and be in full and final satisfaction of any and all claims that the Seller may bring against Purchaser, unless the Seller has elected to enforce this Agreement as provided in 10.1. 11. RISK OF LOSS No risk of loss shall pass to Purchaser prior to Closing. Except as otherwise provided in Section 13, Purchaser acknowledges that Seller (a) has made no representations or warranties whatever with respect to the property (with the exception of title), whether the property complies with any laws, and (b) the inspection rights set forth below are sufficient to enable Purchaser to inspect the property to determine that it is satisfactory to Purchaser. 12. WARRANTIES BY THE SELLER. The Seller warrants to the Purchaser and shall certify to the Purchaser upon the execution of this Agreement as follows: 12.1 The Seller has full authority to enter into and perform this Agreement in accordance with its conditions, without breaching or defaulting on any obligation or commitment that the Seller has to any third parties and will provide Purchaser with any necessary resolutions, waivers and consents, or other documents that verify Seller has the requisite authority, which documents can be attached hereto as Exhibit A. 12.2 The Seller is the fee simple owner of the Premises and will discharge any liens prior to closing. 12.3 To Seller's knowledge, the legal description set forth in this Agreement is an accurate description of the Premises and does not include any adjacent or contiguous land owned by the Seller, or any third party. 12.4 To Sellers knowledge there are no leases, rights of first refusal, contracts, or other agreements of any kind with respect to the Premises, which would impair the Purchasers right to receive fee title absolute. 12.5 To Sellers knowledge there are no lawsuits, actions, or proceedings pending, or, to the best of the Seller's knowledge, threatened by any party, including governmental authorities or agencies, against or involving the Premises which would affect the Seller's ability to convey the Premises. 7 17-10 12.6 The Seller has no notice or knowledge of. (1) any planned or commenced public improvements that might result in special assessments or otherwise directly and materially affect the Premises; (2) any government agency or court order requiring corrections of any existing conditions; (3) any request by an insurer or a mortgagee of the Premises requiring correction of any existing conditions. 12.7 Seller has not used the Premises for the purpose of disposing of, refining, generating, manufacturing, producing, storing, handling, treating, transferring, processing or transporting Hazardous Materials. 12.8 As used in this Agreement, the term "Hazardous Materials" shall mean any hazardous or toxic substances, wastes or materials, or flammable explosives, including, without limitation, those described in the Comprehensive Environmental Response, Compensation and Liability Act of 1980, as amended, the Hazardous Materials Transportation Act, as amended, the Resource Conservation and Recovery Act, Parts 20, 211 and 213 of the Natural Resources Environmental Protection Act, and all rules, regulations and policies promulgated thereto (collectively, the `Environmental Laws"). 13. WARRANTIES BY THE PURCHASER. The Purchaser warrants to the Seller as follows: (1) The Purchaser is a Michigan Municipal and Constitutional Corporation. (2) The Purchaser has full authority and funding to enter into and perform this Agreement in accordance with its conditions, and will provide Seller with the pertinent resolution which will be attached as Exhibit B. 14. SURVIVAL OF THE WARRANTIES. The warranties of the Parties contained in this Purchase Agreement shall survive for two (2) years after Closing. 15. LIABILITY 17-11 Seller shall be liable for and defend any and all alleged losses, claims, suits, causes of action, litigation, or other demands for damages of any kind, pertaining to the Premises prior to Closing, except those losses, claims, suits, causes of action, litigation, or other demands for damages, arising solely out of the acts of Purchaser or Purchaser's agent(s) while performing any surveys or due diligence inspections of the Premises prior to the Closing, and Seller shall be responsible for paying any and all judgments, damages awarded, costs and expenses (including attorney fees and court costs) and any other liabilities that result from any such alleged losses, claims, suits, causes of action, litigation, or other demands for damages of any kind pertaining to the Premises prior to the Closing, except as noted above in this paragraph. 16. BINDING EFFECT. 16.1 The covenants herein shall be binding upon and inure to the benefit of the administrators and governing body of the parties, as well as any successor administrators or successor governing bodies of the parties. 16.2 This agreement is not binding until executed by both parties. 17. CONDEMNATION. In the event of the institution or proposal of institution of condemnation proceedings prior to Closing, Purchaser shall have the option, in its sole discretion, to terminate this Agreement and receive back the earnest money deposit and any accrued interest, or proceed to Closing. If Purchaser proceeds to Closing, Seller shall assign to Purchaser any and all of Seller's rights to any award or future award pertaining to the Premises, or shall pay to Purchaser any actual payment or award made to Seller as a result of the institution or proposal to institute condemnation. 18. NOTICE. Any notice, request, demand, consent, approval or other communication given hereunder shall be in writing and shall be sent by registered or certified mail, return receipt requested, addressed to the other party at its address as set forth below: Seller: Roger A. CHOICE OF LAW. This Agreement shall be governed by and construed in accordance with the laws of the State of Michigan that are applied to contracts made and to be performed in this State. Venue for any disputes shall be the Oakland County Circuit Court, the Fiftieth District Court, or the United States District Court for the Eastern District of Michigan, unless this paragraph violates any provision of the Michigan Court Rules, or the United States Code. 21. USE OF WORDS. The pronouns and relative words used in this Agreement shall be read interchangeably in masculine, feminine or neuter, singular or plural, as the context requires. 22. SEVERABILITY. If a term, condition, or provision of this Agreement is found by a court of competent jurisdiction to be invalid, unenforceable, or to violate or contravene federal or state law, then the term, condition, or provision shall be deemed severed from this Agreement; all other terms, conditions and provisions shall remain in full force and effect. 23. WAIVER. No waiver of any term, provision or condition of this Agreement, whether by conduct or otherwise, in one or more instances, shall be deemed or construed as a further continuing waiver of a term, provision or condition of this Agreement 24. BINDING EFFECT. The terms and conditions of this Agreement shall be binding and shall inure to the benefit of the Parties and their respective heirs, representatives, successors and assigns. 25. ENTIRE AGREEMENT. This document contains the entire agreement of the parties and supersedes all prior agreements, oral or written, between them. It may not be modified, changed or altered unless reduced to writing and signed by each of the parties hereto. 26. NO THIRD PARTY BENEFICIARIES. Except as provided for the benefit of the Parties, this Purchase Agreement does not and is not intended to create any obligation, duty, promise, contractual right or benefit, right to be indemnified, right to be subrogated to the Parties' rights in this Purchase Agreement, and/or any other right, in favor of any other person or entity. 10 17-13 IN WITNESS WHEREOF, the parties have executed this Agreement as of the dates indicated below. Alternate #1 included the necessary vegetation clearing for the installation of the new perimeter fence. Bids are as follows: Riteway Michigan Fence Co. Nationwide Fence & Supply Co, Sterling Fence Harrison Heights Chesterfield Twp. Base Bid — 4' Perimeter $98,400.00 $92,500.00 $70241.00 Farm Fence Alternate #1 — Fence Line $16,000.00 $17,000.00 $21003.00 Clearing Total $114,800.00 $109,500.00 $91,244.00 Staff recommends awarding the contract to the low bidder, Michigan Fence & Supply Co., in the amount of $91,244.00 for the Base Bid and Alternate #1, plus a 5% contingency of $4,563.00, for a total approved amount of $95,807.00. The approved 2008 Capital Improvement Project budget allocated $63,150.00. However, this budget anticipated the repair and reuse of existing fence along the existing railroad right-of-way. After acquiring Highland Oaks and inspecting the fence line, we determined a majority of the existing fence line will need to be removed and replaced. Therefore, staff also recommends approval to transfer $32,657.00 from 2008 CIP contingency to the project. 18-1 ITEM #19 CLOSED SESSION Staff is requesting a Closed Session to discuss a proposed land acquisition. 19-1 ITEM #20 EXECUTIVE OFFICER'S REPORT A. Guest surveys were completed at the waterparks and five golf courses from mid -August through Labor Day weekend. Attached are summaries from those surveys. Key findings for Red Oaks and Waterford Oaks Waterparks were: once per season visits, word of mouth as the primary source of discovery, and high level of satisfaction. Consistent patterns at the golf courses were: older golfers, large numbers of repeat visitors, and praise for course conditions. B. 4 THE BEST: Addison Oaks has been voted as one of WDIV-TV's 2007 4 THE BEST local businesses in the Detroit area in the "venue" category. The nomination resulted from voter input on WDIV's ClickOnDetroit. com competition over a 60-day period this past summer. A sample of voter comments is attached for your information. C. Drain Commission Project: Staff has been advised by the Oakland County Drain Commission's office that a construction project to facilitate a flushing system for the drain at Red Oaks is anticipated in the near future. Staff will be meeting soon with representatives of the Drain Commission and the city of Madison Heights to formulate details and a possible time schedule for the project. The project may include the closing of the Red Oaks Golf Course for a season. D. MNRTF Update: on December 5, Parks staff was advised of the Michigan Natural Resources Trust Fund Board's decision to appropriate $616,000 for the acquisition of 100 acres of the southernmost portion of the Upland Hills Farm property, plus a $228,000 grant to construct a trail connector between the Oakland Township Cranberry Lake Preserve and the DNR's Bald Mountain Recreation Area. The formal notice and grant agreement will be provided in 2008. E. OLHSA Park Pass Distribution Program: The Oakland County Parks and Recreation Commission partnered with OLHSA to assist low income families in Oakland County in utilizing our day use parks and waterparks. The pilot program was launched at the Pontiac office with case workers tracking and distributing passes to clients who come in for a range of services. Thirty-one passes were redeemed at our day use parks. There were also 176 $2.00 coupons redeemed at the waterparks. Staff recommends continuing the program for 2008. Staff would also like to expand this effort to the Ferndale OLHSA office. F.
